PALM DESERT HOUSING AUTHORITY MEETING

With Housing Authority Board concurrence, Chairman Nestande adjourned the
meeting to Closed Session of the City Council at 3:05 p.m. She reconvened the
meeting at 4:01 p.m.

Upon motion by Harnik, second by Kelly, and 5-0 vote of the Authority Board (AYES:
Harnik, Jonathan, Kelly, Weber, and Nestande; NOES: None), the Consent Calendar was
approved as presented.

VIII. NEW BUSINESS
A. CONSIDERATION OF A REQUEST BY ALLIED AFFORDABLE HOUSING,
LLC, TO APPROVE AND CONSENT TO THE ASSIGNMENT OF ITS
INTERESTS IN A GROUND LEASE AND THAT CERTAIN REGULATORY
AGREEMENT AND DECLARATION OF RESTRICTIVE COVENANTS
(RECORDED AS DOCUMENT NO.2016-0138169), AND PERTAINING TO
THE VACANT PROPERTY OWNED BY THE HOUSING AUTHORITY
KNOWN AS APN 622-020-096.
Senior Management Analyst Jessica Gonzales stated approval of this
request will allow an assignment of Allied Affordable Housing, LLC, to Allied
Real Estate Partners of its interest in a Ground Lease and Regulatory
Agreement pertaining to the vacant property proposed for the Arc Village
Project. Both Allied Affordable Housing, LLC and Allied Real Estate Partners
are companies controlled by Allied Argenta, LLC and consist of the same
board members. Allied Real Estate Partners intends to submit an application
for the upcoming funding through the California State Department of Housing
and Community Development (HCD), which is due in the next couple of
weeks on January 20.
Councilman Jonathan moved to, by Minute Motion: 1) Consider a request by Allied
Affordable Housing, LLC ("Allied"), to approve and consent to the assignment of its
interests and obligations under that certain Ground Lease by and between Allied and the
Authority dated January 14, 2016 (Contract No. HA34970) ("Lease"), and that certain
Regulatory Agreement and Declaration of Restrictive Covenants by and between Allied and
the Authority, dated as of January 14, 2016, (recorded as Document No. 2016-0138169)
("Regulatory Agreement"), and pertaining to the Arc Village Project and the vacant property
known as APN 622-020-096; 2) authorize legal counsel to prepare and finalize an
agreement assigning Allied's interests and obligations under the Lease, Regulatory
Agreement and related documents ("Assignment"); 3) authorize the Chairman and/or
Executive Director, or his/her designee, to take all necessary actions to effect the
requested assignment, including executing the Assignment and all related and necessary
documents. Motion was seconded by Harnik and carried by a 5-0 vote (AYES: Harnik,
Jonathan, Kelly, Weber, and Nestande; NOES: None).
Ms. Aylaian learned today the City has secured an appointment in
Sacramento with members of the HCD. Joining this meeting is the City's
lobbyist, Management Analyst Christopher Gerry, Senior Management
Analyst Jessica Gonzales, and the developer. They will see what can be
done to influence the decision making in award of tax credit dollars in the
hope of kick-starting this project.
