In recent years, the City has contracted for these services on a case-by-case basis. As time is critical to restoring severed communications to the City's traffic signal system to ensure safe roadways and minimizing disruptions to roadways users, staff recommends a multi-year contract with a competent and qualified service provider, so that the repair work can be completed expediently and efficiently. City staff duly advertised a Request for Proposal (RFP) for said services on PlanetBids, and on June 16, 2020, the City received one proposal. A selection committee comprised of the traffic signal operations team reviewed the proposal according to the following criteria in the RFP: August 27, 2020 — Staff Report Award Contract for Traffic Signal Interconnect Fiber Optic Repair Services Page 2 of 2 • Clarity and conformance of proposal to the RFP • Content of the proposal, including the work plan • Proposer's experience and performance • Team members' experience and performance • Comments by references • Fee proposal The City has administratively contracted with Crosstown Electrical & Data, Inc. in recent years for fiber optic repairs, and has had favorable experiences with the firm's timeliness and workmanship. The making of final payment shall not constitute a waiver of any claims by the City for any reason whatsoever. 3.3.3 Deductions. City may deduct or withhold, as applicable, from each progress payment an amount necessary to protect City from loss because of: (1) stop payment notices as allowed by state law; (2) unsatisfactory prosecution of the Services by Contractor; (3) sums representing expenses, losses, or damages as determined by the City, incurred by the City for which Contractor is liable under the Agreement; and (4) any other sums which the City is entitled to recover from Contractor under the terms of the Agreement or pursuant to state law, including Section 1727 of the California Labor Code. The failure by the City to deduct any of these sums from a progress payment shall not constitute a waiver of the City's right to such sums. 3.3.4 Reimbursement for Expenses. At any time during the term of this Agreement, City may request that Contractor perform Extra Work. WHEREAS, the work to be performed by the Contractor is more particularly set forth in the Contract Documents for the Project dated May 15, 2020, (hereinafter referred to as “Contract Documents”), the terms and conditions of which are expressly incorporated herein by reference; and WHEREAS, the Contractor is required by said Contract Documents to perform the terms thereof and to furnish a bond for the faithful performance of said Contract Documents. NOW, THEREFORE, we, _______________, the undersigned Contractor and _____________________________________________ as Surety, a corporation organized and duly authorized to transact business under the laws of the State of California, are held and firmly bound unto the City in the sum of One Hundred Twenty Five Thousand and 00/100 DOLLARS, ($125,000), said sum being not less than one hundred percent (100%) of the total amount of the Contract, for which amount well and truly to be made, we bind ourselves, our heirs, executors and administrators, successors and assigns, jointly and severally, firmly by these presents. Whenever Contractor shall be, and is declared by the City to be, in default under the Contract Documents, the Surety shall remedy the default pursuant to the Contract Documents, or shall promptly, at the City’s option: (1) Take over and complete the Project in accordance with all terms and conditions in the Contract Documents; or Contract No. ____________ (BB&K 2019) 72500.00001\32374943.1 Exhibit B-2 (2) Obtain a bid or bids for completing the Project in accordance with all terms and conditions in the Contract Documents and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a Contract between such bidder, the Surety and the City, and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages for which Surety may be liable. The term “balance of the contract price” as used in this paragraph shall mean the total amount payable to Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents.
