REQUEST: Award Contract No. C37040B in the amount of $853,960 to Southstar
Engineering & Consulting, Inc. of Riverside, California, for
Construction Management Services for the President's Plaza East
and West Parking Lot Improvements (Project No. 758-14).
Recommendation
By Minute Motion:
1. Award Contract No. C37040B in the amount of $853,960 to Southstar
Engineering & Consulting, Inc. of Riverside, California, for construction
management services for the President's Plaza Parking Improvements
project.
2. Authorize the Mayor to execute the Agreement.
Funds for this contract are available in Account No. 4514692-4400100, Capital Bond Funds.
Based on the current Droiect estimate (see Fiscal Analvsis) an appropriation will be reauired
at the time of contract award for construction.
Strategic Plan
The improvements to the El Paseo Corridor fulfill priorities identified in the City's Strategic
Plan, including the following:
Economic Development Prioritv No. 1: Expand job and business creation opportunities.
Action Step: Revitalize Highway 111. Look at creating a possibility of creating a
"City Center" atmosphere.
To encourage growth and revitalization of the Highway 111 corridor, the City assists in
providing large blocks of attractive and efficient public parking within the corridor.
Backaround Analvsis
The last major rehabilitation project for the President's Plaza East and West parking lots was
undertaken in 1997, and the parking lots are currently in need of repairs to the asphalt
concrete pavement, planter areas, and pedestrian walkways. These improvements require
the existing utilities to be upgraded as well as modernization of the trash enclosures.

In. August 2016, the City Council gave direction to analyze the City's participation in
rehabilitating the parking lots and identify alternative designs that would incorporate pocket
parks and open space areas for the public. The conceptual plan that incorporated pocket
parks was approved by the City Council on November 16, 2017. Business owners identified
their concerns with the loss of 75 of the existing 828 parking stalls under the approved design,
which resulted in the development of several options intended to update the parking lots to
current design standards, enhance their visual appeal, and preserve as much parking as
possible. On June 26, 2019, the City Council selected a design option that incorporated
enhanced accessibility and landscaping, while minimizing the impacts to parking. This option
was endorsed by the business owners as well.
On March 12, 2020, the City Council authorized staff to issue a notice inviting requests for
proposals for the construction management services for President's Plaza. The current
schedule is to have request the authorization to bid the Project in January, 2021, with
construction to begin at the.end of season in 2021, consistent with Council direction provided
in April, 2020.
A Request for Proposals (RFP) for construction management services was appropriately
advertised, and on May 12, 2020, and nine (9) proposals were received:

The internal selection committee, comprised of representatives from the Community
Development and Public Works departments, reviewed the qualifications, experience, key
personnel, and proposed costs. The committee recommends awarding the contract for
Construction Management Services to Southstar Engineering & Consulting, Inc., in the
amount of $853,960.
The project is scheduled to begin construction at the end of the 2020/2021 season, in April,
2021. The current construction schedule anticipates the project to be 300 calendar days in
duration. Upon completion of the constructability and review of the project design components
and order of work, a revised schedule will be presented to Council as part of the request to
bid the project for construction.

Fiscal Analvsis
The Engineer's Estimate for the construction of the project is $7,780,000, which includes an
estimated $2,400,000 in utility costs for upgrades, modifications, and replacement of sewer,
water, and electrical utilities. The City has allocated $656,120 for design services and with
this action, $853,960 for construction management services. The total estimated project cost
is $9,290,080. Actual costs will be updated once bids are received and the construction
contract is brought to the City Council for award. There are $9.2 million in capital project bond
proceeds that could be used for this project, however that would require moving funds from
other City projects. The available budget for this project, after the payment of design services,
is approximately $8 million, and funding the construction phase will most likely require an
appropriation at the time of contract award. In addition, in the event the construction bids are
such that the overall project will exceed the available bond funding, other funding sources,
such as the "Committed General Fund Capital Improvement Project Reserves", will need to
be used to fund the unfunded portion of the project.

Southstar's #1 Client, the City of Palm Desert.
Depth of Experience l Southstar has worked with a variety of
municipalities in Southern California, including: the Cities of Palm
Desert, La Ouinta, Indio, Riverside, Corona, and Murrieta; and various
county angencies including: CVAG, RCTD, ROTC, and Caltrans District
8. Our strong working relationship with these clients, and superior
knowledge of how to deliver projects on time and within budget, has
promoted a comprehensive commitment to success. As Principal -In -
Charge, Mr. Gennecke will be the main contact for this proposal with
authorization to commit to the contractual terms and conditions of this
contract. Mr. Bennecke has worked on various transportation projects
in Riverside County for almost two decades in project management as
well as with Caltrans District 8 for County -led projects, which include:
I-1016ob Hope Interchange, SR601Valtey View Interchange, 1-15/Clinton Keith Interchange and I-101
Jefferson Interchange. Currently, he serves as the project manager far Palm Desert's San Pablo Avenue
Phase I & II Streetscape Projects and the City of La Quinta's Complete Streets Project. Additionally, our
Resident Engineer, Mr. Amr Abuelhassan, the team of inspectors, and subconsultants routinely work
together on a variety of projects including our current projects for the City of Palm Desert, San Pablo
Avenue Phase I & 11 Streetscape Projects, and the City of La Quinta's Complete Streets Project. Other
work for Mr. Abuelhassan in Coachella Valley includes the monumental 1-101Jefferson Interchange
Project in the City of Indio — where he currently resides, Both Southstar and seasoned subconsultants
create holistic work products in a seamless, collaborative and efficient manner.

The San Pablo Avenue Streetscape Project transformed San Pablo Av-
enue into a key artery in a revitalized city center where walking, biking,

The City of La Quinta invested over $13.5
million from various funding sources
to construct five new roundabouts in
the La Quinta Village where pedestrian,
bicycle, golf cart, and automobile traffic

In spring of 2015, the Coachelta Valley
Corridor launched the construction
phase of this $50 Million project. Scope
of work consisted of the demolition of the
existing Jefferson Street overcrossing
and the northbound India Boulevard
overcrossing. The existing bridges were
replaced with a newsix-la ne overcrossi ng
with bicycle lanes on each side and
a sidewalk on the northbound side of
Jefferson Street. Southstar provided the

Principal -in -Charge / Project Manager: Jason Bennecke, PE, MBA, PMP
Mr. Ben necke has 28 years of extensive civil engineering and management experience
while working on large transportation projects in different capacities. His successful
experience as a project manager is a result of working as project manager for Caltrans
District 8 from 2008-2014; where he was responsible for successfully detivering and
maintaining a project portfolio worth over $500 million. He is currently guiding both
the City of Palm Desert's San Pablo Avenue Phase I & II Streetscape Project and La
Quinta Complete Streets Improvements Project. He lives near Beaumont and will be responsible for the
overall scope, cost, and schedule for this project. He will be the main point of contact with the City of
Palm Desert and in charge of staffing the project with the most highly qualified personnel available. He
will ensure that a high quality project is delivered on time and within budget.
Construction Manager/ Resident Engineer /Traffic Management: AmrAbuelhassan,
PE, MS, QSD
Amr Abuelhassan, PE, MS, QSD, brings over 30 years of experience in project
management, construction management, and civil engineering. His relevant
construction management and contract administration experience and knowledge
provides a solid foundation for the delivery of projects from inception to completion of
construction. As a local resident to the City of Indio, he has become intimately familiar
working with local agencies, bringing this experience to the City of Palm Desert. Mr. Abuelhassan, PE,
MS, QSD will serve as the full- time Resident Engineer for. He will be supported by highly qualified
inspectors, Mr. Ezzat Kabbara who will serve as the Assistant Resident Engineer / Utilities Coordinator
/ Office Engineer, and Mr. Alfredo Del Toro who wit[ serve as the lead field inspector.

PROPOSED METHOD TO ACCOMPLISH THE WORK
APPROACH AND WORK PLAN
The following information presents our understanding of the approach to provide construction
management services for the President's Plaza East and West Parking Lot Improvements in the City
of Palm Desert, California. The Southstar Team, lead by Mr, Abuelhassan, will be responsible for
providing construction management and inspection services for this project which is divided into two
phases. Phase 1 includes a constructability review and a value engineering analysis. During Phase
1, the construction manager, Mr. Abuethassan will lead the team members and will provide the
constructabitity review and value engineering analysis. These services will, at a minimum, include
participation in a detailed independent review of the latest version of available PS&E package with an in-
depth field review to determine constructabitity and include a detailed review of all available documents
and reports on the Project. This involves the review of existing geotechn1cat reports and maps, proposed
project schedule and number of contract days, site drainage adequacy, ADA compliance, permits and
environmental commitment requirements, constructabitity and bid -ability, bid schedule, Engineer's
estimate, and traffic control plans. This detailed review will also include possible consolidation of
construction stages to allow for early completion of the project. The Team will produce a written report
with supporting documentation as needed identifying, where feasible, modifications to the Project to
benefit construction duration, construction phasing, and cost while making sure the design leads to a
maintainable and functional constructed project.
The City of Palm Desert is the lead agency, and we understand Phase twill be negotiated upon completion
of the constructability review, value engineering analysis, and the satisfactory performance of the
report. Also, we understand that any recommended updates to the plans and specifications and funding
availability are subject to City Council authorization. In addition, we understand the construction of the
project is funded with City monies [totaling approximately $8 mittion), and the duration of the project is
estimated at 10 months. The project is fully funded with City Funds. Also, we will document the project
construction and progress payments in sufficient detail to comply with Caltrans Construction Manual,
the Construction Manual Supplement for Local agency Resident Engineers, the Local Assistance
Procedures Manual (LAPM) and the Local Agency Structure Representative Guidelines requirements
and as directed by the City Engineer.
The following professional and technical. services will be provided to the City:

Safety I Nothing is more important than the safety of the construction team and the public. The team
will conform to the safety provisions of QSHA's Construction and Safety Manual. A project specific safety
plan will be prepared as -needed prior to start of construction and every team member will be required
to read, sign and implement the Project Safety Plan. In addition, weekly tailgate safety meetings wilt be
held for the Project team and topics relevant to ongoing and upcoming construction activities will be
covered at those meetings.
Permits I The Southstar team will coordinate with City and other agencies to obtain and comply with
all required permits. Mr. Abuethassan will coordinate all required training for all personnel to comply
with the rules and regulations of the Air Quality Management District (AQMD].
Pre -Construction Conference I Southstar wilt coordinate a pre -construction conference with the
City, Contractor, Design Engineer, Utilities, Subcontractors, and other- project stakeholders to discuss
the work involved, regulatory issues, administrative matters, labor compliance, compliance with
federal requirements, safety, accident prevention and other important issues. Southstar will assist
in answering questions and addressing Issues that need to be resolved before construction begins.
Southstar will coordinate the submittal of a number of documents from the contractor at, and prior to,
the pre -construction conference. Examples of these submittal documents include, but are not limited
to: Implementation of Best Management Practices (BMPs) as it relates to the Storm Water Pollution
Prevention Plan ISWPPPI; Contractor's Code of Safe Practices; Equipment List; List of Materials to
be used; and List of Materiats to be inspected_ Southstar wit/ provide minutes of the pre -construction
conference. We Witt review the Contractor's project base -line schedule and verify that it meets the
requirements in the specifications and shall verify that all the required information is submitted prior
to requesting that City issue the Notice to Proceed to the Contractor.
Weekly & Monthly Project Meetings I During construction, Mr. Bennecke will facilitate weekly

progress meetings with the Contractor to address the status of the project and project issues. The
team will prepare and distribute agendas, minutes, and an issues log. The meeting will be attended by
representatives from the City, Contractor, utility owners, and other stakeholders as applicable. During
these meetings, the status of submittals, RFIs, CCOs and project issues will be reviewed and updated.
Additional focused meetings wilt also be scheduled and conducted by Mr. Abuelhassan on as needed
basis to resolve any constructab+lity and field operational issues.
Reporting I The Southstar team will provide the City with project status reports on a weekly and/or
monthly basis as requested by the City. The weekly reports will provide a summary of the activities
completed the previous week, ongoing activities for the current week and scheduled activities for the
following week. This report will also include any field conflicts and issues that may have arisen during
the week_ The monthly reports will describe the status of the project's budget, schedule, submittals,
change orders, claims in process and current and anticipated work progress and an extensive collection
of colored photographs of all work operations in progress during the month.
Cost Control System I Realizing and documenting construction issues early in the project as they arise
and resolving them is every team member's responsibility, particutarLy the inspectors in the field. Each
month, the team will prepare progress payments for all work completed by the Contractor for review
and processing by the City. The team will also review progress reports and inventory of materials -on -
hand. Effective change order administration is imperative for controlling cost and schedule on any
construction project. The goal is to provide timely direction to the Contractor while assuring that the
costs of changes are fair and reasonable to both the Contractor and the City. The Southstar team has
an excellent record of resolving construction issues at the lowest possible level and prior to completion
of the project. The team is skilled at examining issues and maintaining detailed project documentation
which mitigate potential claims by the Contractor,
Submittals I The Southstar team will review project submittals, such as the Storm Water Potlution
Prevention Ptan [SWPPPI, asphalt and concrete mix designs, shop drawings, material suppliers,
material sites, etc. The team will also approve or recommend approval of, subject to delegation of
authority from the City, other documents requiring review and approval and coordinate all submittals
related to the project's artwork with the artist retained by the City, A submittal log will be updated
weekly, listing the history of all submittals made by the Contractor.
Requests for Information I The Southstar team wilt respond to Contractor's Requests for Information
(RFI) or forward them to the design engineers as deemed necessary. A weekly tracking report listing
new, resolved and outstanding RFI's wilt be prepared by the team and shared with the City and will be
discussed at the weekly progress meeting with the Contractor. Follow up on all outstanding RFI's will
be conducted by Mr. Abuelhassan to resolve issues efficiently.
Change Orders I Change Orders can be requested by the Contractor after- the discovery of a field
conflict or can be initiated by the City for a change of scope. The team will determine the merit, scope,
estimated cost and schedule impacts to the project as a result of potential contract change orders
requested by the contractor, and provide recommendations to the City. The team will also negotiate
change orders as directed by the City in case there is addition or change in scope by the City.
Progress Payments I At the Direction of the City, the Southstar team will administer Contractor's
progress payments, based on measurements and quantities calculated in the field, subject to the City's
audit and delegation of approval. Team inspectors are required by Mr. Abuelhassan to prepare daily
quantity sheets for all payable items installed on any given day. These quantity sheets will provide

specifics on each pay item performed on that day with location and measured units in place.
Submittal Management and Review I The Southstar team wilt receive and tog all Contractor's
submittals project architect's/design consultant's review and approval. Depending on the subject of the
submittat, it will be documented and routed for review. For example, it will be routed to the designer
for structures items or to the materials testing tab on the team for the various mix designs. Responses
wilt be prepared for each submittal and documented in the submittal tog. The submittal log will be
reviewed at every weekly progress meeting ensuring the contractor has all the information needed to
continue progress.
Project Schedute I The Southstar team will review and approve the Contractor's CPM schedule, if
applicable. Southstar utilizes the latest versions of Primavera and Microsoft Project scheduling software
to review, monitor, and analyze the Contractor's schedule. Monthly schedule updates will be reviewed
against the project's baseline schedule and progress will be verified and any potential issues causing
delay to the project wilt be identified and mitigated.
Labor Compliance I The Southstar team will verify compliance with Federal and State labor laws by
reviewing contractor's certified payroll records, and performing worker interviews. Labor compliance is
an important part of the Construction Manager's effort to protect the wages, benefits and employment
rights of staff on the project.
Environmental Comptiancel Mr. Abuelhassan will study and implement the Protect Environmental
Commitments Record for the project. Ail pre -construction, during, and post construction requirements
will be closely adhered to and implemented. Mr. Abuelhassan wit[ coordinate all required surveys and
environmental monitoring with our subconsuttants DEA and ECCRP.
DOCUMENT CONTROL AND RECORD KEEPING
Project Filing System I Our Office Engineer- will ensure all hard copy files are scanned as PDF files
and stored digitally on a server with a filing structure that duplicates the hard copies. Our team is
intimately familiar with the most recent version of the Caltrans Construction Manual and with Caltrans
Standard Plans and Specifications. We will ensure to comply with Section 16.8 (Chapter 161 of the
Cattrans LAPM, and any applicable filing system applicable for new building construction or building
improvement projects. Our Office Engineer will conduct document control in accordance with the
Cattrans 63-file category methodology. This system is based on the successfut improvements recently
implemented on various projects. We wit[ also implement an independent audit of the project filing
systems using an RE's project files audit checklist. We maintain this checklist based on the feedback
and our extensive experience participating in audits of our document control system. We will implement
the project administration system outlined in the Project Management Plan [PMP), which will conform
to the Caltrans Construction Manual and contain a system for organizing files to assist in tracking
correspondence, submittals, RFts, CCOs, progress payments, labor compliance, and documenting
materials testing results. This will be a user-friendly, integrated project controls system and available
to the entire project team.
Document Control I Southstar fotlows a Cattrans compliant standardized filing and document control
system. The team wit[ document commun+cations with the Contractor in correspondence and daily
diaries. The team will receive all correspondence, prepare and transmit responses, and coordinate with
applicable parties as required. All project filing will be in compliance with the Caltran5 Local Assistance
Procedures Manual, Caltrans Construction Manual and with any Authority filing system requirements.

and revisions which are relevant to the contract work. We will maintain our "Project Documentation and
Record Books" in accordance with the Caltrans "Project Development Uniform File System."
Claims I Southstar team members have successfully managed hundreds of projects with zero
contractor claims. The team will ensure that excellent communication and collaborative relationships
are established at the beginning ❑f the project and will continue during the life of the project among all
project stakeholders. The team will focus on sotving and documenting issues t❑ avoid the need for the
contractor t❑ file claims. In the event that claims become unavoidable, the team has the ability t❑ tap
into expert resources to eliminate ❑r minimize impacts to the project's cost and schedule
Photographic History of All Phases I Our Inspectors are trained t❑ consistently record and document
construction progress specifically maintaining daily pictures to refer to them for the daily diaries.
Maintaining a daily diary of photos per each construction phase will be a manageable service for our
inspectors since they are familiar with this habit. They are consistently snapping photos of existing
conditions prior t❑ construction, during an ❑pening or change of a detour, barricade placements, any
disputed work items, duplicate work, completed work, and any extra work. We will ensure to label each
photograph with the Location, direction of view, date, time, and items ❑f interest. Then, the Southstar
team will create an easily accessible album.
The Southstar team is comprised of seasoned construction
inspectors with many years of individual experience on projects
such as this one. In the field, ❑ur team will make all reasonable
efforts to guard the City against defects and deficiencies m the
Contractor's work. Our lead inspector, Mr. Alfredo Del Toro, will
ensure that all efforts comply with Caltrans Standard Specifications and Standard Plans and the
Standard Specifications for Public Works Construction (Greenbook). In addition, he is highly skilled
at reading and interpretting construction plans and specifications, and is extremely knowledgeable of
State of California Construction Safety Orders (CalOSHA) and traffic control practices as specified in
the Work Area Traffic Control Handbook [WATCH). The field inspector's daily diaries will contain Full
documentation and photographs of the work performed. Consistent and accurate written and photo
documentation of atl field activities is of paramount importance in protecting the City against contractor
claims and contract change orders. Our team is intimately familiar with the necessary environmental
regulations in the area, but with the help of our subconsultant, ECORP, the Southstar team will be able to
ensure all environmentaL controts are in place and that the Contracter is complying with environmental
requirements..
Field Inspection I Field Inspectorsare the first line of defense on any construction project. It is important
to have highly qualified and experienced field inspectors to ensure the contractor's compliance with
the project plans and specifications, environmental regulations, and other City, State, and Federal
regulations. It is extremely significant to have skilled inspectors that are able to provide a quality
product to the City, and the motoring public. That is, taking photos of daily work progress and property
[abeLing them is an essential far inspectors. Throughout the project our propo$ed inspector will submit

these photos to the City Project Manager. Our lead inspector, Mr. Del Toro, will ats❑ carefully complete
inspection forms as needed by the City. In addition, he will prepare and submit a monthly status report
which wilt include construction activity, accomplishments, project budget and schedule status, issues,
and recommendations to resolving these issues. It is also critical for proper documentation of all field
activities to maintain accurate measurement and payment records on all Contract Items. At Southstar,
we take pride in our team's ability to community, because we believe the key to a successful project is
constant communication. Our Inspectors are trained to effectively communicate with the Contractor,
City, Designer, and ❑ther stakeholders, which makes attending progress meetings a lot more effective
for all parties involved. Mr. Del Toro's involvement in projects such as this one also includes coordinating
with the labor compliance officer to ensure payroll information and that all tabor regulations are met.
SWPPP I If needed, Mr. Abuelhassan will verify water
pollution control regulations, erosion and sedimentation
processes, 8MP installation and maintenance, dewatering
operations, sampling and analysis, contract administration for
water pollution control, and reviewing storm water pollution
prevention plans. Mr. Del Moro and team members wilt provide
recommendations for improvements to the BMP installation
as necessary.
Air [duality Management District IAOMD) I Our team
is intimately familiar with AQMD standards and our lead
inspector will ensure the Contractor is complying with all
AQMD regulations.
Verifying Contractor's Work I Our team's top priority is
to deliver a high quality project within budget and schedule
which is why verifying the Contractor's work on a daily basis
is very significant to our process. Consistently verifying the quality of work will ensure all defects and
deficiencies are managed before they impact the schedule or budget, Mr, Del Toro will not hesitate
to take the extra step in any process to ensure the highest quality. When needed, Mr. Del Toro will
coordinate with our subconsultant, Ceocon, t❑ perform a special inspection of the work and make any
recommendations based ❑n this report.
Daily Diaries I The field inspector's daily diaries will contain futt documentation and photographs of
the work performed. Consistent and accurate written and photo documentation of all field activities is
of paramount importance in protecting the City against contractor claims and costly contract change
orders. Per the City's request, the inspector's reportswill be submitted to the City including information
on the Contractor and the project. The inspector's daily diaries will also include percentages of
completion, the number , and status of change orders. In addition, the daily diaries will include site
and weather conditions traffic control measures taken by contractors; labor, equipment and materials
used; quantity of work performed; number of workers, work accomplished, problems encountered,
major incidents/safety violations, and other data that may be requested by the City.
Electrical Inspection I Coordination with the third party utility company such as Imperial Irrigation
District IIID) and Southern California Edison (SCE) to obtain power source in a timely manner is a major
challenge. It is recommended to have a coordination meeting in the early stage of project development
to obtain a mutually agreeable timeline for power source location and schedule for both the electrical

elements and power for irrigation systems. All of our team members are familiar with utility relocation
process and are very experience in utility coordination; we recommend including completed electrical
elements in the stage construction plans to avoid any confusion, ambiguity and delay.
MATERIALS TESTING
Based on our review of the RFP and project plans and specifications, we understand that the project
Phase 2 includes construction Of substantial improvements to the Presidents Plaza parking lots located
behind and serving businesses along the south side of Highway 111 between San Luis Rey Avenue and
Portola Avenue. Proposed Phase 2 work includes the field inspections and materials testing during
construction of approximately 261,000 SF of paved parking areas, 10,000 SF of brick pavement, 20,000
SF of concrete sidewalk, 21,000 LF waterline trench, and miscellaneous earthwork activities. Based
on our extensive experience in this area and with similar projects, issues that are likely to require
Leighton's services during construction are as follows:
Preconstruction Meeting and Review of Submittals I Leighton demonstrates a proactive approach to
construction projects by attending construction meetings and reviewing bid documents and submittals
as necessary to provide clarification or solutions. We routinely work with the project CM manager/
inspectors regarding work progress, and resolve any pending issues to keep the project on time and
alleviate unnecessary activities or casts.
Geotechnicat Observations and Compaction Testing Leighton will coordinate with the CM Inspectors
to provide geotechnical observation and compaction testing during all earthwork and pavement
construction. Our field observation is a crucial part of the overall QA testing to ensure that proper
construction procedures are being implemented to achieve the required compaction. Our technicians
will play an important role in identifying any potential deficiencies in the contractor's compaction
methods and QC testing procedures. Our staff will ensure that the testing procedures comply with
applicable California Test Methods and per project plans and specifications and City requirements. Our
QA field density testing will be performed in accordance with ASTM D-6938 (nuclear gage method) and
follow frequencies set forth in the construction documents and project/City Quality Control Flan IQCP),
if any.
Materials Testing I Leighton will perform QA materials testing in accordance with the contract
documents and as requested by the CM. This testing is expected to include, but may not be limited to,
the following,
• Asphalt Testing: Verify HMA Mix Design and perform QA testing that will typically include extraction,
gradation, bitumen content, Hveem or Stabilometer. Laboratory testing will also be performed on
collected import or batch plant samples to verify conformance with the project specifications.
■ Aggregate Base: Tests will comply with applicable City standards, "Greenbook- and the Special
Provisions for this project and may include Gradation, Durability Index, R-Value, and Sand
Equivalent. Laboratory testing will also be performed on collected source and onsite samples to
verify conformance with the project specifications.
Reporting 1 Documentation I During the course of the project, Leighton will maintain and provide to
the City, when required, records of sampling and testing for the project that may include the following:

Pre -Construction Activities I Prior to the start
of any construction project, it is most important
to verify that the survey control to be used is
verified for quality, accuracy and precision. This
involves both horizontal and vertical control.
DEA surveyors will verify the survey control
for this project by occupying all primary and
supplemental survey control set during the
design phase.
Pre -Condition Survey I Documenting existing
conditions prior to construction is an essential
tool in minimizing costs for design changes,
potential construction claims and final
closeouts. This data can be captured from the existing road alignment, tied to the project corridor control
and then utilized in determining pre -construction existing earthwork, potential impacts, conflicts and
changes in design. This data can be mapped, reviewed and provided to Palm Desert and the CM team as
a continuous source of design level accuracy for construction validation and claim support throughout

Construction Surveying 1 Our survey project manager, Mr. Robert D. Vasquez. PLS, will be assigned to
this project to oversee all survey work performed. Also, a project surveyor will be assigned to perform
computations of survey requests, assist with survey matters, instruct, and oversee the QA/QC survey
support services, as needed and requested by the resident engineer. In addition, DEA will provide a two -
person survey crew to perform QAIQC survey support services, as needed and requested by the resident
engineer. DEA will ensure all efforts are made to maintain the same team throughout the duration of
the project. At the onset of construction and at the request of the CMT, the QA/QC survey support team
may verify the primary control, right of way maps, legal descriptions, design files and improvement
plans as they pertain to the project. Client -provided primary and project controls may be field -verified,

POST CONSTRUCTION SUPPORT
Southstar will perform at[ construction management and administration necessary for closing out the
project to ensure contract compliance as outtined in the Caltrans Local Assistance Procedures Manual.
We understand that the City desires the closeout period to be concluded within a reasonable duration
from completion of construction activities. The following is a brief description of some of the major
aspects of this work:
Item Close -Out I All open contract items will be closed out and balanced. Item overruns and underruns
will be resolved with the Contractor. Contract Change Orders to adjust item prices will be created if
necessary.
Claims Report I Mr. Abuelhassan will prepare a Claims Report for each claim that is outstanding
and unresolved at the end of the construction project. Claim Reports shall be in accordance with the
Caltrans Construction Manual.
Proposed Final Estimate I Mr. Abuelhassan will prepare the Proposed Final Estimate and obtain
Contractor's concurrence. This document shall be provided after resolution of any open claims.
Project Report I Mr. Abuelhassan will create a Project Report that identifies the construction of the
project, the final cost of construction including construction management and administration, a list of
all Contract Change Orders, a list of Construction Claims and the result of each after resolution, and
photo and video documentation of construction.
As -Built Drawings I The Southstar team will maintain a red -lined set of "As -Built" plans in the
construction field office documenting as -built conditions. At the end of construction, the As -Built
drawings will be reviewed to confirm all changes to the plans are accurately documented. Following
the review, they will be transmitted to the designer to be updated into the electronic plan set with Mr.
Abu elhassan's signature and transmitted to the retevant agencies for archiving.
Project Files I Project files will be transmitted to the City, along with a final project report. Project files
will be neatly arranged, labeled and boxed for storage.
Project Close -Out I The Southstar team will deliver a final completed project to the City which is
in compliance with the plans, specifications, and estimate (P5&E) package, and all applicable codes,
permits and standards. The team will perform final inspections and issue punch-tists of incomplete
work, monitor punch -list completion, coordinate final project walk-through and acceptance with the
City and other stake holders, coordinate final release of all project permits, close out the project's files
and turn them over to the City with the project's as -built plans.
PROJECT CONTROL METHODS IDENTIFIED
Quality Control i Southstar ensures that only quality work will be performed by the team. The team
is fully trained and prepared for the assigned work. Standards of quality are thoroughly discussed,
including the expectations of the City and the requirements of the project's Plans, Specifications
and Construction Manual. Proper and careful inspection prevents work from being re -done thereby
minimizing risk to both schedule and budget. Southstar independently performs quality assurance (OA)
reviews of the Project documents and all its files to ensure that the team is accurately documenting
the work and have all of the quality processes in place including test results, daily reports and back-up
for estimates and monthly progress payments to the Contractor. Our DA Manager will perform regular
process reviews and document control audits of the project to ensure compliance and will maintain
evidence the Quality Control Plan is functioning should the City request verification.

Budget Control I Realizing and documenting construction issues early in the project as they arise
and resolving them is every team member's responsibility, particularly the inspectors in the field. Each
month, the team will prepare progress payments for all work completed by the Contractor for review
and processing by the City. The team will also review progress reports and inventory of materials -on -
hand. Effective change order administration is imperative for controlling cost and schedule on any
construction project. The goal is to provide timely direction to the Contractor while assuring that the
costs of changes are fair and reasonable to both the Contractor and the City. The team is skilled at
examining issues and maintaining detailed project documentation which mitigate potential claims.
Schedule Control I Schedule control starts with the Contractor's submittal of a baseline construction
schedule, approval of the schedule and the subsequent schedule updates. Once these activities are
approved, they will be checked against actual activities In the field and any discrepancies will be noted.
The Contractor will be required to submit a narrative for all changes in the monthly schedule updates
and the Southstar field team will carefully scrutinize them_ The team will also require the contractor
to provide a 2-4-week took -ahead schedule that will allow for weekly planning of inspections, material
testing and for planning off -site inspections, if needed. These issues wit[ be discussed in the weekly
meetings with the Contractor. it is critical to conduct early coordination meetings with utility owners
to ensure timely relocations of utilities before and after the start of construction. Southstar will also
review the contract documents and identify long lead materials to ensure that their procurement and
delivery are performed diligently.
PROJECT ISSUES AND RECOMMENDATIONS
Southstar understands that in order to deliver a successful project, we need to take ownership of the
project and assure that all stakeholders concerns are listened to and addressed and foster a relationship
with all parties to deliver a successful project. As part of our services during Phase 1 [Constructability
and Value Engineeringl, we will prepare a listing of all issues and opportunities for design enhancements
that will be beneficial for the construction phasing, and cost while ensuring the final product will be
maintainable and functional for the residents and visitors of the City of Palm Desert.
SCHEDULE
The Southstar team reviewed the available plans for the Project. We applied our many years of
experience on similar projects and assumed a staging plan and certain logical progression of activities
while applying realistic durations to these activities. Based on the provided design plans and estimated
quantities of materials, the Southstar team concluded that the President's Plaza East and West Parking
Lot Improvements can be completed successfully in under 8 months. Almost 80 calendar days shorter
than the original estimated 300 calendar days.

San Pablo Avenue 5treetscape Phase 1 Project, Palm Desert, CA: Ms Barrientos
is serving as the lead Community Outreach Representative for the project that wilt
transformed San Pablo Avenue into a key artery in a revitalized city center where
walking, biking, and fun is the focus in the City of Palm Desert. Her responsibilities
included a community outreach plan, dedicated website, dedicated hotline, project
branding, construction notices, business outreach, TEXT to Sign -Up, construction
maps, collateral material, monthly aerial photos, bitabtes videos and canvassing.
Coordinating Project Partners include: City Project Manager, Contractor, Resident
Engineer, CVWD, Business Owners and field staff. She attendsweekly construction
meetings, reviews schedule and develops tailored outreach services for each
construction activities.
La Quinta Complete Streets Multi -Stage Project, La Quinta, CA: Ms Barrientos
is serving as the lead Community Outreach Representative for the project that
Is constructing five new roundabouts where pedestrian, bicycle, golf cart, and
automobile traffic exists. Her responsibilities included a community outreach plan,
dedicated website, dedicated hotline, TEXT to Sign -Up, construction maps, project
branding, construction notices, business outreach, collateral material, monthly
aerial photos, bitables videos and canvassing. Coordinating Project Partners
include: City Project Manager, City PIO, Contractor, Resident Engineer, Old Town

City of Santa Fe Springs - On -Call Public Outreach, Santa Fe Springs, CA: Ms.
Barrientos is currently serving as the lead community outreach coordinator. Ms.
Barrientos has been providing public outreach services for various improvements
projects throughout the City. Her r-esponsibititles include as -needed tailored public
awareness plans for improvement projects including, construction alerts, oral
translation, writing translation, neighborhood meetings, meeting invites, attending
construction meeting, TMP planning meetings and door- to door communication.
She also assists in the review implementation of the Transportation Management
Plans �TMPsl for the projects. She provides extensive coordination with multiple
Resident Engineers (RE), Local Agencies (31, local Emergency Services, Joint
Power Authority (JPAI, School District Transportation, Transit Susses, Metro,
Utility Agencies and local businesses.

Mr_ Del Toro is a highly experienced held inspector with over seventeen years of
experience in the civil engineering field. Mr. Del Taro is an expert in the construction
management area providing inspection services that vary from roadway,
landscaping, and elect ricat, but he specializes in roadway. He is intimately familiar
with providing services such as BMP Compliance, administering the contract;

is currently working on the La Quinta Village Comptete Streets Project as the

The services provided include an extensive constructabihty review. The project
widened the north and west legs of the intersection and provide a second, dedicated,
right -turn lane to the southbound approach of San Fernando Boulevard at Burbank
Boulevard for a total of two, right -turn Lanes, one through lane, and one left -turn
lane in the southbound direction of the intersection. The west leg was widened
to provide three through lanes on Burbank Boulevard. An expanded area for an
existing Metro/Burbank Bus stop on the north side of Burbank Boulevard was also
constructed. Design also accommodates for future Class IIIIII bike lanes along the
Boulevards. Traffic signal, safety lighting, landscaping, and other improvements
will be implemented. Services include Construction Inspection, BMP Compliance,
administering the contract; monitoring the schedule; verifying quantities and
assuring QC; maintaining traffic control and site safety; Coordinating with City of
Burbank Utilities; coordinating with Caltrans due to close proximately to the 5
Freeway off ramps, punch lists; and documenting the work via daily reports and
digital photograph. The project also included streetlight, traffic light, irrigation,
asphalt IARHM Overlayj, PCC Asphalt, sidewalk, curb &gutter, underground
utilities, streets, water, sewer and landscaping.
Runway Extension and Air Cargo Expansion, Birmingham International Airport,
Birmingham,AL: As the construction inspector, Mr. Del Toro contributed to planning
and design of Birmingham International Airport air cargo expansion and runway
9/24 extension. During the construction phase, he was responsible for providing
inspection support services. These improvements included grading, construction
of full -depth asphalt concrete, instaltation of runway lighting, and relocation of
existing utilities. Mr. Del Toro was responsible for coordinating with the Contractor.

2019,.the Coachella Valley experienced heavy rains in which the law water crossing Expert on roadway, highway and

existing 48" CMP and quickly flowed over the Avenue 44 roadway. The damage

south of the painted street centerline. Likewise, the grouted rip -rap that was

completely washed away. With the roadway gone, it exposed the three CMPs to
the heavy volume of water which were ultimately undermined and were washed

beginning from his master's in civil engineering to his now six years of field work
as office engineer and inspector. He has worked on various projects as both
office engineer and field inspector including the Fairway Drive Grade Separation
and most recently the Pearblossom Highway Reconstruction Project. Mr. Liu has
earned plenty of knowledge as an office engineer at a rapid pace working closely
with our Southstar experts. He now holds a strong knowledge and is intimately
familiar with Caltrans Standard Specifications and Standard Plans and the
Standard Specifications for Public Works Construction (Greenboakl; State of
California Construction Safety Orders 1CalOSHA1 and traffic control practices as
specified in the Work Area Traffic Control Handbook WATCH 1; and the construction
requirements of the Regional Water Quality Control Board Storm Water Pollution
Prevention Program. By working closely with Southstar experts, Mr. Liu has
gracefully absorbed the necessary knowledge to accurately read plans and
specifications and confidently interpret them. Representative projects include:

Caltrans Red book and Los Angeles County Department of Public Works Greenbook
requirements; utilizing Procore to review submittals, Requests for Information,

support to Project Managers for developing and maintaining project cost, change
controls and project budget; performing change order estimating and assisting
Project Managers in change order negotiations; preparing weekly construction

constructing a partial (three-leggedl interchange, a WB on -ramp, and EB on -and
off -ramps from Lemon Avenue. It permanently removed the existing EB off - and
on -ramps at Brea Canyon Road. An auxiliary lane from the proposed EB on -ramp to
the connector to SB SR-57 was also constructed. As office engineer and inspector,
Mr. Liu's duties included: coordinating with representatives from Caltrans on
quality assurance inspection and field walk -through; assisting the Project Manager
on the source material inspection report for Caltrans review; performing the daily

1-15 Cajalco Road Interchange Improvement Project, Carona, CA: This project
improvement includes the widening of Cajalco Road from a two-lane bridge to a
six-tane over -crossing bridge on a new alignment north of the existing bridge. In
addition, the bridge wilt include a striped median, outside shoulders and a sidewalk
on the southern side. The improvements increased the capacity of the bridge and
ramps in order to reduce congestion and accommodate projected growth in the
area. Mr. Kannor is responsible for Construction Contract Administration, Safety
Review, Quality Assurance Inspection, SWPPP Review and Inspection, Utility
Relocation Coordination, Prevailing Wage Monitoring, Project Schedule Review and

1-10 Jefferson Street Interchange Improvement Project, Colton, CA: This project
is to replace the existing Jefferson Street Bridge and northbound Indio Boulevard
over -crossing with a single bridge designed for traffic entering and exiting the
freeway frorn both directions. The new eight -lane bridge includes two turning
pockets in the middle, shoulders wide enough to accommodate bicycles and
sidewalk on the northbound side of Jefferson Street. The bridge also incorporated
desert oasis aesthetic features and landscaping, providing a signature entrance to
Indio. Mr. Kannor was responsible for Quality Assurance Inspection on Electrical
related items including Traffic Signal, Bridge and highway Lighting, Ramp Metering

Interchange provides freeway access to and from both commercial and residential
communities in the area. It is also one of the main access points to Arrowhead

control. He is practiced in geotechnicat site investigations, shallow and deep
foundation design, buttress and structural landslide mitigation, seismic hazard
evaluations and mitigation design, grading control, ground improvement, pipelines,

Washington Street and Eisenhower Drive that was primarily attributed to area
subsidence. Various pavement rehabilitation options were provided including
overlay and new pavement sections in accardancewith Caltransand City Standards.
Palm Desert High School. Desert Sands Unified School District, Palm desert, CA:
Project Manager/ Geotechnical Engineer during construction of a new campus,
which consisted of demolition of 20 to 25 buildings and construction of 9 new
buildings. The site is located between Phyllis Jackson Lane and Cook Street
along the south side of Whitewater Channel. Mr. Saiid provided geotechnical
consulting services during mufti -phased grading processes, implemented flexible
geotechnicat solutions to address grading along project boundaries where existing
structures had to remain in place, and provided mitigation recommendations to
stabilize bottom of excavations when low density silts were encountered.
Monterey Avenue Street Widening Project ICP 18-2541, Rancho Mirage, CA:
Geotechnical Engineer responsible for review and approval of contractor's
submittals for Cold -In -Place (CIP) recycling and widening of existing pavement.
CA testing of sub -grade soils, aggregate base and CIP asphalt mix.
Rattler Road Extension, Rancho Mirage, CA: Provided geotechnicat support for
construction of new road associated with off -site Improvements for Rancho Mirage
High School. The project consisted of extending Ave 30 east from Davatl Drive,
then continuing south with Rattler Road toward Ramon Road. The subgrade was
evaluated during construction and CAtesting was also performed during installation
of deep sewer line (8-12 feet bgs], water, storm drain, curbs, and sidewalks the
Jurupa Avenue Extension; therefore, rip -rap reinforcements at the culvert inlet
and outlet were required, including a large wing -wall structure and engineered
outfatl zone of experience in project management, design, and construction of
public works projects.

involved roadway improvements, retaining walls, ADA compliant sidewalks and

MontereyAvenue Improvements, Rancho Mirage, California: DEA provided design
and construction surveying services on this street rehabilitation improvements
project for two miles of six -lane arterial roadway that included curb and gutter,
sidewalk, parkway, and medians. The project ran from Country Club Drive to Gerald
Ford Drive and it involved the modification of three intersections and traffic signals.
Survey work tasks included aerial photography, design surveys, construction
surveys, mapping and utility coordination. This project was identified as a Measure
A, CVAG regional transportation project,

California based. Ms. Bornyasz typically manages chatlenging multidisciplinary,
multi - task projects with permitting, hahitat restoration, and/or mitigation planning
as primary a secondary components. She has worked closely with regulators from
local, state, and federal levels to ensure that projects comply with environmental
laws, are processed expeditiously, and completed in a manner consistent with the
environmental commitments made. Ms. Bornyasz is a qualified delineator and has
more than 16 years of experience conducting jurisdictional delineations in the avid
west. She has also prepared application packages and successfully negotiated for
permits under Section 404 and Section 401 of the Clean Water Act, and California

Biological and Regulatory Support for Construction Management of 1-10/

Environmental and Compliance Monitoring for French Valley Interchange, Phase
1, Riverside County - City of Temecula as a subcontractor to Flatiron West
Corporation: Project Manager responsible for compliance oversight and scheduling
of biological monitors. Biological work required maintaining compliance with all
regulatory permits and environmental commitments pertaining to Phase i of the
French Valley Parkway/Interstate 15 over -crossing and interchange improvement
project. Phase I activities included adding a new southbound off -ramp from
Interstate-15 to French Valley Parkway, constructing the northern half of French
Valley Parkway from the off -ramp to Jefferson Avenue, widening of the existing
southbound off -ramp from Interstate-15 to Winchester, and constructing a new

off -ramp. The project was within areas known to be occupied by sensitive species
including least Bell's vireo, south-western willow flycatcher, Stephen's kangaroo

Indian Canyon Drive/interstate 10 Interchange Project, Environmental
Compliance Monitoring, Riverside County: Supervisor to biological resource
surveyors and monitor$forthe project. ECORPprovided USFWS-approved Biologists
and monitors to perform biological and environmental compliance monitoring on
Riverside County Transportation Department's Indian Canyon Drive/Interstate 10
interchange project in Palm Springs, California.
Regulatory Permitting and Monitoring for the Jurupa Avenue Extension (Phase 11)
Project, Riverside County- City of Riverside Public Works: Regulatory Permitting
Specialist and Senior Biologist responsible for regulatory compliance oversight,
Determination of Biologically Equivalent or Superior Preservation (DBESP) and

PROFESSIONAL SERVICES AGREEMENT

1. PARTIES AND DATE.
This Agreement is made and entered into this 15' day of October, 2020, by and
between the City of Palm Desert, a municipal corporation organized under the laws of the State
of California with its principal place of business at 73-510 Fred Waring Drive, Palm Desert,
California 92260-2578, County of Riverside, State of California ("City") and Southstar
Engineering & Consulting, Inc., a Corporation, with its principal place of business at 1945
Chicago Avenue, Unit C-2, Riverside, California 92507 ("Consultant"). City and Consultant
are sometimes individually referred to herein as "Party" and collectively as "Parties."
2. RECITALS.
2.1 Project.
The City is a public agency of the State of California and is in need of professional
construction management, surveying and materials inspection services for the Presidents Plaza
East and West Parking Lot Improvements project (hereinafter referred to as "the Project").
2.2 Consultant.
Consultant desires to perform and assume responsibility for the provision of certain
professional services required by the City on the terms and conditions set forth in this
Agreement. Consultant is duly licensed and has the necessary qualifications to provide such
services.
3. TERMS.
3.1 Scope of Services and Term.
3.1.1 General Scope of Services. Consultant promises and agrees to
furnish to the City all labor, materials, tools, equipment, services, and incidental and customary
work necessary to fully and adequately supply the services necessary for the Project
("Services"). The Services are more particularly described in Exhibit "A" attached hereto and
incorporated herein by reference. All Services shall be subject to, and performed in accordance
with, this Agreement, the exhibits attached hereto and incorporated herein by reference, and all
applicable local, state and federal laws, rules and regulations.
3.1.2 Term. The term of this Agreement shall be from October 15, 2020
to June 30, 2022, unless earlier terminated as provided herein. Consultant shall complete the
Services within the term of this Agreement, and shall meet any other established schedules and
deadlines.
3.2 Responsibilities of Consultant.
3.2.1 Independent Contractor: Control and Pavment of Subordinates. The
Services shall be performed by Consultant or under its supervision. Consultant will determine
the means, methods and details of performing the Services subject to the requirements of this
Agreement. City retains Consultant on an independent contractor basis and not as an
employee. Any personnel performing the Services shall not be employees of City and shall at
all times be under Consultant's exclusive direction and control. Consultant shall pay all wages,
salaries, and other amounts due such personnel in connection with their performance of

Services under this Agreement and as required by law. Consultant shall be responsible for all
reports and obligations respecting such additional personnel, including, but not limited to: social
security taxes, income tax withholding, unemployment insurance, disability insurance, and
workers' compensation insurance.
3.2.2 Schedule of Services. Consultant shall perform the Services in a prompt
and timely manner in accordance with the Schedule of Services set forth in Exhibit "B" attached
hereto and incorporated herein by reference. Consultant represents that it has the professional
and technical personnel required to perform the Services expeditiously. Upon request of City,
Consultant shall provide a more detailed schedule of anticipated performance to meet the
Schedule of Services.
3.2.3 Conformance to Applicable Reauirements. All work prepared by
Consultant shall be subject to the approval of City.
3.2.4 Substitution of Kev Personnel. Consultant has represented to City that
certain key personnel will perform and coordinate the Services. Should one or more of such
personnel become unavailable, Consultant may substitute other personnel of at least equal
competence upon written approval of City. In the event that City and Consultant cannot agree
as to the substitution of key personnel, City shall be entitled to terminate this Agreement for
cause. The key personnel for performance of this Agreement are as follows: Jason Bennecke,
PE, MBA, PMP, Principal -in -Charge.
3.2.5 Citv's Representative. The City hereby designates Tom Garcia, PE,
Director of Public Works, or his/her designee, to act as its representative in all matters
pertaining to the administration and performance of this Agreement ("City's Representative").
City's Representative shall have the power to act on behalf of the City for review and approval
of all products submitted by Consultant but not the authority to enlarge the scope of Services or
change the total compensation due to Consultant under this Agreement. The City Manager
shall be authorized to act on City's behalf and to execute all necessary documents which
enlarge the scope of services or change the Consultant's total compensation subject to the
provisions contained in Section 3.3 of this Agreement. Consultant shall not accept direction or
orders from any person other than the City Manager, City's Representative or his/her designee.
3.2.6 Consultant's Representative. Consultant hereby designates Jason
Bennecke, PE, MBA, PMP, Principal -in -Charge, or his/her designee, to act as its
representative for the performance of this Agreement ("Consultant's Representative").
Consultant's Representative shall have full authority to represent and act on behalf of the
Consultant for all purposes under this Agreement. The Consultant's Representative shall
supervise and direct the Services, using his/her best skill and attention, and shall be responsible
for all means, methods, techniques, sequences, and procedures and for the satisfactory
coordination of all portions of the Services under this Agreement.
3.2.7 Coordination of Services. Consultant agrees to work closely with City
staff in the performance of Services and shall be available to City's staff, consultants and other
staff at all reasonable times.
3.2.8 Standard of Care: Performance of Emplovees. Consultant shall perform
all Services under this Agreement in a skillful and competent manner, consistent with the
standards generally recognized as being employed by professionals in the same discipline in
the State of California. Consultant represents and maintains that it is skilled in the professional

calling necessary to perform the Services. Consultant warrants that all employees and
subconsultants shall have sufficient skill and experience to perform the Services assigned to
them. Consultant represents that it, its employees and subconsultants have all licenses,
permits, qualifications and approvals of whatever nature that are legally required to perform the
Services, and that such licenses and approvals shall be maintained throughout the term of this
Agreement. Consultant shall perform, at its own cost and expense and without reimbursement
from the City, any services necessary to correct errors or omissions which are caused by the
Consultant's failure to comply with the standard of care provided herein. Any employee of the
Consultant or its sub -consultants who is determined by the City to be uncooperative,
incompetent, a threat to the adequate or timely completion of the Project, a threat to the safety
of persons or property, or any employee who fails or refuses to perform the Services in a
manner acceptable to the City, shall be promptly removed from the Project by the Consultant
and shall not be re-employed to perform any of the Services or to work on the Project.
3.2.9 Period of Performance. Consultant shall perform and complete all
Services under this Agreement within the term set forth in Section 3.1.2 above ("Performance
Time"). Consultant shall also perform the Services in strict accordance with any completion
schedule or Project milestones described in Exhibits "A" or "B" attached hereto, or which may be
separately agreed upon in writing by the City and Consultant ("Performance Milestones").
Consultant agrees that if the Services are not completed within the 'aforementioned
Performance Time and/or pursuant to any such Performance Milestones developed pursuant to
provisions of this Agreement, it is understood, acknowledged and agreed that the City will suffer
damage.
3.2.10 Laws and Reaulations: Emplovee/Labor Certification. Consultant shall
keep itself fully informed of and in compliance with all local, state and federal laws, rules and
regulations in any manner affecting the performance of the Project or the Services, and shall
give all notices required by law. Consultant shall be liable for all violations of such laws and
regulations in connection with the Services and this Agreement. All violations of such laws and
regulations shall be grounds for the City to terminate the. Agreement for cause.
3.2.10.1 Emplovment Eliaibilitv: Consultant. Consultant certifies
that it fully complies with all requirements and restrictions of state and federal law respecting the
employment of undocumented aliens, including, but not limited to, the Immigration Reform and
Control Act of 1986, as may be amended from time to time and shall require all subconsultants
and sub-subconsultants to comply with the same. Consultant certifies that it has not committed
a violation of any such law within the five (5) years immediately preceding the date of execution
of this Agreement, and shall not violate any such law at any time during the term of the
Agreement.
3.2.10.2 Eaual Opportunity Emplovment. Consultant represents
that it is an equal opportunity employer and it shall not discriminate against any subconsultant,
employee or applicant for employment because of race, religion, color, national origin, handicap,
ancestry, sex or age. Such non-discrimination shall include, but not be limited to, all activities
related to initial employment, upgrading, demotion, transfer, recruitment or recruitment
advertising, layoff or termination. - Consultant shall also comply with all relevant provisions of
City's Minority Business Enterprise program, Affirmative Action Plan or other related programs
or guidelines currently in effect or hereinafter enacted.
3.2.10.4 Safety. Consultant shall execute and maintain its work so

as to avoid injury or damage to any person or property. In carrying out its Services, the
Consultant shall at all times be in compliance with all applicable local, state and federal laws,
rules and regulations, and shall exercise all necessary precautions for the safety of employees
appropriate to the nature of the work and the conditions under which the work is to be
performed.
3.2.11 Insurance.
3.2.11.1 Minimum Reauirements. Without limiting Consultant's
indemnification of City, and prior to commencement of the Services, Consultant shall obtain,
provide and maintain at its own expense during the term of this Agreement, policies of
insurance of the type and amounts described below and in a form that is satisfactory to City.
(A) General Liabilitv Insurance. Consultant shall maintain
commercial general liability insurance with coverage at least as broad as Insurance Services
Office form CG 00 01, in an amount not less than $1,000,000 per occurrence, $2,000,000
general aggregate, for bodily injury, personal injury, and property damage. The policy must
include contractual liability that has not been amended. Any endorsement restricting standard
ISO "insured contract" language will not be accepted.
(B) Automobile Liabilitv Insurance. Consultant shall maintain
automobile insurance at least as broad as Insurance Services Office form CA 00 01 covering
bodily injury and property damage for all activities of the Consultant arising out of or in
connection with Work to be performed under this Agreement, including coverage for any owned,
hired, non -owned or rented vehicles, in an amount not less than $1,000,000 combined single
limit for each accident. The City's Risk Manger may modify this requirement if it is determined
that Consultant will not be utilizing a vehicle in the performance of his/her duties under this
Agreement.
(C) Professional Liabilitv (Errors & Omissions) Insurance.
Consultant shall maintain professional liability insurance that covers the Services to be
performed in connection with this Agreement, in the minimum amount of $1,000,000 per claim
and in the aggregate. Any policy inception date, continuity date, or retroactive date must be
before the effective date of this Agreement and Consultant agrees to maintain continuous
coverage through a period no less than three years after completion of the Services required by
this Agreement.
(D) Workers' Compensation Insurance. Consultant shall
maintain Workers' Compensation Insurance (Statutory Limits) and Employer's Liability
Insurance (with limits of at least $1,000,000). Consultant shall submit to City, along with the
certificate of insurance, a Waiver of Subrogation endorsement in favor of the City, its officers,
agents, employees and volunteers.
(E) Umbrella or Excess Liabilitv Insurance. Consultant may opt
to utilize umbrella or excess liability insurance in meeting insurance requirements. In such
circumstances, Consultant shall obtain and maintain an umbrella or excess liability insurance
policy with limits that will provide bodily injury, personal injury and property damage liability
coverage at least as broad as the primary coverages set forth above, including commercial
general liability and employer's liability. Such policy or policies shall include the following terms
and conditions:

(1) A drop down feature requiring the policy to respond if
any primary insurance that would otherwise have
applied proves to be uncollectible in whole or in part for
any reason;
(2) Pay on behalf of wording as opposed to
reimbursement;
(3) Concurrency of effective dates with primary policies;
and
(4) Policies shall "follow form" to the underlying primary
policies.
(5) Insureds under primary policies shall also be insureds
If coverage is maintained on a claims -made basis, Consultant shall maintain such
coverage for an additional period of three (3) years following termination of the Agreement.
3.2.11.2 Other Provisions or Requirements.
(A) Proof of Insurance. Consultant shall provide certificates of
insurance to City as evidence of the insurance coverage required herein, along with a waiver of
subrogation endorsement for workers' compensation.. Insurance certificates and endorsements
must be approved by City's Risk Manager prior to commencement of performance. Current
certification of insurance shall be kept on file with City at all times during the term of this
Agreement. City reserves the right to require complete, certified copies of all required insurance
policies, at any time.
(B) Duration of Coveraae. Consultant shall procure and
maintain for the duration of the Agreement insurance against claims for injuries to persons or
damages to property, which may arise from or in connection with the performance of the
Services hereunder by Consultant, his/her agents, representatives, employees or
subconsultants.
(C) Primarv/Non-Contributinq. Coverage provided by
Consultant shall be primary and any insurance or self-insurance procured or maintained by City
shall not be required to contribute with it. The limits of insurance required herein may be
satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess
insurance shall contain or be endorsed to contain a provision that such coverage shall also
apply on a primary and non-contributory basis for the benefit of City before the City's own
insurance or self-insurance shall be called upon to protect it as a named insured.
(D) City's Riahts of Enforcement. In the event any policy of
insurance required under this Agreement does not comply with these specifications, or is
canceled and not replaced, City has the right, but not the duty, to obtain the insurance it deems
necessary and any premium paid by City will be promptly reimbursed by Consultant, or City will
withhold amounts sufficient to pay premium from Consultant payments. In the alternative, City
may terminate this Agreement.
(E) Acceptable Insurers. All insurance policies shall be issued

by an insurance company currently authorized by the Insurance Commissioner to transact
business of insurance or is on the List of Approved Surplus Line Insurers in the State of
California, with an assigned policyholders' Rating of A- (or higher) and Financial Size Category
Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless
otherwise approved by the City's Risk Manager.
(F) Waiver of Subroaation. All insurance coverage maintained
or procured pursuant to this agreement shall be endorsed to waive subrogation against the City,
its elected or appointed officers, agents, officials, employees and volunteers, or shall specifically
allow Consultant or others providing insurance evidence in compliance with these specifications
to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery
against the City, its elected or appointed officers, agents, officials, employees and volunteers,
and shall require similar written express waivers and insurance clauses from each of its
subconsultants.
11 (G) Enforcement of Contract Provisions (non estoppel).
Consultant acknowledges and agrees that any actual or alleged failure on the part 'of the City to
inform Consultant of non-compliance with any requirement imposes no additional obligations on
the City nor does it waive any rights hereunder.
(H) Reauirements Not Limitina. Requirements of specific
coverage features or limits contained in this Section are not intended as a limitation on
coverage, limits or other requirements, or a waiver of any coverage normally provided by any
insurance. Specific reference to a given coverage feature is for purposes of clarification only as
it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to
the exclusion of other coverage, or a waiver of any type. If the Consultant maintains higher limits
than the minimums shown above, the City requires and shall be entitled to coverage for the
higher limits maintained by the Consultant. Any available insurance proceeds in excess of the
specified minimum limits of insurance and coverage shall be available to the City.
(1) Notice of Cancellation. Consultant agrees to oblige its
insurance agent or broker and insurers to provide to City with a' thirty (30) day notice of
cancellation (except for nonpayment for which a ten (10) day notice is required) or nonrenewal
of coverage for each required coverage:
(J) Additional Insured Status. General liability, automobile
liability, and if. applicable, pollution liability and cyber liability, policies shall provide or be
endorsed to provide that the City and its officers, officials, employees, agents, and volunteers
shall be additional insureds with regard to liability and defense of suits or claims arising out of
the performance of the Agreement, under such policies. This provision shall also apply to any
excess/umbrella liability policies.
(K) Prohibition of Undisclosed Coveraae Limitations. None of
the coverages required herein will be in compliance with these requirements if they include any
limiting endorsement of any kind that has not been first submitted to City and approved of in
writing.
(L) Separation of Insureds. A severability of interests provision
must apply for all additional insureds ensuring that Consultant's insurance shall apply separately
to each insured against whom claim is made or suit is brought, except with respect to the
insurer's limits of liability. The policy(ies) shall not contain any cross -liability exclusions.

(M) Pass Throuah Clause. Consultant agrees to ensure that its
subconsultants, subcontractors, and any other party involved with the Project who is brought
onto or involved in the Project by Consultant, provide the same minimum insurance coverage
and endorsements required of Consultant. Consultant agrees to monitor and review all such
coverage and assumes all responsibility for ensuring that such coverage is provided in
conformity with the requirements of this section. Consultant agrees that upon request, all
agreements with subconsultants, subcontractors, and others engaged in the Project will be
submitted to City for review.
(N) Citv's Riaht to Revise Specifications. The City and Risk
Manager reserve the right at any time during the term of the Agreement to change the amounts
and types of insurance required by giving the Consultant ninety (90) days advance written
notice of such change. If such change results in additional cost to the Consultant, the City and
Consultant may renegotiate Consultant's compensation. If the City reduces the insurance
requirements, the change shall go into effect immediately and require no advanced written
notice.
(0) Self -Insured Retentions. Any self -insured retentions must
be declared to and approved by City. City reserves the right to require that self -insured
retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be
considered to comply with these specifications unless approved by City.
(P) Timely Notice of Claims. Consultant shall give City prompt
and timely notice of claims made or suits instituted that arise out of or result from Consultant's
performance under this Agreement, and that involve or may involve coverage under any of the
required liability policies.
(Q) Additional Insurance. Consultant shall also procure and
maintain, at its own cost and expense, any additional kinds of insurance, which in its own
judgment may be necessary for its proper protection and prosecution of the Services.
3.2.12 Water Qualitv Manaaement and Compliance. Consultant shall keep itself
and all subcontractors, staff, and employees fully informed of and in compliance with all local,
state and federal laws, rules and regulations that may impact, or be implicated by the
performance of the Services including, without limitation, all applicable provisions of the City's
ordinances regulating water quality and storm water; the Federal Water Pollution Control Act (33
U.S.C. § 1251, et seq.); the California Porter -Cologne Water Quality Control Act (Water Code
§ 13000 et seq.); and any and all regulations, policies, or permits issued pursuant to any such
authority. Consultant must comply with the lawful requirements of the City, and any other
municipality, drainage district, or other local agency with jurisdiction over the location where the
Services are to be conducted, regulating water quality and storm water discharges. Failure to
comply with laws, regulations, and ordinances listed in this Section is a violation of federal and
state law. Consultant warrants that all employees and subcontractors shall have sufficient skill
and experience to perform the work assigned to them without impacting water quality in violation
of the laws, regulations and policies of this Section.
3.3 Fees and Payments.
3.3.1 Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates set forth
in Exhibit "C" attached hereto and incorporated herein by reference. The total compensation

shall not exceed Eight Hundred Fifty -Three Thousand Nine Hundred Sixty and 00/100
($853,960.00) without written approval of the City Council or City Manager, as applicable.
3.3.2 Pavment of Compensation. Consultant shall submit to City monthly
invoices which provide a detailed description of the Services and hours rendered by Consultant.
City shall, within 30 days of receiving such invoice, review the invoice and pay all non -disputed
and approved charges. If the City disputes any of Consultant's fees, the City shall give written
notice to Consultant within thirty (30) days of receipt of an invoice of any disputed fees set forth
therein. Consultant shall submit its final invoice to City within thirty (30) days from the last date
of provided Services or termination of this Agreement and failure by the Consultant to submit a
timely invoice may constitute a waiver of its right to final payment. Payment shall not constitute
acceptance of any Services completed by Consultant. The making of final payment shall not
constitute a waiver of any claims by the City for any reason whatsoever.
3.3.3 Reimbursement for Expenses. Consultant shall not be reimbursed for
any expenses unless authorized in writing by City, or included in Exhibit "C" of this Agreement.
3.3.4 Extra Work. At any time, during the term of this Agreement, City may
request that Consultant perform Extra Work. As used herein, "Extra Work" means any work
which is determined by City to be necessary for the proper completion of the Project, but which
the Parties did not reasonably anticipate would be necessary at the execution of this
Agreement. Consultant shall not perform, nor be compensated for, Extra Work without written
authorization from the City.
3.4 Labor Code Requirements.
3.4.1 Prevailina Waaes. Consultant is aware of the requirements of California
Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations,
Title 8, Section 16000, et seq., ("Prevailing Wage Laws"), which require the payment of
prevailing wage rates and the performance of other requirements on "public works" and
"maintenance" projects. If the Services are being performed as part of an applicable "public
works" or "maintenance" project, as defined by the Prevailing Wage Laws, Consultant agrees to
fully comply with such Prevailing Wage Laws. City shall provide Consultant with a copy of the
prevailing rates of per diem wages in effect at the commencement of this Agreement.
Consultant shall make copies of the prevailing rates of per diem wages for each craft,
classification or type of worker needed to execute the Services available to interested parties
upon request, and shall post copies at the Consultant's principal place of business and at the
project site. It is the intent of the parties to effectuate the requirements of sections 1771, 1774,
1775, 1776, 1777.5, 1813, and 1815 of the Labor Code within this Agreement, and Consultant
shall therefore comply with such Labor Code sections to the fullest extent required by law.
Consultant shall defend, indemnify and hold the City, its officials, officers, employees, agents,
and volunteers free and, harmless from any claim or liability arising out of any failure or alleged
failure to comply with the Prevailing Wage Laws.
3.4.2 Reaistration/DIR Compliance. If the Services are being performed on a
public works project of over $25,000 when the project is for construction, alteration, demolition,
installation, or repair work, or a public works project of over $15,000 when the project is for
maintenance work, in addition to the foregoing, then pursuant to Labor Code sections 1725.5
and 1771.1, the Consultant and all subconsultants must be registered with the Department of
Industrial Relations ("DIR"). Consultant shall maintain registration for the duration of the Project
and require the same of any subconsultants. This Project may also be subject to compliance

monitoring and enforcement by the DIR. It shall be Consultant's sole responsibility to comply
with all applicable registration and labor compliance requirements, including the submission of
payroll records directly to the DIR. Any stop orders issued by the DIR against Consultant or any
subconsultant that affect Consultant's performance of Services, including any delay, shall be
Consultant's sole responsibility. Any delay arising out of or resulting from such stop orders shall
be considered Consultant caused delay and shall not be compensable by the City. Consultant
shall defend, indemnify and hold the City, its officials, officers, employees and agents free and
harmless from any claim or liability arising out of stop orders issued by the DIR against
Consultant or any subconsultant.
3.4.3 Labor Certification. By its signature hereunder, Consultant certifies that
it is aware of the provisions of Section 3700 of the California Labor Code which require every
employer to be insured against liability for Worker's Compensation or to undertake self-
insurance in accordance with the provisions of that Code, and agrees to comply with such
provisions before commencing the performance of the Services.
3.5 Accounting Records.
3.5.1 Maintenance and Inspection. Consultant shall maintain complete and
accurate records with respect to all costs and expenses incurred under this Agreement. All
such records shall be clearly identifiable. Consultant shall allow a representative of City during
normal business hours to examine, audit, and make transcripts or copies of such records and
any other documents created pursuant to this Agreement. Consultant shall allow inspection of
all work, data, documents, proceedings, and activities related to the Agreement for a period of
three (3) years from the date of final payment under this Agreement.
3.6 General Provisions.
3.6.1 Termination of Aareement.
3.6.1.1 Grounds for Termination. City may, by written notice to
Consultant, terminate the whole or any part of this Agreement at any time and without cause by
giving written notice to Consultant of such termination, and specifying the effective date thereof,
at least seven (7) days before the effective date of such termination. Upon termination,
Consultant shall be compensated only for those Services which have been adequately rendered
to City, and Consultant shall be entitled to no further compensation. Consultant may not
terminate this Agreement except for cause.
3.6.1.2 Effect of Termination. If this Agreement is terminated as
provided herein, City may require Consultant to provide all finished or unfinished Documents
and Data and other information of any kind prepared by Consultant in connection with the
performance of Services under this Agreement. Consultant shall be required to provide such
document and other information within fifteen (15) days of the request.
3.6.1.3 Additional Services. In the event this Agreement is terminated
in whole or in part as provided herein, City may procure, upon such terms and in such manner
as it may determine appropriate, services similar to those terminated.
3.6.2 Delivery of Notices. All notices permitted or required under this
Agreement shall be given to the respective parties at the following address, or at such other
address as the respective parties may provide in writing for this purpose:

Such notice shall be deemed made when personally delivered or when mailed, forty-eight (48)
hours after deposit in the U.S. Mail, first class postage prepaid and addressed to the party at its
applicable address. Actual notice shall be deemed adequate notice on the date actual notice
occurred, regardless of the method of service.
3.6.3 Ownership of Materials and Confidentialitv.
3.6.3.1 Documents & Data; Licensina of Intellectual Propertv. This
Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse,
or sublicense any and all copyrights, designs, and other intellectual property embodied in plans,
specifications, studies, drawings, estimates, and other documents or works of authorship fixed
in any tangible medium of expression, including but not limited to, physical drawings or data
magnetically or otherwise recorded on computer diskettes, which are prepared or caused to be
prepared by Consultant under this Agreement ("Documents & Data"). All Documents & Data
shall be and remain the property of City, and shall not be used in whole or in substantial part by
Consultant on other projects without the City's express written permission. Within thirty (30)
days following the completion, suspension, abandonment or termination of this Agreement,
Consultant shall provide to City reproducible copies of all Documents & Data, in a form and
amount required by City. City reserves the right to select the method of document reproduction
and to establish where the reproduction will be accomplished. The reproduction expense shall
be borne by City at the actual cost of duplication. In the event of a dispute regarding the
amount of compensation to which the Consultant is entitled under the termination provisions of
this Agreement, Consultant shall provide all Documents & Data to City upon payment of the
undisputed amount. Consultant shall have no right to retain or fail to provide to City any such
documents pending resolution of the dispute. In addition, Consultant shall retain copies of all
Documents & Data on file for a minimum of fifteen (15) years following completion of the
Project, and shall make copies available to City upon the payment of actual reasonable
duplication costs. Before destroying the Documents & Data following this retention period,
Consultant shall make a reasonable effort to notify City and provide City with the opportunity to
obtain the documents.
3.6.3.2 Subconsultants. Consultant shall require all subconsultants to
agree in writing that City is granted a non-exclusive and perpetual license for any Documents &
Data the subconsultant prepares under this Agreement. Consultant represents and warrants
that Consultant has the legal right to license any and all Documents & Data. Consultant makes
no such representation and warranty in regard to Documents & Data which were prepared by
professionals other than Consultant or its subconsultants, or those provided to Consultant by
the City.
3.6.3.3 . Riaht to Use. City shall not be limited in any way in its use or

reuse of the Documents and Data or any part of them at any time for purposes of this Project or
another project, provided that any such use not within the purposes intended by this Agreement
or on a project other than this Project without employing the services of Consultant shall be at
City's sole risk. If City uses or reuses the Documents & Data on any project other than this
Project, it shall remove the Consultant's seal from the Documents & Data and indemnify and
hold harmless Consultant and its officers, directors, agents and employees from claims arising
out of the negligent use or re -use of the Documents & Data on such other project. Consultant
shall be responsible and liable for its Documents & Data, pursuant to the terms of this
Agreement, only with respect to the condition of the Documents & Data at the time they are
provided to the City upon completion, suspension, abandonment or termination. Consultant
shall not be responsible or liable for any revisions to the Documents & Data made by any party
other than Consultant, a party for whom the Consultant is legally responsible or liable, or
anyone approved by the Consultant.
3.6.3.4 Indemnification — Documents and Data. Consultant shall
defend, indemnify and hold the City, its directors, officials, officers, employees, volunteers and
agents free and harmless, pursuant to the indemnification provisions of this Agreement, for any
alleged infringement of any patent, copyright, trade secret, trade name, trademark, or any other
proprietary right of any person or entity in consequence of the use on the Project by City of the
Documents & Data, including any method, process, product, or concept specified or depicted.
3.6.3.5 Confidentialitv. All ideas, memoranda, specifications, plans,
procedures, drawings, descriptions, computer program data, input record data, written
information, and other Documents & Data either created by or provided to Consultant in
connection with the performance of this Agreement shall be held confidential by Consultant.
Such materials shall not, without the prior written consent of City, be used by Consultant for any
purposes other than the performance of the Services. Nor shall such materials be disclosed to
any person or entity not connected with the performance of the Services or the Project. Nothing
furnished to Consultant which is otherwise known to Consultant or is generally known, or has
become known, to the related industry shall be deemed confidential. Consultant shall not use
City's name or insignia, photographs of the Project, or any publicity pertaining to the Services or
the Project in any magazine, trade paper, newspaper, television or radio production or other
similar medium without the prior written consent of City.
3.6.3.6 Confidential Information. The City shall refrain from releasing
Consultant's proprietary information ("Proprietary Information") unless the City's legal counsel
determines that the release of the Proprietary Information is required by the California Public
Records Act or other applicable state or federal law, or order of a court of competent jurisdiction,
in which case the City shall notify Consultant of its intention to release Proprietary Information.
Consultant shall have five (5) working days after receipt of the release notice to give City written
notice of Consultant's objection to the City's release of Proprietary Information. Consultant shall
indemnify, defend and hold harmless the City, and its officers, directors, employees, and agents
from and against all liability, loss, cost or expense (including attorney's fees) arising out of a
legal action brought to compel the release of Proprietary Information. City shall not release the
Proprietary Information after receipt of an objection notice unless either: (1) Consultant fails to
fully indemnify, defend (with City's choice of legal counsel), and hold City harmless from any
legal action brought to compel such release; and/or (2) a final and non -appealable order by a
court of competent jurisdiction requires that City release such information.
3.6.4 Cooperation: Further Acts. The Parties shall fully cooperate with one
another, and shall take any additional acts or sign any additional documents as may be

necessary, appropriate or convenient to attain the purposes of this Agreement.
3.6.5 fReservedl
3.6.6 Indemnification.
3.6.6.1 To the fullest extent permitted by law, Consultant shall defend
(with counsel of City's choosing), indemnify and hold the City, its officials, officers, employees,
volunteers, and agents free and harmless from any and all claims, demands, causes of action,
costs, expenses, liability, loss, damage or injury of any kind, in law or equity, to property or
persons, including wrongful death, in any manner arising out of, pertaining to, or incident to any
acts, errors or omissions, or willful misconduct of Consultant, its officials, officers, employees,
subconsultants or agents in connection with the performance of the Consultant's Services, the
Project or this Agreement, including without limitation the payment of all expert witness fees,
,attorney's fees and other related costs and expenses except such loss or damage caused by
the sole negligence or willful misconduct of the City. Consultant's obligation to indemnify shall
survive expiration or termination of this Agreement and shall not be restricted to insurance
proceeds, if any, received by Consultant, the City, its officials, officers, employees, agents, or
volunteers.
3.6.6.2 If Consultant's obligation to defend, indemnify, and/or hold
harmless arises out of Consultant's performance as a "design professional" (as that term is
defined under Civil Code section 2782.8), then, and only to the extent required by Civil Code
section 2782.8, which is fully incorporated herein, Consultant's indemnification obligation shall
be limited to claims that arise out of, pertain to, or relate to the negligence, recklessness, or
willful misconduct of the Consultant, and, upon Consultant obtaining a final adjudication by a
court of competent jurisdiction, Consultant's liability for such claim, including the cost to defend,
shall not exceed the Consultant's proportionate percentage of fault.
3.6.7 Entire Agreement. This Agreement contains the entire agreement of the
Parties with respect to the subject matter hereof, and supersedes all prior negotiations,
understandings or agreements.
3.6.8 Governina Law. This Agreement shall be governed by the laws of the
State of California. Venue shall be in Riverside County.
3.6.9 Time of Essence. Time is of the essence for each and every provision of
this Agreement.
3.6.10 Citv's Riaht to Emr)lov Other Consultants. City reserves right to employ
other consultants in connection with this Project.
3.6.11 Successors and Assians. This Agreement shall be binding on the
successors and assigns of the Parties.
3.6.12 Assignment: Subcontractina. Consultant shall not assign, sublet, or
transfer this Agreement or any rights under or interest in this Agreement without the written
consent of the City, which may be withheld for any reason. Any attempt to so assign or so
transfer without such consent shall be void and without legal effect and shall constitute grounds
for termination. Consultant shall not subcontract any portion of the Services required by this
Agreement, except as expressly stated herein, without prior written approval of City.

Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in
this Agreement.
3.6.13 Construction: References; Captions. Since the Parties or their agents
have participated fully in the preparation of this Agreement, the language of this Agreement
shall be construed simply, according to its fair meaning, and not strictly for or against any Party.
Any term referencing time, days or period for performance shall be deemed calendar days and
not work days. All references to Consultant include all personnel, employees, agents, and
subconsultants of Consultant, except as otherwise specified in this Agreement. All references
to City include its elected officials, officers, employees, agents, and volunteers except as
otherwise specified in this Agreement. The captions of the various articles and paragraphs are
for convenience and ease of reference only, and do not define, limit, augment, or describe the
scope, content, or intent of this Agreement.
3.6.14 Amendment: Modification. No supplement, modification, or amendment
of this Agreement shall be binding unless executed in writing and signed by both Parties.
3.6.15 Waiver. No waiver of any default shall constitute a waiver of any other
default or breach, whether of the same or other covenant or condition. No waiver, benefit,
privilege, or service voluntarily given or performed by a Party shall give the other Party any
contractual rights by custom, estoppel, or otherwise.
3.6.16 No Third -Party Beneficiaries. There are no intended third party
beneficiaries of any right or obligation assumed by the Parties.
3.6.17 Invaliditv: Severabilitv. If any portion of this Agreement is declared
invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining
provisions shall continue in full force and effect.
3.6.18 Prohibited Interests. Consultant maintains and warrants that it has not
employed nor retained any company or person, other than a bona fide employee working solely
for Consultant, to solicit or secure this Agreement. Further, Consultant warrants that it has not
paid nor has it agreed to pay any company or person, other than a bona fide employee working
solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement. For
breach or violation of this warranty, City shall have the right to rescind this Agreement without
liability. For the term of this Agreement, no member, officer or employee of City, during the term
of his or her service with City, shall have any direct interest in this Agreement, or obtain any
present or anticipated material benefit arising therefrom.
3.6.19 Authoritv to Enter Aareement. Consultant has all requisite power and
authority to conduct its business and to execute, deliver, and perform the Agreement. Each
Party warrants that the individuals who have signed this Agreement have the legal power, right,
and authority to make this Agreement and bind each respective Party.
3.6.20 Counterparts. This Agreement may be signed in counterparts, each of
which shall constitute an original.

3.6.21 Survival. All rights and obligations hereunder that by their nature are to
continue after any expiration or termination of this Agreement, including, but not limited to, the
indemnification obligations, shall survive any such expiration or termination.
