C36690 & C36690A STAFF REPORT CITY OF PALM DESERT PUBLIC WORKS DEPARTMENT MEETING DATE: April 12, 2018 PREPARED BY: Ryan Gayler, Project Administrator i REQUEST: Award Contract No. C36690 for construction of the 2018 Slurry Seal Project to Roy Allan Slurry Seal, Inc., of Santa Fe Springs, California, in the amount of $1,730,599 (Project No. 751-18), and authorize the Mayor to execute a Reimbursement Agreement with the City of Indian Wells for the slurry seal of portions of Fred Waring Drive and Portola Avenue. Recommendation By Minute Motion: 1. Award Contract No. C36690 for construction of the 2018 Slurry Seal Project to Roy Allan Slurry Seal, Inc., of Santa Fe Springs, California, in the amount of $1,730,599 (Project No. 751-18); 2. Authorize the Mayor to execute the subject agreement; 3. Authorize the Mayor to execute a Reimbursement Agreement with the City of Indian Wells for the slurry seal of portions of Fred Waring Drive and Portola Avenue; and 4. Budget estimated revenue in the amount of $200,000 to the Measure "A" Fund. Funding is available for this project in Measure"A" Account No. 21 3431 1-4332000, Street Maintenance. Strategic Plan The proposed action will further the goals of the Strategic Plan by providing a high quality, cost-effective method of maintaining the transportation system. The slurry seal used to rehabilitate the streets uses rubber from recycled tires, reducing the use of non-renewable resources such as mined aggregates and fossil fuels. This furthers the City's goals related to Energy & Sustainability. April 12, 2018 - Staff Report Award Contract No. C36690 to Roy Allan Slurry Seal, Inc. (Project No. 751-18) Page 2 of 3 Background Analysis The 2018 Slurry Seal Project will use rubberized slurry seal to coat various streets within Palm Desert. The rubberized slurry has an elastic quality that prolongs street life beyond what is expected from conventional slurry. The areas to be slurried this year were selected based upon their need and the pavement condition index ranking. The project area includes major arterials Monterey Avenue, Washington Street, and portions of Cook Street, Fred Waring Drive, and Portola Avenue. The project will also slurry the streets in the Shepherd Lane vicinity as well as the neighborhood between Palm Desert Charter Middle School and Palm Desert High School (see the location map). The project is expected to commence late April and will conclude around the end of June. This project will be constructed during the spring months because slurry seal will not cure as quickly when temperatures get too high. The project was advertised and contractors were encouraged to submit bids. At the March 20, 2018, bid opening, five contractors submitted bids. Staff reviewed the bid documents and all the required forms were submitted. The reimbursement agreement under consideration in this report deals only with Fred Waring Drive from Deep Canyon Road to Washington Street, and a small piece of Portola Avenue south of Grapevine Street. Both Fred Waring Drive and Portola Avenue have sections of the street that are within the City of Indian Wells. In order to have a uniform street appearance, staff is requesting that Council approve a reimbursement agreement allowing the slurry seal contractor to slurry the entire street and, at the conclusion of the project, have Indian Wells reimburse Palm Desert for the cost of the work performed in Indian Wells. The reimbursement agreement was approved by the Indian Wells City Council on March 15, 2018. The value of the work in Indian Wells is estimated at $200,000. (Project No. 751-18) Page 3 of 3 Fiscal Analysis The slurry seal contract is an on-going maintenance activity with no fiscal impact beyond the contract amount. Funding is available for this project in Measure "A" Account No. 21 3431 1-4332000, Street Maintenance. C36690 AGREEMENT THIS AGREEMENT is made and entered into this 12th day of April 2018, by and between City of Palm Desert, California; hereafter called "CITY," and Roy Allan Slurry Seal, Inc. hereinafter called "CONTRACTOR." WITNESSETH RECITALS: CONTRACTOR has submitted to CITY its Contractor's Bid for the construction of CITY Project, 1. 2018 SLURRY SEAL PROJECT, PROJECT NO. 751-18; CONTRACT NO. C36690, in strict accordance with the Contract Documents identified below, and CITY has accepted said Bid. 2. CONTRACTOR states that it has re-examined its CONTRACTOR'S Bid and found it to be correct, has ascertained that its Subcontractors are properly licensed and possess the requisite skill and forces, has examined the site and Contract in accordance with the Contract Documents for the money set forth in its Bid to be paid as provided in the Contract Documents. AGREEMENT: IT IS AGREED BY THE PARTIES AS FOLLOWS: 1. Contractor shall commence the work within ten calendar days after the date of the Notice to Proceed and will do all things necessary to construct the work generally described in Recital No. 1 in accordance with the Contract Documents and will complete said work within 60 Calendar Days from the Notice to Proceed date to the satisfaction of the Engineer. Contractor agrees to indemnify, defend and save CITY and its officers, agents and employees, and the Engineer harmless from: a Any and all liability, claims, damages, losses or injuries to any person or other entity, including injury to Contractor's employees, and all claims which arise from or are connected with the negligent performance of or failure to perform the work or other obligations of this Agreement, or which are caused or which are claimed to be caused by the negligent or intentional acts or omissions of Contractor, its subcontractors, its agents or employees, and, all expenses of investigating and defending against same, b. Any and all liability, claims, damages, losses or injuries to any and all contractors, subcontractors, material-men, laborers, or any other person, firm or corporation furnishing or supplying work, services, materials or supplies in connection with the performance of the Agreement. c. Attention is directed to the General Specifications - Claims, Liability, and Indemnity Agreement/Hold Harmless sections, which specifications are made part of this Agreement as set forth in Agreement paragraph 1, above. d Attention is directed to Section 6-9, "Liquidated Damages" of the Standard Specifications and is hereby amended to substitute the "City of Palm Desert" in place of"Agency." Liquidated damages shall be$1,000.00 per calendar day of delay. 4. Should any litigation or arbitration be commenced between the parties concerning the works of improvements as referenced herein, the prevailing party in any such litigation, being the CITY or the Contractor, should be entitled to a reasonable sum for attorney's fees incurred in any such litigation relating to this Contract. 5. This Agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. 6. Contractor shall be paid in the manner set forth in the Contract Documents the amount of its Bid as accepted by CITY, subject to such additions and deductions as may be made pursuant to the Contact Documents and applicable law. Satisfactory Performance: The prime Contractor agrees to pay each Subcontractor under this prime contract for satisfactory performance of its contract no later than 10 days from the receipt of each payment the prime Contractor receives from City of Palm Desert. Any delay or postponement of payment from the above referenced time frame may occur only for good cause following written approval of the City of Palm Desert. Release of Retention: The prime Contractor agrees further to release retention payments to each Subcontractor within 30 days after the Subcontractor's work is satisfactorily completed. Any delay or postponement of payment from the above CONTRACT NO. C36690 referenced time frame may occur only for good cause following written approval of the City of Palm Desert. 7. Provisions Required by Law and Contractor Compliance. Each and every provision of law required to be included in these Contract Documents shall be deemed to be included in these Contract Documents. The Contractor shall comply with all requirements of applicable federal state and local laws, rules and regulations, including but not limited to the provisions of the California Labor Code and the California Public Contract Code. 8. Execution of the Agreement by the parties constitutes their agreement to abide by all applicable provisions of the California Labor Code; constitutes contractor's certification that he is aware of the provisions of said Code and will comply with them; and further constitutes Contractor's certification as follows: "I am aware of the provisions of Section 3700 of the California Labor Code which requires every employer to be insured against liability for workers' compensation or to undertake self-insurance in accordance with the provisions of that Code, and I will comply with such provisions before commencing the performance of the work of this contract." C36690 PERFORMANCE BOND KNOW ALL MEN BY THESE PRESENTS: That whereas the City of Palm Desert has awarded to Roy Allan Slurry Seal, Inc. hereinafter designated as the "Principal", a contract for: 2018 SLURRY SEAL PROJECT PROJECT NO. 751-18 CONTRACT NO. C36690 WHEREAS, said Principal is required under the terms of said contract to furnish a good and sufficient bond for the performance of said contract: NOW THEREFORE, WE, Roy Allan Slurry Seal, Inc. the Principal, and as Surety, are held and firmly bound unto the City of Palm Desert hereinafter called the City, in the penal sum of One Million Seven Hundred Thirty Thousand Five Hundred Ninety Nine and no/100 Dollars ($ 1,730,599 ), being 100% of the contract amount in lawful money of the United States of America for the payment of which sum well and truly to be made, we hereby bind ourselves, our heirs, executors, administrators, and successors, jointly and severally, firmly by these presents. THE CONDITION OF THIS OBLIGATION IS SUCH, that if the Contractor, his or its heirs, executors, administrators, successors or assigns, shall in all things stand to and abide by, and well and truly keep and perform the covenants, conditions and agreements in the contract Documents and any alteration thereof made as therein provided, on its part, to be kept and performed at the time and in the manner therein specified, and in all respects according to their intent and meaning; and shall faithfully fulfill all obligations including the one (1) year guarantee of all materials and workmanship; and shall indemnify and save harmless the City, its officials, officers, employees, and authorized volunteers, as stipulated in said Contract Documents, then this obligation shall become null and void; otherwise it shall be and remain in full force an effect. As a part of the obligation secured hereby and in addition to the face amount specified therefore, there shall be included costs and reasonable expenses and fees including reasonable attorney's fees, incurred by the City in enforcing such obligation. As a condition precedent to the satisfactory completion of the Contract Documents, unless otherwise provided for in the Contract Documents, the above obligation shall hold good for a period of one (1) year after the acceptance of the work by the City, during which time if the Contractor shall fail to make full, complete, and satisfactory repair and replacements and totally protect the City from loss or damage resulting from or caused by a defective materials or faulty workmanship. The obligations of Surety hereunder shall continue so long as any obligation of the Contractor remains. Nothing herein shall limit the City's rights or the Contractor or Surety's obligations under the CONTRACT NO. C36690 Contract, law or equity, including, but not limited to, California Code of Civil Procedure Section 337.15. Whenever the Contractor shall be, and is declared by the City to be in default under the Contract Documents, the Surety shall remedy the default pursuant to the Contract Documents, or shall promptly, at the City's option: a. Take over and complete the Project in accordance with all terms and conditions in the Contract Documents; or b. Obtain a bid or bids for completing the Project in accordance with all terms and conditions in the Contract Documents and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a Contract between such bidder, the Surety and the City and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages, for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to the Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents. c. Permit the City to complete the Project in any manner consistent with California law and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages, for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to the Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents. Surety expressly agrees that the City may reject any contractor or subcontractor which may be proposed by Surety in fulfillment of its obligation in the event of default by the Contractor. Surety shall not utilize the Contractor in completing the Project nor shall Surety accept a bid from the Contractor for completion of the Project if the City, when declaring the Contractor in default, notifies Surety of the City's objection to the Contractor's further participation in the completion of the Project. C36690A REIMBURSEMENT AGREEMENT BY AND BETWEEN CITY OF PALM DESERT AND CITY OF INDIAN WELLS FOR SLURRY SEAL OF FRED WARING DRIVE FROM DEEP CANYON ROAD TO WASHINGTON STREET AND PORTOLA AVENUE FROM MOCKINGBIRD TRAIL TO MESA VIEW DRIVE This REIMBURSEMENT AGREEMENT FOR SLURRY SEAL OF FRED WARING DRIVE FROM DEEP CANYON ROAD TO WASHINGTON STREET AND PORTOLA AVENUE FROM MOCKINGBIRD TRAIL TO MESA VIEW DRIVE ("Agreement") is entered into this day of ,2018 by and between the City of Palm Desert, a municipal corporation and charter city,referred to herein as"Palm Desert,"and the City of Indian Wells,a municipal corporation and charter city, referred to herein as"Indian Wells." Palm Desert and Indian Wells are sometimes hereinafter individually referred to as"Party"and/or collectively referred to as the"Parties". 1. RECITALS 1.1 WHEREAS, the Parties have cooperated on planning the construction of certain roadway improvements that provide benefits to the residents and the general motoring public on Fred Waring Drive from Deep Canyon Road to Washington Street and on Portola Avenue from Mockingbird Trail to Mesa View Drive. The roadway improvements consist of Crack Sealing, Applying Type II Rubberized Slurry Seal, and Striping, hereinafter referred to as "Project". The location of Project is shown in Exhibit"A", attached hereto and incorporated herein by this reference; 1.2 WHEREAS, the Project is within the jurisdictional boundaries of the Parties, as shown in Exhibit"A"; 1.3 WHEREAS,the Parties desire to cooperate and jointly participate in implementing and funding the Project; 1.4 WHEREAS, the Parties desire to have one agency take the lead role in the development and implementation of the Project,to coordinate the improvements, and to reduce overall costs; 1.5 WHEREAS, Palm Desert has been designated as the lead agency for the Project and Palm Desert will therefore provide the administrative,technical, managerial, and support services necessary to develop and implement the Project; and 1.6 WHEREAS, the Parties desire to define herein the terms and conditions under which said Project is to be administered, coordinated, constructed, managed, and financed. NOW, THEREFORE, in consideration of the above recitals and the mutual covenants hereinafter contained, the Parties agree as follows: Attachment #2 CONTRACT NO. C36690A 2. SCOPE OF AGREEMENT 2.1 Scope of Project, Public Bidding. The Parties hereby agree that construction of the Project will be publically bid to construction contractors and subcontractors(collectively referred to herein as "Contractors"), subject to invitations for bids and to specifications, and thus subject to all California laws governing public bidding for projects undertaken by cities. Palm Desert shall be the lead agency regarding the Project, shall advertise for bids, shall award all contracts for the Project and shall oversee and cause completion of all Project components. 2.2 Compliance with Law. The Project shall be paid for and constructed in accordance with all ordinances, resolutions, rules, regulations, and laws of Palm Desert to the extent they are consistent with state statutes and the ordinances, resolutions, rules, regulations and laws of Indian Wells. 2.3 Wage and Hour Compliance. Palm Desert shall require Contractors to comply with applicable federal, state, and local wage and hour laws for the Project including, without limitation, requirements for the payment of prevailing wages in accordance with the California Labor Code. 2.4 Licenses, Permits, Fees and Assessments. Palm Desert shall require Contractors to obtain such licenses, permits, and approvals as may be required by law for the performance of the Project, and Contractors shall be responsible to pay any fees, assessments, and taxes, plus applicable penalties and interest, which may be imposed by law and arise from or are necessary for the performance of the Project. 2.5 Insurance Requirements. Palm Desert shall include in the contract specifications and bid documents prepared under this Agreement a requirement that Contractors shall name Indian Wells as an "additional insured"on all liability insurance coverage required by Palm Desert, with a limit of no less than two million dollars ($2,000,000.00)per occurrence, and four million dollars($4,000,000.00) in aggregate. Palm Desert agrees to provide to Indian Wells a copy of the required insurance policy endorsement and the insurance certificate upon request within ten(10) days of the signing of the contract with the prime contractor("Contractor"). 3. PAYMENT OF COSTS 3.1 Cost. Indian Wells' share of the Project cost shall be limited to the quantities constructed within the city limits of Indian Wells. The Parties share of the Project cost shall be in accordance with the percentages for bid items shown on the Bid Schedule, and as shown in Exhibit"B", attached hereto and incorporated herein by this reference. Percentages for bid items numbered three (3), four(4), six(6), and seven (7) shall be based on those in Exhibit`B". Percentages for bid items one(1), two (2), and five(5) shown in Exhibit`B"are based upon estimates and actual percentages to be used for reimbursement shall be based upon quantities calculated in the field during construction. 3.2 Payment. Upon completion of the Project, Palm Desert shall present to Indian Wells an invoice certifying its cost incurred in completing the Project, and shall include copies of CONTRACT NO. C36690A the Contractor's invoices, evidence of payment, and such other information and records necessary to verify the cost of the Project. Within thirty(30)days of the receipt of the information provided pursuant to the above, and provided no amounts are disputed, Indian Wells shall pay to Palm Desert an amount equal to Indian Wells' actual percentage of Project costs. 3.3 Disputed Payment. Indian Wells shall submit any billing dispute in writing to Palm Desert within thirty(30) days after receipt of the invoice. The Parties shall endeavor to resolve any such dispute and thereby allow payment of the balance due, if any, within a reasonable period of time. 4. COORDINATION OF WORK 4.1 Representative of Contracting Party. The following are hereby designated as being the representatives of each Party, authorized to act on its behalf with respect to the Project specified herein and make all decisions in connection therewith: (a) For Palm Desert, Mr. Timothy R. Jonasson, P.E., Independent Interim Director of Public Works (b) For Indian Wells, Ken Seumalo, P.E., Director of Public Works The foregoing representatives shall be responsible during the term of this Agreement for directing all activities of their respective Party. For purposes of this Agreement, the foregoing representatives may not be changed without the approval of the other Party, which approval shall not be unreasonably withheld or denied. 4.2 Approvals. Approvals required by the Parties, or any officers, agents or employees thereof, shall not be unreasonably withheld and approval or disapproval shall be given within a reasonable time. 4.3 Mutual Cooperation; Further Actions and Instruments. The Parties shall cooperate with and provide reasonable assistance to the other to the extent contemplated hereunder in the performance of all obligations under this Agreement and the satisfaction of the conditions of this Agreement. 4.4 Independent Contractor. The Parties agree and intend that Palm Desert and Indian Wells are independent entities and do not intend by this Agreement to create any partnership,joint venture, or similar business arrangement, relationship or association between them, except as may be agreed to expressly by this Agreement. Each Party shall perform their services hereunder in an independent capacity and not as an employee or agent of the other Party. 5. INDEMNIFICATION. 5.1 Indemnification by Indian Wells. Indian Wells agrees to indemnify, defend and hold harmless Palm Desert, and its respective officials, officers, agents and employees from and against liability, expenses (including reasonable attorneys' fees), losses, suits and actions, and for damages relating to suits and actions (including bodily injury, death, personal injury, or property CONTRACT NO. C36690A damage) arising from Indian Wells's performance or failure to perform under this Agreement, except to the extent such liability, expenses, losses, and damages are caused by the negligence or willful misconduct of Palm Desert. 5.2 Indemnification by Palm Desert. Palm Desert agrees to indemnify, defend and hold harmless Indian Wells, and its respective officials, officers, agents and employees from and against liability, expenses (including reasonable attorneys' fees), losses, suits and actions, and for damages relating to suits and actions (including bodily injury, death, personal injury,or property damage)arising from Palm Desert's performance or failure to perform under this Agreement, except to the extent such liability, expenses, losses, and damages are caused by the negligence or willful misconduct of Indian Wells. 5.3 Indemnification from Contractor. Palm Desert shall require Contractors performing work for the Project to indemnify, defend, and hold harmless, to the maximum extent allowable by law, the Parties for that work performed on the Project by Contractors. 6. RECORDS AND REPORTS. 6.1 Records. The Parties shall keep such ledgers, books of accounts, invoices, vouchers, canceled checks, reports (including but not limited to payroll reports), studies, or other documents relating to the Project("Books and Records") for three(3) years following completion of the Project. Any and all such Books and Records shall be maintained in accordance with generally accepted accounting principles and shall be complete and detailed. The Parties shall have full and free access to such Books and Records of any other Party at all times during normal business hours, including the right to inspect, copy, audit, and make records and transcripts from such Books and Records. 6.2 Ownership of Documents. All drawings, specifications, maps, designs, photographs, studies, surveys, data, notes, computer files, reports, records, documents, and other materials plans, drawings, estimates,test data, survey results, models, renderings, and other documents or works of authorship fixed in any tangible medium of expression, including but not limited to, physical drawings, digital renderings, or data stored digitally, magnetically, or in any other medium prepared or caused to be prepared for the Project(the "Documents and Materials") shall be the joint property of the Parties. The Parties shall be entitled to use or reuse such completed Documents and Materials for other projects and/or use uncompleted documents for any purpose. 7. ENFORCEMENT OF AGREEMENT. 7.1 California Law. This Agreement shall be interpreted, construed, and governed both as to validity and to performance of the Parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim, or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Riverside, State of California, or any other appropriate court in such county, and the Parties covenant and agree to submit to the personal jurisdiction of such court in the event of such action. 7.2 Disputes. In the event of any dispute arising under this Agreement, the injured Party shall notify the remaining Party in writing of its contentions by submitting a claim therefor. CONTRACT NO. C36690A Compliance with the provisions of this Section shall be a condition precedent to termination of this Agreement for cause and to any legal action,and such compliance shall not be a waiver of a Party's right to take legal action in the event that the dispute is not cured. 7.3 Waiver. No delay or omission in the exercise of any right or remedy of a non- defaulting Party on any default shall impair such right or remedy or be construed as a waiver. A Party's consent or approval of any act by the other Party requiring consent or approval shall not be deemed to waive or render unnecessary consent to or approval of any subsequent act of said Party. Any waiver by a Party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. 7.4 Rights and Remedies are Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the Parties are cumulative and the exercise by any Party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by another Party. 7.5 Legal Action. In addition to any other rights or remedies, a Party may take legal action, at law or at equity,to cure, correct, or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this Agreement. 7.6 Attorneys'Fees. If a Party commences an action against the other Party, either legal, administrative or otherwise, arising out of or in connection with this Agreement, the prevailing party in such litigation shall be entitled to have and recover from the losing Party reasonable attorney's fees and all other costs of such action. 8. MISCELLANEOUS PROVISIONS 8.1 Notice. Any notice, demand, request, consent, approval, or communication a Party desires or is required to give to other Party shall be in writing and either served personally or sent by prepaid, first-class mail to the address set forth below. A Party may change its address by notifying the other Party of the change of address in writing. Notice shall be deemed communicated forty-eight(48) hours from the time of mailing if mailed as provided in this Section. C36690A 8.2 Covenant Against Discrimination. The Parties covenant that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination against or segregation of, any person or group of persons on account of any impermissible classification including, but not limited to, race, color, creed, religion, sex, marital status, sexual orientation, national origin, or ancestry in the performance of this Agreement. The Parties shall take affirmative action to ensure employees and Contractors' employees and agents are treated during employment without regard to their race, color, creed, religion, sex, marital status, sexual orientation, national origin, or ancestry. 8.3 Conflict of Interest. No officer or employee of the Parties shall have any financial interest, direct or indirect, in this Agreement nor shall any such officer or employee participate in any decision relating to this Agreement which effects his or her financial interest or the financial interest of any corporation, partnership or association in which he or she is, directly or indirectly, interested, in violation of any local or State statute or regulation. 8.4 Laws and Regulations. The Parties shall keep themselves fully informed of and in compliance with all local, state and federal laws, rules and regulations in any manner affecting the Parties performance of this Agreement. A Party shall not be liable for the other Party's violation of any laws or regulations in connection with this Agreement. If a Party identifies any conflict or possible conflict between its obligations hereunder and applicable laws, rules and regulations, that Party shall provide immediate notice to the other Party. 8.5 Interpretation. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against a Party by reason of the authorship of this Agreement or any other rule of construction which might otherwise apply. 8.6 Section Headings and Subheadings. The section headings and subheadings contained in this Agreement are included for convenience only and shall not limit or otherwise affect the terms of this Agreement. 8.7 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed to be an original, and such counterparts shall constitute one and the same instrument. 8.8 Integrated Agreement. This Agreement including the exhibits hereto is the entire, complete, and exclusive expression of the understanding of the Parties. It is understood that there are no oral agreements between the Parties hereto affecting this Agreement and this Agreement supersedes and cancels any and all previous negotiations, arrangements, agreements, and understandings, if any, between the Parties, and none shall be used to interpret this Agreement. 8.9 Amendment. No amendment to or modification of this Agreement shall be valid unless made in writing and approved by the Parties. The Parties agree that this requirement for written modifications cannot be waived and that any attempted waiver shall be void. 8.10 Severability. In the event that any one or more of the articles, phrases, sentences, clauses, paragraphs, or sections contained in this Agreement shall be declared invalid or unenforceable, such invalidity or unenforceability shall not affect any of the remaining articles, CONTRACT NO. C36690A phrases, sentences, clauses, paragraphs, or sections of this Agreement which are hereby declared as severable and shall be interpreted to carry out the intent of the Parties hereunder unless the invalid provision is so material that its invalidity deprives a Party of the basic benefit of their bargain or renders this Agreement meaningless. 8.11 No Third Party Beneficiaries. There are no intended third-party beneficiaries under this Agreement and no such other third parties shall have any rights or obligations hereunder. 8.12 Binding Effect. The terms of this Agreement shall inure to the benefit of, and shall be binding upon, the Parties and their respective successors and assigns. 8.13 Assignment. This Agreement is not assignable by either Party, in whole or in part, without the consent of the other Party in the form of a formal written amendment. 8.14 Authority. The persons executing this Agreement on behalf of each of the Parties hereto represent and warrant that(i) such Party is duly organized and existing, (ii)they are duly authorized to execute and deliver this Agreement on behalf of said Party, (iii)by so executing this Agreement, such Party is formally bound to the provisions of this Agreement, and(iv)that entering into this Agreement does not violate any provision of any other Agreement to which said Party is bound.
