ECONOMIC DEVELOPMENT
MEETING DATE: December 14, 2017
REQUEST: Approval of payment to the Coachella Valley Water District (CVWD)
for the construction of the fourth domestic water well site at Desert
Willow pursuant to the 1996 Domestic Water and Sanitation
Agreement.
Recommendation
By Minute Motion:
1. Approve payment to CVWD in the amount of $667,245.00 for the
construction of the fourth domestic well within the Desert Willow Master
Plan.
2. Appropriate $667,245.00 to Fund 451 Capital Projects (Bond Funded)

Not applicable.
Executive Summary
Approval of the above recommendation will allow for the payment to CVWD for the
construction of a fourth domestic water well within the Desert Willow Master Plan. The well
sites were required by CVWD as part of the existing Domestic Water and Sanitation
Agreement entered into by the former Palm Desert Redevelopment Agency (PDRDA) to
facilitate the development of the Desert Willow lot pads. Funds for the payment are
available in the Successor Agency to the Palm Desert Redevelopment Agency (Successor
Agency) Bond Funds.
Background Analysis
In 1996, the former PDRDA entered into a Domestic Water and Sanitation Agreement (see
attached) with CVWD to provide domestic water and sanitation service to Section 4, also
known as the Desert Willow Master Plan. The agreement specifically provided for the siting
of seven well sites and the actual construction of four domestic water wells throughout the
Desert Willow Master Plan (see attached map). The agreement required that the former
PDRDA pay for the development of four domestic well sites. Three of the four well sites are
built and were paid for by the former PDRDA.

Discussion
Prior to the dissolution of the PDRDA, the agency opened a purchase order to pay for the
cost to develop the fourth well site at Desert Willow. The payment for the fourth well site is
in the amount of $667,245.00 (see CVWD invoice). These funds are available from former
Successor Agency bond funds and have been included in the Successor Agency's
Recognized Obligation Payment Schedule (ROPS) line 82.
With payment for this well site, the Successor Agency will have met its obligations under the
existing Domestic Water and Sanitation Agreement for Section 4. Upon receipt of the
payment by CVWD, the Successor Agency will receive a letter confirming that we have met
our obligations under the agreement.
Fiscal Analysis:
The payment to CVWD in the amount of $667,245.00 will be made from existing Successor
Agency bond funds and have been included in the Successor Agency ROPS. There will be
no impact to the City's General Fund.

DOMESTIC WATER AND SANITATION
AGREEMENT
THIS AGREEMENT is made on this 14th day of November , 1996, by
and between the COACHELLA VALLEY WATER DISTRICT, a public agency of the State of
California, with its headquarters at Coachella, California, hereinafter
designated as "District, " and PALM DESERT REDEVELOPMENT AGENCY in the care of
the City of Palm Desert located at 73-510 Fred Waring Drive, Palm Desert,
California, doing business as Section Four North Sphere Development, hereinafter
designated as "Agency. "
WHEREAS, Agency is developing approximately 600 timeshare units, a 300- and
500-room hotel, a conference center, a clubhouse facility, a sports park and a
commercial complex located in Section 4, Township 5 South, Range 6 East, San
Bernardino Meridian, in the City of Palm Desert, hereinafter designated
"Section Four" and described on Exhibit A; and
WHEREAS, said Section Four will require a water and sanitation distribution
system and water and sanitation service to each of said Developments; and

WHEREAS, said Section our has fire flow requirements 3,000 gallons per
minute which are in excess of that available from District's existing system;
and
WHEREAS, Agency is desirous of having District provide domestic water and
sanitation service to the Developments within said Section Four and is willing
to transfer to District the water and sanitation distribution systems necessary,
therefore, after the construction thereof and District is willing to accept such
transfer and to provide domestic water and sanitation service to the
Developments within said Section Four on the terms and conditions set forth
herein.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
1. Agency shall do the following:
a. Execute District' s Domestic Water and/or Sanitation System
Installation Agreement for each Development within said Section Four.
b. Provide seven well sites including walls and landscaping at
locations and of sizes approved by District at no cost to District. Said
sites shall be approximately 150' x 150' in dimension.
c. Pay to District the actual cost of four domestic water wells
complete with all the necessary appurtenances, including one well with
on-site generator backup power. The wells shall be constructed on four of
the above mentioned well sites provided by Agency. The estimated cost of
three wells complete with all necessary appurtenances is $450,000 per well.
The estimated cost of one well complete with all necessary appurtenances,
including backup generator power, is $550, 000.
In lieu of Agency providing irrevocable letter of credits or
cash deposits in the amounts mentioned above to be used by District to pay
for the cost of four wells complete with all necessary appurtenances,
Agency agrees to pay to District the actual cost of four wells complete

with all necessary appTirtenances as wells are required o be constructed
based on monthly invoices. Agency shall provide a monthly payment to
District to reimburse District for total monthly well construction costs
within 30 days of receiving District invoices, even if contested.
Agency shall notify District in writing for District to
begin well construction in accordance with the following well construction
schedule:
1) A well one year prior to the request for domestic water
service to the first unit within said Section Four.
2) A well one year prior to the request for domestic water
service to the 350th unit within said Section Four.
3) A well one year prior to the request for domestic water
service to the first hotel. This well includes backup generator
power.
4) A well one year prior to the request for domestic water
service to said Conference Center.
d. Provide grading plans for the seven well sites described in
Subparagraph 1.b. , for District approval. After the grading plans have
been approved by District, grade the sites per the approved plans,
concurrently with the grading of the adjoining Developments.
e. Pay the additional cost within 30 days of being billed should the
cost of construction of the wells exceed the advance payment referenced in
Subparagraph l.c.
f. Provide electrical power of a voltage and wattage necessary for
well operation to the seven well sites described in Subparagraph 1.b.
g. Construct 8-foot high perimeter walls around the seven well sites
described in Subparagraph 1.b. , and provide exterior landscaping. The
design of the walls shall also include consideration of noise attenuation

to maintain exterior nIise levels to an acceptable amb t level for
residential development while the seven wells are in operation. The design
of the walls shall be reviewed by District prior to construction.
h. Be responsible for the maintenance including but not limited to
malicious damage and graffiti of the exterior walls and landscaping at
the seven well sites described in Subparagraph 1.b.
i. Construct a building, at its option and expense, to house the
four wells and appurtenances described in Subparagraph 1.c. The design
shall be reviewed and approved by District prior to construction and shall
include a removable roof, ventilation and soundproofing.
j. Agrees to accept well site drainage and well discharge water from
each of the seven well sites into the on-site drainage facilities. Agency
shall provide plans for District approval. After the plans have been
approved by District, construct and maintain the facilities necessary for
the conveyance of these waters from each well site, per the approved plans.
k. Design and construct a minimum of a 12-inch diameter domestic
water pipeline, if one is not adjacent to the domestic water well sites,
from an existing 12-inch diameter or larger domestic water pipeline and
provide a 12-inch diameter stub-out to each of the seven well sites
described in Subparagraph l.b.
1. Design and construct an 18-inch diameter domestic water pipeline
from the existing 18-inch diameter domestic water pipeline in Cook Street
west within an internal street, maintenance/access or emergency road
generally through the center of said project to the existing 18-inch
diameter domestic water pipeline in Portola Avenue as that portion of said
Section Four develops.
m. Design and construct a 12-inch diameter domestic water pipeline
from the existing 18-inch diameter domestic water pipeline at the

Desert Springs Drive approximately 1,300 feet, then westerly within an
internal street to the existing 18-inch diameter domestic water pipeline in
Portola Avenue as that portion of said Section Four develops.
n. Design and construct the internal sanitary sewer pipelines to
meet said Section Four's discharge requirements.
o. Require that any contractor under its employ for the construction
of the domestic water and sanitary sewer pipelines shall comply with the
provisions of the Labor Code of the State of California regarding minimum
wages ; the 8-hour day and 40-hour week, overtime, Saturday, Sunday and
holiday work; and nondiscrimination because of race, color, national
origins, sex or religion.
p. Complete in the required sequence, the domestic water wells and
pipelines described in Subparagraphs l.c. , 1. 1. , l.m. , and l.n. , before
domestic water and sanitation service is initiated by District to said
Section Four.
2. District shall do the following:
a. Construct a domestic water well, complete with all necessary
appurtenances, on four of the seven sites provided by Agency. Each well
will be operational within one year of the date of Agency providing the
necessary advance payments, however, District shall not be liable for the
failure to meet this schedule.
b. Provide fire flow of 3, 000 gallons per minute to said Section
Four subject to Agency constructing the required and necessary wells and
pipelines, and subject to circumstances beyond the control of District.
Said fire flow shall not be available prior to the completion of the
necessary wells and pipelines.

c. Consider the ctual cost of the wells cowl" with

necessary appurtenances, described in Subparagraph 1.c. , as credit toward
the Building Unit Charge of the Water System Backup Facilities Charge less
the Supplemental Imported Water Supply component, at the charge in effect
on the day each deposit is paid in full for the cost of the construction of
each well. Should a letter of credit or payment schedule be implemented,
the credit will be the charge in effect on the day each well is placed into
service in District's system. No refund of this credit will be made
outside said Section Four.
3. This Agreement is binding on the assigns of District and on the
assigns, successors and representatives of Agency.
