Authorize the City Manager to execute the Memorandum of Understanding between Community Connect and the City of Palm Desert to participate in the 2-1-1 Riverside County Information and Referral Program (Contract No. C35580 ); and 2. Authorize the expenditure of funds in an amount not to exceed $7,500 from Account No. 1104132-4309000. Strateqic Plan Obiective N/A Executive SummarX Since 2005, the City of Palm Desert has been a member of Riverside County's 2-1-1 Information and Referral Program. The Memorandum of Understanding for FY 2016/2017 will cover the City's continued participation in this Program. This Program has become a vital informational and referral tool for residents of Palm Desert; as such, continued support by the City of Palm Desert is recommended. STAFF REPORT 2-1-1 RIVERSIDE COUNTY PROGRAM MOU JULY 28, 2016 PAGE 2 Background The Program continues to provide Palm Desert residents and visitors with 24-hour information and referral services via 2-1-1 number. Referrals are provided to public social service agencies, government agencies, and non-profit organizations established to provide services (e.g. food, clothing, shelter, drug and alcohol intervention and rehabilitation, utilities, employment support including job training, transportation assistance, etc.) Per the FY 2015/2016 Statistical Report for the period of July 1, 2015 to June 30, 2016, the 211 System received 977 (e.g., 633 calls received and 344 web searches) contacts from Palm Desert residents for various services. This number does fluctuate based on the need for services by residents at any given time throughout the year. C35580 MEMORANDUM OF UNDERSTANDING between COMMUNITY CONNECT (CC) and City of Palm Desert (City) For Information and Referral Services via toll -free or 211 Number Contract No. WHEREAS, the City desires CC to provide information and referral services to callers, toll -free, via 211; and WHEREAS, people in need require 24-hour response to their inquiries about local human services; and WHEREAS, CC is a contractor which has the experience and ability to provide such services; and WHEREAS, the City and the CC wish to enter into an agreement whereby CC will furnish such services; NOW THEREFORE, the City and the CC mutually agree to the following terms and conditions: I. CC's RESPONSIBILITIES A. Coordinate with all telephone providers to route 211 calls to CC. B. Provide all equipment necessary for the performance of this agreement and be responsible for the maintenance of said equipment. C. Maintain an up-to-date database of community health and human services for Riverside County. D. Employ trained Information and Referral Specialists to take calls from the public in search of services and refer callers to appropriate agencies to meet their needs. E. Coordinate collaborative efforts to help communities build capacities for meeting the health and human service needs of the public. F. Identify gaps in services and inform funders and service providers about those gaps. G. Educate the public about available services. H. Work with the City officials to establish a protocol for non -emergency information and referral during disasters. I. Provide annual service reports of information and referral requests from zip codes within the City limits. II. THE CITY's RESPONSIBILITIES: A. Serve as the primary focal point in the community for connecting people with City department information and referral. MEMORANDUM OF UNDERSTANDING between CONTRACT NO. C35580 COMMUNITY CONNECT (CC) and City of Palm Desert (City) B. Refer callers to appropriate agencies and services to meet their needs, including 2-1-1 Riverside County, a program of CC. III. MUTUAL RESPONSIBILITIES A. The City and CC will work together to develop appropriate relationships, and make every effort not to duplicate efforts. B. The City and CC will make every effort not to approach funders to duplicate programs that may be provided by partnering agencies. C. The City and CC will strive to educate the community about our individual roles and missions, and will work to mutually promote our roles. D. The City and CC agree to communicate regularly and nurture our collaboration, and will ensure that partner networks are included in the development of appropriate community initiatives. E. The City and CC will work together to develop an effective community plan for sharing information in local disasters. F. The City and CC will work together closely and build upon the activities of each. This may involve numerous vehicles such as: 1. Links to connect respective web sites. 2. Participation with 211 Steering Committee meetings if city staff is available and meetings are local. IV. FISCAL PROVISIONS A. The City agrees to pay CC an annual fee. The rate is based on $.13 per capita of the City of Palm Desert. B. The City agrees to pay annually, unless some other method of payment is mutually agreed to in writing. C. CC agrees to submit annual invoices to the City by July 30 of each year. V. INDEPENDENT CONTRACTOR In the performance of the obligations under this agreement, it is understood and agreed that CC is at all times acting and performing services as an independent contractor, and the City shall exercise no control or direction over the manner and means by which CC performs its obligations under this contract, except as herein stated. CC will report to a contract administrator appointed by the City. All persons employed by or volunteering for CC in the performance of CC's services and functions shall be considered employees, volunteers, and agents of CC. No person employed or volunteering for CC shall be entitled to a City pension, civil service, or any status or right, nor shall he or she be deemed to be a City employee as a result of this Agreement. Additionally, all persons employed by or volunteering for CC shall not represent themselves to be affiliated with the City. V1. INDEMNIFICATION CC promises and agrees to defend, protect, indemnify, and save harmless the City, its officers, agents, and employees, from and against any, and all claims, demands, and liability for damages for personal injury or property damage suffered by reason of any 2 MEMORANDUM OF UNDERSTANDING between CONTRACT NO. C35580 COMMUNITY CONNECT (CC) and City of Palm Desert (City) act or omission of CC, or CC's employees, volunteers, agents, or contractors, or by reason of any dangerous or defective condition caused or permitted by CC or CC's employees, volunteers, agents, or contractors. The City promises and agrees to defend, indemnify, and save harmless CC, its officers, employees, and volunteers from all claims, demands, and liability for damages for personal injury or property damage suffered by reason of any act or omission of the City or the City's officers or employees, or by reason of any dangerous or defective condition caused or permitted by the City or the City's officers or employees, except where such action, omission, or condition is caused by or is the result of an action, omission, or request of CC or CC's officers, employees, or volunteers or is alleged to arise out of the execution of this Agreement. VII. INSURANCE Without limiting CC's indemnification of City, and prior to commencement of services, CC shall obtain, provide and maintain at its own expense during the term of this MOU Agreement, policies of insurance of the type and amounts described below and in a form that is satisfactory to the City. A. General Liabilitv Insurance: CC shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount not less than $1,000,000 per occurrence, $2,000,000 general aggregate, for bodily injury, personal injury, and property damage, including without limitation, blanket contractual liability. B. Workers' Compensation Insurance: CC shall maintain Workers' Compensation Insurance (Statutory Limits) and Employer's Liability Insurance (with limits of at least $1,000,000). CC shall submit to City, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of City of Palm Desert, its officers, agents, employees and volunteers. C. Proof of Insurance: CC shall provide certificates of insurance to City as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for all policies required. Insurance certificates and endorsement must be approved by City's Risk Manager. D. Duration of Coveraae: CC shall procure and maintain for the duration of the MOU Agreement, insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the MOU Agreement E. Acceptable Insurers: All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance in the State of California, with an assigned policyholders' Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless otherwise approved by the City's Risk Manager. 3 MEMORANDUM OF UNDERSTANDING between CONTRACT NO. C35580 COMMUNITY CONNECT (CC) and City of Palm Desert (City) F. Waiver of Subroaation: All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against the City of Palm Desert, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow CC to waive their right of recovery prior to a loss. CC hereby waives its own right of recovery against City of Palm Desert. G. Primary and Non-Contributinq Insurance: All insurance coverages shall be primary and any other insurance, deductible, or self-insurance maintained by the indemnified parties shall not contribute with this primary insurance. Policies shall contain or be endorsed to contain such provision H. Notice of Cancellation: CC agrees to oblige its insurance agent or broker and insurers to provide to City with a thirty (30) day notice of cancellation (except for nonpayment for which a ten [10] day notice is required) or nonrenewal of coverage for each required coverage. I. Additional Insured Status: The general liability policy shall provide, or be endorsed to provide, that the City of Palm Desert and its officers, officials, employees, and agents shall be additional insureds with regard to liability and defense of suits or claims arising out of the performance of the MOU Agreement, under such policy. Vill. TERM This MOU shall be in effect from July 1, 2016 through June 30, 2017 and renew automatically each year unless terminated in accordance with Section IX. IX. EARLY TERMINATION A. For Cause. If either party fails to perform any duties or obligations imposed on it by this Agreement and such failure continues for thirty (30) days after written notification by one party to the other, then this Agreement will be in breach and the party providing such notice may terminate this Agreement immediately thereafter. B. Without Cause. Either party at any time may terminate this Agreement without cause upon giving of thirty (30) days prior written notice to the other of such intent to terminate at the address set out in Section of this Agreement. C. Reimbursement of Compensation. If this Agreement is terminated prior to the end of the term set forth in Section, CC shall be compensated on a pro rata basis. 4 MEMORANDUM OF UNDERSTANDING between CONTRACT NO. O. Box 5376 Riverside, CA 92517-5376 XI. GENERAL PROVISIONS A. This MOU constitutes the entire agreement between the parties. No waiver of any term or condition of this Agreement shall be deemed a continuing waiver hereof. This Agreement is binding upon CC and their successors and assignees. Except as otherwise provided herein, CC shall not assign, sublet, or transfer its interest in this Agreement or any part thereof without the prior written consent of the City. Any such assignment shall, at the option of the City, immediately void this Agreement. B. Any alternations, variations, modifications, or waivers of provisions of the MOU, unless specifically allowed in the MOU, shall be valid only when they have been reduced to writing, duly signed and approved by the Authorized Representatives of both parties as an amendment to this MOU. No oral understanding or agreement not incorporated herein shall be binding on any of the Parties hereto. XII CONCLUSION A. This MOU, consisting of five pages, is the full and complete document describing services to be rendered by CC and the City including all covenants, conditions, and benefits. B. The signatures of the Parties affixed to this MOU affirm that they are duly authorized to commit and bind their respective agencies to the terms and conditions set forth in this document. 5 MEMORANDUM OF UNDERSTANDING between CONTRACT NO.
