Recommendation:
By Minute Motion, Staff requests that the City Council refund Building Permit Fees in
the amount of $53,141.62 for Building Permits 13-60671, 13-60672, 13-60675, 13-
60677, 14-63008, 14-63009 for the Villa Portofino project.
Executive Summary:
In September, 2014, Building Permit Fees of $53,141.62 were paid by Comstock
Homes. On December 2, 2014 the City received a request from Comstock Homes
requesting for a refund of building permit fees from the Building and Safety Department.
Discussion:
Mr. Robert W. Comstock of Comstock Homes requested in a meeting with the City
Manager that Comstock Homes be allowed to enter into a "Third Party Inspection
Agreement' in order to have a full time inspector on the site at all times in hopes to
accelerate their project (Villa Portofino).
The City entered into an agreement with Comstock Homes on March 21, 2014 in which
allowed Comstock Homes to acquire the services of Willdan Engineering to provide
third party inspection services for the Villa Portofino project.
The fees that are being refunded are only those fees that were collected to cover
building inspections.

Due to inspections conducted by Comstock contracted inspectors, Comstock Homes would like to request a
credit for the building permit fees that cover the Inspection fees that have been paid for the following permits.

THIRD PARTY
INSPECTION AGREEMENT
(Willdan and Appficant)
THIS AGREEMENT is made and entered into this 21s' day of March. 2014 by, between and
among Willdan Engineering, a California corporation ("Inspector"), the City of Palm Desert,
California and Comstock Homes ("Applicant").
RECITALS
Whereas, City of Palm Desert is agreeable that Applicant may contract directly with a qualified
third party engineering firm to perform Inspection services on behalf of the City;
Whereas, Applicant desires to enter into a third party agreement with Inspector to perform such
services;
Whereas, Inspectors are experienced in providing such services for municipal corporations and
is able to provide experienced personnel to cant' out the duties involved;
NOW, THEREFORE, in consideration of the covenants and premises herein stated, it is agreed
as follows:
A. Applicant intends to construct: Housing Tract (hereinafter the "Project"). Inspector agrees to
perform the following services for Applicant with respect to the project: Inspection in
accordance with ICC Building Standards Codes, City of Palm Desert Ordinances and
other applicable Standards.
B. Inspector shall be compensated for such services by direct payment from Applicant.
Notwithstanding that Applicant is to compensate Inspector directly, it is agreed that Inspector's
duties with respect to this project are to State and City requirements and not to Applicant. The
compensation shall be as follows: Hourly rate of $95. Such compensation to Inspector shall
not be in lieu of other fees as may be charged by the City.
IN WITNESS WHEREOF, the parties execute this agreement upon the terms and conditions
stated above and the "PROVISIONS OF AGREEMENT" following the signatures below.

AGREEMENT APPEAR ON THE FOLLOWING PAGE.
PROVISIONS OF AGREEMENT
1. Plan Checkibspectlon Services. Inspector/Plan Checker shall provide building
observation and/or plan review services as the Building InspectorlPlan Checker for
compliance with conditions of approval, provisions of the City of Palm Desert ordinances
and the Code requirements set forth on the plans for which the permit was issued.
Inspector/Plan Checker shall be deemed to have the same right to protection from
liability, including without limitation the claims filing requirements and immunities provided
it the California Tat Claims Ad to the maximum extent allowed by law as is provided to
employees.
2. This agreement shall be binding upon the heirs, executors, administrators, successors
and assigns of each of the parties.
3. This agreement shall not be assigned by any party without the prior written consent of
the other panties.
4. This agreement contains the entire agreement between the parties relating to the
Project and the provision of services to the projed Any prior agreements, promises,
negotiations or representations not expressly set forth in this agreement are of no face or
effect. Subsequent modifications to this agreement shall be in writing and signed by all
panties.
5. The waiver of any term, condition, or covenant or breach of any term, condition, or
covenant, shall not Institute the waiver of any other term, condition, or covenant or the
breach of any other term, condition, or covenant
6. If any term, condition, or covenant of this agreement is held by a court of competent
jurisdiction to be invalid, void or unenforceable, the remaining provisions of this
agreement shall be valid and binding.
7. This agreement shall be governed by and construed in accordance with the laws of the
State of California.
8. All original papers, documents, drawings and other instruments of service of
Inspector/Plan Checker, and copies thereof, produced by Inspedor/Plan Checker
pursuant to this agreement, except documents which are required to be filed with public
agencies, shall remain the property of Inspector/Plan Checker.
9. Applicant acknowledges that its right to utilize the services and work product provided
pursuant to this agreement will continue only so long as Applicant is not in default
pursuant to the terms and conditions of this agreement and Applicant has performed all
obligations under this agreement
10. Upon written request Applicant shah execute and deliver, or cause to be executed
and delivered, such additional instruments, documents, governmental fees and charges
which are necessary to perform the terms of this agreement
11. Inspector/Plan Checker makes no representations concerning soil conditions unless
specifically included in writing in this agreement and Inspector/Plan Checker is not
responsible for any liability that may anise out of the making or failure to make soil
surveys, or sub -surface soil tests, or general sal testing. Inspector/Plan Checker makes
no representation concerning the past, present or future presence of hazardous waste or
asbestos on the Project, and Inspector/Plan Checker is not responsible for any liability
that may arise out of the making or failure to make tests or perform investigations
concerning the same.
12. Applicant agrees not to use or permit any other person to use instruments of service
prepared by Inspector/Plan Checker, which are not final and which are not signed, and
stamped or sealed by Inspector/Plan Checker. Applicant agrees to be liable and
responsible for any such use of nonfinal instruments of service not signed and stamped or
sealed by Inspedor/Plan Checker and waives liability against Inspector/Plan Checker for
their use. Applicant further agrees that final instruments of service are for the exclusive
use of and may be used by only for the project described on the face hereof. Such final
plans, drawings, or instruments of service may not be changed nor used on a different
project without the written authorization or approval by City of Palm Desert and
Inspector/Plan Checker.
13. Inspector/Plan Checker has a right to complete all services agreed to be rendered
under to this contrail In the event this contrail is terminated prior to completion of all
services, unless Inspector/Plan Checker is responsible for such termination, Applicant
shall release Inspector/Plan Checker from all liability for work performed.
14. Inspector/Plan Checker shah be entitled to immediately, and without notice, suspend
the performance of any and all of its obligations under this agreement 4 Applicant files a
voluntary petition seeking relief under the United States Bankruptcy Code or if there is an
involuntary bankruptcy petition filed against client in the United States Bankruptcy Court
and that petition is not dismissed within fifteen (15) days of its filing. Any suspension of
services pursuant to the provisions of this paragraph shall continue unlit such time as this
agreement has been fully and property assumed in accordance with the applicable
provisions of the United States Bankruptcy Code and in compliance with the final order of
judgment issued by the Bankruptcy Court
15. This agreement shah not be construed to alter, affect or waive any hen or stop notice
right which Inspector/Plan Checker may have for the performance of services pursuant to
this agreement Applicant agrees to separately provide to Inspector/Plan Checker the
present name and address of the record owner of the project property. Applicant also
agrees to separately provide Inspector/Plan Checker with the name and address of any
and all lenders who would loan money on the project and who are entitled to receive a
preliminary notice.
16. If Applicant fails to pay Inspector/Plan Checker within thirty (30) days after invoices
are rendered, Applicant agrees Inspector/Plan Checker shah have the right to consider
such default a material breach of this entire agreement and, upon written notice, the
duties, obligations, and responsibilities of Inspector/Plan Checker under this agreement
are terminated. In such event Applicant shag promptly pay Inspector/Plan Checker for all
fees, charges, and services provided by Inspector/Plan Checker up to the date contract
is terminated.
17. All fees and other charges are due upon completion of the first plan check unless
otherwise specified in this agreement
18. Applicant agrees that the periodic billings from Inspector/Plan Checker to Applicant
are cored, conclusive, and binding on client unless Applicant within thirty (30) days from
the data of receipt of such billing, notifies Inspector/Plan Checker in writing of alleged
inaccuracies, discrepancies, or errors in the billing.
19. Applicant agrees to pay a monthly late payment charge, which will be the lesser of,
one and one-half percent (1-1/2%) per month, or a monthly charge not to exceed the
maximum legal rate, which will be applied to any unpaid balance commencing thirty (30)
days after the date of the original billing.
20. Applicant shall pay the casts of checking and inspection fees, zoning and annexation
application fees, assessment fees, soils engineering fees, soils testing fees, aerial
topography fees, and all other fees, permits, bond premiums, title company charges,
blueprints and reproductions, and all other charges not specifically covered by the terms
of this agreement
21. In the event all or any portion of the work prepared or partially prepared by
Inspector/Plan Checker be suspended, abandoned, or terminated, Applicant shall pay
Inspector/Plan Checker for all fees, charges and services provided for the project to the
date of termination, not to exceed any contract limit specified herein. Applicant
acknowledges if the project work is suspended, for a period of 60 days and restarts, there
will be additional charges to suspension of the work which shall be paid for by Applicant
as extra work
22. Inspector/Plan Checker is not responsible for delay caused by activities or factors
beyond Inspector/Plan Checkers reasonable control, including but not limited to, delays
by reason of strikes, lockouts, work slowdowns or stoppages, accidents, acts of God,
failure of Applicant to furnish timely information, faulty performance by Applicant or
contractors or governmental agencies. When such delays beyond Inspector/Plan
Checkers reasonable control occur, Applicant agrees Inspector/Plan Checker is not
responsible in damages nor shall Inspector/Plan Checker be deemed to be in default of
this agreement
23. In the event that any party institutes a suit against another, either by oompiaint or by
way of cross -complaint, including a cross -complaint for indemnity, for alleged negligence,
error, omission, or other failure to perform, the losing party will pay the prevailing party's
attorneys fees and costs.
24. Applicant agrees that in the event Applicant institutes litigation to enforce or interpret
the provisions of this agreement such litigation is to be brought and adjudicated in the
appropriate court in the County in which Inspector/Plan Checkers principal place of
business is located, and Applicant waives the right to bring, try or remove such litigation
to any other county or judicial district
25. Applicant acknowledges that Inspector/Plan Checker is not responsible for the
performance of work by third parties including, but not limited to, the construction
contractor and its subcontractors.
26. Applicant acknowledges that Inspector/Plan Checkers scope of services for this
project does not include any work related in any way to asbestos and/or other hazardous
waste. Should Inspector/Plan Checker or any other party encounter such materials on
the job site, or should it in any other way become known that such materials are present
or may be present on the job site or any adjacent or nearby areas which may affect
Inspector/Plan Checkers work, Inspector/Plan Checker may, at its optics, terminate work
on the project until such time as Applicant retains a specialist contractor to abate and/or
remove the asbestos and/or hazardous waste materials and warrant that the job site is
free from any hazard which may result from the existence of such materials.
27. Applicant agrees to save, keep harmless, indemnify and defend , Inspector/Plan
Checker and their officers, employees and agents from all claims, liability, damages and
costs, including attorneys fees, caused by any act error or omission on the part of
Applicant or on the part of its officers, employees, agents, consultants, contractors or
subcontractors.
28. This agreement shall be interpreted as though prepared by all parties.
Additional Provisions:
1. City of Palm Desert shah have final approval of Wilkfan inspector.
2. Once commenced, inspections shah continue only with Willdan inspector.
3. Request for inspection shall only be made to the City and the City wig then
assign to the Wigdan inspector.
4. Wmlldan inspector will check in with the City each day to obtain inspection
request and inspector will input daily results into the City file.

I will discuss this with City Manager and City Attorney today at Executive Management
meeting. My understanding is once inspections are commenced for this project with Willdan
they will remain with Willdan until the completion of the project. That was my understanding
and that is why I had these requirements added to the agreement that all parties agreed to
when signing this "Contract". This is how the City assigns all projects within the City "One
Inspector of Record" for each project.

Pete Perea, Comstock Homes VP of Construction and I understood that Willdan would inspect the
12plexes and The City of Palm Desert would inspect the single family and townhome product.
This understanding was based on a meeting we had with the City when the option of Willdan was
initially discussed. It was relayed that The City would not allow private/public inspector's
looking at the same product and that whatever decision was made, the inspection party would
be the same through the C of 0.
As such Pete and I would like to meet with you this Wednesday, 11/12/14 at gam to discuss.
Please let me know if this time works.

under "Additional Provisions" #2. Once commenced, inspections shall continue only with

Comstock Homes is requesting that the Single Family and Triplex product type be inspected by
The City of Palm Desert.
Initial plumbing Inspections were called this past week for today 11/7 and Monday, 11/10 for
single family and triplex product. The City however was expecting Wildan to perform the
Inspection. As such no inspections were performed today.
My apologies for the confusion (Wildan is inspecting the 12plexes). I believe inspections are
still scheduled for Monday and I am hoping that the inspector would be able to inspect both
products types.

I will forward your concerns to the City Attorney and City Manager for a response. Just to clear up any
misconceptions the City has never stated or failed to provide your project with inspections services. Comstock
Homes has requested the use of outside third party inspection services and with the understanding that it will
be an expense they have to incur in addition to fees already paid. The City is currently able and has always been
able to provide services for your project. Schedule your inspections accordingly and to the conditions of the
Agreement that all parties signed. All future correspondence should be directed to the City Manager.

Russell I understand the City's position on the inspection's for our project although that is not what we discussed, You
said you did not want to inspect the 12-Plex buildings but that you would inspect the du-plex tri-plex and single family
homes. Comstock Homes has made arrangements with Wildan to do just that and let's not forget why we are at this
juncture the City does not have the horsepower to keep up with the inspections or the quality of inspectors needed to
do the job. So that being said will there be a refund in inspection fees or do you want to do all the inspections across the
board if you choose the latter I expect a competent inspector and no games, I am tired of the I only have 10 min. when
your inspector has been sitting on Portola on his cell phone for 45 min.
