Authorize the Desert Willow Golf Resort to purchase fertilizer products from Crop Production Services, of San Jacinto, California, (Contract No. C ) for the FY 2015-2016 in an amount not to exceed $186,470.64; and 2. Authorize the Mayor to execute the contract. Funds are available in Course and Grounds Expenses, Account No. 5204195-4803100. Strategic Plan Objective On -going maintenance of the Desert Willow Golf Resort's golf courses sustains one of the City's premier recreational facilities. By preserving and enhancing this facility, the City furthers its goals of continuing the high quality of life that our residents and visitors expect, and providing recreational and exercise opportunities pervasive in all public spaces. Background On June 3 and 10, 2015, the Notice Inviting Sealed Bids for the fertilizer products for the Desert Willow Golf Resort was published in The Desert Sun. The Specifications incorporated the solid, liquid, and soluble fertilizer needs for the Desert Willow Golf Resort golf courses and grounds (excluding greens). Staff Report Purchase Course Fertilizer for DWGR July 9, 2015 Page 2 of 2 Contract No. C34610 The bids were opened on June 23, 2015. Only one bid was received, from Crop Production Services (CPS), San Jacinto, CA in the amount of $186,470.64. CPS is the current fertilizer provider and their products meet the specifications listed in the bid documents. The Desert Willow golf course superintendent has reviewed the product data sheets and has indicated they meet the requirements for the golf course. The superintendent is responsible for the determination of the quantities of fertilizer application and is on an as -needed basis dependent on many factors directly related to the turf and soil conditions. Staff recommends approval to purchase the golf course fertilizer from CPS for FY 2015/2016 in the amount not to exceed $186,470.64. Fiscal Analysis This year's annual fertilizer pricing is lower than last year by $27,237.60, but this years' fertilizer order is 20 tons lower in the solid fertilizer category. The actual quantities of the fertilizer purchased for Fiscal Year Ending June 30, 2016, will be on an as -needed and will not exceed the contract amount of $186,470.64. WITNESSETH: WHEREAS, the CITY invited bids for material(s) for the Desert Willow Golf Course Annual Fertilizer Purchase - Fiscal Year 2015/16; per specifications; and WHEREAS, pursuant to said invitation, CONTRACTOR submitted a bid, which was accepted by DWGR for said material(s); and WHEREAS, CONTRACTOR has re-examined its Bid and found it to be correct, NOW, THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafter contained, the parties hereto agree as follows: (1) TERM. The term of this Agreement shall be from July 1, 2015, through June 30, 2016, or to such later date as may be agreed in writing between parties. (2) DWGR'S OBLIGATIONS. For furnishing material(s), as specified in this Agreement, DWGR will pay and CONTRACTOR shall receive in compensation, therefore an amount not to exceed One Hundred Eighty Six Thousand Four Hundred Seventy and 64/100 Dollars ($186,470.64) as billed on a per -item monthly basis as set forth in the Contract Documents and adopted by the DWGR. (3) CONTRACTOR'S OBLIGATION. For, and in consideration of the payments and agreements hereinbefore mentioned to be made and performed by DWGR, CONTRACTOR agrees with DWGR to furnish the material(s) and to do everything required by this Agreement and the Contract Documents, Specifications and Conditions. (4) HOLD HARMLESS AND INDEMNIFICATION. CONTRACTOR agrees to defend, indemnify, and hold harmless the Desert Willow Golf Resort (DWGR), Kemper Sports Management, Inc., City of Palm Desert (CITY), their officials, officers, employees, representatives, volunteers and agents, from and against all claims lawsuits, liabilities or damages of whatsoever nature arising out of our connection with, or relating in any manner to, any act or omission of the CONTRACTOR, his agents, employees, subcontractors and their employees thereof in connection with the performance or non-performance of this Agreement. The CONTRACTOR Contract C 34610 shall thoroughly investigate any and all claims and indemnify Kemper, DWGR and CITY and do whatever is necessary to protect Kemper, the DWGR and CITY, its official, officers, employees, agents, volunteers and representatives as to any such claims, lawsuits, liabilities or damages. (5) AMENDMENTS. Any amendment, modification, or variation from the terms of this Agreement shall be in writing, signed by the CONTRACTOR and approved by the City Council of the City of Palm Desert. (6) TERMINATION. If, during the term of this Agreement, the DWGR/CITY determines that CONTRACTOR is not faithfully abiding by any term or condition contained herein, DWGR/CITY may notify CONTRACTOR in writing of such defect or failure to perform; which notice must give the CONTRACTOR a three-day notice of time thereafter in which to perform said work or cure the deficiency. If CONTRACTOR fails to perform said work or cure the deficiency within the ten (10) days specified in the notice, such shall constitute a breach of this Agreement and DWGR/CITY may terminate this Agreement immediately by written notice to the CONTRACTOR to said effect. Thereafter, except as otherwise set forth herein, neither party shall have any further duties, obligations, responsibilities, or rights under this Agreement. In said event, the CONTRACTOR shall be entitled to the reasonable value of its services performed from the beginning of the period in which the breach occurs up to the day it received DWGR/CITY's Notice of Termination, minus any offset from such payment representing the DWGR/CITY's damages from such breach. DWGR/CITY reserves the right to delay any such payment until completion of confirmed abandonment of the project, as may be determined in the DWGR/CITY's sole discretion, so as to permit a full and complete accounting of costs. In no event, however, shall the CONTRACTOR be entitled to receive compensation in excess of the per item price quoted in its bid. The City Council may terminate the contract with 30 days written notice for any reason. (7) INCORPORATED BY REFERENCE. The entire contract consists of the following: (a) The Agreement; (b) The Notice Inviting Bids; (c) The Instruction to Bidders, (d) The Bid Proposal; (e) The Standard Specifications as modified in other portions of the Contract Documents; (f) Appendix(s); (g) Addenda Nos. N/A ; (h) Any Change Orders issued; (i) Any additional or supplemental specifications, notices, instructions and drawings issued in accordance with the provisions of the Contract Documents. All of said Documents presently in existence are by this reference incorporated herein as if here set forth in full and upon the proper issuance of their documents they shall likewise be deemed incorporated. Contract C 34610 (8) COMPLETE AGREEMENT. This written Agreement, including all writings specifically incorporated herein by this reference, shall constitute the complete agreement between the parties hereto. No oral agreement, understanding, or representation not reduced to writing and specifically incorporated herein shall be of any force or effect, nor shall any such oral agreement, understanding, or representation be binding upon the parties hereto. (9) ANTI -DISCRIMINATION. In the performance of the terms of this Agreement, the CONTRACTOR agrees that it will not engage in, nor permit such subcontractors as it may employ, to engage in discrimination in employment of any person because of the age, race, color, sex, national origin or ancestry, or religion of such persons. Violation of this provision may result in the imposition of penalties referred to in Labor Code Section 1735. (10) AUDIT. CITY shall have the option of inspecting and/or auditing all records and other written material used by CONTRACTOR in preparing its statements to CITY as a condition precedent to any payment to CONTRACTOR. (11) NOTICE. In the event an action is filed by either party to enforce any rights or obligations under this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs, in addition to any other relief granted by the court. (13) AUTHORITY TO EXECUTE AGREEMENT. Both DWGR and the CONTRACTOR do warrant that each individual executing this Agreement on behalf of each party is a person duly authorized. To be considered, bids must be made on the completed Bid Proposal forms and submitted in an opaque sealed envelope plainly marked on the outside "SEALED BID FOR DESERT WILLOW FERTILIZER PRODUCTS, PROJECT NO. 843-16 — DO NOT OPEN WITH REGULAR MAIL." The bid is due in the office of the City Clerk, 73-510 Fred Waring Drive, Palm Desert, California 92260, up to the hour of 2:00 p.m. on June 23, 2015 Bids received after that time will not be accepted. Form of Bid The bid must be made on the Bid Proposal form which is included in the Contract Documents and Specifications. It must be completely filled in, dated, signed, and notarized. If provision is made for alternatives, they must all be bid, unless otherwise provided in the Contract Documents and Specifications. Failure to bid on all items and schedules may result in the bid being rejected as non -responsive. All bids must be accompanied by the executed Non -Collusion Declaration provided in the specifications. Contract Documents and Specifications The specifications attached are a sample of various common and custom blend fertilizer products used at Desert Willow Golf Resort, but is not all inclusive of the total fertilizer blend products that may be required. The common and custom blend fertilizer products requested are at the sole discretion of the Golf Course Superintendent, and are contingent on several underlying conditions, such soil analysis, temperatures, vegetation, etc. Fertilizers with specific characteristics are listed in Appendix A. Fertilizers not listed in Appendix A are left to the discretion and professional expertise of the of the bidder. License To be considered, a potential bidder must have the appropriate license required under provisions of the California Business and Professions Code for the work covered when the bid is submitted. This includes a joint venture formed to submit a bid. Upon the award a City of Palm Desert Business License will be required. Quantities The contract amount shall be based on the estimated quantities in the Bid Proposal. No obligation shall be borne by the City of Palm Desert or Desert Willow Golf Resort for the full price of the bid without actually purchasing the fertilizer. All payments will be made within the terms of the purchase agreement and the account will be maintained in good standing by the Desert Willow Golf Resort. DESERT WILLOW ANNUAL FERTILIZER PURCHASE FY 2015/16 Page 3 Interpretation of Documents Discrepancies, omissions, ambiguities, and requirements likely to cause disputes between trades and similar matters shall be promptly brought to the attention of the City in writing, and to the attention of Martin Alvarez, Director of Economic Development. When appropriate, Addenda will be issued by the City of Palm Desert. No communication by anyone as to such matters except by Addenda affects the meaning or requirements of the bid documents. Addenda City reserves the right to issue Addenda to the bid documents at any time prior to the time set to open bids. Each potential bidder shall leave with the City its name, address, phone number, fax number, and e-mail address for the purpose of receiving Addenda. City will cause copies of Addenda to be delivered to such names at such addresses. Bids must acknowledge receipt of any/ all Addenda. Bids Total Amount Bids are required for the anticipated Annual total fertilizer required. The amount of the bid for comparison purposes will be the total of all items. In case of discrepancy between the item price and the total set forth for the item, the item price shall prevail, provided however, if the amount set forth as an item price is ambiguous, unintelligible or uncertain for any cause, or is omitted, or in the case of unit basis items, is the same amount as the entry in the "total column," then the amount set forth in the "Total" column for the item shall prevail. The award of the contract is based on a number of criteria including price, and the bidder's ability to provide the requested products in a timely manner. Bidders should base their bid on the best available pricing to the Desert Willow Golf Resort rather than on a tiered basis or plan, as the contract will be awarded based on the bid submitted. This contract serves only to select the primary provider of the fertilizer for the Desert Willow Golf Resort. The Desert Willow Golf Resort reserves the right to purchase from other vendors as necessary. The evaluation of bids and award of contract shall be the exclusive decision of the City. The City reserves the right to award separate schedules to separate bidders, or all schedules to a single bidder, based upon the lowest responsive bid. Award of Contract Acceptance by the City, at a regularly scheduled City Council meeting, of a Bid authorizes the Desert Willow Golf Resort to enter into a contract subject to the execution by both successful bidder and the Desert Willow Golf Resort of a written agreement evidencing said contract, and Bidder providing all requirements set both in said contract. Appendix B is attached as a sample for reference. Qualifications of Bidders No award will be made to any bidder who cannot give satisfactory assurance to the City as to their own ability to carry out the terms of the contract, both from a financial standing and by reason of previous similar experience. The bidder may be required to submit its record of work of similar nature to that DESERT WILLOW ANNUAL FERTILIZER PURCHASE FY 2015/16 Page 4 proposed for this bid, and unfamiliarity with the type of work may be sufficient cause for rejection of bid. Government Code Section 4552 In submitting a bid to a public purchasing body, the Bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Section)* or under the Cartwright Act (Chapter 2 commencing with Section 16700) or Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid. Brand or trade name -Substitute of equals If a potential bidder believes he knows of an equal to a specified brand or trade name which is not mentioned in the Contract Documents and Specifications, then such potential bidder shall advise the City's Representative of such fact in writing giving all relevant information, no later than 5:00 p.m., June 15, 2015. Delivery Method The Solid Fertilizer product must be palletized and delivered in 50 pound bags or less, and the Soluble Fertilizer must be delivered in 25 pound bags or less. Delivery method for soluble gypsum shall be bulk pneumatic delivery to be pumped into an on -site holding tank. Deliveries must be made to Desert Willow Golf Resort, 38-400 Portola Avenue, Palm Desert, California 92260, between the hours of 6:00 a.m. and 1:00 p.m., Monday through Friday, unless otherwise arranged with Desert Willow Golf Resort. A contract will be issued for the total bid however; the obligation of the Desert Willow Golf Resort will be based solely on the actual products purchased.
