Glickman, Management Analyst November 12, 2015 Proposal from Rosa Lowinger & Associates Draft Contract for Restoration of the City of Palm Desert's Peace Memorial Image of Peace Memorial By Minute Motion: 1) Award subject contract in the amount of $15,000 to Rosa Lowinger & Associates for restoration of Peace Memorial, an artwork in the City of Palm Desert's public art collection; 2) authorize Mayor to execute same; and 3) appropriate funds in the amount of $15,000 from the Public Art Fund's — Repair and Maintenance Account Number 4364650-4337200 for payment of the contract. Executive Summary Peace Memorial came to fruition in 1991, because of the City of Palm Desert's desire to recognize those Coachella Valley residents who gave their lives in military service for the United States. The intent of the sculpture was not meant to be a monument of war, but instead a memorial to peace. The Peace Memorial is located in the Palm Desert Civic Center at the entrance off of San Pablo Avenue and Fred Waring Drive. The sculpture is comprised of five (5) granite columns behind a large triangular marble installation. The area surrounding the memorial is paved with poured concrete slabs/patio pavers and concrete curbs. The marble component consists of a three - stepped triangular base made of concrete, covered with low -gloss polished marble slabs and a central grouping of four (4) Carrera marble flames. The marble slabs are adhered to the base with an unknown soft, cementitious mortar. There are three (3) recessed lighting fixtures on the top tier of the triangular base. Currently, the condition of Peace Memorial is as follows. Peace Memorial Restoration Page 2 of 3 November 12, 2015 • The marble slabs that make up the three -stepped triangular base need to be repaired. • The concrete base that supports the marble slabs needs to be replaced. • The areas at which the three (3) recessed lighting fixtures are placed need to be repaired. • Minor cracks on the granite pillars and shadows need repair. On August 25, 2015, staff posted on the bulletin board and sent out a Request for Proposals (RFP) requesting proposals for restoration of Peace Memorial. A notice inviting proposals was published in the Desert Sun on August 28 and September 2, 2015. Representatives from three (3) companies attended a mandatory job walk that was held on September 16, 2015. On September 30, 2015, sealed bids were opened by the City Clerk. From the three (3) representatives who attended the mandatory job walk, one (1) proposal was received. Staff is recommending approval of a contract with Rosa Lowinger & Associates in the amount of $15,000. Staff has reviewed the proposal, checked the references provided, and believes the contractor is qualified to perform the work. Approval of this contract with Rosa Lowinger & Associates will help retain the quality and integrity of Peace Memorial, and restore it as close to its original state as possible. Fiscal Analysis Funding for this project is not currently budgeted and staff requests an appropriation by the City Council from the Public Art Fund, Account Number 4364650-4337200. ROSA LOWINGER, Principal and Senior Conservator, is a Fellow of AIC. Rosa's 2.5+ year career has been devoted primarily to sculpture and public art conservation and she lectures and publishes frequently on the subject. She holds a 1982 M.A. in art history and conservation from New York University's Institute of Fine Arts and is a Fellow of the American Institute for Conservation. She is a consultant to the Getty Conservation Institute's Outdoor Public Sculpture initiative and has published extensively on fountains, sculpture, and public art and has extensive experience working with public agencies. A renowned lecturer, Rosa is committed always to carrying out public presentations to engage stakeholders whenever large-scale public projects are carried out. She is the Associate Editor of the University of Pennsylvania's conservation journal Change Over Time and a member of the Association for Preservation Technology's Modern Heritage Committee. CHRISTINA VARVI, Senior Conservator and Professional Associate of AIC, holds an M.S. in historic preservation with a concentration in materials conservation from Columbia University. Prior to joining RLA, Christina worked for the Central Park Conservancy in New York maintaining their collection of 51 bronze and stone sculptures. At Jablonski Building Conservation she worked on 12 ceramic relief the murals removed from the Cortlandt Street New York Subway station below the World "Trade Center site as well as investigative paint analysis. At present Legacy and RLA are partnering on a project at California State University at Long Beach (CSULB) to conserve Robert Murray's Duet (Hommage to David Smith), a 1963 large- scale painted sculpture that requires complicated lifting and lead abatement to properly repair. Legacy is handling all of the procurement of lifts, cranes, fencing and personnel for the moving and abatement of the artwork and is liaising with the University's Facilities Department in these efforts. While Lowinger was director of Los Angeles' Sculpture Conservation Studio, she worked closely with the Sandovals as chief conservator and technical team, respectively, for the 2000-2006 conservation project to conserve Helen Lundeberg's monumental WPA 1940s mural History of Transportation. PHILOSOPHY RLA's conservation philosophy is founded on the Code of' Lthics and Guidelines for Practice of the American Institute for the Conservation of Historic and Artistic Works (AIC), the Secretary of the Interior's Standards for the Treatment of Historic Properties, and other applicable international charters. Our work on historic architecture and three-dimensional artworks is also based on the following tenets: • Understanding the overall cultural significance of a site, monument or work of art, as well as a location's climate, and the environmental impact of specific sites is important to the proper implementation of long-term conservation. • The goal of preservation is retention of an aesthetic, historical and conceptual intent. • The goal of conservation is to remedy visible and structural problems in a manner that is ethical, sustainable, cost-effective, and easily communicated to our clients. • Archeological remains, whether sites or artifacts, require particular understanding prior to defining treatment. • Outdoor architectural finishes are particularly vulnerable to damage from overreaching treatment protocols. • Vandalism of sites is something that must be understood in its broader historical perspective and its prevention must involve strategies that go beyond conservation methods. • We work together with agencies to reduce environmental impact of sprinklers, sunlight, pollutants, weather conditions and the public on works of art. • We provide clear communication to our clients and stakeholders so that, where appropriate, treatment decisions are not imposed on a community, but rather part of a clearly delineated process. • We thoroughly document all of our work with photographs and a written report that explains in clear narrative the way we have arrived at our treatment decisions and who among the stakeholders has vetted our processes. EXPERIENCE AND REFERENCES The following are a selection of projects carried out within the last five years or that are ongoing. Please note -these are our primary references. Additional references are given at the end of this section. 1) CITY OF SIOUX FALLS, SIOUX FALLS, SD In 2013, RLA was appointed to be the public art conservation team for the City of Sioux Falls, signing a contract with the city that encompasses 3 full years, with an option to extend an additional 2 years. In spring 2013, RLA began with a full survey and assessment of the collection of' 39 pieces that was followed by a thorough prioritization of treatments as well as recommendations for treatments and routine maintenance. RLA treated 14 bronze sculptures during a two week period onsite, including removal of failing coatings, repatination of discolored areas, stabilization of corrosion, repair of broken welds, and application of hot and cold wax. During this time, RLA sourced and trained two local artisans in routine maintenance procedures for the collection in order to assist with routine maintenances as well as any unexpected maintenance concerns, such as vandalism. In addition, 4 stone pieces were treated. In 2014, RLA conducted a brief condition assessment of all city -owned works and maintained 31 of the now 43-piece collection in two weeks. In addition, RLA conserved a monumental reinforced cast stone monument that was severely cracking and showing displacement as a result of corroding rebar and undertook a condition assessment of' an additional artwork not previously included in the collection. Each year, maintenance of the collection will progress and new treatments will be administered in order that the entire collection will be treated and cared for during our contract with the city. In April of 2015, RLA performed general maintenance cleaning, removal of mineral deposits, corrosion passivation, minor re-patination, and application of a protective wax coating at the approximately 12'x20' patinated bronze Kemper Memorial Fountain in downtown Kansas City. RLA was also awarded the treatment of the bronze and granite William J. Bland Memorial as well as treatment of The Pioneers, a multi -component installation consisting of a grouping of monumental bronze figures, six bronze plaques, cast concrete pedestals, and a terrazzo map. Treatment of these two projects is anticipated for Fall 2015. The collection consists of bronze and copper statues, with five located within the building and eleven located in the outside landscaping. RLA's services include photo documentation, cleaning, structural and surface repairs, as well as the application of protective wax coatings to each piece. RLA will soon be entering the third year of our 5-year contract with the OCCC. HAWAII STATE FOUNDATION FOR CULTURE AND THE ARTS (HSFCA), HONOLULU, HI RLA has been working for the HSFCA since 2003, when Rosa Lowinger conducted a survey of the public art in Kauai County. Since that time, Lowinger and RLA have carried out the conservation of twelve major works, including: the monumental bronze medallions and kinetic bronze (2009), aluminum, and nautilus shell light sculptures at the Hawaii State Capitol (2007); 2 monumental outdoor bronzes by Bumpei Akaji, a bronze and copper relief by Michael Tom, a stained concrete mural by William Mitchell (2011), an enameled steel mural by Hon Chew Hee (2011); a Ken Shutt wood and painted steel sculpture in Kauai (2008) and a Pat Morita stainless steel sculpture in Kauai (2008). LD BRINKMAN CORPORATION, KERRVILLE, TX In .June 2012, RI.A performed in-depth maintenances on two monumental bronze sculptures within the Corporation's collection. The treatment included documentation, general cleaning, corrosion removal/mitigation, local re-patination, and application of a protective wax coating. Additionally, RLA conservators trained the staff' at LDB Corp in ongoing, routine maintenance procedures for the remaining sculptures within their outdoor bronze collection. Unrelated to the bronze maintenances, RLA also performed on -site conservation of 24 fire -damaged indoor works in bronze, silver, marble, wood, porcelain, geodes, and petrified wood in February 2012. CITY OF BEVERLY HILLS, BEVERLY HILLS, CA RLA currently serves as the chief sculpture conservation consulting firm to the City of Beverly Ilills, CA. In 2012, RLA carried out a full assessment survey and provided treatment recommendations for 30 artworks. The collection encompasses painted ferrous metal, stainless steel, bronze, wood, granite, fiberglass, concrete, and marble. One of the most complex projects performed was the full conservation of Hunter & Hounds (late 19th century), a Henri Alfred Marie Jacquemart figurative sculpture made of ferrous metal coated with bronze sheeting that exhibited significant corrosion pitting and losses to the surface of the piece as well as cracking of the outer bronze layer and corrosion staining of the stone base. In 2013 RLA conserved and repainted Fletcher Benton's painted steel Untitled, 1985, which included the detailed snatching of original color by examining paint samples in cross section under magnification. RLA cares for a delicate fiberglass Yayoi Kusama sculpture. The effects of California's strong UV and hot arid climate has made care of these works more challenging in the past two years. LOWE ART MUSEUM, UNIVERSITY OF MIAMI, MIAMI, FL In 2010, RLA carried out a full-scale survey of outdoor works at the University, including condition assessments, analysis and testing, and development of a maintenance program for 30 outdoor sculptures. A maintenance plan for the collection was developed and implemented as a result of this. We also conducted a study into treatments on outdoor Cor-ten steel works that has driven treatment of the campus' works and conserved approximately 12 pieces. Since the initial assessment, more than a dozen full-scale conservation treatments have been performed by RLA on materials that include marble, bronze, aluminum, and painted steel. Most notable among these is the conservation of an Efrain Recinos bronze which required repair of cracks, holes and fissures and the extensive repair, repainting and installation of a large-scale Beverly Pepper painted steel sculpture. CITY OF SANTA MONICA, SANTA MONICA, CA Rosa Lowinger directed Sculpture Conservation Studio's two public art surveys for the city of Santa Monica in 2003 and 2005. In late 2014, RLA conducted an updated survey of 44 of the City's artworks. In 2009, RLA was awarded the conservation of Big Wave, a monumental painted steel and light outdoor sculpture by artist Tony Delap, carried out in 2010. RLA has also performed conservation on Totem Pole, a painted Native American totem pole, as well as maintenance on several commemorative bronze plaques. RLA is presently serving as an ongoing consultant to the City on public art projects. Most notable among these is the highly sensitive review of structural stability and conservation treatment of Paul Conrad's Chain Reaction, a mixed media sculpture composed of fiberglass, copper, and stainless steel. FROST ART MUSEUM- FLORIDA INTERNATIONAL UNIVERSITY, MIAMI, FL In 2009, RLA carried out the survey of 42 works of indoor and outdoor sculpture for Florida International University's South Dade and Biscayne Campuses. The collection is comprised of various materials, including, but not limited to, Cor-Ten steel, painted mild steel, granite, limestone, bronze, wood, rubber, rope, ceramic, acrylic paint, Formica, I'lexiglas, fiberglass, plaster, concrete, glass. After conducting the survey, RLA provided details of current conditions as well as recommendations for treatment and routine maintenance. In May 2014, RLA performed a survey of the collection and cleaning of Steve Bartlett's stainless steel sculpture, Guillermo (1997). RLA also performed the major cleaning of a 25' high bronze fountain behind security by "ferry Thornsley. The base of the fountain was exhibiting extensive copper corrosion, mineral deposits, and biological growth. PROPOSED SERVICES AND PRODUCTS RLA understands the scope of work to be performed for the restoration of the Peace Memorial is to include repair of the marble slabs that make up the three -stepped triangular base, repair of the concrete base that supports the marble slabs, repair of the areas surrounding the lighting fixtures and repair of the minor cracks on the granite pillars. Treatment Steps: i) Document treatment before during and after with high resolution, digital photographs. 2) Clean debris from the marble steps. s) Triangular marble slab will be removed for inspection of*concrete base. ,N) Remove top layer ofcenient mortar from base (roughly 2"-311). 5) Modify lighting modules to fit flush on marble slat). s) Clean out lighting module cans. (The units consist of a factory sealed, thermally protected lamp module). The seals will need to be replaced, As well as the mounting screws. -) Re -pour 2"-3" of concrete with a level finish. Prep for adhesive and re -installation of marble triangle. s) Reinstall "Triangular marble slab. 9) Remove any loose grout. io) Re -point grout as needed. i i) rill all cracks and holes in marble and granite. 12) Check foundation on granite slabs. is) Clean all marble and granite. 14) Seal marble with low gloss finish "as needed". 1.5) Prepare detailed treatment report to include recommended maintenance instructions. CONCLUSION AND SIGNATURE Based on our extensive experience with outdoor public art and monument restoration, it is RI.A's opinion that the strategy put forth by the City of Palm Desert, California for conserving the Peace Memorial constitutes a proactive and excellent approach. If selected for this project, we could propose additional public art initiatives to the City, to be implemented at the City's interest. These would include the following: • Pre -installation or pre -purchase conservation review of any new commissions the City is anticipating. This would involve having a conservator review all materials and fabrication techniques proposed by artists as well as any siting and landscaping plans. We would also provide our best estimates of the maintenance requirements of any new works. • Preparation of a strategic emergency plan for dealing with damage to works in the event of tornados, fires, flooding, high winds or vandalism. • Assessment of any insurance claims that may have been made to the City based on the public's interaction with artwork and a determination of ways in which the City might alter landscaping or siting to avoid future claims. • Assessment of the City's existing records or documents pertinent to artwork insurance, acquisition, and/or permissions. • Conservation treatment of the marble sculpture within the Peace Memorial. Nosy Lowinuer Y, Associates - onservet;on of Art Architecture CONTRACT SERVICE AGREEMENT FOR RESTORATION OF THE CITY OF PALM DESERT'S PEACE MEMORIAL An artwork in the City of Palm Desert's Public Art collection. THIS CONTRACT SERVICE AGREEMENT (herein "Contract") is made and entered into this 12th day of November 2015, by and between the CITY OF PALM DESERT, a municipal corporation (herein "City") and ROSA LOWINGER & ASSOCIATES (the "Contractor"). NOW, THEREFORE, the parties hereto agree as follows. 1.0 SERVICES OF CONTRACTOR 1.1 Scope of Services. In compliance with all of the terms and conditions of this Contract, the Contractor shall perform the work or services set forth in the "Scope of Services" attached hereto as Exhibit "A" and incorporated herein by reference. Contractor warrants that all work and services set forth in the "Scope of Services" will be performed in a competent, professional, and satisfactory manner. 1.2 Compliance With Law. All work and services rendered hereunder shall be provided in accordance with all ordinances, resolutions, statutes, rules, and regulations of the City and any Federal, State, or local governmental agency of competent jurisdiction. 1.3 Licenses, Permits, Fees, and Assessments. Contractor shall obtain at its sole cost and expense such licenses, permits, as well as a City of Palm Desert business license and approvals as may be required by law for the performance of the services required by this Contract. 2.0 COMPENSATION AND PAYMENT SCHEDULE 2.1 Contract Sum. The City shall pay the Contractor an amount not to exceed Fifteen Thousand Dollars and no cents ($15,000.00), which will constitute full compensation and payment for all services to be performed under this Contract including execution, fabrication, contractor and/or agent travel, and transportation. Payment will be made in accordance with schedule established below. Final payment will be made upon satisfactory completion of contract services. Commencement of Work. Fifty percent (50%) ($7,500) of the contract amount upon receipt of signed contract. Invoice must be submitted to the Management Analyst for request of first payment. Contract No. CXXXXO Completion of Work. Ffity percent (50%) ($7,500) of the contract amount upon completion of the restoration of Peace Memorial (photos must accompany final invoice as attachment for the Finance Department). All requests for payment shall be submitted to the Management Analyst in writing for review and approval and must be accompanied by a detailed invoice, images of work as it progresses, and other documentation as required by the Management Analyst supporting work completed. Payment shall be issued within 30 days of approval of detailed invoices and requests for payment by the Management Analyst. 3.0 COORDINATION OF WORK 3.1 Representative of Contractor, Rosa Lowinger, is hereby designated as being the principal and representative of Contractor authorized to act in its behalf with respect to the work and services specified herein and make all decisions in connection therewith. 3.2 Management Analyst is hereby designated as being the representative the City authorized to act in its behalf with respect to the work and services specified herein and makes all decisions in connection therewith the Management Analyst. The City Manager of City shall have the right to designate another Contract Officer by providing written notice to Contractor. 3.3 Prohibition Against Subcontracting or Assignment. Contractor shall not contract with any entity to perform in whole or in part the work or services required hereunder without the express written approval of the City. Neither this Contract nor any interest herein may be assigned or transferred, voluntarily or by operation of law, without the prior written approval of City. Any such prohibited assignment or transfer shall be void. 3.4 Independent Contractor. Neither the City nor any of its employees shall have any control over the manner, mode, or means by which Contractor, its agents or employees, perform the services required herein, except as otherwise set forth. Contractor shall perform all services required herein as an independent contractor of City and shall remain under only such obligations as are consistent with that role. Contractor shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of City. 2 Contract No. CXXXXO 4.0 INSURANCE AND INDEMNIFICATION Contractor shall not commence work under this Agreement until it has provided evidence satisfactory to the City of Palm Desert that it has secured all insurance required under this section. In addition, Contractor shall not allow any subcontractor(s) to commence work on any subcontract until it has provided evidence satisfactory to the City that the subcontractor(s) has secured all insurance required under this section. Without limiting Contractor's indemnification of City, and prior to commencement of Work, Contractor shall obtain, provide and maintain at its own expense during the term of this Agreement, policies of insurance of the type and amounts described below and in a form that is satisfactory to the City. General Liability Insurance: Contractor shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount not less than $1,000,000 per occurrence, $2,000,000 general aggregate, for bodily injury, personal injury, and property damage, including without limitation, blanket contractual liability. Defense costs shall be paid in addition to the limits. The policy shall contain no endorsements or provisions limiting coverage for (1) contractual liability; (2) cross liability exclusion for claims or suits by one insured against another; or (3) contain any other exclusion contrary to the Agreement. Automobile Liability Insurance: Contractor shall maintain automobile insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of the Contractor arising out of or in connection with Work to be performed under this Agreement, including coverage for any owned, hired, non -owned or rented vehicles, in an amount not less than $1,000,000 combined single limit for each accident. Workers' Compensation Insurance: Contractor shall maintain Workers' Compensation Insurance (Statutory Limits) and Employer's Liability Insurance (with limits of at least $1,000,000). Contractor shall submit to City, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of City of Palm Desert, its officers, agents, employees and volunteers. Umbrella or Excess Liability Insurance: Contractor may opt to utilize umbrella or excess liability insurance in meeting insurance requirements. In such circumstances, Contractor shall obtain and maintain an umbrella or excess liability insurance policy with limits of not less than $4,000,000 that will provide bodily injury, personal injury and property damage liability coverage at least as broad as the primary coverages set forth above, including commercial general liability and employer's liability. Such policy or policies shall include the following terms and conditions: 3 Contract No. CXXXXO • A drop down feature requiring the policy to respond if any primary insurance that would otherwise have applied proves to be uncollectible in whole or in part for any reason; • Pay on behalf of wording as opposed to reimbursement; • Concurrency of effective dates with primary policies; and • Policies shall "follow form" to the underlying primary policies. • Insureds under primary policies shall also be insureds under the umbrella or excess policies OTHER PROVISIONS OR REQUIREMENTS Insurance for Subcontractors: All subcontractors shall be included as additional insureds under the Contractor's policies, or the Contractor shall be responsible for causing subcontractors to purchase the appropriate insurance in compliance with the terms of these Insurance Requirements, including adding the City as an Additional Insured to the subcontractors' policies. Contractor shall provide to City satisfactory evidence as required under Insurance Section of this Agreement. Proof of Insurance: Contractor shall provide certificates of insurance to City as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for workers' compensation. Insurance certificates and endorsement must be approved by City's Risk Manager prior to commencement of performance. The certificates and endorsements for each insurance policy shall be signed by a person authorized by that insurer to bind coverage on its behalf. Current certification of insurance shall be kept on file with City at all times during the term of this contract. City reserves the right to require complete, certified copies of all required insurance policies, at any time. Duration of Coverage: Contractor shall procure and maintain for the duration of the contract, insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the Work hereunder by Contractor, his/her agents, representatives, employees, or subcontractors. City's Rights of Enforcement: In the event any policy of insurance required under this Agreement does not comply with these specifications or is canceled and not replaced, City has the right, but not the duty, to obtain the insurance it deems necessary and any premium paid by City will be promptly reimbursed by Contractor, or City will withhold amounts sufficient to pay premium from Contractor payments. In the alternative, City may cancel this Agreement. Acceptable Insurers: All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance in the State of California, with an assigned policyholders' 4 Contract No. CXXXXO Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless otherwise approved by the City's Risk Manager. Waiver of Subrogation: All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against the City of Palm Desert, its elected or appointed officers, agents, officials, employees, and volunteers or shall specifically allow Contractor or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Enforcement of Contract Provisions (non estoppel): Contractor acknowledges and agrees that any actual or alleged failure on the part of the City to inform Contractor of noncompliance with any requirement imposes no additional obligations on the City nor does it waive any rights hereunder. Primary and Non -Contributing Insurance: All insurance coverages shall be primary and any other insurance, deductible, or self-insurance maintained by the indemnified parties shall not contribute with this primary insurance. Policies shall contain or be endorsed to contain such provisions. Notice of Cancellation: Contractor agrees to oblige its insurance agent or broker and insurers to provide to City with a thirty (30) day notice of cancellation (except for nonpayment for which a ten [10] day notice is required) or nonrenewal of coverage for each required coverage. Additional Insured Status: General liability and Automobile Liability policies shall provide, or be endorsed to provide, that the City of Palm Desert and its officers, officials, employees, and agents shall be additional insureds with regard to liability and defense of suits or claims arising out of the performance of the Agreement, under such policies. This provision shall also apply to any excess liability policies. City's Right to Revise Specifications: The City reserves the right at any time during the term of the contract to change the amounts and types of insurance required by giving the Contractor ninety (90) days advance written notice of such 5 Contract No. CXXXXO change. If such change results in substantial additional cost to the Contractor, the City and Contractor may renegotiate Contractor's compensation. Self -Insured Retentions: Any self -insured retentions must be declared to and approved by City. Timely Notice of Claims: Contractor shall give City prompt and timely notice of claims made or suits instituted that arise out of or result from Contractor's performance under this Agreement, and that involve or may involve coverage under any of the required liability policies. Safety: Contractor shall execute and maintain its work so as to avoid injury or damage to any person or property. In carrying out its Services, the Contractor shall at all times be in compliance with all applicable local, state and federal laws, rules and regulations, and shall exercise all necessary precautions for the safety of employees appropriate to the nature of the work and the conditions under which the work is to be performed. Safety precautions, where applicable, shall include, but shall not be limited to: (A) adequate life protection and lifesaving equipment and procedures; (B) instructions in accident prevention for all employees and subcontractors, such as safe walkways, scaffolds, fall protection ladders, bridges, gang planks, confined space procedures, trenching and shoring, equipment and other safety devices, equipment and wearing apparel as are necessary or lawfully required to prevent accidents or injuries; and (C) adequate facilities for the proper inspection and maintenance of all safety measures. Additional Insurance: Contractor shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the Work. 5.0 TERM 5.1 Term. Unless earlier terminated in accordance with Section 5.2 below, this Contract shall continue in full force from the date of signing. 5.2 Termination Prior to Expiration of Term. Either party may terminate this Contract at any time, with or without cause, upon thirty (30) days' written notice to the other party. Upon receipt of the notice of termination, the Contractor shall immediately cease all work or services hereunder except as may be specifically approved by the Management Analyst. In the event of termination by the City, Contractor shall be entitled to compensation for all services rendered prior to the effectiveness of the notice of termination and for such additional services specifically authorized by the Management Analyst and City shall be entitled to [. Contract No. CXXXXO reimbursement for any compensation paid in excess of the services rendered. 5.3 Completion. All work shall be complete on or before January 31, 2016 unless City grants, in writing, additional time to contractor. 6.0 MISCELLANEOUS 6.1 Covenant, Against Discrimination. Contractor covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination against or segregation of, any person or group of persons on account of race, color, creed, religion, sex, marital status, national origin or ancestry in the performance of this Contract. Contractor shall take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, color, creed, religion, sex, marital status, national origin, or ancestry. 6.2 Non -liability of City Officers and Employees. No officer or employee of the City shall be personally liable to the Contractor, or any successor in interest, in the event of any default or breach by the City or for any amount, which may become due to the contractor or to its successor, or for breach of any obligation of the terms of this Contract. 6.3 Conflict of Interest. No officer or employee of the City shall have any financial interest, direct or indirect, in this Contract nor shall any such officer or employee participate in any decision relating to the Contract which effects his/her financial interest or the financial interest of any corporation, partnership, or association in which he/she is, directly or indirectly, interested, in violation of any State statute or regulation. The Contractor warrants that it has not paid or given and will not pay or give any third party any money or other consideration for obtaining this Contract. 6.4 Notice. Any notice, demand, request, document, consent, approval, or communication either party desires or is required to give to the other party or any other person shall be in writing and either served personally or sent by prepaid, first-class mail, in the case of the City, to the City Manager and to the attention of the Management Analyst, CITY OF PALM DESERT, 73-510 Fred Waring Drive, Palm Desert, California 92260, and in the case of the Contractor, to the person at the address designated on the execution page of this Contract. 6.5 Interpretation. The terms of this Contract shall be construed in accordance with the meaning of the language used and shall not be Contract No. CXXXXO construed for or against either party by reason of the authorship of this Contract or any other rule of construction which might otherwise apply. 6.6 Integration; Amendment. It is understood that there are no oral agreements between the parties hereto affecting this Contract and this Contract supersedes and cancels any and all previous negotiations, arrangements, agreements and understandings, if any, between the parties, and none shall be used to interpret this Contract. This Contract may be amended at any time by the mutual consent of the parties by an instrument in writing. 6.7 Severability. In the event that part of this Contract shall be declared invalid or unenforceable by a valid judgment or decree of a court of competent jurisdiction, such invalidity or unenforceability shall not affect any of the remaining portions of this Contract which are hereby declared as severable and shall be interpreted to carry out the intent of the parties hereunder unless the invalid provision is so material that its invalidity deprives either party of the basic benefit of his/her bargain or renders this Contract meaningless. 6.8 Waiver. No delay or omission in the exercise of any right or remedy by a nondefaulting party on any default shall impair such right or remedy or be construed as a waiver. A party's consent to or approval of any act by the other party requiring the party's consent or approval shall not be deemed to waive or render unnecessary the other party's consent to or approval of any subsequent act. Any waiver by either party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Contract. 6.9 Attorney Fees. If either party to this Contract is required to initiate or defend or made a party to any action or proceeding in any way connected with this Contract, the prevailing party in such action or proceeding, in addition to any other relief which may be granted, whether legal or equitable, shall be entitled to reasonable attorney fees, whether or not the matter proceeds to judgment. 6.10 Corporate Authority. The persons executing this Contract on behalf of the parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Contract on behalf of said party, (iii) by so executing this Contract, such party is formally bound to the provisions of this Contract, and (iv) the entering into this Contract does not violate any provision of any other Contract of which said party is bound. n Contract No. CXXXXO IN WITNESS WHEREOF, the parties have executed and entered into this Contract as of the date first written above.
