ORAL
COMMUNICATIONS Mr. Manuel Perez and Mr. Ralph DeMarco, tenants of One Quail Place,
introduced themselves to the Commission and expressed their interest
in being members of the Housing Commission.
MINUTES It was moved by B. Kurtz and seconded by L. Saindon to approve
the minutes of February 14, 2001 with the following correction:
Page 3, Paragraph 2:
Terry Parker said that there are stipulated goals that must be
achieved until instructed otherwise by the Authority staff.
Motion carried to approve the minutes with correction.
INFORMATIONAL A. HOUSING AUTHORITY PROPERTIES -ANNUAL RESIDENTS
ITEMS SURVEY
A spreadsheet indicating the responses received to date was
distributed to the Commission as part of the supplemental information
packet.

INFORMATIONAL Terre said the annual survey to evaluate the management company's
ITEMS (CONTD) performance was mailed to all of the tenants of the Housing Authority
properties. The survey was sent out in both English and Spanish.
Terre said that 185 responses have been received with more
responses expected within the next few days.
L. Ward said that she will be attending bingo night and a luncheon on
Thursday. At these events, she would like to remind the tenants of the
importance of returning their responses. She inquired if the March 16,
2001 deadline indicated on the surveys could be extended. Terre said
that an extension is not necessary as surveys received up to two
weeks after the deadline will be counted.
B. RPM MONTHLY STATUS REPORT (TERRY ERICKSON)
The RPM Monthly Status Report was reviewed by the Commission.
T. Erickson said that after the concern that was expressed in the past
few months about the confusion with the weekly status report, she has
prepared and will be providing a status report on a monthly basis to
give the commission a better overall picture of the entire month.
C. REPORT #1 - MONTHLY OCCUPANCY AND AVERAGE _
RENT STATEMENT (FEBRUARY REPORT)
Report #1 was reviewed by the Commission. T. Erickson said that this
report is a breakdown of all the different levels on the affordable
program. The report shows what is rented at each level for each
property and the average rent.
D. REPORT #2 - MONTHLY NET OPERATING INCOME
STATEMENT (JANUARY)
Report #2 was reviewed by the Commission. T. Erickson said that the
top half of the document shows all of the units that are occupied and
the bottom half shows the expenses and income broken down by
property. In addition, there was a typographical error on One Quail

INFORMATIONAL with respect to moderate and market, however, this was not discovered
ITEMS (CONTD) until the report was distributed. J. Foley said that the per occupied unit
rent was actually higher and that corrections will be made. Since RPM
has taken over the property, the very low levels have always been over
rented. For this reason, RPM is constantly working towards
compliance to meet all of the stipulated goals for each level. The
spreadsheet shows how many are stipulated for the 2002 year versus
the 2006 year. It shows what is currently at the properties and what
has changed. The lower levels have not dramatically changed
because the majority of the people on the lower levels do not move out.
Terre said that if you look at the last column indicated on Report #2 you
will see that at the very low income rate there are 265, at low income
136, at the moderate income 271 and at the above moderate income
41. It is still substantially higher at the very low and low income levels.
T. Erickson said that their property managers are provided with the
updated information on stipulation compliance on a monthly basis so
that they know what their goals are and how to achieve their goals.
E. HOUSING AUTHORITY PROPERTIES NEWSLETTER
(MARCH, 2001)
The commission was provided with copies of the newsletter for review.
C. McLeod asked if something could be placed in the newsletter about
the carpet cleaning which is allowed once a year to help maintain the
project. T. Erickson said that the residents are advised they can
request carpet cleaning once a year at time of recertification of their
leases each year. J. Foley agreed to insert a notice with the
newsletter.
F. HOUSING AUTHORITY PROPERTIES - FOLLOW-UP ITEMS
A list of follow-up Items was provided to the Commission for their
review. T. Erickson said that with regard to the pending items that
were left to the attention of the RPM, Jim Foley met with the company
that was working to install wireless remotes for the security cameras.
Cameras will be ordered soon and installed within 4 weeks. At Las

INFORMATIONAL Serenas, approval has been received for the security screen and doors
ITEMS (CONTD) have been ordered. At Catalina, the doors must be custom made and
are on order. RPM expects the doors at Catalina installed by the end
of May. The sun shades for Catalina were delivered yesterday.
Installation will begin at Catalina and should be completed by the end
of next week.
L. Ward inquired about the blinds. Currently they have Y2" horizontal
blinds that are inefficient. T. Erickson said that they are replacing all of
the horizontal blinds with vertical blinds. L. Ward asked about the
window tinting. T. Erickson said that she will be meeting with a vendor
on Thursday, March 15, to look at a heavier sunscreen instead of
window tinting. T. Erickson said that the pool resurfacing at the main
clubhouse of Las Serenas has been completed. They are working on
the back pool. At Taos the pool deck leveling is being done and it is
expected to be completed by next week.
L. Sullivan asked if the doors for Taos Palms were vanishing screen
doors. T. Erickson said that the vanishing screen doors are the only
.,. screen doors they can think of to work on french doors.
T. Erickson said that the playground for Desert Pointe has been
installed. There are no pending items at Neighbors. At Pueblos, the
block wall materials were delivered yesterday. There was a delay with
the building department. Plans were resubmitted and have bun
approved. They will be working with the Joslyn Senior Center. It will
take approximately 21 working days. The sun shades will be installed
by the end of next week.
L. Ward inquired about the housing project being built behind Las
Serenas. Terre said that a wall will be installed as part of that
development. Whether the wall will go along the entire back she is not
sure yet.
C. McLeod inquired about what was being done to comply with the
energy crises. Terre said that RPM has been authorized to shut the
heaters off on some of the pools and spas at the properties that have
more than one pool or spa.

INFORMATIONAL G. STIPULATION ANALYSIS PRESENTATION
ITEMS (CONTD) (LEONARD WOLK, REASCO)
Terre introduced Leonard Wolk and said that he performs analysis for
the Agency. Leonard prepared an analysis of what the current
requirements are on the stipulation using the current data on the
Housing Authority properties, the for -sale properties and other
properties controlled by the Agency.
L. Wolk reviewed his report that sums up where the Agency stands as
far as the stipulation is concerned. Discussion of L. Wolk's analysis
pursued to the extent that the Agency has not reached its goal. Terre
said that the Agency can either buy or build the required additional
units to comply. She said that 145 units at the 40-acre site will have
two, three and four bedroom units. In addition, units designated as
market rate units can be converted to very low rate units.
Terre said that the reality of the stipulation is that if the Agency
produces two bedrooms, the Agency will not be penalized for not
producing studios. R. Dash asked if there was a demand for studios.
T. Erickson said that the studios are very hard to rent because the
majority of the renters request one and two bedroom units.
L. Wolk said that he wanted to make clear that his report is a "snap
shot" in time of what the Agency has produced.
L. Sullivan asked what needs to be done since the Agency did not
produce the units required by 1/1/2001. Carlos said that the Agency
will be making a proposal to the Western Center that shows what the
Agency has done to date and attempt to get them to agree to extend
the deadlines. Terre said that the Agency has provided the Western
Center with a list of all attempts the Agency has made to produce
housing including negotiations which have not worked out, projects that
were nurtured and for one reason or another have not come to fruition
and listed everything that has been done to date. The fact that the
Agency has not produced additional units is not due to the lack of effort.
The Agency has the 40-acre site which could conceivably be developed
by 2006 with approximately 265 units which would put the Agency close
to the required production goal.
Mr. DeMarco inquired if private enterprise could develop the housing.
Terre said that the problem with private enterprise developing the

INFORMATIONAL project is that the project is not considered private if the Agency is
ITEMS (CONTD) subsidizing the project. If the Agency subsidizes the project in any way,
the Agency is required to have 30-year affordability covenants recorded
against the property whether it is a rental unit or a for sale unit.
Usually, the 30-year affordability covenant scares away private
developers as it limits their ability to turn a profit. The Agency can work
with private developers if they are willing to work within the required
parameters. At this time, the Agency is working with a private
developer who is hoping to bring in tax credit funds in order to make
this project happen.
H. RECERTIFICATION PACKET 2001 REVIEW
(TERRY ERICKSON)
A copy of the recertification documents which are being used by RPM
was distributed to the commission. B. Kurtz asked if the document is
also being provided in Spanish. Terre said that because the document
has to be reviewed by the auditor, it needs to be in English. RPM's
on -site staff speak Spanish and assist tenants with any questions they
may have.
L. Saindon said that he felt that the recertification information requested
was extensive. L. Ward said that the tenants are grateful to be on the
program and do not mind providing the necessary information.
T. Erickson said that a lot of the tenants have already provided
identification and social security cards and are only required to provide
updated information annually.
Terre asked if tenants who live on social security are given a grace
period to pay rent as social security checks can sometimes be received
late. T. Erickson said that 90% to 95% of the residents have direct
deposit so they haven't run into this problem but will work with tenants
if this occurs.
I. HOUSING AUTHORITY - COMPARISON OF INCOME LEVELS
TO NUMBER OF UNITS BY FISCAL YEAR (JANET)
Janet provided the commission with a chart that shows the occupancy
levels as they pertain to Report #1 and #2 for the last three fiscal years.
L. Saindon said that he would prefer to see the report on a quarterly
basis unless there was a dramatic change. L. Sullivan asked if

INFORMATIONAL comparative graphs could be provided that would compare the graphed
ITEMS (CONTD) information with prior report information.
J. PALM DESERT HOUSING AUTHORITY BUDGET (JANET)
Janet distributed and reviewed the proposed 2001-2002 Housing
Authority budget.
L. Sullivan asked why the payroll amount decreased from the 2001
budget to the 2001 actual. Jim Foley said that they were not fully
staffed which accounts for the reduced amount.
L. Saindon asked why the total rental income decreased 7%. Janet
said that this occurred because units were converted from moderate to
low and very low.
Terre said that the largest increase of the budget is utility services. The
budget has been increased substantially due to anticipated utility
increase. Capital expenses have also been increased.
L. Sullivan asked why the RPM Company management flat fee is not
reflected in the budget. Terre explained that legal counsel has advised
that we can continue with the same type of agreement for management
services as in the past, so long as the contract does not exceed 2 years
in length, hence, the flat fee proposal is no longer being considered.
L. Saindon inquired if the increase in management fee coincides with
the dates of the contract. Janet said that it does not. Within the
contract, it is specific as to the date that increases may occur. The
criteria set forth in the contract will help determine the performance
which is one of the reasons the questionnaire was sent to the tenants.
Any increase will coincide with the fiscal year.
The Commission asked that the budget be brought back to their
meeting in April for action.
K. PENDING LITIGATION MEMORANDUM (TERRE)
Terre noted her memorandum in response to the Commission's
comments of the last meeting regarding pending litigation. She checked
with the City Clerk's Office and the memorandum reflects her response.

INFORMATIONAL L. Saindon said that he would like to be notified about litigation as soon
ITEMS (CONTD) as staff is aware so that if by chance the Commission is approached by
a reporter, they can have some information about the matter and can
refer the individual(s) to the attorney for further information.
NEW BUSINESS
Carlos said that there is a procedure that needs to be followed when
someone wants to file a claim against a public agency. First a claim
must be filed against the public agency which is a condensed version
of an actual lawsuit which claims performance or money. The claim is
presented to the City Council which is the actual board of the Housing
Authority. Then, if it is clear that the city is at fault, the City Council can
authorize payment of the claim. However, many times the claim is
denied. This does not necessarily mean that the claim has been
denied because the City does not believe that the claim is valid, rather
because it has been forwarded to the City's insurance carrier for further
processing. The reason the claim needs to be denied is that a process
begins by which the individual can file a lawsuit. When a lawsuit is filed
against the Housing Authority, the Agency, or the City, then the City
Council is the legislative body. If a commission member is questioned
about a lawsuit, the proper response is "no comment".
L. LETTER TO LINDA WARD FROM KIM MOON OF ONE QUAIL

A copy of the letter was distributed to the commission for their
information. L. Ward attended the meeting and as a result of her
attendance to the meeting, two potential members attended today's
Housing Commission meeting.

Action: Motion was made by L. Saindon and seconded by
B. Kurtz to forward recommendation to Housing Authority
to approve a 21-month contract with RPM Company to
provide property management to the seven Housing
Authority properties.
Janet said that Bill Strausz, Legal Counsel determined that
based on the revenue and taxation codes, the Authority could
continue with an agreement similar to the one in existence as
long as the new agreement does not exceed 2 years. RPM
agreed on a 21-month agreement. The per door fee is $27.
J. Foley thanked the commission for their continued support, for
working through the tough times, and having the confidence to
continue the RPM contract for another 21 months.
C. ONE QUAIL PLACE LANDSCAPE RETROFITTING

for the project.

CONTINUED The Council has requested that the 12-acre "Hovley Gardens
BUSINESS (CONTD) Apartments" project on the 40-acre site contain energy conservation
features, i.e. possible fuel cell generation. Staff is working with the
developer to meet the deadline for submittal of tax credits and re -
looking at the site plan and re -designing the layout to incorporate
energy conservation application. Staff is working with Pat Conlon,
Special Projects Administrator for the City, who is guiding staff with the
environmental conservation issues. The developer is excited about
the idea, although it may create some slow down in the project. If this
occurs, the developer may not be ready to apply for tax credits this
June. Regardless, staff and the developer are still working to get this
project submitted by the June 15, 2001 deadline for tax credit review.
L. Sullivan asked if the tax credits would be affected by the energy
conservation application. Terre advised that the developer stands to
receive more tax credits if he incorporates energy efficiency into the
project. This is a benefit, however, can considerably slow down the
project. Mainiero Smith and Associates are working on entitlements
on the site. Staff will be working with a local affordable housing
architect who will design the single-family units. Although there are no
plans to build out the single-family at this time, staff wants to present
the project as a 40-acre project. They will be subdividing the 40-acre
site with approximately 4 acres of the site being dedicated to the City
yard. As soon as they have plans that can be shared with the
Commission such as the site plans with the new design, they will -be
presented. Terre hopes to have something for the next meeting.
REPORTS A. PALM VILLAGE APARTMENTS UPDATE
DEMOLITION SCHEDULE (BRYCE)
Bryce said that the Palm Village Apartments have been
completely demolished by Demo Unlimited. He provided
photographs that showed the work that was done.
Terre said that now that the Palm Village Apartments have been
completely demolished, Charlene is working on receiving
proposals from architects to prepare the design of the project.
To date, two proposals have been received and staff is
requesting additional information. The results will be brought to
the commission at their next meeting for action.

REPORTS B. HOME IMPROVEMENT PROGRAM UPDATE (BRYCE)

MAKE A DIFFERENCE DAY EVENT —
FEBRUARY 17, 2001
Bryce provided the commission with photographs of the work
that was completed as part of the Make a Difference Day event
held on February 17, 2001. The work was accomplished
by 20-25 teenage girls along with 6 adults. The work
commenced at 8:00 a.m. and concluded at 6:00 p.m. The
homeowner was a single, elderly lady in her 80s. She was very
appreciative of the work that was done.
Bryce stated that there are 30 homes in progress under the HIP.
C. HABITAT FOR HUMANITY UPDATE
Bryce provided the Commission with photographs of the work that has
been completed to date by Habitat for Humanity at the Catalina Way
home. The walls are up and roof sheathing has been completed.

done as a result of the walk through and has been

REPORTS C. McLeod asked if the information on the report is the
(CONTD) same as the information provided in Leonard's analysis.
Terre said that the information will never coincide as the
analysis which is done by Leonard is considered a snap
shot in time and RPM's report is done month end.
Therefore, they will never match.
E. REBECCA ROAD HOME UPDATE (TERRE)
The sale of the property is scheduled for action by the
Redevelopment Agency at their meeting of April 12, 2001.
F. DESERT ROSE UPDATE (TERRE)
Terre advised that there is one property available and one in
escrow.

REPORTS Terre said that she was advised by the City Manager that a part
(CONTD) time temporary additional staff could not be hired. The reason
was that there are previous issues with respect to city
government hiring an individual as a part-time staff without
paying benefits. Reference was made to a lawsuit which was
filed against the city many years before which required to the
City to pay benefits. Staff was directed to hire a firm. Given that,
Terre called local engineering firms: ASL, Holt Group and
Willdan. Only Willdan submitted a proposal to provide the
services.
Willdan will be the on -site project manager for the One Quail
Place landscape retrofit. Their fee is not to exceed $35,000 for
a four month contract.
L. Sullivan asked if the firm would be taking the place of the
individual who purportedly was to work with Charlene on all
Housing Authority projects. Terre said that a new position is
proposed in the 2001-2002 housing budget for an individual
who will be responsible for all supervision of maintenance and
repairs of the Housing Authority projects. Willdan will be
working only on the implementation of retrofitting of One Quail
Place. The Council authorized staff to hire a consultant in the
interim.
C. McLeod asked what would be the out if staff was not happy
with the work being performed by Willdan. Terre said that the
contract will include a 30 day cancellation clause. The
contract will be paid on an hourly basis and she will monitor
the contract.
COMMISSIONER REPORTS:
R. Dash reported that a General Plan meeting was held on
March 8, 2001. He is of the understanding that Nicole Criste
of Terra Nova made a presentation to the committee and she
discussed housing. He was out of town and unable to attend.
Terre said that she attended the meeting and that Nicole
Criste basically presented the same presentation which was
made to the Commission at their December meeting. R. Dash
said that he wants to keep the commission apprised so that
the commission can make some contributions to the
discussions.

Listed below please find an update to the pending items from the sub -committee's
inspection of the properties that required attention from RPM Company. Should you
have any questions or require any additional information, please do not hesitate to
contact my office.
One Quail Place -
Security Cameras -We are working with a company to install wireless remote
cameras. We anticipate having them ordered within the next 3-4 weeks.
Las Serenas-
Securi Screen Doors -We have received approval to begin with the
installation of security screen doors. The contractor has been notified and the
doors are currently on order. We anticipate installation to begin within 2-3
weeks.
Pool esurfacina-The main clubhouse pool has been resurfaced. They have
begun resurfacing the second pool. It has been delayed due to weather.
Sun ScrVens-We are currently working with two different companies that are
putting together different options to install permanent sun shades to each
patio. We have proposed in next year's budget to tint the bedroom windows
of each unit that faces east and west_

Catalina Gardens-

with contractors to put together a proposal to install permanent patio covers.

Playaround-The new playground has been installed -complete.

Parking Structures -We are still currently working with contractors on this item.
Pool Resurfacina-We received approval to level the pool deck area. The
contractor has been noted and will begin once weather permits.
Retractable Screen Doors -Still contacting companies, no update at this time.

61ock Wall The contractor is currently working with the planning department
and hopes to have permits and begin by the tenth of this month.

stipulation. These housing units are to be made available to, and occupied by households with numbers of occupants and

II. SUMMARY DESCRIPTION OF THE AMENDED STIPULATION:
On June 16, 1997 the Original Stipulation was amended, and the following provisions pertaining to the number and income level
category of affordable housing units to be provided and the schedule for providing them were stipulated:
A. Pursuant to Paragraph 6 of the Amended Stipulation: Paragraph 1.a. of the Original Stipulation was amended, as follows
Agency was given until January 1, 2002 to provide 366 very low income housing units and 367 low income units. The pantie!
agreed that as of the date of the Amended Stipulation, the Agency had provided some of the required units. It was stipulate(
that Agency shall provide one—half of the remaining very low and low income units by January 1, 2001, and the remaining
one—half by January 1, 2002.
1. The parties also agreed that as of the date of the Amended Stipulation, the Agency had provided some of the
required 367 low or moderate income units. It was stipulated that Agency shall provide 20% of the remaining moderate
units as very low income units by January 1, 2006 in lieu of the original requirement for 367 moderate income units.
B. Pursuant to Paragraph 4 of the Amended Stipulation: Paragraph 1.b. of the Original Stipulation was amended, as follows
Within 120 days after the average occupancy rate of either the very low and low income rental units or the very low and low
ownership units is 90% or more during any calendar month, an additional 100 very low income units and an additional 60
low income units shall be provided.

Affordable Program
General Guidelines to Follow When a Household's Income Decreases To a Lower
Affordable Level:
The Palm Desert Housing Authority Affordable Program is made up of five affordable
levels
35%, 45%, 55%, 65%, 75%
These levels are based on the median income for the County of Riverside. There is also a
set number of each unit type assessed at each of the five levels. What this means is a
person renting a specific unit size moves between affordable levels in that unit size only.
For example: 45% level household resides in a two -bedroom are re -certified and now
qualify at the 35% level, but there are no two -bedrooms available at the 35% level, they
are put at the end of the two -bedroom 35% waiting list, this applies even if a 35% level is
available in a one -bedroom.

*A household may drop to a lower percentage level only if a unit is available at
the resident's qualified level.
*If a unit is not available at the lower level then the resident may be placed on the
waiting list. *Important: the existing resident is put at the end of the waiting list,
they do not take precedence over a non-resident on the waiting list.

*This does not apply if the occupants consist of a single parent with a
child of school age. They can occupy a 2x1 or 2x2.

Must make 2 to 2.5 times their affordable monthly rent
Must re -certify annually
Qualifying criteria is the same as a market unit (i.e. credit, rental history,
source of verifiable income).
If a current resident requests to apply for the Affordable Program, they must
meet all of the criteria as stipulated above. If the current resident does not
meet the occupancy criteria (i.e. one person in a two -bedroom) they must
move into a unit size to accommodate the occupancy criteria in order to
participate in the program.

Interim Re -Certification
A resident is eligible for an interim re -certification if the household's income
increases or decreases by twenty-five percent (25%) or more. They must
provide all necessary income documentation and complete a new re-
certification packet.
The rental amount can only be adjusted if the level they qualify at is
available at the time of the interim re -certification. If the qualifying level is
not available, they would be added to the waiting list.
The Regional Property Supervisor must approve and sign off any interim re -
certifications and verify availability of qualifying level.

Eligibility Requirements
All occupants MUST be listed on the re-certification/application
packet. (Any unauthorized occupants will result in termination from
the Affordable Housing Program).

In response to your request for notification of pending litigation, I have checked with the
City Clerk in an attempt to establish a process for any future litigation notification. She
has advised that often times the Public Record will have the information regarding
pending litigation before the City is actually served with a claim or lawsuit, i.e.,
circumstances surrounding Giroux.
In addition, she has advised and cautioned that staff and Commissioners are not to
discuss pending litigation with anyone as it is a legal matter and is to be handled in its
entirety by legal counsel and the City Council in closed session.
Further, she advises that should a staff or Commission member be queried regarding
pending litigation against the City, that we should respond by stating that we cannot
discuss the matter and any inquiries should be directed to the City Attorney's office.

Recommendation:
That the Palm Desert Housing Authority, by minute motion, approve Change Order No. 1
to Contract No. HA-18010 with JMS for additional engineering services in the amount of
$13,000.00 that were required for the repair and resurfacing of the parking lots for the
Housing Authority Properties known as One Quail Place and Taos Palms. Funds are
available from Tax Allocation (Housing Set -Aside) Revenue Bonds, Series 1998.
Background:
On June 22, 2000, the Palm Desert Housing Authority awarded Contract No. HA-18010
to JMS for the engineering services for the Housing Authority Properties known as One
Quail Place, Taos Palms, Las Serenas, and Neighbors Gardens. In reviewing the
preliminary construction drawings with our Public Works Department, it was noted that the
engineering services proposed in the construction documents would not be sufficient to
correct the drainage problems at One Quail Place and Taos Palms.
The Taos Palms' parking lot is plagued by the following conditions. -
The parking lot along the easterly side of the building is adjacent to an alley;
• Lack of drainage conditions is a severe problem;
• The alley way is only partly paved;
• There is gravel along the east alley behind Taos Palms;
• The paved parts of the alley are sloped incorrectly and are in serious need of re -
pavement.
These conditions required JMS to perform additional surveying for the alley design.

One Quail Place has several areas that require additional attention. In reviewing the
engineering drawings, it was noted that several areas required further field evaluation. It
was necessary to perform additional surveying to ensure that the parking lots would be
paved correctly and provide adequate drainage. This site needed to be designed as an
overlay in addition to the removal and replacement of specific areas.
Staff recommends approval of a change order to JMS for the additional surveying required
at One Quail Place and Taos Palms. Funds are available from Tax Allocation (Housing
Set Aside) Revenue Bonds, Series 1998.

That the Housing Authority, by minute motion, approve and authorize the execution of an
Agreement for Management Services ("Agreement") by and between the Palm Desert
Housing Authority and Ray, Douglas, Ann and Patrick, Inc., aka RPM Company, effective
April 1, 2001.
Executive Summa
Authority approval will authorize the Agreement with RPM Company for 21 months,
effective April 1, 2001, making the Agreement in compliance with existing tax laws
applicable to the bond issue used to purchase these properties. Authority denial will leave
the existing Agreement in place possibly questioning the taxability of the bond issue.
Background:
On July 1, 1999, the Agency entered into an Amended and Restated Management
Agreement with RPM Company for management of the Housing Authority's seven multi-
family affordable housing rental properties. The management contract provides for the
day-to-day management and operation of the properties, including but not limited to, record
keeping, leasing, and overall maintenance and repairs.
Staff measured RPM Company's performance by a survey that was mailed to all Housing
Authority property tenants. Results of the survey were compiled and reviewed by the
Housing Commission and a subcommittee of the Housing Commission that included two
Council Members. The subcommittee also toured and inspected each property.
On July 1, 2000, within the scope of the Agreement, RPM's fee was raised $1.00 a door to
$27.00 per door. The Agreement was written to automatically extend from year to year for
a five-year period.

Recently, after review by the Agency's legal counsel of the Agreement and the current tax
laws, staff was instructed that it was necessary to re -write the Agreement for a period not
to exceed two years. Internal Revenue Service revenue procedures Section 97-13 sets
forth "safe harbors" for the permitted term of a management agreement for a facility
financed by tax-exempt bonds. For an agreement that includes compensation provisions
similar to those within this Agreement, the "safe harbor" term is two years. This Agreement
is for a period of 21 months to allow for any subsequent Agreements, if any, to be for 24
months ending in December. This will allow staff time to transition into a new contract well
within our fiscal year, thereby minimizing staff constraints during budget and audit seasons.
The body and content of the Agreement is substantially the same as the previous approved
Agreements with the exception of Section 6 — Term_, which reflects a 21-month Agreement,
and some minor language changes to reflect the current management requirements as
opposed to those of an initial Agreement. The current periodic annual increase of not -to -
exceed $1 per door was incorporated into the new Agreement.
Staff has recently sent out this fiscal year's Performance Survey to all Housing Authority
tenants. Once received, all responses will be compiled and shared with the Housing
Subcommittee as well as the Housing Commission. The subcommittee recently toured the
properties and is working closely with RPM Company to ensure that repairs and
maintenance are being adequately addressed and that RPM is being responsive to tenant
needs.

Recommendation:
That the Housing Authority Board, by minute motion, approve the award of Contract
No. HA 18080 to Tony's Landscaping, Inc., in the amount of $1,068,664.64, plus a 10%
contingency of $106,866.46 for landscape retrofit at One Quail Place. Funds are
available from Tax Allocation (Housing Set -Aside) Revenue Bonds, Series 1998, and
other available Housing funds.
Background:
On July 13, 2000,the Housing Authority went out to bid for the retrofit of One Quail
Place, only one company submitted a bid. After a review of the qualifications, Staff
determined that CLS Landscaping did not have the experience nor the background for
managing a project of this magnitude, and rejected the bid.
On December 14, 2001 the Housing Authority Board authorized staff to re -advertise
and call for bids for the Landscape Retrofit at One Quail Place, bid closing was
scheduled for January 26, 2001. The bid closing was then extended to February 13,
2001 in order to assure that we would receive bids.
Although 15 bid packages were requested, on February 13, 2001, one bid was
received from Tony's Landscaping, Inc. in the amount of $1,068,664.64. Staff has
thoroughly checked all references and finds the Company qualified, and therefore
recommends that the contract be awarded to Tony's Landscaping, Inc.

they did not bid on the project. The general response was that they were just too busy
right now to take on a job of this size.
The Scope of Work includes the following :
• Removal of selected trees throughout the property
• Conversion of the streams into dry creek beds
• Rebuilding on medium to large pond areas located throughout the property
• Removal and replacement of plant material
• Removal of sludge that is on the bottom of the stream beds
• Pruning of the trees located throughout the property
• Implementation of boulders and decomposed granite throughout the property
Staff recommends the approval of the award of contract to Tony's Landscaping, Inc.

AGREEMENT
THIS AGREEMENT is made and entered into this_ day of 2001, by
and between the PALM DESERT HOUSING AUTHORITY, a public body corporate and
politic, hereinafter called "Owner", and TONY'S LANDSCAPING, INC., hereinafter
called "Contractor".
WITNESSETH
RECITALS:
1. - Contractor has submitted to Owner its Contractor's Proposal for the
Landscape Re -Design Planting at One Quail Place, Owner's Project, in strict
accordance with the Contract Documents identified below and Owner has accepted
said proposal.
2. Contractor states that it has re-examined its Contractor's Proposal and
found it to be correct, has ascertained that its subcontractors are properly Licensed and
possess the requisite skill and forces, has examined the site and Contract in
accordance with the Contract Documents for the money set forth in its proposal to be
paid as provided in the Contract Documents.
AGREEMENT:
IT IS AGREED BY THE PARTIES AS FOLLOWS:
ARTICLE 1 - SCOPE OF WORK The Contractor shall perform within the time
stipulated in the contract as herein defined, and shall provide all labor, materials, tools,
utility services and transportation to complete in a workmanlike manner all of the work
required in connection with the following titled project: LANDSCAPE RE -DESIGN
PLANTING AT ONE QUAIL PLACE.
It is the duty of the Contractor to complete the work covered by this contract in exact
accordance with the approved plans, specifications and other Contract Documents as
specified in Article (8) below. The Contractor shall be liable to Owner for any damages
arising as a result of a failure to fully comply with that obligation, and the Contractor
shall not be excused with respect to any failure to so comply by any of them, unless
such act or omission actually prevents the Contractor from fully complying with the
requirements of the documents, and unless the Contractor protests at the time of such
alleged prevention that the act of such alleged prevention that the act or omission is
preventing the Contractor from fully complying with the Contract Documents. Such

Housing Authority within three working days of the date of occurrence of the act or
omission preventing the Contractor from fully complying with the Contract Documents.
ARTICLE 2 -TIME FOR COMPLETION. Contractor shall commence the work within
ten (10) calendar days after the date of the Notice to Proceed and will do all things
necessary to construct the work generally described in accordance with the Contract
Documents and will complete said work within ninety (90) days from the
commencement of the job to the satisfaction of the Palm Desert Housing Authority
Housing Manager.
ARTICLE 3 - LIQUIDATED DAMAGES. It is agreed that the Contractor will pay to
Owner/Palm Desert Housing Authority, and not as a penalty or forfeiture, the amount of
$500.00 for each calendar day that exceeds the time described in Article 2 above until
the work is completed and accepted. In the event the same is not paid, the Contractor
further agrees that Owner may deduct that amount thereof from any money due or that
may become due the Contractor under the contract. This Article does not exclude
recovery of damages under provision of the Contract Documents.
ARTICLE 4 - COMPENSATION. Owner shall pay to the Contractor as full
consideration for the faithful performance of the contract, subject to any additions or
deductions as provided in the Contract Documents, the sum of: Total Base Bid of ONE
MILLION SIXTY-EIGHT THOUSAND, SIX HUNDRED SIXTY-FOUR AND 64/100
DOLLARS ($1,068,664.64) said sum being total amount stipulated in the proposal
dated February 13, 2001.
ARTICLE 5 - HOLD HARMLESS AGREEMENT. The Contractor agrees to and does
hereby indemnify and hold harmless the Owner, its officers, agents, and employees
from every claim or demand made, and every liability, loss, damage, or expense of any
nature whatsoever, which may be incurred by reason of:
(a) Liability for damages for (1) death or bodily injury to persons, (2) injury to,
loss or theft of property, or (3) any other loss, damage or expense arising under either
(1) or (2) above, sustained by the Contractor or any person, firm or corporation
employed by the Contractor upon or, in connection with the work called for in this
Agreement, except for liability resulting from the sole negligence or willful misconduct of
the Owner, its officers, employees, agents or independent contractors who are directly
employed by the Owner; and
(b) Any injury to or death of persons or damage to property caused by any act,
neglect, default or omission of the Contractor, or any person, firm or corporation
employed by the Contractor, either directly or by independent contract, including all -
damages due to loss or theft, sustained by any person, firm or corporation, including
the Owner, arising out of, or in any way connected with the work covered by this

Agreement, whether said injury or damage occurs either on or off owner's property, if
the liability arose from the negligence or willful misconduct of anyone employed by the
Contractor either directly or by independent contract.
(c) The Contractor, at his/her own expense , cost, and risk shall defend any
and all actions, suits, or other proceedings that may be brought or instituted against
Owner, its officers, agents or employees, on any such claim, demand or liability, and
shall pay or satisfy any judgment that may be rendered against the Owner, its officers,
agents, or employees in any action, suit or other proceedings as a result thereof.
ARTICLE 6 - PROVISIONS REQUIRED BY LAW. Each and every provision of law
and clause required to be inserted in this Contract shall be deemed to be inserted
herein and this Contract shall be read and enforced as though it were included herein,
and if through mistake or otherwise any such provision is not inserted or is not inserted
correctly, then forthwith be physically amended to make such insertion or correction.
ARTICLE 7 - PAYMENTS. After receipt of approved estimate for partial payment,
there shall be paid to Contractor a sum equal to ninety percent (90%) of value or work
performed and of materials delivered on the ground or stock subject or under the
control of the Owner. Partial payments shall be prepared by Contractor on a form
approved by the Owner/Palm Desert Housing Authority. Work completed as estimated
shall be an estimate only and no inaccuracy or error in said estimate shall operate to
release Contractor or any bondsman from any damages arising from such work or from
enforcing each and every provision of the contract, and Owner shall have the right
subsequently to correct any error made in any estimate for payment.
Contractor shall not be entitled to have any payment estimates processed or be entitled
to have any payment for work performed so long as any lawful or proper direction
concerning work, or any portion thereof, given by the Owner has not been completed.
The final payment of ten percent (10%) of the value of the work done under this
contract, if unencumbered, shall be made thirty-five days after recording by the Owner
of the Notice of Completion. Acceptance will be made only as an action of the
governing board of the Owner. Acceptance by Contractor of said final payment should
constitute a waiver of all claims against owner arising from this contract.
