Esta notificacion legal se imprimira en la primera página o en la
portada de cada contratos de energía solar para la instalación de
un sistema de energía solar en un edificio residencial.
El COSTO TOTAL del sistema de la energía solar (incluyendo el
financiamiento y el costo de energía/electricidad, cuando
corresponda) es: $194.03 por mes, se incrementará por 3.5%
anualmente; $0 debe al momento del comienzo de la instalación
Para presentar una queja contra el contratista que instala este
sistema y/o el vendedor de mejoras para el hogar que le vendió
este sistema, comuníquese con La Directiva Estatal de Licencias
para Contratistas (CSLB, por sus siglas en inglés) a través de su
sitio web en www.cslb.ca.gov (buscar: "formulario de quejas", por
teléfono al 800321CSLB (2752), o por correo postal a P.O. Box
26000, Sacramento, CA 95826.
Si el contrato adjunto no fue negociado en el domicilio comercial
del contratista, usted tiene el Derecho a cancelar el contrato
durante un plazo de cinco días, conforme a la sección 7159 del
ódigo de Negocios y Profesiones (BPC, por sus siglas en inglés),
como se indica á continuacion. Para más detalles sobre la
cancelación del contrato, consulte el Aviso de Cancelación que
debe estarincluido en su contrato.
Derecho de cancelación de cinco días
Usted, el comprador, tiene derecho a cancelar este
contrato durante un plazo de cinco días hábiles. Puede
cancelarlo enviando un correo electrónico, correo postal,
fax, o presentando un aviso por escrito al contratista en
el domicilio comercial del contratista antes de la
medianoche del quinto día hábil después de haber
recibido una copia firmada y fechada del contrato que
incluye este aviso. Incluya su nombre, dirección y la
fecha en que recibió la copia firmada del contrato y este
aviso.

Este de compra/alquiler de energía (el “Contrato”)se celebra entre Enrique Madrigal (“Cliente”o
“propietario”o “usted”)y Sunrun Installation Services Inc.,una Delaware corporation,junto con sus
sucesores y Cesionarios (“Sunrun”o “nosotros”junto con el Cliente,las “Partes”,cada una,denominada
una “Parte”),a partir de la Fecha efectiva para el venta y compra de toda la energía eléctrica generada por
un sistema solar fotovoltaico (el “Sistema solar”)que se instalarán en su hogar ubicado en 74361 Aster Dr
Palm Desert,CA 92260 (el “Hogar”).Sunrun se complace en proporcionarle energía eléctrica solar durante
un plazo de veinticinco (25)años.
Antes de dar inicio a cualquier tipo de Trabajo,usted tiene derecho a recibir una copia completa de este
Contrato,firmada por usted y Sunrun.Este Contrato entra en vigencia a partir del\od\______(la “Fecha de

Ciclo de facturación y fechas de vencimiento.Sus ciclos de facturación serán mensuales.Su primer cicloa.

Sistema solar (la “Fecha de inicio de servicio”).Los ciclos de facturación posteriores comenzarán en la
misma fecha cada mes (el “Día del ciclo de facturación”).
Cada mes,Sunrun preparará una factura escrita o electrónica que especificará el pago adeudado a
Sunrun para el ciclo de facturación anterior.Usted recibirá esta factura dentro de los diez (10)días de
finalización del ciclo de facturación anterior,y su pago por el ciclo de facturación anterior vencerá el día
antes del próximo Día del ciclo de facturación.

Sunrun se reserva el derecho de actualizar sus sistemas de facturación de manera eventual,y usted
será notificado si cambia la fecha de vencimiento de su pago.También puede elegir realizar pagos a
Sunrun antes de la fecha de vencimiento del Pago mensual.
Opciones de pago.Los Pagos mensuales son pagaderos a Sunrun Inc.(i)mediante el retiro automáticob.
de su cuenta corriente o de ahorros,o bien (ii)mediante un cheque de un banco de los Estados Unidos,
o bien (iii)mediante un giro postal.
Se le cobrará una tarifa por cheque devuelto de veinticinco dólares ($25.00)(o cualquier monto inferiorc.

Descuento por Pago automático4.
Los Pagos mensuales que se muestran en la Sección B(1)y en el Anexo A asumen el pago mediantea.

Compensación Automática (Automated Clearing House,ACH)e incluyen un descuento de $7.50 por
Pago automático.
Si no elige el Pago automático,no recibirá un descuento por Pago automático y,por consiguiente,susb.
Pagos serán $7.50 más altos por mes que aquellos reflejados en la Sección B(1)y en el Anexo A.
Pago de impuestos5.
Por ejemplo,si se pone en funcionamiento el Sistema solar el 12 de mayo,recibirá su primera
factura entre el 12 de junio y el 22 de junio.Su pago será adeudado antes del 11 de julio.

Los pagos establecidos en la Sección B(1)anterior no incluyen impuestos.Si algún impuesto (lo quea.
incluye,a título enunciativo pero no limitativo,impuestos sobre la venta y transacciones,y cualquier
interés y penalidad asociados)se impone sobre estos pagos,la venta de energía eléctrica,el Hogar,o la
transacción en sí,y son pagados por Sunrun en lugar de usted,usted acepta pagar o reembolsar a
Sunrun todos esos impuestos pagados,salvo si se lo prohíben leyes aplicables.
Por otro lado,acepta otorgar un reembolso a Sunrun por todo impuesto,incluyendo cualquier interés yb.
penalidad asociados,que se imponga sobre el Sistema solar en el que Sunrun pueda incurrir.
En la medida que Sunrun le solicite un reembolso,usted acepta que Sunrun puede solicitarle unc.

mensual para recuperar el monto total incurrido por Sunrun durante un período que determine Sunrun,o,
a criterio exclusivo de Sunrun,establecer un plan de pago por separado para recuperar el monto total

Cambios en el monto de pago6.
Si algún cambio que se produjera conforme a lo establecido en la Sección F aumenta el Pago pora.

Pago por adelantado mensuales7.
En cualquier momento,usted puede pagar por adelantado todos los Pagos mensuales a Sunrun durantea.
la porción remanente del Plazo inicial (“Pago por adelantado”).No cambiarán las obligaciones de
Sunrun conforme al Contrato si realiza dicho Pago por adelantado.
El Pago por adelantado deber ser igual a los Pagos mensuales restantes para el año en curso y losb.

Pagos tardíos.Si Sunrun no recibe su pago a la fecha de vencimiento especificada en la factura,Sunrun8.
podrá cobrarle una tarifa de penalización administrativa por mora equivalente al valor menor entre (i)
uno y medio (1.5 %)porciento por mes sobre la porción del saldo que supere los treinta (30)días de
vencimiento,y (ii)el monto máximo permitido de conformidad con la ley aplicable.Esta penalización por
mora no es un interés,cargo de financiación,diferencia de precio por tiempo o ningún otro pago o cargo
de naturaleza similar.
Medición neta.9.
A partir de la fecha de servicio,usted debe recibir servicio por parte del Servicio estándar de medicióna.
neta y sus términos asociados ("Servicio de exportaciones")que presta su Compañía eléctrica.Usted
acepta que seguirá recibiendo el Servicio de exportaciones durante el tiempo en que este Contrato esté
vigente.Usted acepta utilizar el Servicio NEM actualmente vigente de esta Compañía eléctrica o,en el
caso de que este Servicio NEM ya no esté vigente,usted acepta utilizar un programa de medición
sustituto seleccionado por Sunrun a su criterio exclusivo.
Por ejemplo,si usted decide pagar por adelantado el resto de sus pagos mensuales en el 10.ºaño y
la tasa de descuento aplicable a la fecha del pago por adelantado es 4.25 %,le pagaría a Sunrun
$46,161.

Usted acepta formalizar inmediatamente toda la documentación relacionada con el Servicio NEM,o conb.
cualquier servicio de medición sustituto,y con cualquier programa de reembolso,crédito o descuento,
que solicite Sunrun,sus representantes o afiliados y/o la Compañía eléctrica.Si no presenta tal
documentación dentro de los (7)días posteriores de dicha solicitud,Sunrun podrá facturarle un monto
equivalente al monto de los descuentos que de otro modo hubiera recibido si usted hubiera presentado
tal documentación.
El punto en el que el Sistema solar se conecta con la conexión del Hogar con su Compañía eléctrica sec.
denomina “Interconexión”.A los fines de calcular los pagos por la garantía de rendimiento,si los
hubiera,conforme a la Sección D,usted acepta que el título y el riesgo de pérdida de la energía eléctrica
proporcionada en virtud de este Contrato se transferirán de Sunrun a usted en el momento en el que la
energía eléctrica alcanza la Interconexión.Usted además acepta que la energía eléctrica proporcionada
en virtud de este Contrato se mide al momento en que la energía eléctrica alcanza la Interconexión.
Energía adicional;reembolsos y descuentos10.
Toda la energía eléctrica producida por el Sistema solar será puesta a su disposición para que puedaa.
utilizarla en su Hogar conforme al presente Contrato.Si en algún momento necesita más energía
eléctrica de la que el Sistema solar está produciendo (“Energía adicional”),usted será responsable de
comprar esa Energía adicional a otro proveedor,como su Compañía eléctrica,y de pagar cualquier
tarifa relacionada con dicha Energía adicional que el otro proveedor puede cobrar.
Usted acepta que Sunrun será el único destinatario de cualquier tipo de crédito,descuento,atributob.
ambiental u otro pago o compensación (el “Incentivo”)que pudiera atribuirse al Sistema solar.Todos los
Incentivos serán propiedad exclusiva de Sunrun y transferibles únicamente por Sunrun.
Sin perjuicio de ninguna disposición del presente que indique lo contrario y sin limitar los demásc.
derechos,si hubiere,de Sunrun con respecto a los incentivos que se pueden atribuir al Sistema solar,
usted acepta que Sunrun recibirá todo crédito impositivo federal que pueda atribuirse al Sistema solar,y
que dichos créditos impositivos federales serán propiedad exclusiva de Sunrun y transferibles
únicamente por Sunrun.Los créditos impositivos federales esperados de Sunrun que estén asociados
con el Sistema solar han sido considerados en el cálculo de su Pago mensual de alquiler.
Si usted compra el Sistema solar a Sunrun,usted será el propietario y tendrá derecho a las gananciasd.
por las ventas de los créditos de energía solar renovable que obtenga después de la fecha de compra
del Sistema solar a Sunrun.

Garantías1.
Garantía de mano de obra.Garantizamos nuestra mano dea.
obra por un período de veinticinco (25)años después de la
Instalación (el “Período de garantía”),salvo conforme se haya
establecido a continuación con respecto a nuestra garantía de
penetración en el techo.Durante el Período de garantía,
repararemos o reemplazaremos,por cuenta propia,cualquier
material o Trabajo cubierto por el presente Contrato.Nuestra
garantía de mano de obra incluye,a título enunciativo pero no
limitativo,lo siguiente:
Garantía de penetración en el techo.Garantizamos que las penetraciones en el techo realizadas por(i)
el Sistema solar y que afecten el techo del Hogar serán herméticas por un período de 10 años
después de la instalación.

Garantía de daños.Repararemos o le reembolsaremos los daños que ocasionemos durante la(ii)
instalación en el Hogar,en sus pertenencias o en su propiedad,conforme se limita por las Secciones
C(2),E y G.
Sunrun mantendrá y reparará el Sistema solar durante el Plazo inicial y cualquier Plazo de(iii)
renovación.
Garantía de equipos.Sunrun garantiza todos los equipos durante el Plazo inicial.Si las piezas fallaranb.
durante el plazo de este Contrato,Sunrun hará los esfuerzos comercialmente posibles para
reemplazarlo por equipos similares;sin embargo,usted acepta que,debido a la disponibilidad de los
repuestos y otros factores,tal vez esto no sea posible.Sunrun acepta que ningún cambio en el equipo
reducirá la Producción garantizada establecida en la Sección D.
Garantía de finalización del plazo.Al final del Plazo inicial o al final de un Plazo de renovación,si ustedc.
o Sunrun desea finalizar el Contrato,Sunrun retirará el Sistema solar sin ningún costo para usted y
restituirá el Hogar a un estado similar a su estado antes de la instalación del Sistema solar,exceptuando
el uso y desgaste habitual (lo que incluye,a título enunciativo pero no limitativo,el uso y desgaste
derivado de las condiciones meteorológicas locales)y el uso y desgaste que pueda esperarse debido a
la presencia del Sistema solar en el Hogar durante el plazo de 25 años (lo que incluye,a título
enunciativo pero no limitativo,el uso y desgaste desigual y la decoloración desigual).
Exclusiones y excepciones de la garantía2.
La Garantía de penetración en el techo será nula y anulable si usted o sus contratistas realizan trabajoa.
en el techo durante el período de garantía de 10 años.
La garantía de penetración en el techo no abarca (i)ninguna filtración que ocurra en áreas en el techob.
del Hogar no afectadas por el Sistema solar,(ii)ninguna falla preexistente y/o subyacente en el techo
del Hogar,o bien (iii)ningún objeto extraño que afecte el techo del Hogar (p.ej.granizo,pelotas de golf,
etc.).
La garantía de mano de obra no se aplica a lo siguiente:c.
trabajo realizado o materiales utilizados por partes que no seamos nosotros ni nuestros socios de(i)
instalación;
cualquier material que se modificó,reparó o intentó reparar por personal ajeno a Sunrun o sus(ii)
Socios de instalación sin la aprobación previa por escrito de Sunrun;
cualquier daño que resulte de su incumplimiento del Contrato;(iii)
Cualquier daño no causado por nosotros,nuestros Socios de instalación o un defecto del Sistema(iv)
solar;
daños resultantes del uso y desgaste normal;(v)
daños resultantes de moho,hongos y otros patógenos orgánicos;(vi)
contracción/grietas de lechada y el masillado;(vii)
la decoloración de pinturas y acabados expuestos a la luz solar;y(viii)
Daños causados por golpes con pelotas(ix)
Usted acepta que la instalación del Sistema solar puede anular cualquier garantía de techado del
fabricante o instalador del techo.No asumimos ninguna responsabilidad si nuestro Trabajo anula su
garantía de techado.Antes de la instalación,usted debe verificar con el techador o constructor con
respecto a cualquier impacto que el Sistema solar tendrá sobre su garantía de techado.
Sus iniciales indican que ha leído,comprendido y aceptado las disposiciones establecidas anteriormente
en esta Sección C(2).

con el Sistema solar que está cubierto por alguna de las garantías especificadas anteriormente,
comuníquese con Sunrun al 855-478-6786 o por correo electrónico a customer.care@sunrun.com.
Sunrun hará los esfuerzos comercialmente razonables para reparar los problemas cubiertos por una
garantía lo antes posible después de tomar conocimiento de dicho problema.
Garantía de rendimientoD.
Estimación de producción1.
Sunrun estima que el Sistema solar será capaz de generar 15,522 kilovatios-hora de energía eléctricaa.
durante su primer año de funcionamiento.La producción real puede variar por variaciones naturales en
los patrones del clima,las especificaciones físicas del(de los)techo(s)del Hogar,la colocación
requerida del Sistema solar en su techo,y otras condiciones.Su Pago mensual de alquiler es fijo,y no
está ligado a la producción real del Sistema solar.
Debido a la degradación esperada del panel,Sunrun estima que el Sistema solar será capaz de generarb.
365,635kilovatios-hora (“kWh”)durante el Plazo inicial (la “Cantidad estimada”).
Producción garantizada.Sujeto a las condiciones de esta Sección D,Sunrun garantiza que el Sistema2.
solar generará noventa por ciento (90 %)de la Cantidad estimada durante el Plazo inicial de este
Contrato conforme se establece en el Anexo A (la “Producción garantizada”).Sujeto a las condiciones

garantizada.
Sunrun no le emitirá un reembolso por cualquier producción inferior del Sistema solar resultante de
cualquier falla en el sistema o producción perdida por motivos que no sean (a)un defecto del Sistema
solar,(b)la sombra debido al clima o (c)las condiciones de sombra que estuvieron presentes en el
Hogar al comienzo de la instalación.Para evitar dudas,Sunrun no le emitirá un reembolso por la
producción inferior que surja de cualquiera de lo siguiente:
la producción inferior que surja del incumplimiento de sus obligaciones conforme al Contrato;·
la producción inferior que surja de las condiciones de sombra (excepto el clima)diferentes de·
aquellas que estuvieron presentes en el Hogar al comienzo de la instalación;
la producción inferior que surja de una falla en la red que deshabilite el Sistema solar;·
la producción inferior que surja de que haya ocasionado o solicitado la interrupción del Sistema·
solar,o una disminución significativa en la cantidad de energía eléctrica producida;
la producción inferior que surja de daños en el Sistema solar ocasionados por objetos extraños·
que actúen sobre este (p.ej.granizo,pelotas de golf,etc.).
Sunrun no extiende otro tipo de representación,aval o garantía de ningún tipo respecto al rendimiento o
la producción real esperada del Sistema solar,y por el presente se renuncia a cualquier otra garantía
expresa o implícita.
Sus iniciales indican que ha leído,comprendido y aceptado las disposiciones establecidas anteriormente
en esta Sección D(2).

Exceso de producción.Si,en el transcurso del Plazo inicial,el Sistema solar produce más energía que3.
la Producción garantizada prevista,la energía extra será suya sin ningún costo adicional.Sunrun podrá

determinado en el caso de que la Producción real atribuible a ese período sea inferior a la Producción
garantizada atribuible a dicho período.
Producción real y reembolsos.En el aniversario de 24 meses de la Fecha de inicio de servicio,y en4.

Sunrun calculará la “Producción real”del Sistema solar.A los fines de este Contrato,la “Producción real”
hace referencia a la cantidad de energía eléctrica generada por el Sistema solar a la fecha,más
cualquier kWh por el que usted hubiera recibido un reembolso en el pasado.Sujeto a la Sección D(2),si

la Producción real es menor que la Producción garantizada para la Fecha de garantía establecida en el
Anexo A,Sunrun le emitirá un reembolso.Este reembolso se calculará al restar la Producción real para
esa Fecha de garantía de la Producción garantizada para esa Fecha de garantía,y el resultado se
multiplicará por el reembolso por cantidad de kWh establecido para esa Fecha de garantía en el Anexo
A.Para el último año del Plazo inicial (año 25),el periodo de garantía será de 12 meses.

Diseño e instalaciónE.
Nuestro trabajo;Descripción de materiales.1.
Nuestro trabajo en el Sistema solar incluye:a.
diseño,permisos y suministro de los equipos y materiales normalmente necesarios para un Sistema(i)
solar completo y operable;
instalación del Sistema solar;(ii)
obtención de la aprobación de su Compañía eléctrica;y(iii)
ayuda con la documentación del programa de descuentos aplicable establecido en la Sección B(10)(iv)
(en conjunto,el “Trabajo”)
El equipo principal que se utiliza para el Sistema solar incluye,por lo general,una serie de panelesb.
fotovoltaicos interconectados,uno o más inversores,materiales para estantería y un medidor de
producción.Otros materiales que generalmente se utilizan como “equilibrio para el sistema”son
interruptores,desconectores,centros de carga,cables y conductos.
Monitoreo de la producción del Sistema solar y del Consumo de energía;Datos.2.
Instalación y mantenimiento de equipos de medición y monitoreo.a.
Monitoreo de producción.Durante la instalación o en cualquier momento posterior a esta y durante(i)
el Plazo,podremos instalar o reemplazar dispositivos de monitoreo de la producción para medir la
energía producida por el Sistema solar (el “Dispositivo de monitoreo de la producción”).A través del
Dispositivo de monitoreo de la producción,recopilaremos datos de producción y desempeño del
Sistema solar (“Datos de desempeño”).
Dispositivo de monitoreo de consumo de energía.Durante la instalación o en cualquier momento(ii)
posterior a esta y durante el Plazo,podremos instalar o reemplazar dispositivos de monitoreo del
consumo de energía (el “Dispositivo de monitoreo del consumo de energía”).A través del Dispositivo
de monitoreo de consumo de energía,podemos recopilar y almacenar información sobre el uso de
energía en el Hogar (“Datos de uso”).
Acceso a los dispositivos de monitoreo.Usted reconoce y acepta que el Dispositivo de monitoreo de(iii)
la producción y el Dispositivo de monitoreo del consumo serán parte del Sistema solar,y que debe
brindarle a Sunrun acceso al Hogar a fin de que se instalen,operen,mantengan,reparen y
reemplacen dichos dispositivos.
Conexión a Internet.Para asegurar el correcto funcionamiento del Dispositivo de monitoreo de la(iv)
producción y del Dispositivo de monitoreo del consumo,de ser posible,,usted debe conectar el
Sistema solar de manera continua a una conexión de Internet de banda ancha que funcione
correctamente a través de un (1)puerto Ethernet y un tomacorrientes eléctrico estándar,a su cargo.
Si no puede conectar el Sistema solar a Internet de conformidad con el enunciado anterior,el Hogar
Por ejemplo,si se esperaba que en el 10.ºaño el sistema generara 62,000 kWh en forma
acumulativa y la generación real fue de 61,500,y su tarifa de reembolso es de $0.13,acreditaremos
a su cuenta en base a los 500 kWh que le faltaron al sistema multiplicado por su tarifa de
reembolso,es decir,500 kWh x $0.13 =$65.

deberá estar ubicado en un área con servicio de telefonía celular que sea aceptable para nosotros a
nuestro exclusivo criterio.
Daños o imprecisiones del dispositivo de monitoreo.Sunrun utiliza el Dispositivo de monitoreo de la(v)
producción para monitorear y registrar su producción de electricidad,y responder oportunamente
ante de producción.Si el Dispositivo de monitoreo de la producción presenta imprecisiones durante
un período dado a causa de sus acciones o de las acciones de otras personas no relacionadas con
Sunrun (lo que incluye,entre otros,la falta de conexión a Internet o de un servicio de telefonía
celular como se estipula en la cláusula [iv]anterior),Sunrun considerará que el Sistema solar ha
producido el 100 %de la Producción estimada durante dicho período para los fines de la Garantía de
producción estipulada en la Sección D.Usted también será responsable por los daños que se
produzcan en el Dispositivo de monitoreo de la producción o en el Dispositivo de monitoreo del
consumo a causa de una intervención suya o de una persona no relacionada con Sunrun.Si el
Dispositivo de monitoreo de la producción se daña o no funciona correctamente por motivos que no
sean la intervención suya o de otras personas no relacionadas con Sunrun,Sunrun estimará,de
buena fe,la cantidad de energía eléctrica que se produjo realmente durante el mal funcionamiento a
fin de determinar si se le adeudan pagos en virtud de la Garantía de producción estipulada en la
Sección D.
Uso de datos y divulgación.Podremos combinar los Datos de uso y los Datos de desempeño entre sí yb.
con otros datos,lo que incluye,entre otros,información de identificación personal (en forma colectiva,
“Datos”).Los posibles usos que les demos a los Datos y su divulgación se describen en el Anexo E.
Nunca venderemos información de identificación personal a un tercero sin el previo consentimiento
escrito de usted.
Equipo de comunicación.Durante la instalación o en cualquier momento después de que esta tengac.
lugar durante el Plazo,podemos instalar o reemplazar el equipo de comunicación (por ejemplo,una
antena)(el “Equipo de comunicación”)en el Hogar.El Equipo de comunicación puede utilizarse,o no,en

conectividad de telefonía celular o de Internet en su área.También podemos vender a un tercero el
derecho a usar el Equipo de comunicación de la manera que se describió anteriormente.Usted entiende
que el consentimiento de lo anterior no constituye una condición de compra.

Sunrun o sus Socios de instalación le proporcionarán un diseño preliminar del Sistema solar y luegoa.
programarán un momento para visitar su Hogar con el fin de confirmar que el diseño preliminar calzará
en el techo de su Hogar y finalizará el diseño (el “Estudio del sitio”).El diseño del Sistema solar depende
de las especificaciones físicas del(de los)techo(s)del Hogar,las condiciones del sitio como la
colocación de sistemas de ventilación,las condiciones del techo,etc.,cualquiera de las cuales puede
afectar la colocación del Sistema solar en su techo.El diseño del Sistema solar del Hogar será finalizado
con posterioridad a un Estudio del sitio en el Hogar por parte de Sunrun.
El diseño final del Sistema solar le será mostrado antes de la instalación.Después de recibir el diseño,b.
tendrá (5)días hábiles para solicitar un cambio en el diseño.De lo contrario,se considerará que usted
aprobó el diseño del Sistema solar.Sunrun hará los esfuerzos comercialmente razonables para
acomodar las solicitudes de cambios.Tras su aprobación escrita,supuesta o verbal,se podrá comenzar
la instalación.
Si,durante o después del Estudio del sitio,descubrimos alguna condición o algún problema escondidosc.
o disimulados en el Hogar que pueden retrasar o evitar la realización del Sistema solar una vez que
empezamos la instalación,le explicaremos el problema,determinaremos si se necesitan costos
adicionales para corregir el problema y,de ser así,propondremos un pedido de modificación.Puede ser
necesario que realice una preparación del sitio antes de la instalación.

Un afiliado certificado de Sunrun,Sunrun Installation Services Inc.u otro contratista certificado (una.
“Socio de instalación”)que cumpla con los estándares de calidad de Sunrun realizará la instalación.
Sunrun exige a sus Socios de instalación el uso de personal certificado conforme lo determinen las
leyes,las reglamentaciones o los códigos aplicables del estado y la contratación de un seguro conforme
se establece en la Sección G(6)a continuación.
Sunrun o sus Socios de instalación obtendrán todos los permisos necesarios para la instalación delb.
Sistema solar.Usted acepta cooperar con Sunrun y ayudar a Sunrun a obtener los permisos necesarios,

Sistema solar.Los protectores pueden ayudar a proteger el Sistema solar de las plagas o los roedores
que pueden dañar los componentes del Sistema solar.
Acceso al Hogar5.
Usted acepta otorgar a Sunrun y a sus Socios de instalación el acceso a su Hogar con el fin de diseñar,a.
instalar,poner en funcionamiento,probar el Sistema solar y cumplir las Obligaciones de Sunrun
conforme al presente Contrato.Sunrun acepta notificarle de manera razonable cuando Sunrun necesite
acceder al Hogar para cualquiera de los fines descritos anteriormente,y hará el esfuerzo de limitar el
acceso a los horarios de trabajo normales.
Cuando lo solicite Sunrun o cuando sea necesario,usted acepta otorgar a Sunrun y a los profesionalesb.
de la construcción (un ingeniero,arquitecto o contratista certificado,o sus representantes)contratados
por Sunrun,el acceso al Hogar para inspeccionar el edificio,incluyendo los techos,antes de instalar el
Sistema solar para asegurarse de que el Hogar pueda dar cabida al Sistema solar.
Debe proporcionarnos energía y agua para que la usemos durante la instalación.c.
Usted acepta realizar los mejores esfuerzos para brindar un entorno de trabajo seguro y protegido parad.
Sunrun y sus Socios de instalación en el Hogar durante toda la instalación del Sistema solar,el Plazo
inicial y cualquier Plazo de renovación.
Disposiciones varias.6.
Sunrun tiene la autoridad y el criterio exclusivo para utilizar Socios de instalación o agentes paraa.

para que ejecute este trabajo u (ii)obtener la autorización de Sunrun para el contratista que emplee,
respecto a quien usted acepta que deberá poseer una póliza de responsabilidad comercial general por
un monto no inferior a un millón ($1,000,000)de dólares por incidente en la que nombre a “Sunrun
Installation Services Inc.,y su sucesor o cesionarios”,como asegurados adicionales.

Usted acepta que no realizará ninguna modificación,mejora,revisión ni adición al Sistema solar nid.

Sección C sin el consentimiento previo por escrito de Sunrun.Si realiza alguna modificación,mejora,
revisión o adición al Sistema solar,estas formarán parte del Sistema solar y serán propiedad exclusiva

Si existen programas aplicables en su área de servicios públicos,usted se compromete a permitir quee.
Sunrun pueda,ocasionalmente,administrar y operar el Sistema solar en relación con la respuesta a
pedidos u otros programas con el fin de optimizar sus costos de electricidad o mantener la confiabilidad
de la red de electricidad.
Exclusiones.No proporcionamos ninguno de los siguientes elementos en virtud de este Contrato:7.
la eliminación o la disposición de cualquier material que contenga asbesto o cualquier otro materiala.

el traslado de sus objetos personales en el Hogar;b.

Pedidos de modificaciónF.
Si Sunrun solicita una modificación de los términos del Contrato,Sunrun le notificará por escrito sobre el
cambio solicitado y le solicitará que acepte los términos modificados mediante un pedido de modificación.
El hecho de no responder a un pedido de modificación en un plazo de cinco (5)días hábiles puede dar lugar
a la cancelación del Contrato conforme a lo establecido en la Sección H.

Plazo inicial.El Plazo inicial del Contrato comenzará en la Fecha de inicio de servicio y permaneceráa.

cancelado o rescindido anticipadamente conforme a los términos del presente Contrato.En un período
razonable posterior a su acontecimiento,Sunrun le notificará con respecto a la Fecha de inicio de
servicio.
Plazo de renovación.Al final del Plazo inicial,el Contrato se renovará automáticamente por el plazo deb.
un año adicional (“Plazo de Renovación”).Sunrun le proveerá su nueva tarifa para la energía eléctrica al
comienzo del Plazo de renovación y en cada Plazo de renovación sucesivo,si hubiere.El precio nuevo
por kWh será igual a diez por ciento (10 %)menos que el “costo promedio de energía eléctrica”según lo
establecido por su Compañía eléctrica o su sucesor.El “Costo promedio de energía eléctrica”será el
precio que usted pagaría por la energía eléctrica a su Compañía Eléctrica o a su sucesor los 12 meses
anteriores al inicio de cada Plazo de Renovación.Al final de cada Plazo de renovación,el Contrato se
renovará automáticamente por el plazo de un año adicional.Sunrun cumplirá con sus obligaciones
conforme al presente Contrato durante el tiempo en el que el Sistema solar permanezca
económicamente viable.
Sunrun hará todos los esfuerzos de buena fe para notificarle,entre los treinta (30)y los sesenta (60)(i)
días antes del final del Plazo inicial con respecto a (i)sus opciones al final del plazo y (ii)la tarifa

Rescisión2.
Al final del Plazo inicial o al final del Plazo de renovación,si usted o Sunrun finalizan el Contrato,Sunrun
retirará el Sistema solar sin costo para usted.La notificación de rescisión por escrito debe
proporcionarse al menos treinta (30)días antes del vencimiento del plazo aplicable.
Sujeto a las exclusiones establecidas en la Sección C y E,Sunrun devolverá el Hogar a un estado
similar al estado antes de la instalación del Sistema solar.Debe notificar a Sunrun por escrito sobre
cualquier deficiencia en la restauración dentro de un plazo de cinco (5)días hábiles posteriores al retiro

Que comprará toda la energía eléctrica generada por el Sistema solar a los precios de pagod.
establecidos en el Anexo A.
El Sistema solar es un equipo removible propiedad de Sunrun o sus afiliados y no se considera une.
accesorio o de lo contrario una parte del Hogar.
El Sistema solar no estará sujeto a gravamen,derecho de garantía,reclamación,hipoteca o escritura(i)
de fideicomiso que pudiera recaer o tasarse frente a su derecho de propiedad en el Hogar,o
cualquier propiedad que le pertenezca.Ni Sunrun ni nuestros Socios de instalación aplicarán
gravámenes a su título del Hogar.
No obstante,usted acepta que Sunrun o un afiliado de Sunrun pueden presentar declaraciones de(ii)
financiación UCC-1 u otras que confirmen nuestro derecho de propiedad sobre el Sistema solar.
Sin perjuicio de lo que antecede,cualquier contratista,subcontratista o proveedor de materiales que(iii)
proporcione productos o servicios conforme al presente Contrato y al que no se le haya pagado

El Sistema solar se utilizará principalmente para fines domésticos y no para calentar una piscina.f.
Usted no podrá vender,regalar,transferir,prendar,quitar,reubicar,modificar,forzar ni dañar el Sistemag.
solar o medidores asociados y/o monitores en ningún momento.Todo intento de forzar,dañar o
modificar el Sistema solar no se considerará parte del uso y desgaste razonable del Sistema solar.
Además,reconoce que el retiro del Sistema solar del Hogar por cualquier motivo puede requerir que
Sunrun reembolse,a su costo,Incentivos proporcionados con respecto al Sistema solar.
Usted acepta:mantener podados los árboles,arbustos y setos de modo que el Sistema solar conserveh.
la sombra y las condiciones presentes al momento de la instalación;no modificar el Hogar de ninguna
manera que sombree al Sistema solar;no permitir ninguna condición o circunstancia que daría lugar a
que el Sistema solar no funcione conforme a lo previsto en el Hogar;y notificarle oportunamente a
Sunrun si considera que el Sistema solar está dañado o parece inseguro,o si el mismo es robado.
Se abstendrá de intentar limpiar,arreglar o modificar el Sistema solar, a menos que Sunrun le hayai.

rectificar la condición si Sunrun lo considera necesario,ponerlo en contacto con socios certificados que
pueden rectificar la condición,o proporcionarle instrucciones sobre cómo rectificar la situación (p.ej.,
utilizar una manguera para rociar los paneles al nivel del suelo).
Usted acepta que Sunrun puede (i)llamarlo y (ii)enviarle mensajes de texto y pregrabados al número dej.
teléfono que proporcionó con respecto a la instalación,el mantenimiento o la administración de su
Sistema solar utilizando tecnología telefónica automatizada aunque su número de teléfono figure en

Opción de compra.Usted tiene la opción de comprar el Sistema solar en los siguientes momentosa.

Al final del Plazo inicial;(iii)

dentro de los sesenta (60)días de la fecha aplicable y efectuar el pago a Sunrun dentro de los treinta
(30)días de recibida la factura enviada por Sunrun con el precio de compra.
Precio de compra.El precio de compra será el valor justo del mercado (fair market value,“FMV”)delc.
Sistema solar en el momento de la compra.Sunrun determinará el FMV del Sistema solar contratando
un evaluador independiente que estime el valor de un sistema solar fotovoltaico comparable en
funcionamiento en su estado y área de servicio de su Compañía eléctrica.Esta valuación tendrá en
cuenta los años del Sistema solar,la ubicación,el tamaño y otras características del mercado como el
tipo de equipo,los costos de servicio,el valor de la electricidad en su área y cualquier Incentivo
aplicable.
Rescisión del Contrato tras la compra;derecho de monitorear.Después de que compre el Sistema solar,d.
se rescindirá el presente Contrato y ni usted ni Sunrun tendrán ninguna obligación restante en virtud del
presente Contrato.Para evitar dudas,después de la rescisión,Sunrun no le prestará servicios de
mantenimiento o reparación a menos que usted y Sunrun celebren un contrato separado,por cuenta
suya,para que Sunrun o su Socio de instalación realicen estos servicios.Si resulta posible,Sunrun le
cederá a usted cualquier garantía de equipos que estuviera vigente para el Sistema solar.Sunrun se
reserva el derecho de seguir midiendo el rendimiento del Sistema solar después de la rescisión del
Contrato.
Venta del Hogar,cesión y ejecución hipotecaria5.
Venta del Hogar.Si vende su Hogar:a.
Usted podrá transferir todos los derechos y obligaciones en virtud del presente Contrato al nuevo(i)
propietario,siempre que ese nuevo propietario (a)cumpla con los requisitos de crédito razonables
de Sunrun de una calificación de FICO de 650 o más,y (b)acepte por escrito comprometerse en
obligarse con todos los términos y condiciones establecidos en el presente;o
Podrá transferir todos los derechos y obligaciones en virtud de este Contrato al nuevo propietario,(ii)
siempre que el nuevo propietario (a)(i)cumpla con los requisitos para una hipoteca a fin de comprar
la Vivienda o (ii)compre la Vivienda en efectivo,(b)usted o el nuevo propietario le pague a Sunrun
una tarifa de exención de verificación crediticia por $250.00 y (c)el nuevo propietario acepte por
escrito estar vinculado por todos los términos y condiciones aquí establecidos;o
Se considerará que ha rescindido el presente Contrato y Sunrun podrá ejercer sus derechos en(iii)
virtud de esta Sección G(10)si:
usted vende el Hogar o de otra manera transfiere su derecho de propiedad en el Hogar sin1.
comprar el Sistema solar,o sin ceder este Contrato al nuevo propietario según lo dispuesto en
esta Sección,o
el nuevo propietario se rehúsa a asumir la responsabilidad del Contrato.2.
Cesión del Contrato.b.
Sunrun puede ceder,arrendar,subarrendar o transferir,sin su consentimiento,el Sistema solar y(i)
este Contrato,y todos los derechos y obligaciones allí establecidos,a un tercero (cada uno,un
“Cesionario”),por cualquier motivo,inclusive entre otros,el cobro de montos adeudados,el
financiamiento de la instalación del Sistema solar,o,en el caso de una adquisición,reorganización
corporativa,fusión o venta de sustancialmente todos los activos de Sunrun a otra entidad.
Por ejemplo,en el segundo año usted decide mudarse.Usted puede comprar su sistema solar
contactando a Sunrun con 60 días de anticipación a su fecha de mudanza.Sunrun utilizará a un
tercero para determinar el precio.Usted deberá pagar su factura antes mudarse.

Si Sunrun cede el Contrato,Sunrun seguirá realizando las tareas de operación y mantenimiento del(ii)
Sistema solar hasta que usted reciba una notificación que especifique lo contrario.Sunrun solicita
una notificación escrita con mínimo quince (15)días de antelación si usted desea transferir este
Contrato de conformidad con la Sección G(5)(a)(i)o (ii).

Finance Agency,FHFA)es el custodio y responsable de asegurar que las agencias de préstamo
Fannie Mae y Freddie Mac operen como una fuente confiable de liquidez y fondos para el
financiamiento de viviendas.
Para toda la propiedad financiada mediante un préstamo de Fannie Mae,las pautas de la FHFA1.
exigen,y usted y Sunrun (según aplique)acuerdan:
que el Hogar permanecerá conectado a su Compañía eléctrica durante el Plazo inicial y(i)

exclusiva ante usted será la de reparar o reemplazar el Sistema solar en la medida que lo exija cualquier
garantía de equipos.
durante el Plazo inicial del presente Contrato,usted acepta contar con un seguro que cubra los daños ac.
su Hogar,incluidos los daños ocasionados por el Sistema solar y no ocasionados por la negligencia
grave de Sunrun.es su responsabilidad determinar si la instalación del Sistema solar tendrá algún
impacto en su cobertura existente y si se requiere un seguro adicional.
Sunrun exige a los Socios de instalación que tengan las siguientes coberturas de seguro:d.
compensación laboral,sujeta a límites estatutarios;(i)
responsabilidad patronal,por un mínimo de un millón de dólares ($1,000,000)por cada incidencia;(ii)
responsabilidad civil comercial general por un monto no menor a un millón ($1,000,000)de dólares(iii)
por incidencia y dos millones ($2,000,000)de dólares anuales acumulados;
responsabilidad civil de automóvil comercial por un monto no menor al límite de un millón(iv)
($1,000,000)de dólares por accidente que combine lesiones corporales y daño a la propiedad;
seguro de responsabilidad civil en exceso con un límite de un millón ($1,000,000)de dólares por(v)
incidencia y que en el acumulado anual sea superior a los límites de los seguros establecidos
anteriormente;y

PÉRDIDAS DIRECTAS NO EXCEDERÁ,EN NINGÚN CASO,EL MONTO DE UN MILLÓN DE
DÓLARES ($1,000,000.00).ESTE SERÁ EL RECURSO ÚNICO Y EXCLUSIVO,Y SE EXIMEN TODOS
LOS OTROS RECURSOS O DAÑOS CONFORME A DERECHO O EQUIDAD,INCLUSO SI TIENE
MÁS DERECHOS EN VIRTUD DE LAS LEYES DEL ESTADO EN EL QUE SE ENCUENTRE SU
HOGAR,QUE DEBERÍA CONSULTAR.SUNRUN NO SE RESPONSABILIZA POR NINGÚN DAÑO

GANANCIAS O PÉRDIDAS RELACIONADAS CON ESTE ACUERDO,CONTRACTUALES O NO

USTED INDEMNIZARÁ,DEFENDERÁ,PROTEGERÁ,EXIMIRÁ Y MANTENDRÁ INDEMNE A
SUNRUN,SUS EMPLEADOS,EJECUTIVOS,DIRECTORES,AGENTES,SOCIOS DE
FINANCIAMIENTO,SUCESORES Y CESIONARIOS CONTRA CUALQUIER RECLAMACIÓN DE
TERCEROS,ACCIÓN,COSTO,GASTO (INCLUYENDO,HONORARIOS Y GASTOS RAZONABLES
DE ABOGADOS),DAÑO,RESPONSABILIDAD,SANCIÓN,PÉRDIDA,OBLIGACIÓN,LESIÓN,
DEMANDA Y GRAVAMEN DE CUALQUIER TIPO O NATURALEZA QUE SURJAN,SE CONECTEN O
RELACIONEN O DERIVEN DE SU MALA CONDUCTA DELIBERADA;NO OBSTANTE,NADA DE LO

Limitaciones de los daños8.
BAJO NINGUNA CIRCUNSTANCIA SEREMOS RESPONSABLES FRENTE A USTED O NINGÚN
INDIVIDUO POR LUCRO CESANTE,DAÑOS POR LA INTERRUPCIÓN DE LA ENERGÍA U OTROS
DAÑOS ESPECIALES,RESULTANTES,INCIDENTALES O INDIRECTOS.
Fuerza mayor9.
Sunrun no es responsable por demoras o fallas en el cumplimiento en virtud de este Acuerdo si tales
demoras o fallas se deben a motivos de Fuerza mayor.“Fuerza mayor”significa todo evento,condición o
circunstancia más allá del control razonable de Sunrun y que no sean causados por una falla o
negligencia de Sunrun.“Fuerza mayor”incluye,entre otros,hechos fortuitos tales como tormentas,
incendios,inundaciones,tormentas eléctricas y terremotos,sabotaje o destrucción perpetrada por
terceros al Sistema solar,guerras,disturbios,actos de un enemigo público u otro disturbio civil,huelga,
paro forzoso o alguna otra disputa laboral material.“Fuerza mayor”no incluye dificultades económicas o
la insuficiencia,falta de disponibilidad,interrupción o disminución de los recursos solares,excepto que
estas se debieran a eventos que constituyan una Fuerza mayor.
Para reclamar la Fuerza mayor como el motivo del incumplimiento,Sunrun deberá notificar dentro de los
catorce (14)días del incidente y estimar cuánto durará y cuál será su impacto potencial en este
Contrato.Si Sunrun reclama un caso de fuerza mayor,debe:
hacer todos los esfuerzos razonables para seguir trabajando conforme a lo establecido en ela.
Contrato;
tomar rápidamente las medidas para corregir el problema ocasionado por la Fuerza mayor;b.
hacer todos los esfuerzos razonables para limitar los daños a usted;yc.
notificarle cuando el evento de Fuerza mayor haya terminado y el momento en que se reiniciarán lasd.
tareas en cumplimiento de lo establecido en este Contrato.
Incumplimiento y recursos10.
INCUMPLIMIENTO DEL CLIENTE;RECURSOS DE SUNRUN:a.
incurrirá en un incumplimiento del Contrato si:(i)
rescinde el presente Contrato conforme a la Sección G(5)(a)(iii);1.
proporciona información financiera u otra que sea falsa o engañosa para obtener este Contrato;2.
cede,transfiere o grava el presente Contrato o cualquier parte del Sistema solar sin el3.
consentimiento previo por escrito de Sunrun;
realiza una cesión general a beneficio de los acreedores,presenta una solicitud de bancarrota,4.
designa un fiduciario,o tiene todos sus bienes o una parte importante de todos sus bienes
sujetos a embargo,ejecución o incautación judicial,se declara insolvente o incapaz de pagar sus
deudas,o si deja o abandona el Hogar;
se entabla un proceso de ejecución hipotecaria que involucre el Hogar;5.
usted (1)no nos proporciona la información,las aprobaciones o el acceso al Hogar que6.
necesitamos para hacer el Trabajo o (b)no realiza un pago a su vencimiento,y,en cualquier
caso,no corrige el problema en un plazo de diez (10)días.Además de cualquier otro recurso
descrito en el presente,tras el advenimiento de cualquier evento descrito en la oración
precedente,y antes del vencimiento del período de subsanación de 10 días,Sunrun podrá

detener el Trabajo.Sunrun le proporcionará una notificación por escrito de los motivos por los
que dejamos de trabajar.
Si usted incumple cualquier otra obligación material por la que se obligó en este Contrato,7.
incluyendo el hacer algo que haya acordado no hacer,y ese incumplimiento se extiende por un
período de catorce (14)días después de que reciba una notificación de dicho incumplimiento.
En caso de advenimiento de cualquier acontecimiento descrito en la Sección G(10)(a)(i),Sunrun(ii)
podrá,tras una notificación a usted,ejercer uno o varios de los siguientes recursos,a su exclusiva
discreción:
Sunrun podrá rescindir el Contrato;1.
Sunrun podrá,sujeto a cualquier derecho de subsanación establecido en el presente o conforme2.
a la ley aplicable,tener el derecho a desconectar su Sistema solar y/o de ingresar en su Hogar y
retirar el Sistema solar.Proporcionaremos una notificación por escrito con al menos diez (10)
días de antelación respecto a nuestra intención de desconectar el Sistema solar;
Sunrun podrá exigirle pagarle a Sunrun un pago por rescisión por un valor equivalente al Pago3.
por adelantado de todos los Pagos mensuales futuros durante el Plazo inicial (pago
“Complementario”);
si como resultado de su incumplimiento,Sunrun retira el Sistema solar,además de realizar el4.
pago Complementario,usted estará obligado a pagar a Sunrun un monto equivalente al valor de
todo incentivo federal,estatal y local que Sunrun deba pagar como resultado de tal retiro;
Sunrun podrá ejercer cualquier otro recurso a su disposición conforme a derecho o equidad.5.
INCUMPLIMIENTO DE SUNRUN;SUS RECURSOS.Además de cualquier otro recurso que ustedb.
pueda tener en virtud del presente Contrato,si Sunrun (i)realiza una cesión general a beneficio de sus
acreedores,presenta una solicitud de bancarrota,designa un fiduciario o administrador,o tiene todos
sus bienes o una parte importante de sus bienes sujetos a embargo,ejecución o incautación judicial,o
(ii)incumple una obligación bajo los términos de este Contrato y ese incumplimiento se extiende por
más de noventa (90)días de que hayamos recibido la notificación del incumplimiento correspondiente
(siempre que,en cada caso,este Contrato esté vigente y con efectos con anterioridad al evento
correspondiente),usted tendrá la opción de comprar el Sistema solar conforme a lo establecido en la
Sección G(4).
Resolución de disputas;Arbitraje;Renuncia a la demanda colectiva11.
Esta Sección establece el procedimiento para resolver las disputas relevantes al Contrato (la "Disputa").
A menos que se acuerde lo contrario por escrito,las Partes aceptan continuar cumpliendo las
obligaciones correspondientes de cada Parte establecidas en este Contrato mientras se resuelve la
Disputa.
RESOLUCIÓN INFORMAL DE DISPUTAS.Las Partes aceptan intentar primero resolver cualquiera.
Disputa de manera informal y de buena fe.Asimismo,usted acepta enviar una notificación escrita de la
Disputa a la dirección que figura en la Sección G(12)del Contrato.Sunrun enviará una notificación
escrita de la Disputa a la dirección del Hogar.Si las Partes no llegan a un acuerdo informal para resolver
la Disputa dentro de los 45 días posteriores a la recepción de la notificación de Disputa,usted o Sunrun
podrán comenzar las acciones formales que se detallan a continuación.Todos los estatutos de
limitación y defensa aplicables basados en el paso del tiempo se contabilizarán para los 45 días durante
los cuales las partes intentan resolver una Disputa de manera informal.Si usted reclama deficiencias en
la instalación o el funcionamiento del Sistema solar,debe permitirnos inspeccionar visualmente el
Sistema solar y obtener o descargar los datos de rendimiento pertinentes del Sistema solar.
ARBITRAJE.SI LAS PARTES NO PUEDEN RESOLVER LA DISPUTA DE MANERAb.

ÁRBITRO PODRÁ,EN EL LAUDO,ASIGNAR LA TOTALIDAD O PARTE DE LOS COSTOS

RAZONABLES DE ABOGADOS DE LA PARTE VENCEDORA.
Usted podrá,durante el arbitraje,buscar todos los recursos que tenga disponible bajo este Acuerdoc.

este Acuerdo,regirá este Acuerdo.Independientemente de que usted o Sunrun sea la parte vencedora
en el arbitraje,Sunrun pagará los costos de iniciar el proceso de arbitraje.Otros honorarios,como los
honorarios del abogado o los gastos del viaje incurridos durante el arbitraje,se pagarán conforme a lo
establecido en las reglas JAMS.Si el árbitro falla a su favor,Sunrun pagará los honorarios de su
abogado y los gastos de viaje del arbitraje.Las audiencias del arbitraje tendrán lugar en el distrito
judicial federal del Hogar,a menos que usted y Sunrun acuerden otro lugar por escrito.Para iniciar el
proceso de arbitraje,usted o Sunrun deben realizar las siguientes acciones:
Escribir una demanda de arbitraje.La demanda debe incluir una descripción de la Disputa y el monto(i)

de recibo,a su dirección de facturación y a la oficina corporativa principal de Sunrun,
respectivamente.
En concordancia con las reglas de FAA y de JAMS,la decisión del árbitro será final y vinculante.Todod.

Cualquier notificación,solicitud o petición relacionada con este Contrato debe realizarse por escrito y
enviarse al Cliente a la dirección postal del Hogar o a la dirección de correo electrónico identificada
debajo de su firma en este Contrato.Usaremos principalmente el correo electrónico para comunicarnos
con usted,a menos que solicite la correspondencia exclusivamente por correo de primera clase.
Cualquier notificación o comunicación hecha en formato electrónico tendrá el mismo efecto legal y
exigibilidad que la que se efectúen en formato no electrónico.

Contrato a las agencias de informes de consumidores.Los pagos tardíos,omitidos u otros
incumplimientos en virtud del presente podrán reflejarse en su informe crediticio.
Usted acepta que Sunrun tiene el derecho de obtener imágenes fotográficas del Sistema solar y del15.
Hogar,y de utilizar esas imágenes fotográficas para fines internos y de control de calidad.Sunrun no
utilizará las imágenes fotográficas del Sistema solar o del Hogar en su material promocional o de
mercadeo sin antes obtener primero su aprobación expresa por escrito.
Este Contrato es vinculante y obligatorio,y redunda en beneficio de ambas Partes,sus respectivos16.
herederos,albaceas,administradores,representantes legales,sucesores y cesionarios.
Este Contrato reemplaza todos los entendimientos,acuerdos,o declaraciones anteriores celebrados17.

Totalidad del acuerdo.Usted acepta que este Contrato constituye la totalidad del acuerdo entre usted y18.
Sunrun.Si alguna de las disposiciones se declarara inválida,esa disposición será eliminada o
modificada y el resto del Contrato permanecerá vigente.Los términos de este Contrato que
expresamente,o por su propia naturaleza sobrevivan a la terminación del Acuerdo,seguirán vigentes
pasado ese plazo hasta que se cumplan en su totalidad;estos incluyen,entre otros,la obligación de
efectuar los pagos aquí establecidos.
Notificaciones del derecho de cancelaciónH.
Podemos revocar nuestra oferta para celebrar este Contrato,a nuestro criterio exclusivo,si usted no1.
acepta,no firma y no nos envía el Contrato antes del décimo (10.º)día calendario después de la fecha
en que le fue presentado.
Además del derecho de cancelación de 10 días que se describe en la página de firmas y en el Anexo C,2.
usted podrá cancelar el Contrato sin ninguna sanción y tener el reembolso de su depósito de parte de
Sunrun en un período de tiempo razonable con posterioridad a la cancelación:

se hallan condiciones escondidas de las que usted tenía conocimiento o de las que razonablementeb.
debió haber tenido conocimiento que impidan la instalación o que resultarían en una menor producción
estimada del sistema conforme a lo establecido en la Sección B;
usted se demora en corregir las condiciones preexistentes que impiden la realización del Sistema solar;c.
no responde a las preguntas y solicitudes de Sunrun o de sus Socios de instalación y ocasiona que lad.
instalación del Sistema solar sea demorada por treinta (30)días o más debido a su falta de respuesta;
un cambio en el diseño del Sistema solar cambia los costos y beneficios esperados de este Contratoe.
para Sunrun;
el servicio de telefonía celular o de Internet ya no está disponible en el Hogar o si la disponibilidad def.
estos disminuye significativamente,en cuyo caso Sunrun le reembolsará el Depósito dentro de un
período de tiempo razonable posterior a la cancelación si dicha falta o disminución del servicio de
telefonía celular o de Internet no es su responsabilidad;o
Sunrun solicita un cambio en el Contrato conforme a la Sección F,y usted no acepta dicho cambio en ung.

Incentivos esperados (incluidos los Incentivos que se basan en su ingreso del hogar o criterios
similares),nosotros podemos cancelar este Contrato,en cuyo caso Sunrun reembolsará su Depósito
dentro de un período de tiempo razonable después de la cancelación.

Anexo A
Precio y programación de Pago de alquiler mensual
Al firmar el Contrato,usted le pagará a Sunrun un Depósito de $0.Al comienzo de la instalación del Sistema
solar,usted le pagará a Sunrun el Pago inicial de $0 (incluye impuestos a las ventas).
Cada Pago mensual que se muestra a continuación corresponde al año anterior.Cada uno de los primeros
12 Pagos del alquiler serán por un monto de $194.03.Los Pagos mensuales del aumentarán en un 3.5%
anual durante el Plazo inicial de este Contrato (el “Aumento anual”,a partir del Pago del alquiler que cubra
cualquier mes calendario que incluya un aniversario de la Fecha de inicio de servicio (y ese aumento no
aplicará a ninguna parte de un Pago que cubra los días en un mes calendario en vísperas de una Fecha de
inicio de servicio).
Los Pagos alquiler que se muestran a continuación no incluyen los impuestos aplicables e incluyen el
descuento de $7.50 por pagos mediante retiros por Cámara de Compensación Automática (Automated
Clearing House,ACH).Si no selecciona el pago automático mediante extracciones por ACH de su cuenta
de ahorros o de cheques,no recibirá este descuento y cada pago mensual será de $7.50 más.Para fines de
practicidad,la tabla a continuación también está basada en el supuesto de que la Fecha de inicio de
servicio será el primer día del mes.
Según se especifica a continuación,Sunrun emitirá un reembolso si la Producción real es menor que la

NOTIFICACIONES LEGALESNOTIFICACIÓN LEGAL PARA CONTRATOS DE MEJORA DEL HOGAR
EN CALIFORNIA
ADVERTENCIA DE GRAVAMEN POR DERECHO DEL CONSTRUCTOR
(Código de Negocios y Profesiones de California §7159(e)(4))
ADVERTENCIA DE GRAVAMEN POR DERECHO DEL CONSTRUCTOR:Cualquier persona que
le ayude a mejorar su propiedad pero no reciba su pago podrá presentar lo que se denomina un
gravamen por derecho del constructor sobre su propiedad.El gravamen por derecho del
constructor es una reclamación,como una hipoteca o préstamo hipotecario,que pesa sobre su
propiedad y queda registrado en los registros del condado.Incluso si usted le paga a su
contratista en su totalidad,los subcontratistas,proveedores y trabajadores impagos que ayudaron
a mejorar la propiedad pueden presentar un gravamen por derechos del constructor y llevarlo al
tribunal para destrabar el gravamen.Si el tribunal considera que el gravamen es válido,usted
podría verse obligado a pagar dos veces o hacer que un funcionario del tribunal venda su casa
para pagar el gravamen.Los gravámenes también pueden afectar su crédito.Para preservar su
derecho de registrar un gravamen,cada subcontratista y proveedor material debe proporcionarle
un documento llamado “Notificación preliminar de los 20 días”.Esta notificación no es un
gravamen.El objetivo de la notificación es hacerle saber que la persona que le envía la
notificación tiene derecho a presentar un gravamen sobre su propiedad si no ha recibido su pago.
TENGA CUIDADO.La notificación preliminar puede ser enviada hasta 20 días después de que el
subcontratista inicia el trabajo o el proveedor suministra el material.Esto podrá ser un gran
problema si usted paga a su contratista antes de haber recibido la notificación preliminar.Usted no
recibirá una notificación preliminar de su contratista principal ni de los trabajadores que trabajan
en su proyecto.La ley asume que usted ya sabe que ellos están mejorando su propiedad.
PROTÉJASE DE LOS GRAVÁMENES.Puede protegerse de los gravámenes obteniendo de su
contratista una lista de todos los subcontratistas y proveedores de material que trabajan en su
proyecto.Pregunte a su contratista cuándo empezaron a trabajar los subcontratistas y cuándo

Usted está solicitando que Sunrun amplíe la capacidad de su sistema para responder a un aumento
previsto en sus necesidades anuales de servicio eléctrico,por las razones que se indican a continuación.
Su consumo actual estimado es de 13,407 kilovatios-hora por año.Esta instalación solar tiene una
producción estimada de 15,522 kilovatios-hora al año.En consecuencia,usted comprará un 17.0%más
de energía de la que estimamos que consume actualmente en un año.
Al firmar a continuación,usted reconoce que si el aumento previsto en sus necesidades de servicios de
energía no se cumple o si su consumo es menor por cualquier otra razón:
Es posible que pague energía que no utiliza y/o por la cual no recibe ningún otro valor (por·
ejemplo,si su compañía de servicios públicos no ofrece créditos de medición neta para la
producción más allá de su consumo estimado);

SOLAR ENERGY SYSTEM DISCLOSURE DOCUMENT
This disclosure shall be printed on the front page or cover
page of every solar energy contract for the installation of a
solar energy system on a residential building.
The TOTAL COST for the solar energy system (including

This Power Purchase Agreement (the "Agreement")is entered into by and between Enrique Madrigal
(“Customer”or “homeowner”or “you”)and Sunrun Installation Services Inc.,a Delaware corporation,
together with its successors and Assignees (“Sunrun”or “we”together with Customer,the “Parties”,each a
“Party”),as of the Effective Date for the sale and purchase of all electric energy generated by a solar
photovoltaic system (the “Solar System”)to be installed on or at your home located at 74361 Aster Dr Palm
Desert,CA 92260 (the “Home”).Sunrun is pleased to provide you with solar electric power for a twenty-five
(25)year term Sunrun is not an affiliate of the builder of the Home,or any affiliates of such entities
(collectively,“Builder”)and Builder is not a party to this Agreement,nor does Builder have any liabilities or
obligations under this Agreement.If the Builder Purchase Agreement is terminated,then this Agreement
shall automatically terminate upon the effective time of the termination of the Builder Purchase Agreement,
and neither you nor Sunrun shall have any further duties,rights,responsibilities,liabilities or obligations
under this Agreement and this Agreement shall be of no further force or effect.
You are entitled to a completely filled out copy of this Agreement signed by both you and Sunrun before any
Work begins.This Agreement is effective as of\od\______(the “Effective Date”).The Effective Date listed in

Each month,Sunrun will prepare a written or electronic invoice specifying the payment due from you to

conclusion of the preceding billing cycle and your payment for the preceding billing cycle will be due the
day before the next Billing Cycle Day.

Sunrun reserves the right to update its billing systems from time to time and will notify you if your
payment due date changes accordingly.You may also elect to make payments to Sunrun before the
Monthly Payment due date.

Payment of Taxes5.

on these payments,the sale of electric energy,the Home,or the transaction itself,and are paid by
Sunrun rather than you,you agree to pay or reimburse Sunrun for all such taxes,except to the extent
that you are prohibited from doing so by applicable laws.
In addition,you agree to reimburse Sunrun for any taxes,including any associated interests andb.
penalties,assessed on the Solar System that Sunrun may incur.
To the extent that Sunrun seeks reimbursement from you,you agree that Sunrun may seek a fullc.
reimbursement from you for the total amount incurred by Sunrun,impose a surcharge on your monthly
invoice to recover the total amount incurred by Sunrun over a period to be determined by Sunrun,or,at
its sole discretion,set up a separate payment plan with you to recover the total amount incurred by
Sunrun.
Changes to Payment Amounts6.
If a change pursuant to Section F increases the Upfront Payment after you have already paid it toa.
Sunrun,you agree to immediately pay Sunrun the increase in the Upfront Payment.Sunrun may
suspend installation until this payment is received.
You may request a pricing plan change;however,such request must be submitted to Sunrun’s Customerb.

Late Payment.If Sunrun does not receive your payment by the due date listed on the invoice,Sunrun8.
may charge you an administrative late fee equal to the lesser of (i)one and a half (1.5%)percent per
month on the portion of your balance that is more than thirty (30)days past due,and (ii)the maximum
amount permitted under and subject to applicable law.This late fee is not an interest charge,finance
charge,time price differential or other such charge or payment of a similar nature.
Net Metering Service.9.
As of the In-Service Date,you must take service from the Standard Net Metering Service and itsa.
associated terms ("NEM Service")provided by your Utility.You agree that you will continue to take NEM
Service for as long as this Agreement is in effect.You agree to take the NEM Service currently in effect

for this Utility or,in the event that the NEM Service is no longer in effect,you agree to use a substitute
metering program as chosen by Sunrun in its sole discretion.
You agree to execute all documentation associated with the NEM Service,or any substitute meteringb.
service,and any refund,credit,or rebate program promptly at the request of Sunrun,its representatives
or affiliates,and/or the Utility.If you do not return such documentation within seven (7)days following
any such request,Sunrun may invoice you for an amount equal to the amount of rebates it otherwise
would have received had you returned such documentation.
The point where the Solar System connects to the Home's connection to your Utility is calledc.
“Interconnection.”For the purposes of calculating performance guarantee payments,if any,under
Section D,you agree that title to and risk of loss for the electric energy provided under this Agreement
shall pass from Sunrun to you when the electric energy reaches Interconnection.You further agree that
electrical energy provided under this Agreement is measured at the time when electrical energy reaches
Interconnection.
Supplemental Energy;Rebates &Credits10.
All electric energy produced by the Solar System will be available to you for use at the Home pursuant toa.
this Agreement.If,at any time,you need more electric energy than is being produced by the Solar
System ("Supplemental Energy"),you will be responsible for purchasing that Supplemental Energy from
another supplier,such as your Utility,and for paying any fees associated with such Supplemental Energy
that the other supplier may charge.
You agree that Sunrun alone will receive any credit,rebate,environmental attribute,solar renewableb.
energy credit,or other payment or offset (“Incentives”)that may be attributable to the Solar System.All
Incentives will be the sole property of and transferable by Sunrun.
Notwithstanding anything to the contrary contained herein and without limiting the other rights,if any,ofc.
Sunrun with respect to Incentives attributable to the Solar System,you agree that Sunrun will receive any
federal tax credits that may be attributable to the Solar System,and that such federal tax credits will be
the sole property of and transferable by Sunrun.Sunrun’s expected federal tax credits associated with
the Solar System have been factored into the calculation of your Monthly Payment.
If you purchase the Solar System from Sunrun,you will own and be entitled to proceeds from the sales ofd.
solar renewable energy credits earned after the date you purchase the Solar System from Sunrun.
Our WarrantiesC.
Warranties1.
Workmanship Warranty.We warrant our Work and the Solara.
System for a period of twenty-five (25)years after installation
(the “Warranty Period”),except as provided below with respect
to our roof penetration warranty.During the Warranty Period
we will,at our expense,repair or replace any material or Work
covered under this Agreement.Our “Workmanship Warranty”
includes but is not limited to the following:
Roof Penetration Warranty.We warrant that roof penetrations made by the Solar System and(i)
impacting the Home’s roof will be weather-tight for a period of 10 years after installation.
Damage Warranty.We will either repair or reimburse you for damage we cause during installation to(ii)
the Home,your belongings or your property,as limited by Sections C(2),E and G.

Sunrun will maintain and repair the Solar System for the Initial Term and any Renewal Terms.(iii)
Equipment Warranty.Sunrun warrants all equipment for the duration of the Initial Term.If parts fail duringb.
the Initial Term,Sunrun will use commercially reasonable efforts to replace them with like equipment;
however,you acknowledge that due to parts availability and other factors,this may not be possible.
Sunrun agrees that any change in equipment will not reduce the Guaranteed Output set forth in Section
D.
End of Term Warranty.At the end of the Initial Term or at the end of a Renewal Term,should either youc.
or Sunrun wish to end the Agreement,Sunrun will remove the Solar System at no cost to you and return
the Home to a condition similar to its condition prior to installation of the Solar System,excepting
ordinary wear and tear (including,but not limited to,wear and tear resulting from local weather
conditions)and wear and tear that can be expected due to the presence of the Solar System on the
Home for the 25-year term (including,but not limited to,uneven wear and tear and uneven discoloration).
Warranty Exceptions and Exclusions2.
The Roof Penetration Warranty shall be void and voidable if work is performed by you or your contractorsa.
on the roof during the 10 year warranty period.
The Roof Penetration Warranty does not cover any (i)leaks that occur in areas of the Home’s roof notb.
impacted by the Solar System or the associated roof penetrations,(ii)pre-existing and/or underlying
failures of the Home’s roof or (iii)foreign objects acting on the Home’s roof (e.g.hail,golf balls,etc.).
The Workmanship Warranty does not apply to the following:c.
Work performed or materials used by anyone other than us or our Installation Partners;(i)
Any materials that were modified,repaired or attempted to be repaired by anyone other than(ii)
Sunrun or its Installation Partners without Sunrun’s prior written approval;
Any damages resulting from your breach of the Agreement;(iii)
Any damage not caused by us,our Installation Partners or a Solar System defect;(iv)
Damage resulting from ordinary wear and tear;(v)
Damage resulting from mold,fungus and other organic pathogens;(vi)
Shrinking/cracking of grout and caulking;(vii)
Fading of paints and finishes exposed to sunlight;and(viii)
Damage caused by ball strikes(ix)
You acknowledge that installation of the Solar System may void any roofing warranty of the roof
manufacturer or roof installer.We assume no responsibility if our Work voids your roofing warranty.
Before installation,you should check with the roofer or builder concerning any impact the Solar System
will have on a roof warranty.
Your initials indicate that you have read,understood and accepted the provisions set forth in this section
C(2).

Sunrun estimates that the Solar System will be capable of generating 15,522 kilowatt-hours of electrica.
energy during its first year of operation.Actual production may vary due to natural variation in weather
patterns,the physical specifications of the Home’s roof(s),the required placement of the Solar System
on your roof,and other conditions.Your Monthly Payment is not tied to the actual output of the Solar
System.
Due to expected panel degradation,Sunrun estimates that the Solar System will be capable ofb.
generating 365,635 kilowatt-hours ("kWh")during the Initial Term (the “Estimated Output”).
Guaranteed Output.Subject to the conditions set forth in this Section D,Sunrun guarantees that the2.
Solar System will generate 90%of the Estimated Output during the Initial Term of this Agreement as set
forth in Exhibit A (the "Guaranteed Output").Subject to the conditions set forth in this Section D,Sunrun
will issue you a refund if the Solar System does not generate the Guaranteed Output.
Sunrun will not issue you a refund for any Solar System underproduction resulting from any system
failure or lost production caused by reasons other than (a)a Solar System defect,(b)shading due to the
weather or (c)shading conditions that were present at the Home at the commencement of installation.
For the avoidance of doubt,Sunrun will not issue you a refund for underproduction arising from any of
the following:
Underproduction arising from your failure to comply with your obligations under the Agreement.·
Underproduction arising from shading conditions (other than weather)different from those that·
were present at the Home at the commencement of installation.
Underproduction as a result of a grid failure disabling the Solar System.·
Underproduction arising from you causing or requesting the Solar System to be shut down or to·
generate significantly less electric energy.
Underproduction arising from damage to the Solar System caused by foreign objects acting on·
the Solar System (e.g.hail,golf balls,etc.)
Sunrun makes no other representation,warranty or guarantee of any kind regarding the Solar System’s
actual or expected output or performance and any other express or implied warranties are hereby
disclaimed.
Your initials indicate that you have read,understood and accepted the provisions set forth in this Section
D(2).

Overproduction.If over the course of the Initial Term,the Solar System produces more energy than the3.
predicted Guaranteed Output,then the extra energy will be yours at no additional cost.Sunrun may use
this overproduction amount to offset future underproduction in a given period should the Actual Output
attributable to such period be less than the Guaranteed Output attributable to such period.
Actual Output and Refunds.On the 24 month anniversary of the In-Service Date and on every 24 month4.
anniversary thereafter (each,a “Guarantee Date”),Sunrun will calculate the "Actual Output"of the Solar
System.For the purposes of this Agreement,"Actual Output"shall mean the amount of electric energy
generated by the Solar System to date plus any kWh for which you have previously received a refund.
Subject to Section D(2),if the Actual Output is less than the Guaranteed Output for that Guarantee Date
set forth on Exhibit A,Sunrun will issue you a refund.This refund will be calculated by subtracting the
Actual Output for that Guarantee Date from the Guaranteed Output for that Guarantee Date,and
multiplying the result by the refund per kWh amount as set forth for that Guarantee Date on Exhibit A.
For the last year of the Initial Term (year 25),the guarantee period will be 12 months.

For example,if in year 10 the system was expected to have generated 62,000kWh cumulatively and
actual generation was 61,500,and your refund rate is $0.13,we will credit your account based on
the 500kWh the system fell short multiplied by your refund rate,i.e.500kWh x $0.13 =$65.

Our Work;Description of Materials.1.
Our work on the Solar System includes:a.
design,permitting and supply of the equipment and material typically necessary for a complete and(i)
operable Solar System;
installation of the Solar System;(ii)
acquisition of approval from your Utility;and(iii)

“Work”).
The primary equipment used for the Solar System will typically include a series of interconnectedb.
photovoltaic panels,one or more inverters,racking materials,and a production meter.Other materials
generally used as the “balance of system”are disconnects,breakers,load centers,wires,and conduit.
Solar System Production and Energy Consumption Monitoring;Data.2.
Installation and Maintenance of Metering and Monitoring Equipment.a.
Production Monitor.During installation or at any time thereafter during the Term,we may install or(i)
replace production monitoring devices to measure the energy produced by the Solar System (the
“Production Monitor”).Through the Production Monitor,we will collect Solar System production and
performance data (“Performance Data”).
Energy Consumption Monitor.During installation or at any time thereafter during the Term,we may(ii)
install or replace energy consumption monitoring devices (the “Consumption Monitor”).Through the
Consumption Monitor,we may collect and store information about energy usage at the Home
(“Usage Data”).
Access to Monitors.You acknowledge and agree that the Production Monitor and the Consumption(iii)
Monitor will be part of the Solar System,and that you must provide Sunrun with reasonable access to
the Home in order to install,operate,maintain,repair and replace the Production Monitor and the
Consumption Monitor
Internet Connection.In order to ensure the proper functioning of the Production Monitor and the(iv)
Consumption Monitor,if possible,you must provide the Solar System with continuous access to a
functioning broadband internet connection with one (1)wired Ethernet port and standard electrical
outlet,at your cost.If you are unable to provide the Solar System with an internet connection in
accordance with the foregoing sentence,the Home must be located in an area with cellular service
that is acceptable to us in our discretion.
Monitor Damage or Inaccuracy.Sunrun uses the Production Monitor to monitor and record your(v)
electricity production,and promptly respond to any production issues.To the extent the Production
Monitor has any inaccuracies during any given period as a result of your actions or the actions of any
other person unrelated to Sunrun (including,without limitation,any failure to maintain internet
connection or cellular service as provided in clause (iv)above),Sunrun will deem that the Solar
System has produced 100%of Estimated Output during such period for purposes of the Production
Guarantee set forth in Section D.You will be responsible for any damage to the Production Monitor
or Consumption Monitor that is caused by you or any other person unrelated to Sunrun.If the
Production Monitor breaks or malfunctions other than as a result of your actions or the actions of any
other person unrelated to Sunrun,Sunrun will,in good faith,estimate the amount of electric energy
actually produced during the malfunction in order to determine whether you are owed a payment
under the Production Guarantee set forth in Section D.
Data Usage and Disclosure.We may combine the Usage Data and Performance Data with each otherb.

Communications Equipment.During installation or at any time thereafter during the Term,we may installc.

Home.The Communication Equipment may or may not be used in connection with the Solar System.We
may use the Communication Equipment to improve the quality of cellular and/or internet connectivity in
your area.We may also sell the right to use the Communications Equipment in the manner described
above to a third party.You understand that consenting to the foregoing is not a condition of purchase or
a condition to the entry of this Agreement.
Do you consent to the installation and use of the Communication Equipment as set forth above?

Design3.
Sunrun or its Installation Partners will provide you with a preliminary Solar System design then willa.
schedule a time to visit your Home to confirm that the preliminary design will fit on your Home’s roof and
finalize the design (the “Site Survey”).The design of the Solar System is dependent on the physical
specifications of the Home’s roof(s),site conditions such as placement of ventilation systems,roof
conditions,etc.,any of which may affect the placement of the Solar System on your roof.The Home’s
Solar System design will be finalized following a Site Survey of the Home by Sunrun.
The final design of the Solar System will be presented to you prior to installation.You will have five (5)b.
business days after receipt of the design to request a design change.Otherwise,you will be deemed to
have approved the Solar System design.Sunrun will use commercially reasonable efforts to
accommodate requests for changes.With your written,deemed,or verbal approval,installation may
begin.
If,during or after the Site Survey,we discover any concealed or hidden conditions or issues with thec.
Home that may delay or prevent completion of the Solar System once we start installation,we will
explain the issue to you,determine if additional costs are required to correct the problem and,if so,
propose a change order.It may be necessary that you undertake site preparation prior to installation.
Installation4.
Installation will be performed by Sunrun's licensed,bonded affiliate,Sunrun Installation Services Inc.,ora.
by another licensed,bonded contractor (an “Installation Partner”)that meets Sunrun's quality standards.
Sunrun requires its Installation Partners to employ licensed personnel as required by applicable state
law,regulations or codes,and to carry insurance as set forth in Section G(6)below.
Sunrun or its Installation Partners will obtain any permits needed for installation of the Solar System.Youb.
agree to cooperate with Sunrun and assist Sunrun in obtaining any permits needed,including the NEM
Service documentation referenced in Section B(9).
If Sunrun or its Installation Partner damages the Home during installation,we will repair the damage wec.
caused at no cost to you.
Sunrun,its Installation Partners and agents shall keep the Home reasonably free from waste materials ord.
rubbish caused by their operations.Prior to the In-Service Date,Sunrun and its agents shall remove all
tools,construction/installation equipment,machinery,waste materials and rubbish from and around the
Home.
Sunrun reserves the right,at Sunrun’s sole discretion,to install a critter guard with the Solar System.e.
Guards can help protect the Solar System from pests or rodents that can damage components of the
Solar System.

You agree to grant Sunrun and its Installation Partners reasonable access to the Home for the purposea.
of,as applicable,designing,installing,operating and testing the Solar System and performing Sunrun’s
obligations under this Agreement.Sunrun agrees to give you reasonable notice when Sunrun needs to
access the Home for any of the foregoing purposes and will endeavor to restrict such access to normal
business hours.
When requested by Sunrun or when necessary,you agree to allow Sunrun and constructionb.
professionals (an engineer,architect,or licensed contractor or their representative)hired by Sunrun to
access the Home to inspect any buildings,including roofs,prior to installation of the Solar System to
ensure that the Home can accommodate the Solar System.
You must provide us with power and water for use during installation.c.
You agree to make reasonable efforts to provide a safe and secure work environment for Sunrun and itsd.
Installation Partners at the Home throughout Solar System installation,the Initial Term and any Renewal
Terms
Miscellaneous.6.
Sunrun has the authority and sole discretion to use Installation Partners or agents to perform or assista.
Sunrun in performing Sunrun's obligations.
If Work excluded from this Agreement in Section E(7)must be performed in order to properly effect theb.
installation of the Solar System,you agree to contract separately,and at your own expense,with a
contractor who has been designated by or approved by Sunrun to perform such obligation.In this
instance,Sunrun will not unreasonably withhold such approval.
If you plan to move or temporarily disconnect the Solar System to allow for maintenance of and/or repairc.
to the Home,you agree,at your expense,either (i)to hire Sunrun to perform this work or (ii)to obtain
Sunrun's approval of your contractor,who you agree must carry commercial general liability policy in an
amount not less than one million ($1,000,000)dollars per occurrence and name “Sunrun Installation
Services Inc.and its successor or assigns”,as additional insureds.
You agree that you will not make any modifications,improvements,revisions or additions to the Solard.
System or take any other actions that could damage or void any applicable warranty set forth in Section
C without Sunrun’s prior written consent.If you make any modifications,improvements,revisions or
additions to the Solar System,they will become part of the Solar System and shall be Sunrun’s sole
property.
If applicable programs exist in your utility service area,you agree to allow Sunrun,from time to time,toe.
remotely administer and operate the Solar System in connection with demand response or other
programs to optimize your electricity costs or to maintain the reliability of the electrical grid.
Exclusions.We do not do or provide any of the following under this Agreement:7.
removal or disposal of any material containing asbestos or any other hazardous material;a.
movement of your personal items around the Home;b.
upgrades to the electrical panel or electrical service or additional costs associated with moving thec.
current electrical meter;
installation or repair of fences;d.
repair of any pre-existing roofing damage resulting from a substandard roof or pre-existing substandarde.
roof installation work;
structural framing work for any part of the roof or structure,including concealed substandard framing;f.
correction of mistakes of another contractor or subcontractor (for example,if the Home was not built tog.
code);
removal and replacement of existing rot or insect infestation;h.
testing or remediation of mold,fungus,mildew or organic pathogens;i.
painting of conduit or other structural parts;j.
upgrades for Utility access requirements such as special locks or 24-hour access gates;k.

Optimization Services
Authorization for Optimization Services
Sunrun may in the future include Optimization Services. Depending on where you live and
the System, you may qualify to participate in one or more programs, including government
technology rebates, performance incentives, utility demand response programs or other bill
management opportunities. In each of these future programs if feasible, with your vehicle
manufacturer’s consent, a portion of the energy stored in your vehicle’s battery may be
sent back into your local electrical grid to improve its efficiency and/or reliability. In
exchange for the permission to manage the System and participate in these programs,
you will be compensated.
Sunrun may enroll the System in one or more programs if and when it becomes eligible to
do so in your location. Sunrun will fully control and optimize the System’s activities to
generate incremental savings and value. This will not affect our obligations in your
customer agreement. Participation in Optimization Services will remain in effect unless you
opt out, which you can do by contacting Sunrun using the information provided below.
Enrollment Process
For the programs in which Sunrun enrolls or un-enrolls the System, Sunrun will notify you
of 1) how your System may be affected; 2) how you will be compensated; 3) the expected
participation duration; 4) the program partners; and 5) any additional authorizations or
advanced partnership Sunrun needs from you to participate.
Your Authorizations and Obligations
You authorize Sunrun to act in the following capacities:
To act as your sole Demand Response Provider, Energy Services provider, or equivalent agent,1.
consultant or aggregation partner for your respective utility and grid operator.
To request and receive utility billing records, billing history (including tariff changes,2.
surcharges, riders, etc.) and all meter usage data used for bill calculation for all of
your service account(s) associated with the Equipment, as specified herein, that may
be furnished by the Utility or other energy service providers, for the duration of this
agreement.
Participation in utility demand response programs without Sunrun may affect your3.
eligibility to participate in Sunrun Optimization Programs. In such cases, Sunrun will
exercise sole discretion over which other utility programs you may participate in and
assist in unenrolling you if necessary.
You agree to not use any of the following devices to participate in utility or grid operator
demand response programs:
Portable or standby gas- or fuel-fired generator(s)1.
Energy generation, control, or management devices (e.g., a ‘smart’ water heater) not2.
approved and/or managed by Sunrun

Change OrdersF.
If Sunrun requests a modification to the terms of the Agreement,Sunrun will notify you in writing of the
requested change and will ask you to accept the modified terms by executing a change order.Failure to
respond to a change order request within five (5)business days may lead to a cancellation of the Agreement
pursuant to Section H.

Additional InformationG.
Agreement Term1.
Initial Term.The Initial Term of the Agreement begins on the In-Service Date and continues in effect fora.
twenty-five (25)years following the In-Service Date,unless canceled or terminated earlier in accordance
with the terms of this Agreement.Within a reasonable period of time following its occurrence,Sunrun will
notify you of the In-Service Date.
Renewal Term.Subject to clause (ii)below,at the end of the Initial Term,the Agreement will beb.
automatically renewed for an additional one-year term (“Renewal Term,”collectively with the Initial Term,
“Term”).Sunrun will provide you with your new rate for electric energy at the beginning of the Renewal
Term and each successive Renewal Term,if any.The new price per kWh shall be equal to ten percent
(10%)less than the “average cost of electric energy”as established by your Utility or its successor.
“Average cost of electric energy”shall be the price you would otherwise pay for electric energy to your
Utility,or its successor for the 12 months preceding the start of each Renewal Term.Unless otherwise
terminated under the terms of this agreement,the Agreement will continue to automatically renew for
additional one-year terms at the end of each Renewal Term.
Sunrun will make a good faith effort to notify you between thirty (30)and sixty (60)days before the
end of the Initial Term of (i)your end of term options and (ii)the estimated rate for electric energy in
the first Renewal Term (if applicable).
The Agreement will not automatically renew if either Party gives the other Party written notice of(i)
termination (x)at least thirty (30)days prior to the expiration of the Initial Term or the applicable
Renewal Term,or (y)within fifteen (15)days after Sunrun provides you with the written estimated
rate for electric energy in the upcoming Renewal Term,whichever is later.
Termination2.
At the end of the Initial Term or at the end of a Renewal Term,should either you or Sunrun end the
Agreement,Sunrun will remove the Solar System at no cost to you.Written notice of termination must
be provided in accordance with Section G.1(b).
Subject to the exclusions set forth in Sections C and E,Sunrun will return the Home to a condition similar
to its condition prior to installation of the Solar System.You must notify Sunrun in writing of any
deficiencies in restoration within five (5)business days of removal or a municipal building inspector’s
approval of the work associated with the removal of the Solar System.
Customer Obligations.You acknowledge and agree to the following:3.
Your local utility is Southern California Edison (the “Utility”).You agree that the Home will remaina.
connected to your Utility for the Initial Term and any Renewal Terms and that you will notify Sunrun prior
to changing your Utility.
For example,if upon completing the Site Survey it is determined that the contracted system size will
not fit,and we have to reduce the system size by a panel or two we would create a change order
which reflects a lower monthly payment due to less production.

That you will purchase all electric energy generated by the Solar System at the payment prices set forthb.
on Exhibit A.
The Solar System is removable equipment owned by Sunrun or its affiliates and is not considered ac.
fixture or otherwise part of the Home.
The Solar System will not be subject to any lien,security interest,claim,mortgage or deed of trust(i)
that may be imposed on or assessed against your interest in the Home,or any other property
belonging to you.Neither Sunrun nor our Installation Partners will apply a lien to your title to the
Home.
However,you agree that Sunrun or a Sunrun affiliate may file any UCC-1 financing statement or(ii)
other filing that confirms ownership of the Solar System.
The foregoing notwithstanding,any contractor,subcontractor or materialman who provides goods or(iii)
services pursuant to this Agreement and who is not paid may have a valid legal claim against the
Home known as a mechanic’s lien.Sunrun shall satisfy and cause the removal of any such lien within
30 days following the date Sunrun receives notice of the recording of such lien.
The Solar System will be used primarily for household purposes and will not be used to heat a swimmingd.
pool.
You may not sell,give away,transfer,pledge,remove,relocate,alter,tamper with or damage the Solare.
System or associated meters and/or monitors at any time.Any attempts to tamper with,damage or
modify the Solar System will be considered beyond reasonable wear and tear use of the Solar System.
You further acknowledge that removal of the Solar System from the Home during the Term for any
reason may require Sunrun to refund,at your cost,Incentives provided in respect of the Solar System.
You agree:to keep trees,bushes and hedges trimmed so that the Solar System retains shading andf.
conditions present at the time of installation to not modify the Home in a way that shades the Solar
System;to not permit or allow to exist any condition or circumstance that would cause the Solar System
not to operate as intended at the Home;and to promptly notify Sunrun if you think the Solar System is
damaged or appears unsafe or if the Solar System is stolen.
You will refrain from attempting to clean,fix,or modify the Solar System, unless expressly permitted tog.
do so by Sunrun.If any condition exists with respect to the Solar System which you think may be
affecting performance or if you believe the Solar System has accumulated snow,is excessively soiled,is
damaged or otherwise appears unsafe,please notify Sunrun at 225 Bush Street,Suite 1400,San

deemed necessary by Sunrun to do so,put you in contact with certified partners who can remedy the

You agree that Sunrun may (i)call you and (ii)send pre-recorded and text messages to you at the phoneh.
number you provided regarding the installation,maintenance,and administration of your Solar System
using automated telephone technology even if your phone number is listed on any national or state “Do
Not Call”list.Message and data rates may apply.
Your initials indicate that you have read,understood and accepted the provisions set forth in this Section

Purchase of Solar System4.
Option to Purchase.You have the option to purchase the Solar System at the following times during thea.
Initial Term:
Upon the fifth (5th)anniversary of the In-Service Date;(i)
At the end of the Initial Term;(ii)
If you sell the Home during the Initial Term;and(iii)
Under the circumstances described in Section G(10)(b).(iv)
Notice of Intent to Purchase.To purchase the Solar System pursuant to this Section,you must deliver ab.
written notice to Sunrun of your intent to purchase within sixty (60)days of the applicable date and
deliver payment to Sunrun within thirty (30)days of receiving an invoice from Sunrun for the purchase
price.
Purchase Price.The purchase price will be the fair market value ("FMV")of the Solar System at the timec.
of the purchase.Sunrun will determine the FMV of the Solar System by hiring an independent appraiser
to estimate the value of a comparable in-service photovoltaic solar system in your state and Utility
service area.This valuation will take into account the Solar System’s age,location,size and other market
characteristics such as equipment type,service costs,the value of electricity in your area,and any
applicable Incentives.In addition,if the Solar System is purchased prior to the fifth (5th)anniversary of
the In-Service Date,the FMV will include the recapture of any federal tax credits.
Termination of Agreement upon Purchase;Right to Monitor.After you purchase the Solar System,this
Agreement will terminate and neither you nor Sunrun will have any remaining obligations under this
Agreement.For the avoidance of doubt,after termination,Sunrun will not provide you with any
maintenance or repair services,unless you enter into a separate agreement with Sunrun for Sunrun or its
Installation Partner to perform these services at your expense.If possible,Sunrun will assign to you any
equipment warranties still in effect for the Solar System.Sunrun reserves the right to continue to
measure the performance of the Solar System after termination of the Agreement.
Sale of Home,Assignment and Foreclosure;Refinancing5.
Sale of Home.If you sell the Home you:a.
May transfer all rights and obligations under this Agreement to the new owner,provided that the new(i)
owner (a)meets Sunrun’s credit requirements of a FICO score of 650 or higher and (b)agrees in
writing to be bound by all of the terms and conditions set forth herein;or
May transfer all rights and obligations under this Agreement to the new owner,provided that the new(ii)
owner (a)(i)qualifies for a mortgage to purchase the Home or (ii)purchases the Home in cash,(b)
either you or the new owner pays Sunrun a $250.00 credit check exemption fee and (c)the new
owner agrees in writing to be bound by all of the terms and conditions set forth herein;or
Will be deemed to have terminated this Agreement and Sunrun may exercise its rights under Section(iii)
G(10)if:
You sell or otherwise transfer your interest in the Home without either purchasing the Solar1.
System or assigning this Agreement to the new owner in accordance with the terms of this
Section,or
The new owner refuses to assume the Agreement.2.
Assignment of Agreement.b.
Sunrun may,without your consent,assign,lease,sublease,or transfer the Solar System and this(i)
Agreement,along with all rights and obligations hereunder,to any third party (each,an "Assignee"),
for any purpose,including without limitation,collection of unpaid amounts,financing of the Solar

System's installation,or in the event of an acquisition,corporate reorganization,merger or sale of
substantially all of Sunrun’s assets to another entity,provided however all obligations of Sunrun,
including without limitation warranty obligations,shall remain the obligation of Sunrun or the
Assignee.
If Sunrun assigns the Agreement,Sunrun will continue to operate and maintain the Solar System until(ii)
you receive written notice otherwise.Sunrun requests a minimum of fifteen (15)days’prior written
notice if you wish to transfer this Agreement pursuant to Section G(5)(a)(i)or (ii).
All assignments shall be made in writing.Inquiries and notices regarding assignment shall be(iii)
directed to you at the Home and shall be directed to Sunrun at the address set forth in Section G(12).
Foreclosures.c.
If foreclosure proceedings are filed involving the Home,you shall be in default of the Agreement(i)
pursuant to Section G(10)and the Agreement shall terminate without notice to you and Sunrun may
exercise any of its remedies,including but not limited to removal of the Solar System.
Fannie Mae and Federal Housing Finance Agency Guidance for foreclosures.The Federal Housing(ii)
Finance Agency (FHFA)is the conservator of and responsible for ensuring that the lending agencies
Fannie Mae and Freddie Mac serve as a reliable source of liquidity and funding for housing finance.
For all property financed by a Fannie Mae loan,FHFA guidelines require,and you and Sunrun (as1.
applicable)agree:
That the Home will remain connected to your Utility for the Initial Term and any Renewal(i)
Terms.
That in the event the Home is foreclosed upon,the lender shall have the discretion to:(ii)
Terminate the Agreement and require Sunrun to remove the Solar System;1.
Assume your obligations under the Agreement without payment of any transfer or similar2.
fee;or
Terminate the Agreement and enter in to a new agreement with Sunrun under terms no3.
less favorable than the original Agreement.
Sunrun agrees not to be named loss payee (or named insured)on your insurance policy/ies2.
covering the Home.

Upon damage or destruction of the Solar System,you will not be entitled to receive or retain anyb.
insurance proceeds.Sunrun will insure the Solar System against all damage or loss unless such damage
or loss is due to your gross negligence or willful damage of the Solar System.In cases where we bear
the risk of loss,our sole obligation to you will be to repair or replace the Solar System to the extent
required by any equipment warranty.
During the Initial Term of this Agreement you agree to carry insurance covering damage to the Home,c.
including damage resulting from the Solar System and not due to the gross negligence of Sunrun.It is
your responsibility to determine whether installation of the Solar System will impact your existing
coverage and if additional insurance is required.
Sunrun requires its Installation Partners to maintain the following insurance coverages:d.
Workers compensation,subject to statutory limits;(i)
Employers liability,with a minimum of one million ($1,000,000)dollars each occurrence;(ii)
Commercial general liability,in an amount not less than one million ($1,000,000)dollars per(iii)
occurrence and two million ($2,000,000)dollars annual aggregate;
Commercial automobile liability,in an amount not less than a combined bodily injury and property(iv)
damage limit of one million ($1,000,000)dollars per accident;
Excess liability insurance with a limit of one million ($1,000,000)dollars per occurrence and in the(v)
annual aggregate in excess of the limits of insurance provided above;and
Any other insurance required by applicable laws or regulation.(vi)

SHOULD CONSULT.SUNRUN IS NOT RESPONSIBLE FOR ANY CONSEQUENTIAL,INCIDENTAL,
PUNITIVE,EXEMPLARY OR INDIRECT DAMAGES,LOST PROFITS OR LOSSES RELATING TO THIS
AGREEMENT,IN TORT OR CONTRACT,INCLUDING ANY NEGLIGENCE OR OTHERWISE.
YOU SHALL INDEMNIFY,DEFEND,PROTECT,SAVE AND HOLD HARMLESS SUNRUN,ITS
EMPLOYEES,OFFICERS,DIRECTORS,AGENTS,FINANCING PARTNERS,SUCCESSORS AND
ASSIGNS FROM ANY AND ALL THIRD PARTY CLAIMS,ACTIONS,COSTS,EXPENSES (INCLUDING
REASONABLE ATTORNEYS’FEES AND EXPENSES),DAMAGES,LIABILITIES,PENALTIES,
LOSSES,OBLIGATIONS,INJURIES,DEMANDS AND LIENS OF ANY KIND OR NATURE ARISING
OUT OF,CONNECTED WITH,RELATING TO OR RESULTING FROM YOUR NEGLIGENCE OR
WILLFUL MISCONDUCT;PROVIDED,THAT NOTHING HEREIN SHALL REQUIRE YOU TO
INDEMNIFY SUNRUN FOR ITS OWN NEGLIGENCE OR WILLFUL MISCONDUCT.THE PROVISIONS

Limitations on Damages8.
IN NO EVENT WILL WE BE LIABLE TO YOU OR TO ANYONE FOR LOSS OF PROFITS,DAMAGES
FROM POWER INTERRUPTION OR OTHER SPECIAL,CONSEQUENTIAL,INCIDENTAL OR
INDIRECT DAMAGES.
Force Majeure9.
Sunrun is not responsible for any delay or failure in the performance under this Agreement if the delay or
failure is due to Force Majeure.“Force Majeure”means any event,condition or circumstance beyond the
reasonable control of,and not caused by,Sunrun’s fault or negligence.Force Majeure includes,without
limitation,acts of God such as storms,fires,floods,lightning and earthquakes,sabotage or destruction
by a third party of the Solar System,war,riot,acts of a public enemy or other civil disturbance,or a
strike,walkout,lockout or other significant labor dispute.Force Majeure does not include economic
hardship or insufficiency,unavailability,failure,or diminishment of solar resources,except as a result of
an event that would otherwise qualify as a Force Majeure.
In order to claim Force Majeure as a reason for non-performance,Sunrun must give you notice within
fourteen (14)days following its occurrence and estimate how long it will last and what the potential
impact is on the Agreement.If Sunrun claims Force Majeure,it must:
make reasonable attempts to continue to perform under the Agreement;a.
quickly take action to correct the problem caused by the Force Majeure;b.
make reasonable efforts to limit damage to you;andc.
notify you when the Force Majeure event ends and performance will resume as contemplated in thisd.
Agreement.
Default and Remedies10.
DEFAULT BY CUSTOMER;SUNRUN’S REMEDIES:a.
You will be in default under the Agreement if:(i)
You terminate this Agreement under Section G(5)(a)(iii);1.
You provide any false or misleading financial or other information to obtain this Agreement;2.
You assign,transfer,or encumber this Agreement or any part of the Solar System without3.
Sunrun’s prior written consent;
You make a general assignment for the benefit of creditors,file a petition in bankruptcy,appoint a4.
trustee or receiver,or have all or substantially all of your assets subject to attachment,execution
or other judicial seizure,or you become insolvent or unable to pay your debts,or vacate or
abandon the Home;.
Foreclosure proceedings are filed involving the Home;5.
You fail to (1)provide us with the information,approvals or reasonable access to the Home we6.
need in order to do the Work,or you fail to (2)make a payment when due,and,in either case,
you fail to correct the problem in ten (10)days of notice being provided to you.In addition,to any
other remedies described herein,upon the occurrence of any event described in the foregoing
sentence,and prior to expiration of the 10 day cure period,Sunrun may stop Work.Sunrun will
give you written notice of our reasons for stopping Work.

If you fail to perform any other material obligation that you have undertaken in this Agreement,7.
including doing something you have agreed not to do,and such failure continues beyond a period
of fourteen (14)days after you receive notice of such failure.
If any events described in Section G(10)(a)(i)occur,Sunrun may,upon notice to you,exercise one or(ii)
more of the following remedies,in its sole discretion:
Sunrun may terminate the Agreement;1.
Sunrun may,subject to any cure rights provided herein or under applicable law,have the right to2.
disconnect the Solar System and/or enter the Home and remove the Solar System.We will
provide at least ten (10)days’advanced written notice of our intent to disconnect the Solar
System;
Sunrun may require you to pay Sunrun a termination payment equal to the Prepayment of all3.
future Monthly Payments during the Initial Term ("Make Whole");
If,as a result of your default,Sunrun removes the Solar System,then in addition to the Make4.
Whole payment,you will be obligated to pay Sunrun an amount equal to the value of any
Incentives that Sunrun must return as a result of such removal;
Sunrun may exercise any other remedies available to Sunrun at law or in equity.5.
SUNRUN’S DEFAULT;YOUR REMEDIES.In addition to any other remedies you have under thisb.
Agreement,if Sunrun (i)makes a general assignment for the benefit of creditors,files a petition in
bankruptcy,appoints a trustee or receiver,or has all or substantially all of its assets subject to
attachment,execution or other judicial seizure,or (ii)fails to perform an obligation under the Agreement
and such failure continues beyond a period of ninety (90)days after we receive notice of such failure
(provided,in each case,this Agreement is otherwise in full force and effect prior to such event),you will
have the option to purchase the Solar System as set forth in Section G(4)
Dispute Resolution;Arbitration;Class Action Waiver11.
This Section sets forth the procedure for resolving disputes related to this Agreement (the "Dispute").
Unless otherwise agreed in writing,the Parties agree to continue to perform each Party's respective
obligations under this Agreement during the course of the resolution of the Dispute.
INFORMAL DISPUTE RESOLUTION.The Parties agree to first try to resolve informally and in good faitha.
any Dispute.Accordingly,you agree to send a written notice of the Dispute to the address listed in
Section G(12)of the Agreement.Sunrun will send a written notice of Dispute to the Home’s address.If
the Parties do not reach an informal agreement to resolve the Dispute within forty-five (45)days after the
notice of Dispute is received,you or Sunrun may commence a formal proceeding as detailed below.All
applicable statutes of limitation and defenses based upon the passage of time shall be tolled for the 45
days during which the parties try to informally resolve any Dispute.If you claim deficiencies in the Solar
System’s installation or performance,you must allow us to visually inspect the Solar System and obtain
or download pertinent performance data from the Solar System.
ARBITRATION.IF THE PARTIES CANNOT RESOLVE THE DISPUTE INFORMALLY,THEb.
DISPUTE,INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS
AGREEMENT TO ARBITRATE,WILL BE RESOLVED BY BINDING ARBITRATION BEFORE
ONE ARBITRATOR.
ARBITRATION MEANS YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND ALL DISPUTES
SHALL BE DECIDED BY AN ARBITRATOR.THIS AGREEMENT TO ARBITRATE DISPUTES
IS GOVERNED BY THE FEDERAL ARBITRATION ACT ("FAA").THE ARBITRATION SHALL
BE ADMINISTERED BY JAMS PURSUANT TO ITS STREAMLINED ARBITRATION RULES &
PROCEDURES.THE ARBITRATION WILL BE OVERSEEN BY THE JAMS OFFICE NEAREST
TO THE HOME.JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT HAVING
JURISDICTION.THIS CLAUSE SHALL NOT PRECLUDE PARTIES FROM SEEKING

PROVISIONAL REMEDIES IN AID OF ARBITRATION FROM A COURT OF APPROPRIATE
JURISDICTION.THE ARBITRATOR MAY,IN THE AWARD,ALLOCATE ALL OR PART OF
THE COSTS OF THE ARBITRATION,INCLUDING THE FEES OF THE ARBITRATOR AND
THE REASONABLE ATTORNEY FEES OF THE PREVAILING PARTY.
You may,in arbitration,seek all remedies available to you under this Agreement as interpreted underc.
California law.If there is a conflict between the JAMS Rules and this Agreement,this Agreement will
govern.Sunrun will pay the costs for initiating arbitration proceedings whether you or Sunrun prevails in
arbitration.Other fees,such as attorneys’fees and expenses of travel to the arbitration,will be paid in
accordance with JAMS Rules.If the arbitrator finds in your favor,Sunrun will pay your attorney’s fees
and expenses of travel to the arbitration.The arbitration hearing will take place in the federal judicial
district of the Home,unless you and Sunrun agree to another location in writing.In order to initiate
arbitration proceedings,you or Sunrun must take the following actions:
Write a demand for arbitration.The demand must include a description of the Dispute and the amount(i)
of damages you are seeking.The form of Demand for Arbitration can be found under ADR Forms at
www.jamsadr.com.
Send three (3)copies of the demand for arbitration to the JAMS location at Two Embarcadero(ii)
Center,Suite 1500,San Francisco,California 94111.
Send one copy of the demand for arbitration to the other Party.You and Sunrun agree to receive(iii)
service of process of the arbitration demand by registered or certified mail,return receipt requested,
at your billing address and Sunrun’s principal executive office,respectively.
In accordance with the FAA and the JAMS Rules,the arbitrator’s decision will be final and binding.Anyd.

Governing Law.Unless otherwise prohibited by law,this Agreement shall be interpreted in accordance13.

You agree that Sunrun has the right to periodically check your consumer credit report.Sunrun may report14.
information about your performance under this Agreement to consumer reporting agencies.Late
payments,missed payments or other defaults hereunder may be reflected in your credit report.
You agree that Sunrun has the right to obtain photographic images of the Solar System and the Home,15.
and to use such photographic images for internal and quality control purposes.Sunrun will not use
photographic images of the Solar System or the Home in its marketing and promotional materials without
first obtaining your express written approval.
This Agreement is binding upon,and inures to the benefit of,the Parties and their respective heirs,16.

This Agreement supersedes any prior understandings,agreements,or representations by or between the17.
parties,written or oral,to the extent they related in any way to the subject matter hereof.
Entire Agreement.You agree that this Agreement constitutes the entire agreement between you and18.
Sunrun.If any provision is declared to be invalid,that provision will be deleted or modified,and the rest
of the Agreement will remain enforceable.The terms of this Agreement that expressly or by their nature
survive termination shall continue thereafter until fully performed,which shall include,without limitation,

concealed conditions that you knew about or reasonably should have known about are discovered thatb.
prevent installation or would result in reduced estimated system production as set forth in Section B;
you delay in correcting pre-existing conditions that prevent installation of the Solar System;c.
you fail to respond to Sunrun’s or its Installation Partner’s questions and requests and cause Solard.
System installation to be delayed for thirty (30)or more days as a result of your unresponsiveness;
a change in Solar System design changes the expected costs and benefits of this Agreement to Sunrun;e.
cellular service or internet service is no longer available at the Home or if the availability of cellular orf.
internet service significantly decreases,in which case Sunrun will refund you the Deposit within a
reasonable period of time following cancellation if such lack of,or decrease in,cellular service or internet
service is through no fault of your own;
Sunrun requests a change to the Agreement pursuant to Section F,and you do not agree to such changeg.

Monthly Payment Schedule and Prepayment Pricing
When you sign the Agreement,you will pay Sunrun a Deposit of $0.At the start of installation of the Solar
System,you will pay Sunrun an Initial Payment of $0 (includes sales tax).
Each Monthly Payment shown below is for the previous year.Each of your first 12 Monthly Payments will be
in the amount of $194.03.The Monthly Payments shall increase by 3.5%annually during the Initial Term of
the Agreement (the “Annual Increase”),effective as of the Monthly Payment that covers any calendar month
that includes an anniversary of the In-Service Date (and such increase would not apply to any part of a
Monthly Payment that covers the days in a calendar month leading up to an anniversary of the In-Service
Date).
The Monthly Payments shown below are before any applicable taxes and include a $7.50 discount for paying
through Automated Clearing House (ACH)withdrawal.If you do not elect automatic payment through ACH
withdrawal from your checking or savings account,you will not receive this discount and each monthly
payment will be $7.50 greater.For simplicity,the table below is based on the assumption that the In-Service
Date will occur on the first day of the month.
As specified below,Sunrun will issue you a refund if Actual Output is less than Guaranteed Output to date.

LEGAL NOTICE FOR CALIFORNIA HOME IMPROVEMENT CONTRACTS
MECHANICS LIEN WARNING

MECHANICS LIEN WARNING:Anyone who helps improve your property,but who is not paid,may
record what is called a mechanics'lien on your property.A mechanics'lien is a claim,like a
mortgage or home equity loan,made against your property and recorded with the county recorder.

ACH Deposit Form
BY ACCEPTING THE TERMS AND CONDITIONS FOR RECURRING PAYMENTS BELOW AND

scheduled transfer date.If you inform Sunrun that an error exists on your statement,Sunrun will attempt
to correct that error prior to your next statement to the extent permitted by law.Sunrun shall bear no
liability or responsibility for any losses of any kind that you may incur as a result of an erroneous
statement or due to any delay in the actual date on which your account is debited.
If any changes occur in the information on your application,you must immediately notify Sunrun in writing2.
of such changes.If Sunrun incurs charge-back fees as a result of inaccurate information you provide,
then Sunrun shall bill you for those fees.
If you either do not notify Sunrun in writing of such changes or do so in an untimely fashion,Sunrun shall3.

liability to you shall be Sunrun's obligation to make any appropriate changes once in receipt of your

You are requesting that Sunrun oversize your system to accommodate an anticipated increase in your
yearly electrical service needs,for the reasons stated below.
Your current estimated consumption is 13,407 kilowatt-hours per year.This Solar Facility is sized at an
estimated production of 15,522 kilowatt-hours per year.As such,you will be purchasing 17.0%more
energy than what we estimate you currently consume in one year.
By signing below,you acknowledge that if your anticipated increase in energy service needs does not
come to pass or if your consumption is lower for any other reason:
You may be paying for power that you do not use and/or for which you receive no other value (for·
example,if your utility does not provide net metering credits for production beyond your estimated
consumption);
You may realize less savings than anticipated,or no savings at all;·
You are still responsible for purchasing the estimated production of this Solar Facility for the term of·
the contract regardless of your actual future consumption;and
Sunrun will not provide you with any refunds,except as provided in the Agreement·
You further acknowledge that Sunrun is oversizing your system based on the representations regarding
your anticipated electric service needs that you have specified above.Sunrun has no obligation to do any
independent investigation of the accuracy or validity of these representations,and shall bear no
responsibility or liability if your anticipated electric services needs do not come to pass,except as provided
in the Agreement.
Sunrun reserves the right to reject any Agreement for an oversized system based on several factors,
including but not limited to customer credit or other concerns.

certain written notices or disclosures. Described below are the terms and conditions for providing
to you such notices and disclosures electronically through the DocuSign, Inc. (DocuSign)
electronic signing system. PLEASE READ THE INFORMATION BELOW CAREFULLY
AND THOROUGHLY, AND IF YOU CAN ACCESS THIS INFORMATION
ELECTRONICALLY TO YOUR SATISFACTION AND AGREE TO THESE TERMS AND

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available
electronically to you by us. You will have the ability to download and print documents we send

documents are first sent to you. After such time, if you wish for us to send you paper copies of

withdraw your consent using the DocuSign ‘Withdraw Consent’ form on the signing page of a
DocuSign envelope instead of signing it. This will indicate to us that you have withdrawn your
consent to receive required notices and disclosures electronically from us and you will no longer
be able to use the DocuSign system to receive required notices and consents electronically from
us or to sign electronically documents from us.

Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through the DocuSign system all required notices, disclosures,
authorizations, acknowledgements, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as

In addition, you must notify DocuSign, Inc. at 1-866-219-4318 to arrange for your new email
address to be reflected in your DocuSign account by following the process for changing e-mail in
the DocuSign system.

To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must contact us by (a) sending us an e-mail to

other electronic notices and disclosures that we will provide to you, please verify that you were
able to read this electronic disclosure and that you also were able to print on paper or
electronically save this page for your future reference and access or that you were able to e-mail
this disclosure and consent to an address where you will be able to print on paper or save it for
your future reference and access. Further, if you consent to receiving notices and disclosures

any prior understandings, agreements, or representations by or between the parties, written or
oral, to the extent they relate in any way to the subject matter hereof.
