1 The HPEPV System will not be operational until the utility company issues permission to operate, which
is usually granted within 1-2 weeks of the city inspector signing off on the HPEPV System’s completion.
2 If the HPEPV System’s purchase is being financed by a third party financer, the payment schedule shall
be agreed to between HPE and said third party, whose issuance of notice to proceed to HPE shall be a
condition precedent to the parties’ obligations hereunder.

15. Entire Agreement; Severability. This Agreement and any exhibits hereto or otherwise referenced
herein shall constitute the entire Agreement between the parties. Any agreements or representations,
verbal or otherwise, not confirmed herein shall be of no force or effect. Wherever possible, each provision
of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law,
but if any one or more of the provisions contained herein, for any reason, is held invalid, illegal, or
unenforceable in any respect, such provision will be ineffective to the extent, but only to the extent, of
such invalidity, illegality, or unenforceability without invalidating the remainder of such provision or
provisions, or any other provisions of this Agreement, unless such a construction would be unreasonable.
16. Counterparts; Facsimiles. This Agreement may be executed in one or more counterparts for the
convenience of the parties, each of which shall be deemed an original (including copies sent to a party by
facsimile or e-mail) as against the party signing such counterpart, but which together shall constitute one
and the same instrument. Signatures transmitted via facsimile or e-mail shall be considered authentic
and binding.

the date of this transaction. See the attached notice of cancellation form for an explanation of this
