This note was due for payment on April 10, 1995. Due to the Conservancy's budget restraints forcing cutbacks on staff time,the payment was inadvertently overlooked at that time. At its September 14, 1995 meeting,the City of Palm Desert City Council approved an extension •. of the promissory note's due date to December 31, 1995,and forgave the entire penalty. Currently,the CVMC is not in a position to pay the note. They had expected the Bureau of Land Management(BLM)would receive a Land and Water Conservation Fund appropriation in 1994 with which to purchase the tax sale parcels from the CVMC. This would have provided funds to repay the City. However, Congress did not make an appropriation to the BLM last year, and with the delays in the adoption of the 1996 Federal Budget, CVMC has been put off again in sale of these parcels to generate the needed revenue to pay off this note. After many delays as a result of the budget impasse earlier this year, the LWCF appropriation for 1995/1996 was finally approved in June 1996. The first priority for the BLM in terms of expenditure of these funds is purchase of tax default parcels from the Conservancy. We can now be assured that the Conservancy will have the funds necessary to repay the City. However, due to several complications internal to BLM, it may be three to six months before the final sale can be completed. It is our intent to repay the City at the earliest possible time,as soon as these funds become available. I will continue to keep you posted as to the progress of this transfer of land and monies. • In the interim, please let me know if you recommend that we request yet another extension of the promissory note term. We regret the necessity of these extensions and look forward to completing this loan with full repayment of the principal and interest due to the City. Upon motion by Benson, second by Kelly, the remainder of the Consent Calendar was approved by unanimous vote of the Council. VII. RESOLUTIONS Mr. Ortega asked that Resolutions 95-87, 95-88, and 95-89 be continued to the meeting of September 28, 1995, as bond counsel needed to do some additional work. A. RESOLUTION NO. 95-87 - A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PALM DESERT, CALIFORNIA, ORDERING REVISION OF AUDITOR'S RECORD OF REASSESSMENT FOR REFUNDING BONDS FOR ASSESSMENT DISTRICT NO. 83-1 TO INCLUDE INTEREST INSTALLMENTS BASED ON INTEREST RATES SET FORTH IN THE BOND PURCHASE CONTRACT FOR THE PURCHASE AND SALE OF REFUNDING BONDS FOR SAID ASSESSMENT DISTRICT, AND PROVIDING FOR THE COLLECTION OF THE REASSESSMENTS. Gibson, Director of Finance SUBJECT: REQUEST FOR EXTENSION ON PROMISSORY NOTE - COACHELLA VALLEY MOUNTAINS CONSERVANCY DATE: September 14, 1995 RECOMMENDATION: Staff recommends that Council approve request for extension of the promissory note term until December 31, 1995, and forgive the 10%penalty. BACKGROUND: On November 10, 1993, the Coachella Valley Mountains Conservancy signed a promissory note with the City of Palm Desert for$65,000.00 at a rate of 4.5% per annum. This note was due for payment on April 10, 1995. Due to the Conservancy's budget restraints forcing cutbacks on staff time, the payment of the promissory note on April 10, 1995 was inadvertently overlooked. Currently the Conservancy is not in a position to pay the note. They had expected the Bureau of Land Management (BLM) would receive a Land and Water Conservation Fund appropriation in 1994, with which to purchase the tax sale parcels from the Conservancy; this would have provided funds to repay the City. Congress did not make an appropriation to the BLM last year for this purpose. This year, the President's budget contained an appropriation to the BLM for this project, but final Congressional action has not yet occurred. Interests, such as the Conservancy, have strong support on the House side and are cautiously hopeful that the final version of the appropriations bill will provide the needed funding. The BLM would receive the funds sometime in October or November, and the purchase could then go forward, enabling the Conservancy to pay the promissory note. The Conservancy is also exploring other sources of funding in the event Congress does not act favorably. The amount due for the note as of November 10, 1995 is $73,190.00 plus a penalty of$7,319.00, for a grand total of$80,509.00. Respectfully submitted, Reviewed and concur, Paul S. BLM would receive the funds sometime in October or November and the purchase could then go forward, enabling the Conservancy to then pay the .promissory note. At this time the Conservancy requests an extension of the promissory note term until December 31, 1995 and asks that the City forgive the • 10% penalty as this would be a significant burden for the Conservancy and would adversely impact its ability to carry out its conservation mandate for the public benefit. Unpaid principal after the Due Date shown below shall accrue interest at the rate of Four and One-Half Percent (4.5%) per annum until paid. A ten percent (10%) penalty shall be assessed if installments are not paid when due. The Promisor reserves the right to prepay this Note in whole or in part prior, to the Due Date with no prepayment penalty. No renewal or extension of this Note, delay in enforcing any right of Payee under this Note, or assignment by Payee of this Note, shall affect the liability of the Promisor. All rights of the Payee under this Note are cumulative and may be exercised concurrently or consecutively at the Payee's option. Promisor waives the following: notice of default or delinquency; notice of acceleration; notice of nonpayment; notice of costs, expenses and losses and interest thereon; notice of interest on interest and late chargos; diligence of Payee in taking any action to collect any sums owing under the Note; the benefits of all waivable extension or extensions of time of payment or of any due date under this Note, .in whole or in part, whether or after maturity and with or without notice. Payee shall not be deemed to have waived any of its rights under this Note as to any default by Promisor because of Payee's failure to take any action with respect to any particular prior default of Promisor.
