SUBJECT: REVISED CONVENTION AND VISITORS BUREAU JPA AGREEMENT

The City of Palm Springs has adopted a resolution approving a
revised Joint Powers Agreement. The revisions are minor, therefore
staff recommends approval of the modifications .

THE CITY COUNCIL OF THE CITY OF
INGS, CALIFORNIA, APPROVING A RI D
AND RESTATED JOINT POWERS AGREEMENS S ATING
THE PALM SPRINGS DESERT RESORTS CONVENTION
AND VISITORS BUREAU.
WHEREAS, the City of Palm Springs is a member of the Palm Springs
Desert Resorts Convention and Visitors Bureau under a Joint Pohere
Agreement; and
WHEREAS, the member agencies of the Palm Springs Desert Resorts
convention and Visitors Bureau have proposed amendments to the
Joint powers Agreement to better serve the needs of its members;
and
WHEREAS, each of the member cities must now approve the revised and
restated Joint Powers Agreement; and
WHEREAS, the proposed amendments, in part, deal with the issue of
terminating membership in the Palm Springs Desert Resorts
Conventio
n and Visit
ors Bureau and the rights cf a withdrawing
member; and
WHEREAS, the City of Palm Springs has requested an amendment that
would. provide in the event the City of Palm Springs should withdraw
from membership, the Palm Spriggs Desert Resorts Convention and
Visitors Bureau would cease using the name Palm Springs; but at
this time, the other members of the Bureau do not wish to address
this subject; and
WHEREAS, the City of Palm Springs wishes to show cooperation and
good faith with its sister cities, by supporting the revised and
restated joint Powers Agreement, but wishes to reserve its rights
concerning the use of "Palm Springs" in the Bureau name to preserve
the great investment the City has made in developing the world-wide
recognition of the name "Palm Springs."
NOW THEREFORE BE IT RESOLVED by the City Council of the City of
Palm Springs, that the revised and restated Joint Powers Agreement
Creating the Palm Springs Desert Resorts Convention and Visitors
Bureau, identified as "January 19, 1993, Amendment Proposed," on
file in the office of the City Clerk, is hereby approved.
BE IT FURTHER RESOLVED, the City of Palm Springs has continued
concern with the name "Palm Springs° in the Palm Springs Desert
Resorts Convention and Visitors Bureau, in the event the City of
palm Springs is not a member of the Bureau, and will reserve its
right to further discuss this issue in the future with the other
members of the Bureau.
ADOPTED this 3rd day of March , 1993.

Desert Hot Springs As a result of the CVB TAC meeting on February 24 ,
enclosed are copies of the revised JPA Agreement for the
Indian Wells Palm Springs Desert Resorts Convention and Visitors Bureau
Indio (PSDRCVB) .
LaQuinta Staff was directed to change a typographical error
contained on Page 11. This typographical error is
Palm Desert contained under Article XIII, Section 3 and previously
read, "June 1, 1992" . It has been changed to read,
Palm Springs "June 1, 1993" .
Rancho Mirage In addition, staff was directed to produce Exhibit B and C
rather than include the language in the body of the JPA
Agreement document.
The two Exhibits were taken verbatim from the previously
revised JPA Agreement and there have been no changes to
the wording in these two exhibits.
Only those three minor changes were made. To reiterate a
previous memo, prior to the JPA approval of the revised
Joint Powers Agreement on January 19 , the following
changes were made to the JPA Agreement:
1. Article I -- A Convention Meeting Hotel was
defined in keeping with the new "two-tiered"
funding formula for the PSDRCVB.
2 . Article X -- Divided the Treasurer and Auditor ' s
functions into two categories. In the previous
JPA Agreement, these responsibilities were
combined.

3 . Article XI -- Details the two-tiered funding
system for the Bureau and the contributions by
each member city.
4 . Article XIII -- Describes the procedure for a
member organization withdrawing from the PSDRCVB.
The previous JPA Agreement provided no benefits
for a member organization during its year of
withdrawal. The revised agreement provides
benefits to a member organization, during its year
of withdrawal and gives them voting privileges on
the Executive Committee, during the year of
withdrawal, relating to operating budget items.
