The proposed easement is located around Resco's westerly and southerly property boundary, over a hillside parcel that is owned by the City of Palm Desert Therefore, staff recommends that City Council, by minute motion, authorize the Mayor to execute a Drainage Easement and related agreement to Resco Self Storage, LLC. WHEREAS, Grantee is the owner of fee title to that certain real property located in the city of Palm Desert, County of Riverside and State of California described on Exhibit "B" attached hereto (the"Resco Property"), which property is located north of the City Property. WHEREAS, the City Property currently accepts surface water from the Resco Property and other real property located to the North of City Property (collectively, "Surface Water"). WHEREAS, in connection with the development by Grantee of the Resco Property, Grantee desires to construct a concrete culvert ("Culvert") on the portion of the City Property more particularly described in Exhibit "C" ("Easement Property"), and depicted on Exhibit "D" to accept the Surface Water near the southerly boundary of the City Property in order to divert the Surface Water into the storm drain system located on public street commonly referred to as Painter's Path. NOW, THEREFORE, in consideration of the foregoing recitals, the mutual covenants and agreements set forth herein and other good and valuable consideration, the delivery, receipt and adequacy of which are hereby acknowledged, the parties hereto grant and agree as follows: AGREEMENTS 1. Grant of Easements by Grantor. Grantor, as the owner of the City Property hereby grants to Grantee a perpetual, non-exclusive easement over the Easement Property for purposes of accepting Surface Water from the real property owned by Grantee to the north of the City Property and directing such water into the storm drain system located on the public street commonly referred to as Painter's Path. Grantor, as the owner of the City Property hereby grants to Grantee a perpetual, non-exclusive easement over the City Property for purposes of constructing, repairing, accessing, replacing and maintaining the Culvert on the City Property. 2. Covenants of Grantee. Grantee shall at all times (at Grantee's sole cost and expense) repair, maintain and replace as necessary or appropriate all and every portion of the Culvert and the 264460 Easement Property and any improvement constructed thereon. Grantee shall use commercially reasonable efforts to reasonably minimize the interference with Grantor's use and enjoyment of the City Property. Grantee shall also repair or replace and restore, as promptly as practicable, all paving, driveways, landscaping, conduits, and any other improvements of Grantee upon, under, over, across or along the City Property to the extent the same are damaged or removed in connection with the construction of the Culvert by Grantee or its contractors or agents. 3. Indemnity. 3.1 Grantee shall indemnify and hold Grantor harmless from and against any and all claims or liability for bodily injury to or death of any person or loss of or damage to any property to the extent caused by Grantee's use of the Easement Property or from any activity, work or thing done, permitted or suffered by Grantee, its employees, agents, contractors or invitees in or about the Easement Property except claims and liabilities to the extent caused by any negligence or willful misconduct on the part of Grantor, its agents, employees, tenants, contractors or invitees (as to which Grantor hereby agrees to indemnify, defend and hold harmless Grantee); provided, however, that in no event shall Grantee be liable to Grantor for any consequential or incidental damages. 3.2 Grantor shall indemnify and hold Grantee harmless from and against any and all claims or liability for bodily injury to or death of any person or loss of or damage to any property to the extent caused by Grantor's use of the Easement Property or from any activity, work or thing done, permitted or suffered by Grantor, its employees, agents, contractors or invitees in or about the Easement Property except claims and liabilities to the extent caused by any negligence or willful misconduct on the part of Grantee, its agents, employees, tenants, contractors or invitees (as to which Grantee hereby agrees to indemnify, defend and hold harmless Grantor); provided, however, that in no event shall Grantor be liable to Grantee for any consequential or incidental damages. 4. Persons Bound By This Agreement. The easements granted hereby and the covenants, terms and conditions hereof shall run with the land and each successive owner of the City Property and Resco Property or any portion thereof and each person having any interest therein derived through any such owner shall be bound by the grants, terms and conditions contained in this Agreement. None of the rights or obligations created by this Agreement may be assigned or delegated other than as a conveyance thereof appurtenant to a conveyance of the fee title to the City Property or Resco Property.
