SUBJECT: VALLEY INDUSTRIAL PARK ASSOCIATION BOARD ELECTION
DATE: February 25, 1999
RECOMMENDATION:
That a City staff person not serve as an elected board member for the Valley Industrial Park
Association.
BACKGROUND:
The attached information was received recently regarding the election. The association has
been reorganized and they are now holding elections. Tom Bassler has worked with Lin
Best, the current president, as well as the other two board members, Doug Rails and
Christine Matheny. Tom Bassler and I have met with the board at various times on various
issues. Most recently we have been doing the design on the Cook Street wall along the
west side between Merle Drive and Velie Way.
There are advantages and disadvantages to having a city representative on the new board.
This matter was discussed at the Executive Management Team Meeting on Monday,
February 22. Because the city owns three lots in this industrial park, it is certainly in the
city's interest to have someone involved in the board's activities; however, there is a
concern about having a person sitting on the board as an elected board member as the
association and board may feel that the city will provide support or funds for maintenance
or construction that may not be in the city's best interest.
Therefore, it is recommended that a staff person not sery n e ec d board member of
the Valley Industrial Park ssociation.

Instructions or by voting in person at the Annual Meeting.If you are voting via this Proxy and
nsplease return it in the enclosed envelope.
Election Instructions,
The Undersigned member(s)of the V.LP.Owners Association,hereby revokes all previous proxies
and designate as my proxyholder. (PROXYHOLDER)to vote
this proxy as specifically instructed below.This proxy shall be used for the purpose of establishing a
quorum.Additionally,PROXYHOLDER shall have the limited power to vote this proxy as indicated
herein for the election of the Board of Directors. If the box below,designated as REGULAR
ELECTION INSTRUCTIONS is not completed, PROXYHOLDER is instructed to vote as
PROXYHOLDER deems advisable.
In the Election,the Association is electing three(3) Directors for a ONE YEAR term each.
MAXIMUM THREE VOTE ONLY per lot owner ONE for each director. If you disburse more than
three votes on the Election Instructions,the Regular Election Instructions will be invalid and your
votes will not be counted.
REGULAR ELECTION INSTRUCTIONS(for election of 3 Directors for one(1)year term)
The Association is authorized tabulate my votes from these election instructions and
need not cast a secret Ballot. Any write-in candidate must be nominated and
seconded from the floor.
