Dear Resident:
As you may be aware, the tennis courts at Cahuilla Hills Park have been
in disrepair for some time due to a continuing vandalism problem. The
primary areas of concern are the light fixtures which have been
repeatedly broken, the nets which have been cut, stolen and burned, the
drinking fountain, and finally, general upkeep of the court surface.
This matter has been before the Palm Desert Parks and Recreation
Commission on several occasions and different solutions have been
presented. These solutions include maintaining the courts while
attempting to mitigate vandalism, removing the courts to create a
passive park, and converting the courts to a tot lot.
As a neighbor of the park, we would like your input regarding the
future of the park. Enclosed is a survey form and a stamped return
envelope. Your time and effort is greatly appreciated.

Please rank in order of preference with 1 being most preferred and 3
being least preferred.
Refurbish and maintain tennis court facility and implement
steps to mitigate vandalism problem. Measures may include
removal of lights, locking the courts during off hours (dusk
to dawn) , etc.
Remove tennis courts to create a passive park setting. The
term passive refers to parks typically containing walking
paths, picnic tables and open space, but not facilities such
as basketball courts, baseball fields, playground equipment
or tennis courts .
Convert tennis courts to tot lot which may include swings,
jungle gym and other playground equipment.

AGREEMENT
25th August
This Agreement is made this ISNIMX day of MAX
1994 by and between the Coachella Valley Recreation and Park
District, a public agency ( "District" ) and the City of Palm Desert ,
California, ( "City" ) , with reference to the following:
A. The City is the owner of certain real property within its city
limits, commonly known and referred to as Civic Center Park .
The City also has certain amenities, i . e . , picnic shelters ,
basketball courts , sand volleyball courts, tennis courts and
large areas of turf located at Civic Center Park;
B . The City desires the District to provide for the scheduling,
posting, collection of reservation fees and supervision of the
Civic Center Park seven days a week for the use and benefit of
the residents of the City.
C. The District desires to provide for the scheduling, posting,
collection of fees and supervision of Civic Center Park seven
days a week.
NOW THEREFORE, in consideration of the foregoing and the mutual
promises and covenants set forth herein, the District and City
agree as follows :
1 . Scheduling and Collection of Reservation Fees
The District shall schedule, post and collect reservation fees
for the picnic shelters , basketball courts, sand volleyball
courts, tennis courts and any turf areas Monday through
Friday, 6 : 00 A.M. to 10 : 00 P.M. in accordance with rules and
regulations set forth in Sections 11 . 01 and 11 . 04 of the City
of Palm Desert' s Municipal Code (hereinafter referred to as
"Park Ordinance" ) .
The District shall post reservation signs Monday through
Sunday as needed.
2 . Supervision
The District shall supervise the park by patrolling the park
on an hourly basis in a City-owned golf cart Monday through
Friday, 6 : 00 A.M. to 10 : 00 P .M . On Saturday and Sunday the
District shall supervise the park by patrolling at various
times in a City-owned golf cart from 12 : 00 noon to 10 : 00 P .M .
The District will provide its employees assigned to park
patrol with laminated identification photo badges and logo
shirts designating them as park supervisors .
The District shall promptly notify the City of any damages or

vandalism discovered. The District shall notify the Sheriff' s
Department of any violation of the Park Ordinance .
3 . Litter Control
The District shall provide litter control at all amenities on
Saturday and Sunday. The City will provide the trash bags and
trash bins .
4 . Emergency Services
The City and the District shall provide twenty-four (24) hour
emergency service. The District shall have a staff member "ON
CALL" at all times .
5 . Compensation
A. Compensation for scheduling, posting and supervision of
facilities Monday through Friday 6 : 00 A.M. to 10 : 00 P.M. and
Saturday and Sunday 12 : 00 noon to 10 : 00 P.M. ) shall be the
reservation fees collected.
B . Compensation for scheduling, posting and supervision of
facilities Saturday and Sunday from 6 : 00 P .M. to 10 : 00 P.M.
shall be $13 . 00 per hour.
6 . Insurance
The District shall, at its sole cost and expense, obtain and
maintain in full force and effect during the term of this
Agreement, comprehensive general liability insurance to the
extent of $1 million dollars per person and $3 million dollars
per occurrence against liability for bodily injury, including
death resulting therefrom; and to the extend of $500, 000 per
occurrence against liability for damage to property including
loss of use thereof, arising out of the ownership, maintenance
or use of the Civic Center Park Facility and related personal
property. Such insurance policies may be covered under a
self-insurance program.
The District shall obtain and maintain at its own cost and
expense during the term of this Agreement Worker' s
Compensation insurance as required by law.
7 . Indemnification
The City hereby agrees to indemnity, defend (with counsel of
District' s choice) and save the District harmless from and
against any and all losses , claims , actions , fines , penalties ,
demands , damages, liability and expenses , including attorneys'
fees in connection with loss of life, personal injury and
damage to property arising from or out of any occurrence in,
upon, or at the Civic Center Park facilities and the provision
of recreation services thereunder occasioned wholly or in Dart
by any act or failure to act by the City, their agents ,
contractors, employees or servants .
The District hereby agrees to indemnity, defend (with counsel
of City' s choice) and save the City harmless from and against
any and all losses, claims, actions , fines, 'penalties ,
demands, damages, liability and expenses, including attorneys '
fees in connection with loss of life, personal injury and
damage to property arising from or out of any occurrence in,
upon, or at the Civic Center Park facilities , or the operation
and maintenance of the Civic Center Park facilities, and the
provision of recreation services thereunder, occasioned wholly
or in part by any act of failure to act by the District, its
agents, contractors, employees or servants .
8 . Miscellaneous
A. Entire Agreement : This writing constitutes the entire
agreement of the parties with respect to the subject matter
hereof and may not be modified or amended except by a writing
executed by all parties .
B . No Waiver: No waiver of any breach of default thereunder
shall be considered valid unless in writing, and no such
waiver shall be deemed a waiver of any subsequent breach or
default of the same or similar nature.
C. Successors : Without waiving any restrictions or transfer
or assignment (either voluntary or involuntary) provided
herein, this Agreement shall be binding upon, and shall inure
to the benefit of, the parties hereto, their respective heirs ,
personal representatives, successors and assigns .
D. Invalidity: If any provision of this Agreement shall be
invalid or unenforceable, such invalidity or unenforceability
shall attach only to such provision and shall not in any
manner affect or render invalid or unenforceable any other
severable provision of this Agreement ; and this Agreement
shall be carried out as if any such invalid or unenforceable
provision were not contained herein.
E. Headings : The section headings contained herein are for
the purpose of convenience only and are not intended to define
or limit the contents of said sections .
F. Counterparts : This Agreement may be executed in one or
more counterparts, all of which taken together shall be deemed
an original .
G. Time is of the Essence : Time is of the essence with
respect to each and every term, condition and prov:lion
required to be performed under this Agreement .
H. Litigation and Attorney' s Fees : In the event of any
litigation between the parties hereto with respect to the
subject matter hereof, the unsuccessful party to such
litigation covenants and agrees to pay to the prevailing party
herein all attorneys' fees and court costs incurred by such
relief to which it may be entitled. All of such costs and
fees shall be included in, and become a part of, any judgement
rendered in such litigation.
I . Choice of Law: This Agreement shall be deemed to be a
contract under the laws of the State of California. For all
purposes, it shall be construed and enforced in accordance
with the internal laws of said state, without regard to the
principles of conflicts of law.
J. Notice : All notices, or demands of any kind, served by
either party to this Agreement by the other shall be in
writing and shall be personally delivered, or mailed by
registered or certified mail, return receipt requested,
addressed as follows :

Any party may change the address set forth herein by giving
written notice of said change to the other party.

Pursuant to our telephone conversation today, this letter will serve to confirm our meeting
concerning the above referenced project with the Parks&Recreation Board on Wednesday, the
24th of January at 9:00 AM.
Mr. Bill Haralson of William.L. Haralson&Associates and I will meet you and your
associates in the offices of the Planning Department at 73-510 Fred Waring Drive. We will be
available to visit with you from 9:00 AM to 12:00 PM, since Mr. Harlason has scheduled a flight
departing Ontario at approximately 2:00 PM.
Please call if you have any questions or would like to advise us of specific issues to
address in the meeting. We look forward to meeting with you next Wednesday.
