By Minute Motion that the Oversight Board: 1. Waive further reading and adopt Resolution No. OB-081 approving Contract No. C30802, a one-year extension with All Seasons Landscape & Design, Inc., for Landscape Maintenance Area No. 19, in the amount of $38,052; 2. Include repair work and services at the specified contract amount not to exceed 20 percent of contract amount or $7,610. Background The subject contract was awarded by City Council to All Seasons Landscape & Design of Cherry Valley, California, on May 26, 2011. This contract includes the monthly maintenance services to the Larkspur Lot and lower Desert Willow Temporary Parking Lot, which are owned by the Successor Agency to the Palm Desert Redevelopment Agency and require prevailing wage payments. The original term of the agreement with All Seasons Landscape & Design, Inc., was for a term of twenty-four months, with an option for two, one-year extensions. The first option for extension was exercised for Fiscal Year 2013-14, and All Seasons Landscape & Design Staff Report Approve C30802 All Seasons Landscape, One -Year Extension for LMA 19 Page 2 of 2 June 16, 2014 has agreed to the second one-year extension of contract commencing July 1, 2014, and expiring June 30, 2015, at the current contract price of $38,052 with no cost increase. All Seasons Landscape & Design's performance has met City standards; however, this is the last option to extend the agreement and the contract will go out for bid again next year. Repair work and services covers unquantifiable activities necessary for landscape maintenance, which are not part of the landscape maintenance contract. This repair work and services includes, but is not limited to, repair and replacement of irrigation equipment; repair, maintenance and replacement of lighting equipment; emergency tree work; replacement of trees and shrubs; pest control; and accident and vandalism repair and replacement. Fiscal Analysis This is an on -going maintenance activity with no fiscal impact beyond the contract amount. Funds for the maintenance of these two properties are available from the Successor Agency to the Palm Desert Redevelopment Agency Recognized Obligation Schedule. Pursuant to Health and Safety Code Section 34179(3), all actions taken by the Oversight Board for Successor Agency to the Palm Desert Redevelopment Agency (Oversight Board) shall be adopted by resolution. There has been presented to this Oversight Board for approval Contract No. C30802, a one-year extension for Landscape Maintenance Area No. 19: 1. Authorizing Contract No. C30802 in the amount of $38,052 to All Seasons Landscape & Design, Inc. for Landscape Maintenance Area No. 19; 2. Authorizing repair work and services at the specified contract amount not to exceed 20 percent of the contract amount or $7,610; and 3. Authorizing the Chairman to execute the finalized Agreement as approved by Successor Agency Counsel. An obligation listed on the Recognized Obligation Payment Schedule (ROPS). NOW, THEREFORE, THE OVERSIGHT BOARD FOR THE SUCCESSOR AGENCY TO THE PALM DESERT REDEVELOPMENT AGENCY, HEREBY FINDS, DETERMINES, RESOLVES, AND ORDERS AS FOLLOWS: Section 1. The above recitals are true and correct and are a substantive part of this Resolution. Section 2. The Oversight Board hereby adopts Resolution No. OB -081 for Landscape Maintenance Area No. 19 for landscape maintenance services associated with the Larkspur Site and the Desert Willow Lot Pad E, an obligation listed on the Recognized Obligation Payment Schedule (ROPS). Section 3. The staff of the Successor Agency is hereby directed to provide the State Department of Finance ("DOF") written notice and information regarding the action 1 RES. NO. OB-081 taken by the Oversight Board in Section 2 of this Resolution. Such notice and information shall be provided by electronic means and in a manner of DOF's choosing. Section 4. The officers of the Oversight Board and staff of the Successor Agency are hereby authorized and directed, jointly and severally, to do any and all things which they may deem necessary or advisable to effectuate this Resolution. NOW, THEREFORE, the parties agree as follows: A. Term is amended to add the following paragraph to the end of the existing section, as amended. "The term of this Agreement is extended, and shall include the time period from July 1, 2014, through June 30, 2015." B.
