A RESOLUTION OF THE CITY COUVCIL OF THE CITY OF PALM DESERT,
CALIFORNIA, aUTHORIZING THE CITY MANAGER TO ACCEPT AND RECORD
QUITCLAI�� DEEDS DEDICATING CERTAIN STREETS AS PUBLIC STREETS
IN TI�E SILVER SPUR RANCH AREA.
WHEREAS, private streets in the Silver Spur Ranch area (including those in
the subdivisions known as Silver Spur Ranch, Tract 2521 and Tract 2298}, are and
have been for years open and available to public traffic; and
WHEREAS, said streets have been tested and inspected and found to conform
to paving, strength, and design standards of most City streets; and
IJHERE,4S, uniformity of traffic controls and enforcement practices would be
beneficial to the public safety and welfare; and
WHEREAS, property owners of the area, as citizens and taxpayers of the
City, have requested the City to absorb the streets into the public street sys-
tem for purposes of maintenance and repair; and
WHEREAS, said streets are being and have been utilized by the general
public as public thoroughfares for several years.
P�OW, THEREFORE, BE IT RESOLVED by the City Council ef the City of Palm
Desert, California, that the City ��anager is hereby authorized to accept and
record quitclaim deeds dedicating the streets T�isted below to the City of Palm
Desert as public streets, with the following restrictions and conditions:
l. The City does not accept responsibility for maintenance nor correc-
tion of the serious drainage condition on Sun Lane at the curve
northwest of Sun Corral Trail.
2. The City assumes no immediate responsibility to correct deteriorated,
broken, flaked, or cracked pavement which is existent at the time of
City acceptance of the streets. Over time, as normal deterioration
creates requirements for reconstruction or maintenance of the streets,
needed improvements will be undertaken but only in a maintenance sense,
and not to correct poor conditions now existent.
3. The City will not be responsible for maintenance or restoration of
shrubs, trees, flowers, walls, or any other improvements which may
now be existent or which may in the future be placed in the median
of Silver Spur Trail, in the traffic circle at Silver Spur Trail
and Buckboard Trail, or in any portion of the dedicated street rights-
of-way outside of the main traveled lanes. Improvements of any kind
which have been placed in the public right-of-way in the area between
the main traveled roadway and the front property lines are hereby
declared to exist under a blanket encroachment permit and shall thus
be a responsibility of the property owners to maintain and to remove
and restore in the event maintenance or construction activities by
the City or any other public agency require their disturbance.

Th.is Agreement and Escrow Instructions entered into
as of the date hereinafter set forth by and betcaeen the City of
Pa1_m Desert, California (L-he "City") a municipal corporation and
Silver Spur Associates, a g�neral partnership by Irornaood
Corporatioiz, its manac�iizg gE�neral partner ("Iron�aood") , is made in
respect of the following facts:
11. As condit.ions t:o the Cii�y's approval of
Tentative Tract Map for Tract No. 5565, Iron�aood
is reoliir.ed to take certain act.i_on and, in consider.ation
of such conditions, the City approved flI1c31 tract maps for
Tracts 5565-1 and 5565-2.
B. The CiL-y and :Lr_�nwood desire to delete or modi_fy
certain of the conc3.i.tions for approv�l of the ma�?s
for Tracts 5565-1 alid 55G5-2, in consideration of
the covenazits and coiiditions herein set fortlz,

Ironc�ood or its affiliates may ac�uire for furt:her
development or the City's right to iilsist on full
compliance with the aforesaid Section ?_6.15-6 in
connection therewith, it being solely the intention
of the parties that in connection with any such Ltzture
acquisition, Ironwood shall be entitled to be
cr�dited ���ith full or partial satisfaction of the
requirements of said Section based upon the applic�3tion
of its reyu.ir�m�nts to the size and intcnded usa�e of
any stich real prop�rty hereafter ac��uir_ed.
S. Escrow.

(b) The Escrow sha11 close within 30 days aftcr
the date hereof unless the closing date is exten-
ded by the rnutual wr.itten agre�ment of both
parties. In the event that Escrow shall fail
to close for any re�son, each party �hall ��ar
its own costs, and Ir_onwood shall bear ti�e escrow
fee. If the Escrow closes, t}ze ex�enses of

whatsoever except by an agreement in writing siyned
by duly authorized representatives of each of the
parties hereto.
10. Successors. The terms, covenants and co�iditions
of this Agreement, shall be l�inding upon and shall
inure to thc benefit of the heirs, e�:ecutors, ad-
ministrators and �ssigns of tlie respectiv� parties
hereto.
11. 7�ssiqnment. Neither party may assign its
rights h�r.eunder �.�ithout the prior wr.it:t_�i� consent of
