Recommendation:
By minute motion:
1) Approve Contract No. C- 23000 with MuniFinancial in the amount of $123,087
for assessment district engineering services and include a 10% contingency in the
above contract for the amount of $12,308.
2) Approve Southern California Edison Work Order No. 4-7112 6879-7106 in the
amount of $3,000 for engineering services.
3) Approve Verizon Engineering pre -deposit in the amount of $5,000 for the
engineering services.
4) Authorize the appropriation of $143,395 for the unobligated fund 400 reserves.
Discussion:
This action is necessary to begin the engineering for the Palm Desert Highlands Utility Under
grounding Assessment District. This engineering work will take approximately six months to
complete. Upon completion, staff will return to the City Council for the following actions:
1) The preliminary engineering report and a request to advertise for public bids and
authorization to send out ballots.
2) After bids are opened, the assessment is spread and ballots are mailed out to
property owners.

3) The ballots are returned, counted, and if successful the construction contract is
awarded.
This entire process will take about one year to complete. If all goes well and the assessment
district successfully forms, work could begin in summer of 2005 in this neighborhood.
The above monies expended by the City for engineering services will be recovered from
assessment district bond funds if the assessment district successfully forms.

AGREEMENT
THIS AGREEMENT, made and entered into this loth day of July, 2004, by and
between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to as
"CITY" and MUNI FINANCIAL, A MEMBER OF THE WILLDAN GROUP OF
COMPANIES, hereinafter referred to as "ENGINEER".
WITNESSETH:
WHEREAS, the ENGINEER the principal members of which are professional
engineers duly registered under the laws of the State of California; and
WHEREAS, The CITY desires to engage the ENGINEER to render certain technical and
professional engineering services as set forth in Exhibit "A" (Engineer's Proposal of Services) in
connection with the design of Project: Palm Desert Highlands Utility Under Grounding
Assessment District.
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage ENGINEER to perform the technical
and/or professional services as hereinafter set forth.
(2) ENGINEER shall perform all work necessary within the schedules
provided by the CITY to complete the services set forth in Exhibit "A" attached hereto and by
reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing and
available from the CITY and necessary for the carrying out of the work outlined in Exhibit "A"
hereof shall be furnished to ENGINEER without charge by the CITY. CITY shall cooperate in
every way reasonable in the carrying out of the work without delay.
(4) ENGINEER represents that, it employs or will employ at its own expense,
all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by ENGINEER
or under its direct supervision, and all personnel engaged in the work shall be qualified and shall
be authorized or permitted under state and local law to perform such services.
(6) The execution of this Agreement by the parties hereto does not constitute
an authorization to proceed.
(7) The ENGINEER shall work closely with the CITY'S designated
representative, who shall be the project administrator for the CITY. The ENGINEER shall
review and receive the CITY's representative's approval of the details of work as it progresses.
The Registered Engineer hereby designated by the ENGINEER as its representative for
supervision of the work required by this Agreement is: Kenneth T. Steele, P.E., CE 37247.

(8) The ENIGINEER warrants that he has not employed or retained any
company or person, other than a bona fide employee working solely for the ENGINEER, to
solicit or secure this Agreement, and that he has not paid or agreed to pay any company or
person, other than a bona fide employee working solely for the ENGINEER, any fee,
commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or
resulting from the award or making of this Agreement. For breach or violation of this warranty,
CITY shall have the right to annul this Agreement without liability, or in its discretion to deduct
from the contract price or consideration, or otherwise recover, the full amount of such fee,
commission, percentage, brokerage fee, gift or contingent fee.
(9) CITY may terminate this Agreement at any time upon seven (7) days
written notice to ENGINEER with or without cause. ENGINEER agrees to cease all work under
this Agreement on or before the effective date of such notice. In the event of termination or
cancellation of this Agreement, by CITY, due to no fault or failure of performance by
ENGINEER, ENGINEER shall be paid based on the percentage of work satisfactorily performed
at the time of termination. In no event shall ENGINEER be entitled to receive more than the
amount that would be paid to ENGINEER for the full performance of the services required by
this Agreement. The ENGINEER shall keep adequate records to substantiate costs and provide
copies of original timecards in the event of termination or suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the CITY.
CITY acknowledges and agrees that all plans, specifications, reports and other design documents
prepared by ENGINEER pursuant to this Agreement shall be used exclusively on this project and
shall not be used for any other work without the written consent of ENGINEER. In the event
CITY and ENGINEER permit the re -use or other use of the plans, specifications, reports or other
design documents, CITY shall require the party using them to indemnify and hold harmless
CITY and ENGINEER regarding such re -use or other use, and CITY shall require the party
using them to eliminate any and all references to ENGINEER from the plans, specifications,
reports and other design documents.
(11) The ENGINEER shall comply with all federal, state and local laws,
ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed by the
ENGINEER shall be made except by supplemental authority in writing between CITY and the
ENGINEER. The supplemental authority shall set forth the changes of work, extension of time
and adjustment of the fee to be paid by CITY to the ENGINEER, if any.
(13) In connection with the execution of this Agreement, the ENGINEER shall
not discriminate against any employee or applicant for employment because of race, religion,
color, sex or national origin. The ENGINEER shall take affirmative actions to insure equal
employment opportunity and that employees are treated during their employment without regard
to their race, religion, color, sex or national origin. Such actions shall include, but not limited to,
the following: employment, upgrading, demotion or transfer; recruitment or recruitment
advertising; layoff or termination; rates of pay, or other forms of compensation and selection for

training, including apprenticeship. This clause shall be included in each related subcontract,
if any, awarded by the ENGINEER.
(14) The CITY agrees to pay the ENGINEER for the work required by this
Agreement, and ENGINEER agrees to accept in full satisfaction for such services, a sum not to
exceed $119,887.00 as more fully set forth in Exhibit A. ENGINEER shall be entitled to
reimbursement of reasonable and customary expenses. In no event shall expenses exceed the
sum of $3200.00. ENGINEER shall submit to CITY an invoice, on a monthly basis or less
frequently, for the services performed pursuant to this Agreement. Each invoice shall itemize the
services rendered during the billing period and the amount due. Within fifteen business days of
receipt each invoice, CITY shall notify ENGINEER in writing of any disputed amounts included
on the invoice. Within thirty days of receipt of each invoice, CITY shall pay all undisputed
amounts included on the invoice. CITY shall not withhold applicable taxes or other authorized
deductions from payments made to ENGINEER. At any time during regular working hours, all
records, invoices, time cards, cost control sheets and other records maintained by ENGINEER
shall be available for review and audit by the CITY.
(15) Any notices, bills, invoices or reports required by this Agreement shall be
deemed received on: (1) the day of delivery if delivered by hand or overnight courier service
during ENGINEER'S and CITY'S regular business hours; or (b) on the third business day
following deposit in the United States mail, postage prepaid, to the addresses set forth below, or
to such other addresses as the parties may, from time to time, designate in writing:

(16) In the event that either party to this Agreement shall commence any legal
action or proceeding to enforce or interpret any provision of this Agreement, the prevailing party
in such action or proceeding shall be entitled to recover its costs of suit, including actual
attorney's fees incurred in connection with such action or proceedings.
(17) This Agreement shall be binding on the successors and assigns of the
parties, but it shall not be assigned by the ENGINEER without the prior written consent of the
CITY and any attempt to do so shall be void and of no effect.
(18) ENGINEER is, and shall at all times remain as to CITY, a wholly
independent contractor. ENGINEER shall have no power to incur any debt, obligation, or
liability on behalf of CITY or otherwise act on behalf of CITY as an agent. Neither CITY nor
any of its agents shall have control over the conduct of ENGINEER or any of ENGINEER'S
employees, except as set forth in this Agreement. ENGINEER shall not, at any time, or in any
manner, represent that it or any of its agents or employees are in any manner agents or
employees of the CITY. .

(19) CITY hereby covenant for itself, its employees, officers and members that
those persons during their tenure or one year thereafter shall not have any interest, direct or
indirect, in this Agreement or the proceeds thereof. The parties hereto covenant and agree that to
their knowledge no member of the CITY, officer or employee of the CITY has any interest,
whether contractual, non -contractual, financial or otherwise, in this transaction, or in business of
the contacting party other than the CITY, and that if any such interest comes to the knowledge of
either party at any time a full and complete disclosure of all such information will be made in
writing to the other party or parties, even if such interest would not be considered a conflict of
interest under applicable laws.
The ENGINEER hereby covenants for itself, its employees and subcontractors
that, at the time of this Agreement, those persons have no interest, and that those persons shall
not acquire any interest in the future, direct or indirect, which would conflict in any manner or
degree with the performance of services required to be performed pursuant to this Agreement.
The ENGINEER further covenants that in the performance of this work no person having any
such interest shall be employed by the ENGINEER.
(20) The ENGINEER is skilled in the professional calling necessary to perform
the services and duties agreed to be performed under this Agreement, and CITY, not being
skilled in such matters, is relying upon the skill and knowledge of ENGINEER to perform said
services and duties. ENGINEER agrees to indemnify, defend and hold harmless CITY, its
officers and employees, from any liability or financial loss including, without limitation,
attorneys fees and costs, arising in any manner whatsoever from any reckless, negligent, or
otherwise wrongful acts, errors or omissions of the ENGINEER, or any person employed by
ENGINEER, including agents and independent contractors, in the performance of this
Agreement.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:
(a) This Agreement;
(b) Exhibit "A" (Engineer's Proposal of Services, and any written
modifications thereto)
(22) The ENGINEER, and any other subcontractors or subconsultants of
ENGINEER which perform work in connection with this Agreement, shall at all times during the
term of this Agreement carry, maintain, and keep in full force and effect, policies of commercial
general liability insurance, automobile liability insurance, workers compensation insurance and
professional liability insurance with an insurance company licensed to sell insurance in the State
of California, with a Best's Insurance Company rating of B+:VII or better, and approved by the
CITY Attorney.
(a) The commercial general liability policy shall have minimum limits
of One Million Dollars ($1,000,000), combined single limit coverage against any injury, death,
loss or damage as a result of negligent or other wrongful acts by ENGINEER, its officers,

employees, agents, and independent contractors in performance of services under this
Agreement.
(b) The automobile liability insurance shall have minimum limits of
One Million ($1,000,000) Dollars, combined single limit, covering bodily injury and property
damage and the policy shall include uninsured motorist coverage at the statutory minimum.
(c) The professional liability policy shall have minimum limits of One
Million ($1,000,000) Dollars per year per claim and in the aggregate.
(d) ENGINEER agrees to maintain in force at all times during the
performance of work under this Agreement, Workers Compensation Insurance as required by
law.
(e) CITY, its officers and employees shall be named as additional
insureds under the commercial general Liability and automobile liability insurance policies
required by this Agreement. All insurance policies required by this Agreement shall provide that
coverage is primary and that any insurance maintained by CITY shall be excess insurance only.
The insurance policy shall further provide that an act or omission of one of the named insureds
shall not reduce or avoid coverage to the other named insureds. All insurance coverage
provided pursuant to this Agreement shall not prohibit ENGINEER from waiving the right of
subrogation prior to a loss. ENGINEER hereby waives all rights of subrogation against the
CITY.
(f) All insurance policies shall provide that the insurance coverage
shall not be canceled, reduced or otherwise modified by the insurance carrier without the
insurance carrier giving CITY prior written notice thereof. ENGINEER agrees that it will not
cancel, reduce or otherwise modify any insurance coverage required by this Agreement.
(g) At all times during the term of this Agreement, ENGINEER shall
maintain on file with the CITY a certificate or certificates of the insurance with original
endorsements in a form acceptable to CITY, showing that the aforesaid policies are in effect in
the amounts, and pursuant to the conditions above provided, the additional insureds are named
therein, and that the policies cannot be canceled or reduced except on prior written notice by the
insurance carrier to CITY. ENGINEER shall not have the right to commence performance of
work under this Agreement until such certificate or certificates are filed with the CITY.
(h) Any deductibles or self -insured retentions shall be declared to and
are subject to RCPDFA'S approval. At the option of CITY, either the insurer shall reduce or
eliminate the deductibles or self -insured retentions as respects CITY, or ENGINEER shall
procure a bond guaranteeing payment of losses and expenses.
(23) This Agreement shall be governed by and construed in accordance with
the laws of the State of California.

(24) In no event shall the making by CITY of any payment to ENGINEER
constitute or be construed as a waiver by CITY of any breach of covenant, or any default which
may then exist, on the party of ENGINEER, and the making of any such payment by CITY while
any such breach or default shall exist shall in no way impair or prejudice any right or remedy
available to CITY with regard to such breach or default.
(25) Wherever possible, each provision of this Agreement shall be interpreted
in such a manner as to be valid under applicable law. If any provision of this Agreement, is
determined by a court of competent jurisdiction to be invalid, void or unenforceable, the
remaining provisions shall nevertheless continue in full force and effect.

PROJECT UNDERSTANDING AND APPROACH
MuniFinancial understands that the City of Palm Desert is seeking engineering
services to facilitate the formation of an assessment district including project
administration bidding assistance and construction observation related to the
proposed Palm Desert Highlands Utility Undergrounding Assessment District.
The proposed Palm Desert Highlands Utility Undergrounding Assessment District
consists of 124 parcels in a residential neighborhood in Palm Desert. An
undergrounding assessment district will enable the elimination of the overhead
Southern California Edison (SCE) power lines, Verizon power lines and Time Warner
(or future owner) cable television and fiberoptic lines. An overwhelming majority of
the property owners within the proposed assessment district (72 percent) have
submitted a petition requesting the formation of the underground district. Therefore,
the City of Palm Desert is seeking assessment engineering services for the proposed
district in the event that such a Resolution to move forward on the project is adopted
by the City Council.
As s roach
The City has received its second valid petition out of eighteen identified areas, to
initiate formation of an undergrounding assessment district. The area contains 124
parcels that appear to be somewhat uniform. As assessment engineer and engineer of
record, the MuniFinancial/Willdan Team will work closely with the City to prepare
documents, meet with property owners, coordinate with the utility companies and
develop standards for this and future district formations.
The next step is to prepare the Engineer's Report, the notice and ballot and other
documents necessary for the formal assessment district procedure. In addition, bond
documents can be initiated in order to dovetail with the final engineering costs.
Ideally, the City will receive construction bids and complete right-of-way transactions
prior to mailing the ballot so that property owners will cast their ballot based on
highly definitive numbers. At the Public Hearing, the ballots will be tabulated. If
less than 50 percent of the ballots cast weighted by the assessment are opposed to the
District, City Council has the opportunity to adopt the assessments, authorize bonds
to be issued and award the construction contract.

SCOPE OF WORK
Below we present our proposed work plan by task. The work plan includes the
services requested in the RFP and follows a logical sequence. For each task, we state
the objectives, provide a description of work to be accomplished, and list any
deliverables.
Work Plan
Task 1: Preliminary Coordination
Identify parcel, utility improvement, cost, and background information through
research and meetings.
Subtask(s):
1. Assist City staff and the financing team in establishing a project schedule.
2. Coordination of Utility Engineering Drawings — Edison, Verizon and Time
Warner Cable will prepare their respective engineering drawings. The City will
pay for this engineering directly to each utility company. We will meet with these
utility companies to discuss and finalize the ownership of the poles to be
removed, the cost of underground services, and any potential charges to the City
and/or property owners for any underground service work. We will coordinate
with the three utilities for utilization of a joint trench, whenever practical, on this
project.
3. Coordination of other utilities with existing underground facilities — send a letter
to known utility companies with existing underground facilities to request copies
of their facilities maps. These maps will be made available to the bidders.
4. Verify the proposed assessment district boundary and the adequacy of the
petition, and obtain the Riverside County Assessor property owner information to
create a property owner database to be used for assessment modeling and required
mailings. If the boundary is revised and the petition signatures are found to be
less than 70 percent, our work will be put on hold until further notice from the
City.
5. Prepare a spreadsheet showing Assessment Number, Assessor's parcel number,
lot area, petitioning area, front footage, owner, property address, mailing address,
and any other necessary information.

Task 2: Utility Coordination and Property Owner Meetings

Subtask(s):
1. Attend utility coordination meetings on an as -needed basis. We anticipate that
three meetings with the utility companies should be sufficient.
2. We will mail out a request for information regarding their service connection
location and underground status to each of the property owners.
3. We will prepare a detailed individual site plan at a scale of 1"=20' for each parcel
showing the location of the underground service laterals proposed for each of the
parcels that do not already have underground services. An aerial photograph will
be flown and be used as the base sheet for the project. The parcel site plan will
identify existing improvements within the limits of the proposed trench
construction. A field visit will be conducted to identify a feasible alignment from
the street to the service connection.
4. We will prepare Specifications and Contract Documents utilizing the City of Palm
Desert standard contract forms. The bid package will include the Edison, Verizon
and Time Warner design drawings, and the individual site plans.
5. Prepare quantity and construction cost estimates.
6. Prepare presentation materials and attend three property owner information
meetings to discuss proposed improvements, construction impacts, preliminary
assessments, private costs and assessment procedures.
Deliverables:
1. Preliminary submittal of individual site maps at 1"=20' scale on 81/2" x 11" sheets,
Title Sheet and Specifications for Bid Documents, and plans from Edison,
Verizon and Time Warner.
2. Presentation materials for property owner meetings.
3. Assessment revisions based on property owner meetings.
4. Final submittal of individual site maps at 1"=20' scale on 8'/a" x 11" sheets, Title
Sheet and Specifications for Bid Documents, and plans from Edison, Verizon and
Time Warner.
Task 3: Prepare Assessment District Documentation
Based on best estimates, parcel data and benefit determination, prepare the necessary
engineering documents to complete assessment proceedings in compliance with the
Streets and Highways Code and Proposition 218.

and assessment ballots to each assessed property owner of record, in compliance
with Streets and Highways Code, the Brown Act, and Proposition 218 and with
the assistance of Bond Counsel. Prepare a certificate that the mailing was
completed.
8. Prepare the Final Engineer's Report in which the confirmed assessment
apportionment is based on bids received and agreed upon, incidental and
financing costs, and eligible redevelopment agency contributions to the project.
File the Final Report with the Superintendent of Streets and City Clerk.
9. Attend Public Hearing of the District where testimony will be heard. Assessment
ballots must be received by the City Clerk prior to the close of the Public Hearing.
10. Tabulate assessment ballots by financial obligation and present results to City
Council.
11. Prepare the Notice of Assessment.

Task 4: Post Formation Services
If the District is not formed, our services are concluded. If the District is formed, we
will notify property owners of their final assessments and prepayment amounts, assist
the financing team with data required to fund the improvements, and record necessary
documents.
Subtask(s):
1. Record the Assessment Diagram and Notice of Assessment.
2. Prepare and mail confirmed assessment apportionment and Notice of Assessment
to each property owner of record within the District. The notice will state that the
district is formed and that they are now required to provide a point of connection
for underground service within the time established by the city council resolution
forming the district. The notice will also serve as the beginning of the 30-day
cash collection period and will provide the discounted payoff amount to property
owners that wish to pay off their assessment prior to the sale of bonds. We will
provide certification stating that this task has been completed.
3. Provide information and review the preliminary official statement and other bond
documents, as necessary. Develop data tables for the official statement including
value to lien summaries, top owners, development status and other data required
by the financing team.
4. Participate in up to four meetings with the financing team regarding the financing.

Task 5: Construction Observation Services
The construction observation services are generally performed in accordance with the
provisions of the latest editions of the Standard for Public Works Construction
"Green Book", City of Palm Desert Standard Drawings, Caltrans Standard
Specifications, and the Public Work Inspector's Manual. Our fees are based on a 90
working day construction duration. Following is a listing of the inspection services,
which will be applied to this Undergrounding Project:
1. Conduct a field investigation of the project area to become familiar with the
existing facilities and the project environment.

2. Become familiar with traffic control plans, construction schedule, construction
sequence, and permit requirements from other agencies.
3. Meet with City staff to review the scope of work and establish project schedules.
4. Attend preconstruction meeting.
5. Provide part-time construction observation of the work to monitor materials and
methods towards compliance with plans, specifications, and contract documents,
and address and document non -conforming items as they are discovered.
6. Monitor compliance with Cal OSHA requirements and compliance with local,
state, and federal regulations, including but not limited to, Clean Air Act and
Clean Water Act (NPDES).
7. Meet with the contractor, as needed, and review proposed work plans, including
specific details that may affect progress.
8. Evaluate Contractor's operation and production with respect to quality and
progress, and report to construction administrator and City.
9. Conduct daily job walk with the contractor to check for utility and surface
conflicts.
10. Photograph in color continuous property frontages along street alignment once
prior to construction and once immediately following construction. Place 3" x 5"
color prints in 3-ring binder and make available to the Public Works Department
during construction and submit the 3-ring binder with photographs to the Public
Works Department at completion of project.
11. Maintain copies of permits needed to construct the project and enforce special
requirements of each,
12. Maintain daily diary on construction progress showing site conditions, weather
conditions, traffic control measures taken by the construction contractor, labor,
equipment, and materials used during the day, quantity of work performed during
the day, and major incidences occurring each day.
13. Prepare weekly statement of working days, and submit to Contractor and City.
14. Prepare letters and memorandums, as needed.
15. Maintain field file bound workbooks during construction, including a cumulative
record of quantities constructed, daily and weekly reports, working day reports,
change order documentation, photographs, and other documentation.
16. Analyze delays and review claims on a timely basis and make recommendations
to the City.
17. Provide complete measurements and calculations documented to administer
progress payments and make recommendations for payments.
18. Maintain and submit a set of plans marked in red for as -built corrections on record
drawings to be filed with the City. (Agency will be responsible to transfer the
construction observer's record drawings to original Mylar drawings.)

19. Prepare punch list at substantial completion and follow up.
20. Recommend and schedule, with the City and applicable agencies, the final
inspection.
21. Upon project completion, provide the finished set of project workbooks to the
City.
22. Monitor ADA improvements and NPDES conformance.
Task 6: Optional Services
1. Provide annual administration of the 1915 Act bonds including the assessment
levy, bond disclosure, and arbitrage rebate compliance.

council presentations. The district funds $4,780,000 of sewer improvements for an existing
commercial and residential development. The 655 properties in the district consist of
single- and multiple -family residential as well as commercial properties. The city

Mr. Koppel served as project manager for several assessment -engineering projects for the
city, including the following:
Assessment District No. 00-18 (Shady Canyon/Turtle Ridge) Formation: Responsible
for directing the engineer's report preparation, Mr. Koppel analyzed the improvements in
this 1,600-acre development that consisted of roadway, traffic signal, drainage, sewer,
water, and dry utilities improvements in the amount of $173 million.
Assessment District No. 03-19 (Northern Sphere) Formation: Project is underway to
form an assessment district to finance public infrastructure to serve new communities in
two planning areas. Improvements include key public roadways, undergrounding of
existing and new utilities, construction of storm drains, flood control channels and urban
runoff water quality treatment systems, and construction of a new fire station for Orange
County Fire Authority. Estimated improvement costs for including contingencies,
incidentals and financing costs is estimated at $190 million. The actual total dollar amount
will be determined by the assessment district engineering prior to the approval of the
resolution of intention by the city.

City of Rolling Hills
Underground Utility Study: Assisted the city with a feasibility study that explained the
process of undergrounding citywide utility lines. Due to safety and fire issues, the city was
interested in placing throughout the city all of the utility lines underground; thus
eliminating overhead lines. In this study, various financing techniques were presented
including the formation of an assessment district and preliminary methods of spread were
calculated and presented for the city's use.

APPENDIX - RESUMES
Scott Ko, a el, Pro'ect Manaer
Mr. Koppel is a Principal Consultant within Financial Consulting Services at
MuniFinancial. His responsibilities include district formation, analysis of development and
changes within districts, public facilities funding analysis, implementation of GASB 34
infrastructure reporting requirements, and other special projects. He has been the project
manager on many 1915 Act Fundings and Refundings (including Marks -Roos Pools) and
financial consulting projects. He has more than 20 years of experience in financial analysis
and accounting.
Noted as an expert in assessment district formation and administration, Mr. Koppel is a
frequent speaker at extension courses on assessment districts at the University of California
Davis and Los Angeles campuses.
Mr. Koppel is also a key player in marketing and implementing the new Statewide
Community Infrastructure Program (SCIP). Developed by the California Statewide
Communities Development Agency (CSCDA), SLIP provides access to pooled funding to
local agencies and gives developers an incentive to pre -fund fees. A voluntary program,
SCIP allows agencies to participate with a single resolution. CSCDA provides all of the
administration necessary for running the program.
Relevant Experience
Undergrounding of Utilities (Including Sewers)
• City of Palm Desert (Silver Spur): Mr. Koppel assisted the City of Palm Desert in the
formation of an Underground Utility District in Area 18. Our affiliate company,
Willdan, prepared detailed site plans for each of the properties in the district.
• City of La Canada-Flintridge: Mr. Koppel is assisting the City of La
Cafiada-Flintridge with forming an assessment district for underground sewers in the
area of the city designated as Area 3A and 3B. We will prepare the engineer's report
and assist in the noticing and property owner balloting, as well as property owner
meetings.
• City of Rancho Mirage (Clancy Lane): Mr. Koppel prepared the engineer's report for
the formation of the Clancy Lane Utility Undergrounding Improvement District No 30-
02. For this $3.2 million project, approximately $1.6 million is being assessed to 212
properties within the district. Rates and methods of apportionment among the property
owners were calculated based on accepted engineering standards.
• City of Rolling Hills: Mr. Koppel recently finished a feasibility study for the City of
Rolling Hills that explained the process of undergrounding the utility lines throughout
the city. Due to safety and fire issues, the city was interested placing all of the utility
lines throughout the city underground and eliminating overhead Iines. In this study,
various financing techniques were presented including the formation of an assessment
district and preliminary methods of spread were calculated and presented for the city's

• City of La Quinta, Formation of Assessment District 2000-2: Mr. Koppel provided
assessment -engineering services for formation of a proposed assessment district to fund
utility underground improvements. Valuation of improvements, in anticipation of the
city's GASB 34 compliance, were a part of the many services he and his staff provided.
• City of Rancho Mirage, Assessment District No. 2996 (Magnesia Falls/White Sun,
Project Manager): Mr. Koppel was responsible for coordinating with the city and
financing team and preparation of the engineer's report, boundary map, assessment

Directing the engineer's report preparation, Mr. Koppel was responsible for developing
the cost estimate, improvement descriptions, boundary maps, assessment methodology
and assessment roll. Willdan continues to assist the City of Carson in the formation of
an assessment district for an industrial park that will funds roadway, drainage, sewer,
water, and landscaping improvements. By keeping track of these myriad assets and
their value, MuniFinancial eases GASB 34 reporting down the line.
Landscape and Lighting Districts
• City of Irvine, Citywide Landscaping and Lighting District: Mr. Koppel was
responsible for reviewing methodology and revising to meet Proposition 218
requirements. He prepared ballots and notices, attended city council meetings related
to the district, and managed the extensive database work associated with this district
with more than 40,000 parcels.
• City of Riverbank, Crossroads Landscaping and Lighting District: Mr. Koppel was
responsible for adding a new zone to fund specific parkway landscaping and entry
monuments for a new development that will include about 1,200 parcels once
developed.
• City of Solano Beach (Coastal Rail Trail): Co -project managers, Scott Koppel and
Brian Jewett. The City of Solana Beach is participating with other coastal cities to
develop a multi -use pathway known as the Coastal Rail Trail (CRT). A portion of the
trail will fall within the boundaries of the city's Municipal Improvement District 33
(MID 33). MuniFinancial assisted the city in deciding to form a new 1972 Act
Landscape and Lighting District rather than expanding MID 33 to finance the CRT
maintenance. We are providing assessment engineering and balloting services for the
project.
Assessment Districts
• Santa Fe Springs Street Maintenance District: The City of Santa Fe Springs and
developer Layton -Belling & Associates hired MuniFinancial to form a 1982
Maintenance District as conditioned by the city. Mr. Koppel is project manager.

• City of Irvine, Assessment District No. 00-18 (Shady Canyon/Turtle Ridge):
Responsible for directing the engineer's report preparation, Mr. Koppel analyzed the
improvements in this 1,600-acre development that consisted of roadway, traffic signal,
drainage, sewer, water, and dry utilities improvements in the amount of $173 million.
• City of Irvine, Irvine Assessment District No. 93-14 (Spectrum 6) Formation: Mr.
Koppel assisted in the bonding and computation aspects for the formation of an
assessment district to fund street improvements, drainage, utilities, and a fire station for
an industrial park.
• City of Salinas, Acacia Park Assessment District: Mr. Koppel was responsible for
reviewing the engineer's report, overseeing the balloting, noticing, and public
communication tasks. The district includes 193 parcels and will fund $2.3 million in
sewer, street and utilities improvements.
• City of La Canada-Flintridge: MuniFinancial is assisting the City of La
Canada-Flintridge with preparing and processing a State Water Resources Control
Board loan for sewering a portion of the city. This low -interest rate loan will be
matched with an assessment bond to fund sewer lines, easements and incidentals for the
northeast section (Area 3) of the city.

Kenneth T. Steele, P.E., Pro'ect En _ ineer
Mr. Kenneth T. Steele, P.E., is an accomplished Willdan project manager for major multi-
discipline and multi -agency transportation projects known for providing innovative quality
engineering services and meeting clients' project budgets and schedules. Division
Manager for Transportation Projects, he has 23 years of management and design
experience (18 at Willdan), including the design of: state highways, new streets, street
widening, street realignments, and pavement rehabilitations; light rail and railroad design,
grade separations, and CPUC coordination; flood control facilities, water and sewer
projects; airport runway and airplane crossings, and traffic signals, signing and striping.
He has supervised the preparation of feasibility studies, project study reports, project
reports, safety studies, bid documents, and construction specifications, issuance of grade
certifications, and construction administration and inspection. He is very proficient at
managing several subconsultants and combining multiple disciplines in projects, and has
worked with other members of the team for many years.
Relevant Experience
• City of Newport Beach, Beacon Bay — Project Manager. Responsible for the final
preparation of plans and estimate for the design of a storm drainage system in the
private community of Beacon Bay. This project included the design of the alignment of
a storm drain.
• City of Los Angeles, Playa Vista — Project Manager. Willdan provided engineering
services to the City in the formation of the $300 million Playa Vista Mello -Roos
districts. Formation services will include preparing a boundary map, improvement
description, cost estimate, discussion of improvement benefit to the properties in each
district, a list of eligible improvements, and the special tax report required for each
district.
• City of Irvine, Jeffrey Road Realignment and Grade Separation - Project Manager.
Responsible for preparation of PS&E for the realignment of Jeffrey Road and
stormwater and traffic improvements associated with the construction of an underpass
at the existing BNSF tracks in Irvine. Willdan was also responsible for design of a
railroad bridge; pedestrian bridge; storm drain improvements and pump station; water,
sewer and utility relocations; and traffic improvements; and landscaping. Coordinated
with the California Public Utilities Commission, utility companies and the railroad
(project put on hold in 1992 because of funding).
• Chevron Land and Development Company, The Ontario Center - Lead Civil
Engineer. For the redevelopment of the Ontario Motor Speedway property in the City
of Ontario into a major urban development with a wide range of land uses. The 700-
acre site includes a regional shopping center commercial/office complex, light
industrial, hotels/motels, and multi- and single-family residential. Managed all civil
engineering planning for the development, together with engineering design services
for site grading, public improvements, field surveying and property mapping,
construction surveying, and construction engineering. Specific projects included mass
grading, various new streets, parking lots, and widening Fourth Street, Haven Avenue,
and Milliken Avenue.

• San Juan Capistrano, City of, Del Obispo/Camino Capistrano Master Plan -
Project Manager. The City of San Juan Capistrano retained Willdan to prepare a master
plan for the Del Obispo Street/Camino Capistrano Intersection Improvements. The
project consists of obtaining aerial topography, preparing a traffic study and report for
both existing year and year 2025 conditions, preparing geometric concept plans to
graphically depict the proposed curb lines, driveways, sidewalks, signing and striping,
right-of-way acquisition
• City of Agoura Hills, Kanan Rd/US 101 Interchange Project Study Report: Project
Manager. Prepared a project study report for the southwest quadrant of Kanan
Road/U.S. 101 interchange. A commercial development is proposed for the northeast
quadrant of the interchange. The design will be coordinated with the developer's plans.
The design alternatives will conform to Caltrans' standards, consider right-of-way and
utility impacts and costs, and provide traffic levels of service for intersections and
roadway links due to the close proximity of frontage road intersections.
• Burbank Redevelopment Agency, Police and Fire Facility Redevelopment: Project
Manager. Prepared infrastructure cost analysis for this eight -block redevelopment area
in the vicinity of the proposed police and fire facility.
• Caltrans, State Route 60 Widening/HOV: Project Manager. Responsible for
preliminary and final design, special provisions and estimates for the construction of
HOV lanes, CHP enforcement area, and sound walls along approximately five miles of
Route 60 through the cities of Diamond Bar and Pomona. The project included
widening six bridges.
• City of Compton, Alameda Corridor Plan Check and Review: Project Manager.
Willdan was retained to review the Alameda Corridor Mid -Corridor By -Pass Track
design package for the City of Compton. The review schedule was extremely
compressed. The improvements included street, grading, drainage, structures, utility,
traffic, landscape, and trackwork.
• City of Compton, Project Management for Willowbrook Ave. Improvements:
Project management for design and construction of Willowbrook Avenue Corridor
Improvement Project from Greenleaf to Oris. The project consists of street
rehabilitation, bus shelters, pavement resurfacing, drainage improvements, and
landscaping (including decorative wrought iron fencing, tree wells, and tree planting.)
The City of Compton received over $1 million in TEA funds as well as $330,000 in
STIP augmentation funds for drainage improvements. Specifications and submittals
through Caltrans had to meet federal funding requirements.
• City of El Monte, Redevelopment Plan, Circulation Review: Project Engineer.
Evaluation of the existing circulation system and feasibility review of methods that
would mitigate current and potential problem areas. The study would include review of
freeway access and identify possible methods of improvement.

Brandan Landsdorf, Anal 'st
Mr. Landsdorf is an Analyst I in the Financial Consulting Services Group at
MuniFinancial. His responsibilities include supporting project managers for district
formation projects, and Proposition 218 compliance activity, among other actions. His
work also includes identifying and verifying parcels within district boundaries; researching
land use; researching missing data and coordinating and conducting activities involved with
the assessment balloting process. Client interaction falls under his purview.

Chris Baca, Construction Observation
Mr. Baca's experience includes construction management of large-scale projects in areas of
water systems, street improvements, park improvements, storm drains, sanitary sewers,
asphalt resurfacing (including asphalt -rubber products), concrete paving, landscaped
medians, and traffic signals. In addition to his experience with Community Development
Block Grant (CDBG) funded projects, Mr. Baca is also familiar with the inspection and
contract administration of other federally funded projects in accordance with Caltrans
Local Program Manual. During his 16 years of experience with Willdan, Mr. Baca has
served as a senior public works observer, as well as a permit inspector in the Cities of Bell
Gardens, Paramount, and Rosemead. Currently, Mr. Baca manages work in Los Angeles
and Orange Counties. He interfaces with California Department of Transportation on a
regular basis.
Relevant Experience
• City of West Hollywood, Santa Monica Boulevard Rehabilitation, Construction
Management Services — Mr. Baca oversaw construction management and inspection
services for a major roadway rehabilitation and urban design beautification project on
Santa Monica Boulevard from Doheny Drive to La Brea Avenue. The high profile
project involved rehabilitation of the heavily traveled three-mile segment of roadway,
which serves as the city's "main street." The project improvements included
reconfiguration and reconstruction of the roadway, enhancement of the corridor traffic

movement, landscaped raised medians and sidewalk, installation of the Los Angeles
County Hollyhills drain, sanitary sewer improvements, streetscape enhancements, and
other safety and aesthetic improvements identified by the city and a 40-member Santa
Monica Boulevard advisory steering committee. The estimated construction cost was
$25,000,000. Services also included preparation of a construction mitigation plan for
the project, providing public relations, construction administration, utility coordination,
construction survey and monument restoration.
• State Highway, City of Rosemead, San Gabriel Bridge Widening over the 60 Freeway
- Mr. Baca was the lead inspector for the $1.5 million widening of the San Gabriel
Bridge. The project involved the construction/remodeling of the existing bridge,
installation of a new traffic signal, and construction of the concrete barrier in the 60
Freeway. In addition, Mr. Baca was responsible for construction administration; which
involved writing letters, change order preparation, memorandums, quantity
tracking/calculation, and claims evaluation.
• State Highway, City of Paramount, Lakewood Boulevard - Mr. Baca was the
supervising observer for the Lakewood Boulevard project from Somerset to Rosecrans.
The project involved the installation of Landscaped medians in Lakewood Boulevard, as
well as, the installation of a new traffic signal at the entrance to Wal-Mart. Mr. Baca
inspected and oversaw the installation of the new landscape irrigation system and the
planting of 24" to 36" box pine trees. In addition, Mr. Baca was responsible for the
coordination of the project with the local Caltrans District inspectors and contract
administration.
• City of Arcadia, Arcadia Downtown 2000 Revitalization Project - Mr. Baca was the
resident inspector for the $7.2 million reconstruction of Huntington Drive from Santa
Clara to Fifth Street. Mr. Baca was responsible for the inspection of installation of
3,800 linear feet of 12-inch ductile iron water main 42- and 24-inch RCP storm drain;
catch basin and miscellaneous storm drain structures; new sidewalk, curb and gutter;
landscape medians, and sidewalk planter areas; ARHM and SAMI overlay; and street
lighting. Construction administration services included: change orders; working day
statements; correspondence, including letters and memorandums; and keeping track of
installed quantities.
• City of Rosemead, Garvey Avenue from New Avenue to Rosemead Boulevard - Mr.
Baca was the resident inspector for the $4.5 million reconstruction of Garvey Avenue
from New Avenue to Rosemead Boulevard. Mr. Baca was responsible for inspection
of: installation of three concrete intersections; new traffic signals; reconstruction of
street section (subgrade, base, and asphalt); storm drain at San Gabriel Boulevard (54-
inch); entry signs; landscaped medians; new curbs and sidewalk; and street lighting.

• City of Paramount, Paramount Boulevard - Mr. Baca was the resident inspector for
the $1.5 million reconstruction of Paramount Boulevard. Mr. Baca was responsible for
the inspection of: landscaped medians; new 36-inch storm drain and catch basins; new
curb and sidewalk; reconstruction of street section (AC base, and subgrade); landscaped
