Discussion: On May 11, 2004 sealed bids were opened for contract uniform and other supply rental and services with the following proposals received: Prudential Overall Supply (Riverside, CA) AmeriPride Uniform Services (San Bernardino, CA) Domestic Uniform Rental (Los Angeles, CA) G & K Services (Ontario, CA) $166.60 per week $181.35 per week $192.95 per week $200.45 per week Public Works staff have reviewed the proposal from the low bidder and determined that all specifications and provisions of the bid have been met. Staff Report June 10, 2004 Page 2 of 2 The service agreement is for a five-year period with no extensions and a maximum annual cost of living increase of 3%. The City Attorney has reviewed multi -year service agreements and has provided the appropriate contract termination wording that is included in the service agreement that will permit the City to terminate the contract to avoid incurring any indebtedness that could not be paid from revenues of the same fiscal year in which the debt is incurred. Items covered under this rental service agreement are work uniforms for maintenance personnel, shop and cleaning towels, mops and entry floor mats. CUSTOMER agrees to a service minimum based on the initial account installation. Prices will vary for other than weekly service. GENERAL PURPOSE MERCHANDISE: Merchandise rented by PRUDENTIAL is for general purpose only and is not for use in areas of flammability risk or where contact with toxic or hazardous materials is possible. Merchandise rented by Prudential is also not considered ANSI/ISEA 107-1999 compliant. 2. TERMS: Payment shall be cash on delivery (COD). Upon approval of CUSTOMER'S credit, payment is due net 10 days end of month. All prices reflect credit for time off due to CUSTOMER/employee vacation, holiday or sickness. 3. REPLACEMENT: In the event of damage to wearing apparel by CUSTOMER, reasonable wear excepted, CUSTOMER will pay PRUDENTIAL'S replacement value less depreciation of 2% of replacement value for each month in service unless CUSTOMER elects Damage Insurance Program. Total depreciation is not to exceed 80% of the replacement value. CUSTOMER will pay PRUDENTIAL'S replacement value for lost merchandise. In the event of damage to other merchandise or equipment by CUSTOMER, CUSTOMER will pay 75% of PRUDENTIAL'S replacement value. Damage Insurance Program is a per piece insurance rate that covers all damage related charges except gross misuse. 4. RIGHT OF CANCELLATION: Because it would be otherwise difficult or impractical to fix the exact amount of damage to PRUDENTIAL, in the event CUSTOMER cancels or breaches this agreement for any reason, CUSTOMER will pay to PRUDENTIAL 50% of the average weekly dollar volume for the un- expired term based on the thirteen week period preceding cancellation. CUSTOMER will also pay unpaid invoices for prior services rendered and any lost or damage charges. 5. TERM OF AGREEMENT: In consideration of the substantial investment by PRUDENTIAL in merchandise and equipment to provide service to CUSTOMER, this agreement shall continue for sixty (60) months from the first delivery date specified above ?�t �...,.—renewal-4enn. In the event of increased costs, PRUDENTIAL may, after each anniversary date of this agreement, increase its rates not to exceed-W%r any Y.., twelve (12) month period. 3 GENERAL: CUSTOMER shall pay ail costs of collection and attomey's fees. PRUDENTIAL will not be liable for consequential damages resulting from its inability to perform its obligations under this agreement. CUSTOMER agrees to defend ar.1 indemnify PRUDENTIAL from any claims associated with the use of the merchandise, including any claims allegedly arising from defective merchandise. CUSTOMER agrees to pay a nonrefundable preparation fee of $1.00 for each garment placed in service after the original thirty (30) days installation unless the garment is wom out. CUSTOMER also agrees to pay for any lettering that is requested, the environmental fee, a delivery charge and the towel inventory maintenance charge. Should CUSTOMER'S business identified below be sold or transferred in any way, this agreement shall remain in full force and effect and shall bind both the CUSTOMER and the purchaser. CUSTOMER warrants that it is not contractually obligated for any of the services represented under this agreement to any other person or concem. The following conditions shall be attached and made part of the Service Agreement and take precedence. (1) TERM. The Agreement is effective on the date of the last signature provided, and will continue for sixty (60) consecutive months following the date uniforms and apparel are first installed on City's premises. (2) RENEWAL. No provision for automatic renewal is provided for in the Agreement. (3) TERMINATION. Either party may terminate the Agreement at any time, with or without cause, providing that not Tess than ninety (90) days prior, the terminating party gives written notice of termination to the other party. (4) INCORPORATED BY REFERENCE. The Notice Inviting Bids; Bid Terms and Conditions; General Terms and Conditions; Specific Terms and Conditions; Bid Submission Form(s), Addendum Nos. ; Change Orders; additional or supplemental specifications, drawing, maps or diagrams; and CITY issued forms relating to this project, are hereby incorporated in and made a part of this Agreement. (5) COMPLETE AGREEMENT. This written Agreement, including all writings specifically incorporated herein by this reference, shall constitute the complete agreement between the parties hereto. No oral agreement, understanding, or representation not reduced to writing and specifically incorporated herein shall be of any force or effect, nor shall any such oral agreement, understanding, or representation be binding upon the parties hereto. (6) ANTI -DISCRIMINATION. In the performance of the terms of this Agreement, CONTRACTOR agrees that it will not engage in, nor permit such subcontractors as it may employ, to engage in discrimination in employment of any person because of the age, race, color, sex, national origin or ancestry, or religion of such persons. Violation of this provision may result in the imposition of penalties referred to in Labor Code Section 1735. (7) AUDIT. CITY shall have the option of inspecting and/or auditing all records and other written material used by CONTRACTOR in preparing its statements to CITY as a condition precedent to any payment to CONTRACTOR. In the event an action is filed by either party to enforce any rights or obligations under this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs, in addition to any other relief granted by the court. (10) AUTHORITY TO EXECUTE AGREEMENT. Both CITY and CONTRACTOR do warrant that each individual executing this Agreement on behalf of each party is a person duly authorized. Page 17 of 17
