Recommendation:
That the City Council by minute motion award Animal Control Services
Agreement (Contract Noc24200to Riverside County Community Health,
Department of Animal Services for the fiscal year 2005/2006 for animal
control services. The Agreement for Contract Services for animal
control will be for a term of one (1) year from the date of execution and
shall not exceed $110,347.00 unless approved otherwise.
Discussion:
At its regular meeting of October 28, 2004, the Palm Desert City Council, by Minute
Motion, approved the First Amendment to Contract No. C21431 with Riverside County
Department of Animal Services. This contract expired on June 30, 2005.
The Building & Safety Department prepared and advertised a Request for Proposal on
July 18, 2005. The sealed bids were opened on Monday, August 5, 2005. One (1)
Request for Proposal was received which was from Riverside County Community
Health, Department of Animal Services.

The Riverside County Community Health Agency, Department of Animal Services has
provided animal control services to the City of Palm Desert for the past two years. In the
fall of 2005, the Valley Animal Campus is slated to open and the City's animals will be
housed at the new shelter as outlined in the Joint Powers Agreement (JAP) and shelter
contract between the County and participating cities which includes the City of Palm
Desert.
Therefore, it is staffs recommendation to approve and award contract services with the
Riverside County Community Health Agency, Department of Animal Services for the
fiscal year 2005/2006. Funds are available in Account No. 110-4230-442.30-90.

NOTICE OF INVITING SEALED PROPOSALS
FOR
ANIMAL CONTROL SERVICES FOR
BUILDING AND SAFETY DEPARTMENT
PUBLIC NOTICE IS HEREBY GIVEN that the City of Palm Desert Building and
Safety Department is accepting written proposals from qualified agencies to provide
Animal Control Services. The City is looking for agencies to provide and perform a
broad range of animal control activities for the purpose of safeguarding its domestic and
wild animals; promoting the humane treatment of animals, and for enforcing City
Ordinances and State laws relating to animal control. The contract for the proposal will
be for a term of one (1) year from the date of execution.
Three (3) completed, sealed proposals will be accepted at the City Clerk's office, Palm
Desert City Hall, 73510 Fred Waring Drive, Palm Desert, CA, until 2:00 P. M., Monday,
August 1, 2005, at which time they will be opened and given to the Building and Safety
Department. A copy of the Invitation to Bid packet may be obtained at the Building and
Safety Department located at 73510 Fred Waring Drive, Palm Desert, California.

REQUEST FOR PROPOSAL
ANIMAL CONTROL SERVICES
INTRODUCTION
The City of Palm Desert is requesting written proposals for consideration in the area of an
animal control program forthe Building & Safety Department. The City is looking forfirms to
provide and perform a broad range of animal control activities forthe purpose of safeguarding
its domestic and wild animals; promoting the humane treatment of animals, and forenforcing
City Ordinances and State laws relating to animal control.
SCOPE OF WORK
The City of Palm Desert, Building & Safety Department seeks qualified firms capable of
providing animal control and management services in the following areas:
• Enforcement of City regulations
• Animal Pick-up and Seizure Services
• Shelter Care and Disposition Services
• Operating Hours
• Emergency Response During and After Operating Hours
• Collection of Fees, Revenues and Donations
• Qualifications and Training for Animal Control Officer(s) and Kennel
Attendant(s)
• Educational Material and Programs
• Veterinary Services
SUBMISSION REQUIREMENTS
The proposer shall submit a cover letter transmitting their Proposal Package to the City
of Palm Desert, Building and Safety Department.
2. Firms with only current animal control and expertise will be considered. Please submit
your company's experience and qualifications.

3. The program proposal shall be a clear, concise narrative which addresses the
proposer's overall program concept, incorporating all requirements specified in the
Scope of Services.

4. Provide insurance capability information. The following minimum coverages are
required:
• General Liability $1,000,000.00
• Automotive Comprehensive $1,000,000.00
• Workers Compensation $ 500,000.00
5. Provide appropriate cost information.
SELECTION CRITERIA
The following general selection criteria will be used to evaluate each consultant firm:
1. Firms qualifications and experience.
2. Qualifications and availability of staff.
3. References for similar work.
4. Responsiveness to the request for proposal.
5. Knowledge of City codes and procedures.
6. Ability to respond quickly.
7. Methodology or approach to the scope of work.
8. Cost information.
CONTRACT
The contract resulting from the selected proposal will be for a period of one (1) yearfrom the
date of execution. This contract shall be automatically renewed from year-to-year unless either
party given to the other party ninety (90) days written notice of intent to terminate on the
anniversary date. Notwithstanding the foregoing, CITY may terminate this Contract, with or
without cause upon ninety (90) days written notice delivered to CONTRACTOR.
A standard contract approved by the City Attorney will be used.

THIS AGREEMENT is made and entered into in the City of Palm Deserton this
day of , by and between the CITY OF PALM DESERT, a municipal
corporation, hereinafter referred to as "CITY" and RIVERSIDE COUNTY COMMUNITY
HEALTH AGENCY, DEPARTMENT OF ANIMAL SERVICES, hereinafter referred to as
"CONTRACTOR".
WITNESSETH:
WHEREAS, on July 18, 2005, CITY requested proposals from firms to provide and
perform a broad range of animal control activities forthe purpose of safeguarding the health
and safety of its domestic and wild animals, for promoting the humane treatment of animals
and for enforcing City ordinances relating to animal control per Scope of Services; and
WHEREAS, pursuant to said invitation, CONTRACTOR submitted a proposal which
was accepted by CITY for said services.
NOW THEREFORE, in consideration of their mutual promises, obligations, and
covenants hereinafter contained, the parties hereto agree as follows:
(1) TERM. The term of this contract shall be from July 1, 2005 through June 30,
2006, or such later date as may be agreed between parties, up to a one-year
maximum.
(2) CITY'S OBLIGATION. Forfurnishing services, as specified in this Agreement,
CITY will pay and CONTRACTOR shall receive in full compensation, therefore
a total annual sum not to exceed $110,347.00, unless approved otherwise.
(3) CONTRACTOR'S OBLIGATIONS. For, and in consideration of the payments
and agreements hereinbefore mentioned to be made and performed by CITY,
CONTRACTOR agrees with CITYto furnish the services and to do everything
required by this Agreement and the said Scope of Services.
(4) HOLD HARMLESS AND INDEMNIFICATION.
A) CITY shall indemnify and hold harmless all Agencies, Districts, Special
Districts and Departments of the County of Riverside —its respective
directors, officers, Board of Supervisors, elected and appointed
officials, employees, agents and representatives from any liability
whatsoever, based or asserted upon any services of CITY, its officers,

employees, subcontractors, agents or representatives arising out of or
in any way relating to this Agreement, including but not limited to
propertydamage, bodily injury, or death or any other element of any kind
or nature whatsoever and resulting from any reason whatsoever arising
from the performance of CITY, its officers, agents, employees,
subcontractors, agents or representatives from this Agreement. CITY
shall defend at its sole expense, all costs and fees including but not
limited to attorney fees, cost of investigation, defense and settlements
or awards of all Agencies, Districts, Special Districts, and Departments
of the County of Riverside, their respective directors, officers, Board of
Supervisors, elected and appointed officials, employees, agents and
representatives in any claim or action based upon such alleged acts or
omissions.
B) With respect to any action or claim subject to indemnification herein by
CITY, CITY shall, attheir sole cost, have the right to use counsel of their
own choice and shall have the right to adjust, settle, or compromise any
such action or claim without the prior consent of COUNTY provided,
however, that any such adjustment, settlement or compromise in no
manner whatsoever limits or circumscribes CITY'S indemnification to
COUNTY asset forth herein. CITY's obligation to defend, indemnify and
hold harmless COUNTY shall be subject to COUNTY having given CITY
written notice within a reasonable period of time of the claim or of the
commencement of the related action, as the case may be, and
information and reasonable assistance, at CITY'S expense, for the
defense or settlement thereof. CITY'S obligation hereunder shall be
satisfied when CITY has provided to COUNTY the appropriate form of
dismissal relieving COUNTY from any liability for the action or claim
involved.
C) The specified insurance limits required in this Agreement shall in no way
limit or circumscribe CITY'S obligations to indemnify and hold harmless
the COUNTY herein from third party claims.
D) In the event there is conflict between this clause and California Civil
Code Section 2782, this clause shall be interpreted to comply with Civil
Code 2782. Such interpretation shall not relieve the CITY from
indemnifying the COUNTY to the fullest extent allowed by law.
E) COUNTY shall indemnify and hold harmless all Agencies, Districts,
Special Districts and Departments of the CITY —its respective directors,
officers, Board of Supervisors, elected and appointed officials,
employees, agents and representatives from any liability whatsoever,

(5) INSURANCE.
A. Liabilitv Insurance.
The CONTRACTOR shall procure and maintain forthe duration of the contract
commercial general liability insurance against claims for injuries to persons or
damages to property which may arise from or in connection with the

performance of the work hereunder by the Contractor, his agents,
representatives, employees or subcontractors. The cost of such insurance shall
be borne by the Contractor. The Contractor shall maintain general commercial
liability or not less than One Million Dollars ($1,000,000.00) per occurrence for
all covered losses and not less than Two Million Dollars ($2,000,000) general
aggregate. Any deductibles or self -insured retention must be declared to the
City and approved bythe Risk Manager. The self -insured commercial liability
and automobile liability are to contain the following provisions:
Contractor shall maintain a self -insured program of commercial general
liability to protect the Contractor and the City, its officers, officials,
employees, agents and volunteers from liability arising out of activities
performed by or on behalf of the Contractor, products and completed
operations of the Contractor; premises owned, occurred or used bythe
Contractor; including automobile liability insurance on owned, leased,
hired or borrowed by the Contractor. The coverage shall contain no
special limitations on the scope of protection afforded to the City, its
officers, officials, employees, agents or volunteers.
2. For any claims related to the Contractor's insurance coverage the
Contractor's coverage shall be primary insurance as respect to the City,
its officers, employees, agents and volunteers. Any insurance or self-
insurance maintained by the City, its officers, employees, agents and
volunteers shall be excess of the Contractor's insurance and shall not
contribute with it.
3. Any failure to comply with the reporting or other provisions of the policies
including breach of warranties shall not affect coverage provided the
City, its officers, officials, employees, agents or volunteers.
4. Contractor's self-insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to
the limits of the insurer's liability.
5. Any change to the items listed above must be brought up to City's
attention, with a thirty (30) days prior written notice.
Insurance shall be placed with current A.M. Best's rating of not less than A:VII.
B. Automobile Insurance. During the term of the contract, and any
extension thereof the Contractor shall procure and maintain automobile liability
insurance of not less than One Million Dollars ($1,000,000.00) per accident for all
covered losses.

C. Worker's Compensation Insurance. The Contractor shall procure
and maintain Worker's Compensation insurance as required bythe State of California
and Employer's Liability Insurance. The Employer's liability policy shall be not less
than One Million Dollars ($1,000,000.00) for all covered losses.
D. Verification of Coveraue. The Contractor shall furnish the City with
original endorsements effecting coverage required bythis clause. The endorsements
are to be signed by a person authorized by the insurerto bind coverage on its behalf.
The endorsements are to be provided on standard ISO forms. All endorsements are
to be received and approved by the Risk Manager.
E. Independent Contractor. CONTRACTOR shall perform all services
required herein as an independent contractorof CITY and shall remain at all times as
to CITY a wholly independent contractor.
(6) AMENDMENTS. Any amendment, modification, orvariation from the terms of
this Agreement shall be in writing and shall be effective only upon approval by
the City Council of the CITY.
(7) TERMINATION. CITY reserves the right to terminate this Agreement at any
time, with or without cause, upon written thirty (30) day notice to
CONTRACTOR. Upon receipt of any notice of termination from CITY,
CONTRACTOR shall immediately cease all services hereunder except such as
may be specifically approved in writing by CITY. CONTRACTOR shall be
entitled to compensation for all services rendered prior to receipt of CITY'S
notice of termination and for any services authorized in writing by CITY
thereafter.
(8) INCORPORATED BY REFERENCE. The Notice Inviting Bids, and the Bid
Scope of Services are hereby incorporated in and made a part of this
Agreement.
(9) COMPLETE AGREEMENT. This written Agreement, including, all writings
specifically incorporated hereby in reference, shall constitute the complete
agreement between the parties hereto. No oral agreement, understanding, or
representation not reduced to writing and specifically incorporated herein shall
be of any force or effect, nor shall any such oral agreement, understanding, or
representation be binding upon the parties hereto.
(10) RECORDS AND REPORTS. Upon request by CITY, CONTRACTOR shall
prepare and submitto CITY records and reports concerning CONTRACTOR'S
performance of the services rendered underthis Agreement. CITY shall have
access, upon reasonable notice, to the books and records of CONTRACTOR
related to CONTRACTOR'S performance of this Agreement in the event any

audit is required.
NOTICE. All written notices to the parties hereto shall be sent by United States
mail, postage prepaid by registered or certified mail addressed as follows:

(12) LITIGATION COSTS. In the event a action is filed by either party to enforce any
rights or obligations under this Agreement, the prevailing party shall be entitled
to recover reasonable attorney's fees and court costs, in addition to any other
relief granted by the court.
(13) AUTHORITY TO EXECUTE AGREEMENT. Both CITY and CONTRACTOR
do covenant to each individual executing this Agreement on behalf of each party
is a person duly authorized.

executed the day and year first herein above written.
