Executive Summary: Approval of the recommendation will allow the continuation of work by Creative i Group for services and materials in the advertising and promotion of the El Paseo Business Improvement District for one year. As approved by City Council, the terms of the agreement include the ability to extend the contract for up to three years. This would be the third year of the contract. Denial of the recommendation will require a Request for Qualifications and the negotiations for an advertising agency to perform the services for the El Paseo Business Improvement District. Discussion: The City of Palm Desert entered into an agreement with Creative i Group for services and materials in the advertising and promotion of the El Paseo Business Improvement District from May 1, 2004 through April 30, 2005. At the annual planning meeting, the recommendation was unanimous and included an increase in monthly fees for Creative i Group from $3,000 per month to $3,500. This was the first increase in two years. The remaining monies for the contract are for media placements and production of events purchased for the Business Improvement District and approved by the Board of Directors. This number is based on historical collections from the Business District. C21052 AMENDMENT TO AGREEMENT This Amended Agreement is entered into this 1 st day of July 2005, by and between the City of Palm Desert, California ("City") and Creative i Group, Inc. ("Creative i Group, Inc."), for services and materials related to the advertising and promotions of the El Paseo Business Improvement District ("EPBID"). RECITALS A. The City and Creative i Group, Inc. entered into an Agreement on May 1, 2003, for services and materials related to the advertising and promotions of the EPBID; B. Per that agreement, the City Council has the right to extend the agreement for one year up to a three year period; and C. The EPBID Board of Directors has recommended an extension of the contract for one year. THEREFORE, forgood and valuable consideration, including, without limitation, the mutual promises, conditions, and agreements set forth herein, the City and Creative i Group, Inc. agree to amend the Agreement as follows: 3. TERM The term of this contract shall commence on July 1, 2005 and end on June 30, 2006. The City may, at its sole option, extend said term for an additional twelve (12) month term by notifying Creative i Group, Inc. in writing of its selection to extend the term not less than thirty (30) days before the expiration of the term. 4. COMPENSATION: The City's budget for advertising and publicizing the EPBID's facilities, services and events is estimated yearly at the sum of Two Hundred and Twenty Thousand Dollars ($220,000). The City's liability for advertising materials and services under this Contract shall not exceed the amount budgeted therefore. The City reserves the right, at any time during the term or any extension thereof, to adjust the amount budgeted for advertising and promotion services. Prior to performing any services or furnishing any material contemplated by the Contract to be undertaken and furnished by Creative i Group, Inc., the City or its designee, after conferring with Creative i Group, Inc., shall authorize the services rendered and materials to be furnished, the agreed compensation to be paid for their services, the manner of payment (lump sum or periodic progress payments), the description and estimate of reimbursable expense, and such other matters as may be deemed proper. C21052 this section, the City shall compensate and reimburse Creative i Group, Inc. as follows: (e) In addition to the flat fee of $3,500 per month to cover services, Creative i Group, Inc. will bill for production of services such as radio production, print production, website updates and revisions, monthly newsletter production at costs approved by the City or its designee, after review and approval by the EPBID Board of Directors. This fee is inclusive of the total dollar figure of the contract as stated in #4. of this agreement. The undersigned represents that they are authorized to execute this Amended Agreement on behalf of the parties hereto on whose behalf they purport to sign.
