By Minute Motion: Authorize the Mayor to execute a contract with MuniFinancial,
Temecula, California in the amount of $10,500, plus a 10 percent contingency for the
reformation of the Presidents' Plaza III Business Improvement District.
Discussion:
The Presidents' Plaza III Business Improvement District was established in 2001 for a
five-year term and budget. The District is in its fifth and final year of the term. The
District includes properties located on the south side of Highway 111 and on the north
side of El Paseo, between Highway 74 and Sage Lane. The City collects annual
assessments to pay for services such as landscape maintenance, street sweeping, and
parking lot lighting within the common parking lot areas.
The attached agreement will allow the hiring of MuniFinancial to assist with the
proceedings to re-form the Presidents' Plaza III district for another five-year term. The
attached proposal outlines the reformation process and MuniFinancial's experience in
forming similar districts. The proceedings include the following steps:
• Initiate Planning Process (Circulation of Property Owner Petition).
• Coordinate Property Owner Meeting and Input.
• Establish the Preliminary Engineers Report, Boundaries and Necessary
Resolutions for the Formation Proceedings.
• Public Hearing and Balloting Proceedings.
• Levy Assessments on Riverside County Tax Rolls for FY 2006/2007.

MuniFinancial has proven itself an experienced and qualified firm, which has
successfully established many districts for the City. Therefore, staff recommends
approval of a contact with MuniFinancial, Temecula, California in the amount of
$10,500, plus a 10 percent contingency. Funds are available in Account No. 110-4260-
422-30-90.

AGREEMENT
THIS AGREEMENT, made and entered into this day of October 2005,
by and between the CITY OF PALM DESERT hereinafter referred to as "CITY" and
MUNIFINANCIAL, hereinafter referred to as "PBID CONSULTANT", wherein PBID is
an acronym for Property and Business Improvement District.
WITNESSETH:
WHEREAS, PBID CONSULTANT is a corporation duly registered under the laws
of the State of California; and
WHEREAS, CITY desires to engage PBID CONSULTANT to render certain
technical and professional services as set forth in Exhibit "A" (PBID CONSULTANT's
proposal to provide Property and Business Improvement District (PBID) Reformation
Services to the City of Palm Desert for PRESIDENTS' PLAZA III.
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage PBID CONSULTANT to perform
the technical and/or professional services as hereinafter set forth.
(2) PBID CONSULTANT shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A" attached
hereto and by reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in
Exhibit "A" hereof shall be furnished to PBID CONSULTANT without charge by CITY

and CITY shall cooperate in every way reasonable in the carrying out of the work
without delay.
(4) PBID CONSULTANT represents that it employs or will employ at
its own expense, all personnel required in performing the services under THIS
AGREEMENT.
(5) All of the services required hereunder will be performed by PBID
CONSULTANT or under its direct supervision, and all personnel engaged in the work
shall be qualified and shall be authorized or permitted under state and local law to
perform such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Project Administrator has not authorized
PBID CONSULTANT to proceed.
(7) The PBID CONSULTANT shall work closely with the CITY's
Project Administrator, who shall be the principal officer of the CITY. The person hereby
designated by the CITY as Project Administrator is Martin Alvarez. The PBID
CONSULTANT shall review and receive the Project Administrator's approval of the
details of work as it progresses. The person hereby designated by the PBID
CONSULTANT as its representative for supervision of the work required by this
Agreement is Brian Jewett.
(8) The PBID CONSULTANT warrants that he has not employed or
retained any company or person, other than a bona fide employee working solely for the
consultant, to solicit or secure THIS AGREEMENT, and that he has not paid or agreed
to pay any company or person, other than a bona fide employee working solely for the

consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, CITY shall have the right to annul THIS
AGREEMENT without liability, or in its discretion to deduct from the contract price or
consideration, or otherwise recover, the full amount of such fee, commission,
percentage, brokerage fee, gift or contingent fee.
(9) The right is reserved by the CITY to terminate THIS AGREEMENT
at any time upon seven (7) days written notice, in the event the project is to be
abandoned or indefinitely postponed, or in the event the PBID CONSULTANT' services,
in the sole judgment of CITY, are unsatisfactory or because of the PBID
CONSULTANT's failure to prosecute the work with diligence or within the time limits
specified or because of his disability or death. In any such case, the PBID
CONSULTANT shall be paid the reasonable value of the services rendered, based
upon PBID CONSULTANT's standard hourly rates, up to the time of the termination.
The PBID CONSULTANT shall keep adequate records to substantiate costs and
provide copies of original timecards in the event of termination or suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by PBID CONSULTANT pursuant to this agreement shall
be used exclusively on this project and shall not be used for any other work without the
written consent of PBID CONSULTANT.

(11) The PBID CONSULTANT shall comply with all federal, state and
local laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the PBID CONSULTANT shall be made except by supplemental authority in writing
between CITY and the PBID CONSULTANT. The supplemental authority shall set forth
the changes of work, extension of time and adjustment of the fee to be paid by CITY to
the PBID CONSULTANT, if any.
(13) In connection with the execution of THIS AGREEMENT, the PBID
CONSULTANT shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin. The PBID
CONSULTANT shall take affirmative actions to insure equal employment opportunity
and that employees are treated during their employment without regard to their race,
religion, color, sex or national origin. Such actions shall include, but not limited to, the
following: employment, upgrading, demotion or transfer; recruitment or recruitment
advertising; layoff or termination; rates of pay, or other forms of compensation and
selection for training, including apprenticeship. This clause shall be included in each
related subcontract, if any, awarded by the PBID CONSULTANT.

(14) The CITY agrees to pay the PBID CONSULTANT on the following
PBID CONSULTANT shall submit invoices monthly for hourly services
performed in the previous month not -to -exceed $10,500.00 (TEN THOUSAND FIVE
HUNDRED AND NO/100 DOLLARS1 in the aggregate. CITY agrees to pay all
undisputed invoices within thirty (30) days of receipt of invoice. CITY agrees to notify

PBID CONSULTANT of disputed invoices within fifteen (15) days of receipt of said
invoice.
(15) In the event that any judgment is entered in any action upon THIS
AGREEMENT, the party hereto against whom such judgment is rendered agrees to pay
the other party an amount equal to the reasonable value of the legal services performed
in his or its behalf in such action and that such amount may be added to and made a
part of such judgment.
(16) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the PBID CONSULTANT without written
consent of the CITY.
(17) The PBID CONSULTANT shall be an independent contractor, not
an employee of the CITY.
(18) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in THIS AGREEMENT or the
proceeds thereof. The parties hereto covenant and agree that to their knowledge no
member of the City Council, officer or employee of the CITY has any interest, whether
contractual, non -contractual, financial or otherwise, in this transaction, or in business of
the contracting party other than the CITY, and that if any such interest comes to the
knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.

The PBID CONSULTANT hereby covenants that he has, at the time of
this Agreement, no interest, and that he shall not acquire any interest in the future,
direct or indirect, which would conflict in any manner or degree with the performance of
services required to be performed pursuant to THIS AGREEMENT. The PBID
CONSULTANT further covenants that in the performance of this work no person having
any such interest shall be employed by the PBID CONSULTANT.
(19) The PBID CONSULTANT shall indemnify and save harmless the
CITY, its officers and employees from and against any liability, loss, cost or expense
resulting from any injury or damage to persons or property caused by the negligent acts
or omission of the PBID CONSULTANT, its agents or employees, while engaged in the
performance of THIS AGREEMENT. The PBID CONSULTANT shall submit to CITY,
prior to the Notice to Proceed, certification of adequate coverage for insurance in
amounts approved by the CITY Attorney. Any such insurance shall not be canceled
prior to written notice to and approval from the CITY.
(20) In case of conflicts within the contract documents, the order of
document precedence shall be as follows:
(a) This Agreement; and
(b) Exhibit "A" (PBID CONSULTANT proposal to provide
Property and Business Improvement District (PBID)

Project Understanding
The City of Palm Desert is located in the Coachella Valley and is home to over 41,000
residents. The City is committed to continuously enhancing local retail opportunities for
residents and businesses. Projects are underway to beautify the area and encourage
economic activity. The City wishes to renew the President's Plaza III PBID to continue
the successful maintenance efforts of improvements within the PBID boundaries.
The primary goal of a business improvement district is to provide a source of funding
for business district programs and services to improve the safety, aesthetic appeal and
economic vitality of a business area.

Scope of Services
MuniFinancial will work with the City of Palm Desert to accomplish the following:
Task 1: Initiate Planning Process
MuniFinancial will initiate the planning process designed to identify issues relevant to the
existing PBID area. It is during this task that we will work with the stakeholders to
identify area needs and issues, assist in developing a "wish list" of improvement activities
and gain an overall sense of what the PBID can accomplish during its term. We
anticipate one (1) meeting with City staff and the property owners and business owners
for this task.
Task 2: Prepare Property Owner and Business Owner Profile
MuniFinancial will prepare an updated property owner informational profile. We will
gather information from stakeholders, the City and County Assessor data to update the
current database of properties within the area of the PBID.
Task 3: Establish Stakeholder Input
MuniFinancial will establish, with stakeholder input, desirable levels of improvements,
activities and retail center management functions.
MuniFinancial will work with the City to develop, implement and document the process
to actively engage the district stakeholders, property owners, property management
businesses, community and political leaders to educate and build a consensus to
implement the renewal of the PBID.
Task 4: Establish Preliminary PBID Budget
In conjunction with the City, MuniFinancial will establish a preliminary program budget
that will identify the costs to support desired enhanced levels of improvements, activities
and retail center management functions. We will plan an annual service program of
activities and develop a budget to finance the administrative and program costs.
Task 5: Establish PBID Area Boundaries
MuniFinancial will work with the City to finalize the boundaries of the PBID.
Task 6: Prepare Optional Assessment Spread Formulas
It is likely that the assessment methodology for the renewed PBID will be identical to
the existing one. However, should the City decide to re -visit or modify the assessment
methodology, MuniFinancial will identify, analyze and prepare optional assessment
spread formulas for steering committee review and consideration. If necessary, we will
present up to two (2) draft assessment scenarios based on separate assessment spread
methodologies.

Task 7: Prepare Final "Draft" Assessment Spread Formula
MuniFinancial will prepare and present a Final "Draft" Assessment Spread Formula to
the City and stakeholders. Based on City review of the draft formula, we will develop the
final assessment formula and methodology. MuniFinancial will develop the computer
program necessary to analyze the assessment program and determine the assessment on
individual properties. The assessment formula and computer program developed by
MuniFinancial will be used to bill the property owners on the County property tax rolls.
Task 8: Prepare Petition, Management District Plan,
Engineer's Report, Assessment Diagram and
Resolutions
With City input, MuniFinancial will prepare the Petition, Management District Plan,
Detailed Engineer's Report, updated Assessment Diagram and Resolutions in
accordance with Proposition 218 and procedural requirements under State and local
laws.
PETITION
We will prepare the petition to be accompanied by the Management District Plan to be
signed by the property owners within the PBID boundaries.
MANAGEMENT DISTRICT PLAN
MuniFinancial will develop a database of properties within the district. Pertinent
information will be gathered and updated as necessary from various sources. Data
maintained will include owner name and address, situs address, land use, acreage,
assessors parcel number, assessment criteria, and so forth.
In accordance with the Property and Business Improvement District Law of 1994, and
the Government Code, MuniFinancial will prepare the Management District Plan. The
plan shall include the following items:
• A map of the district in sufficient detail to locate each parcel of property within the
district.
• The name of the proposed district.
• A description of the boundaries of the district.
• The improvements and activities proposed for each year of operation of the district
and the maximum cost thereof.
• The total annual amount proposed to be expended for PBID program
improvements and services for each year of operation of the district.
• The proposed source or sources of financing including the proposed method and
basis for levying the assessment in sufficient detail to allow each property owner to
calculate the amount of the assessment to be levied against his or her property.
• The time and manner of collecting the assessments.
• The specific number of years, to a maximum of five, in which assessments will be
levied. The Management District Plan may set forth specific increases in assessments
for each year of operation of the district.

• The proposed time for implementation and completion of the Management District
Plan.
• Proposed rules and regulations to be applicable to the district including how, and by
whom, the district will be governed.
• A list of the properties to be assessed, including the assessor's parcel numbers
(APNs), and a statement of the method or methods by which the expenses of the
district will be imposed on benefited real property, in proportion to the benefit
received by the property, to defray the cost thereof, including operation and
maintenance.
• Other items or matters required to be incorporated therein by the City Council.
DETAILED ENGINEER'S REPORT
In accordance with the requirements of Proposition 218, MuniFinancial will prepare a
detailed and certified Engineer's Report that will include designation of benefit (special
vs. general), the assessment methodology, method of assessment spread, assessment
rates and proposed inflator, assessment district boundary diagram and the assessment
roll, which will indicate the proposed assessment for each property within the district.
We will also be responsible for the proper recording of the assessment diagram,
including gaining signatures of the City Clerk, Public Works Director and the County
Recorder.
RESOLUTIONS
We will draft necessary resolutions for the Intent Meeting and the Public Hearing. We
will send the resolutions to the City of Palm Desert attorney for review and comment.
Task 9: Petition Circulation
We will work with the City to identify which City staff or stakeholders will be
responsible for contacting individual property owners to secure signatures on the
petitions. We anticipate that the stakeholder committee, volunteers, other interested
property owners and/or City staff will be responsible for collecting the necessary
signatures on the petition. Some property owners will have to be contacted by mail or
telephone or both. MuniFinancial is not responsible for circulating the petitions. It has
been our experience that the City or property owners are best suited to perform this task
and have the highest potential of seeking signatures on the petitions.
Task 10: Proceed With Requirements to Establish PBID
MuniFinancial will guide the City through the technical requirements of implementing
the PBID. MuniFinancial will develop and mail notices and ballots to be mailed to each
property owner within the district. Proposition 218 requires that any new or increased
assessment be submitted to the property owners who are proposed to pay the
assessment. Proposition 218 contains strict requirements as to the content of the notices
and ballots. MuniFinancial will prepare for the Intent Meeting and Public Hearing to
offer technical assistance and other testimony as needed. As a final task, we will tabulate
the property owner ballots received by the City Clerk after the close of the public
hearing.

Meetings
We anticipate a total of three (3) meetings throughout the project period including: one
(1) meeting with City Staff, property owners and business owners, one (1) Intent
Meeting, and one (1) Public Hearing. We expect that the entire PBID formation process
will take 4 to 6 months depending on the level of outreach effort desired by the City and
stakeholders.

Fee for Services
We propose a fixed fee of $10,500 for our services, including expenses such as travel,
phone, printing, copying, assessment diagram preparation, and mailing and design costs
for the notices and ballots.
This fee does not include services listed outside our proposed scope of services.
Invoicing
We will invoice the City for our services on a monthly basis. Each invoice will reflect
work performed on each respective task for each preceding month.
Rates for Additional Professional Services
Charges for additional meetings and consulting with counsel, the City, or other parties
regarding services not listed in the scope of work above will be at our prevailing hourly
rates. Our current hourly rates are as follows.

Project 'Team
We have selected senior professionals for the City of Palm Desert's President's Plaza III
PBID renewal project. The project will be headquartered out of our Temecula, California
office. We are confident that our experienced team will provide the levels of attention
and work performance that the City of Palm Desert desires.
Mr. Brian Jewett, Division Manager in the Financial Consulting Services Group, will
serve as Project Manager and our primary contact with the City of Palm Desert. He
will organize and direct consultant tasks, provide quality control for work products and
ensure that the deliverables are completed on time and within budget. He will be the
City's day-to-day contact and will be present at key meetings.
Ms. Camille Mahant, a Senior Analyst in the firm's Financial Consulting Services
Group, will provide analytical support for the project. Ms. Mahant will work under the
direction of Mr. Jewett, who will assign additional resources to the team if necessary.

Mr. Brian Jewett is the Division Manager of the Financial Consulting
Services Group at MuniFinancial. His background is in public
administration for state and local government. He specializes in fiscal
analysis and financial services to local agencies. He is expert in cost of
service studies, Proposition 218 re -engineering studies and Business
Improvement Districts.
Prior to joining MuniFinancial, Mr. Jewett gained over five years of
experience working for state and local government, including staff
positions within the City and County of San Francisco and the County of
San Diego and an internship position with the City of Poway, California.
He consulted on land use planning issues for communities within the
Project Highlights State of Delaware, and was a consultant to the Governor's Cabinet
Committee on State Planning.

• PBID Formation and BID Conversion, Westwood Village
Community Alliance PBID: Mr. Jewett was the project manager for
this project. This project required the conversion of a tenant -based
business improvement district to a property -based business
improvement district. This conversion was successful, with 83 percent
of the votes returned indicating approval of the new formation and
assessments.
• PBID Re-establishment, City of Tracy: Mr. Jewett was the
principal in charge for this project. After the expiration of the PBID,
the City engaged MuniFinancial to assist in the re-establishment of
the district. The project was successful, with over 90 percent of the
voters approving the district for another five years.
• PBID Formation, President's Plaza III PBID, City of Palm
Desert. Mr. Jewett was the project manager for this project. This
project included the formation of a property -based business
improvement district.

Consulting Services Group. She provides support for district formation
and annexation projects.
Ms. Mahant's experience includes preparing public reports for the
formation of Assessment And Community Facilities Districts,
developing assessment methodologies, and special tax rates and
Methods of Apportionment, special tax analyses and calculations,
feasibility studies, financial modeling, balloting processes, database
creation, Assessor parcel research, and client and project team
consultation.
Ms. Mahant's background is in healthcare planning, reimbursement and
business development. Most recently, at Sharp HealthCare in San
Diego, she provided financial and utilization statistics; and prepared
strategic planning reports and map and graph analyses of payer and
