La Loma Circle Anaheim, California 92806 DATE: February 9, 2006 CONTENTS: Agreement Request for Proposals Proposal Recommendation: By minute motion, award Contract No. 24880 to Republic Electric, for On -Call Citywide Traffic Signal Support Services, in an amount not to exceed $40,000.00, and authorize the City Manager to extend the agreement for up to one year. Discussion: On December 20, 2005 staff requested proposals from traffic signal maintenance firms to provide on -call maintenance support services for traffic signals throughout the City of Palm Desert. This service is needed to supplement City staff in completing routine and/or specialized tasks. One proposal was received, from Republic Electric of Anaheim, California. Staff evaluated the proposal based upon firm and personnel qualifications, project understanding and scope of services, references, and proposed costs. After careful review of the proposal, staff is confident in the value being received and recommends Republic Electric of Anaheim, California, be awarded Contract No. 24880 , in an amount up to but not to exceed $40,000.00. While various services will be provided at the rates indicated in the proposal, it is anticipated Staff Report -Award t.,ontract for Traffic Signal Maintenance Support Page 2 of 2 February 9, 2006 that the requested amount will provide for relamping of LED signals, repairing illuminated street name signs, repairing detector loops, etc., through June 2006, at an average of 24 hours per week. While the term of this contract expires on June 30, 2006, it is the intention of staff to negotiate a one-year extension for the fiscal year 2006-2007. Funds are available for this work in Account No. 110-4250-433-3325. Therefore, staff recommends that City Council, by minute motion, award Contract No. 24880 to Republic Electric for on -call citywide traffic signal maintenance support, in an amount not to exceed $40,000.00, and authorize the City Manager to extend the agreement for up to one year. WITNESSETH: WHEREAS, on February 9, 2006, the CITY approved Contract No. 2488o for traffic signal maintenance services for City WHEREAS, pursuant to said invitation, CONTRACTOR submitted a proposal, which was accepted by C1TY for said services. NOW, THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafter contained, the parties hereto agree as follows: (1) TERM. The term of this Agreement shall be from, March 1, 2006 through June 30, 2006 or to such later date as may be agreed in writing between parties. (2) CITY'S OBLIGATIONS. For furnishing services, as specified in this Agreement, CITY will pay and CONTRACTOR shall receive an amount not to exceed the total sum Fortv Thousand Dollars and no/100 ($40,000.00) as set forth in the Contract Documents and adopted by the CITY. Method of payment shall be as agreed upon per the submitted proposa{ as incorporated by this reference. (3) CONTRACTOR'S OBLIGATIOI� For, and in consideration of the payments and agreements hereinbefore mentioned to be made and performed by CfTY, CONTRACTOR agrees with CITY to furnish the services and to do everything rec�uired by this Agreement and the Specific Terms and Conditions. (4) HOLD HARMLESS AND INDEAMNIFICATION. CONTRACTOR agrees to defend, indemnify, and hold harmless The City of Palm Desert, its officials, officers, employees, representatives, and agents from and against all claims lawsuits, liabilities or damages of whatsoever nature arising out of our connection with, or relating in any manner to, any act or omission of CONTRACTOR, his agents, employees, and subcontractors and employees thereof in connec�ion with, the performance or non- performance of this Agreement. The CONTRACTOR shall thoroughly investigate any and all claims and indemnify the CITY and do whatever is necessary to protect the City of Palm Desert, its official, officers, Page 1 of 4 Contract No. 248so employees, agents, and representatives as to any such claims, lawsuits, liabilities or damages. (5) AMENDMENTS. Any amendment, modification, or variation from the terms of this Agreement shall be in writing, signed by the CONTRACTOR and approved by the City Council of the CITY. (6) TERMINATION. If, during the term of this Agreement, CITY determines that CONTRACTOR is not faithfully abiding by any term or condition contained herein, CITY may notify CONTRACTOR in writing of such defect or failure to perform; which notice must give CONTRACTOR a three-day notice of time thereafter in which to perform said work or cure the deficiency. If CONTRACTOR fails to perform said work or cure the deficiency within the three (3) days specified in the notice, such shall constitute a breach of this Agreement and CITY may terminate this Agreement immediately by written notice to CONTRACTOR to said effect. Thereafter, except as otherwise set forth herein, neither party shall have any further duties, obligations, responsibilities, or rights under this Agreement except, however, ary and all obligation of CONTRACTOR'S surety shall remain in full force and effect, and shall not be extinguished, reduced, or in any manner waived by the termination hereof. In said event, CONTRACTOR shall be entitled to the reasonable value of its services performed from the beginning of the period in which the breach occurs up to the day it received CITY'S Notice of Termination, minus any offset from such payment representing the CITY'S damages from such breach. CITY reserves the right to delay any such payment until completion of confirmed abandonment of the project, as may be determined in the CITY'S sole discretion, so as to permit a full and complete accounting of costs. In no event, however, shall CONTRACTOR be entitled to receive in excess of the compensation quoted in its bid. The City Council may terminate the contract with 30 days written notice for any reason. (7) {NCORPORATED BY REFEREWCE. The Request for Proposal, dated December 25, 2005 and the Response to Request for Proposals, Traffic Signal Maintenance Support, dated January 20, 2006, prepared by Republic Electric, is attached as Appendix A and is hereby incorporated in and made a part of this Agreement. (8) COMPLETE AGREEMENT. This written Agreement, including all writings specifically incorporated herein by this reference, shall constitute the complete agreement between the parties hereto. No oral agreement, understanding, or representation not reduced to writing and specifically incorporated herein shall be of any force or effect, nor shall any such oral Page 2 of 4 Contract No. 24sso agreement, understanding, or r�presentation be binding upon the parties hereto. (9) ANTI-DiSCRiMiNATION. In t�e performance of the terms of this Agreement, CONTRACTOR agrees that it will not engage in, nor permit such subcontractors as it may employ, to engage in discrimination in employment of any person because of the age, race, color, sex, national origin or ancestry, or religion of such persons. Violation of this provision may result in the imposition of penalties referred to in Labor Code Section 1735. (10) AUDIT. CITY shall have the option of inspecting and/or auditing all records and other written material used by CONTRACTOR in preparing its statements to C1TY as a condition precedent to any payment to CONTRACTOR. (11) NOTICE. All written notices to the parties hereto shall be sent by United States mail, postage prepaid by registered or certified mail, return receipt requested, addressed as follows: Office of the City Clerk CITY OF PALM DESERT 73-510 Fred Waring Drive Palm Desert, CA 92260 (12) LITIGATION COSTS. In the event an action is filed by either party to enforce any rights or obligations under this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs, in addition to any other relief granted by the court. (13) AUTHORITY TO EXECUTE AGREEMENT. Both CITY and CONTRACTOR do warrant that each individual executing this Agreement on behalf of each party is a person duly authorized. ACTING DIRECTOR OF PUBLIC WORKS Page 4 of 4 REQUEST FOR PROPOSALS TRAFFIC SIGNAL MAINTENANCE SUPPORT City of Palm Desert, California December 27, 2005 DESCRIPTION The City of Palm Desert (City) is requesting proposals from qualified contractors to provide traffic signal maintenance services. In general, the services consist of providing qualified technician(s), tools, equipment and service vehicles to perform preventive, routine and responsive traffic signal maintenance as well as emergencey call-out support. The traffic signal maintenance support work can be categorized into three service functions. The requirements and duties for each category is discussed below: Routine Maintenance - Typical routine services may include: preventive maintenance checks; re-lamping of burn-outs; repair or replace internally illuminated street name signs and safety lights; testing and recertification of MMU conflict monitors; and other signal maintenance related duties as directed by the City Engineer, Transportation Engineer or Traffic Signal Specialist (City Traffic Staff). At a minimum, the traffic signal technician assigned to these duties shall be certified as an IMSA Traffic Signal Technician Level 1 and have a minimum of 1 year experience on NEMA type cabinets and 1 year experience in trouble shooting field electrical problems. Signal technicians having 2 years experience with Econolite ASC controller programming are highly desirable. The signal technician shall be equipped with a bucket truck service vehicle having a minimum vertical reach of 35 feet. The traffic signal maintenance services are to be provided for a minimum of twenty- four (24) hours each week, typically 3 days per week. Work assignments and weekly schedules shall be coordinated with the City Traffic Signal Specialist. Replacement signal hardware and equipment will be furnished by the City. The contractor will also have access to the City's MMU testing eq.�ipment, if so desired. Responsive Repairs - Responsive repair services include work tasks to repair/replace defective or obsolete signal equipment and perform signal modification work that is not directly covered by routine maintenance. Representative tasks include: replacement of vehicle loop detectors, intersection rewiring, controller cabinet replacement, and other similar work tasks. This work will only be performed at the direct request of City Traffic Staff. The Contractor will provide fee and time estimates for the work prior to commencing repairs. The fee and time estimates will be provided in writing to the City Engineer within five (5) working days following the request for responsive repair services. Signal hardware and equipment may or may not be furnished by the City, depending on the type of repair work involved. The Contra�tor shall respond to on-call emergencies oniy when specifically directed by City Traffic Staff. The request may be made at any time or day of the week. Payment for emergency response services will be made on a time and materials basis. The term of this contract shall be to June 30, 2006, with an option to extend for a period of one additional year. PROPOSAL FORMAT Respondents are encouraged to keep their proposals brief and relevant to the specific work required. To be considered for this contract, the information requested below is required to be submitted in response to this Request for Proposals. Staff Qualifications - Provide a list of employees and their qualifications. Attention should be placed upon the staff that would most likely be involved in the routine maintenance services to be provided. Also include the qualifications of any subcontractors who may perform services not directly completed by the Contractor's staff. Firm Qualifications - Provide a company description including: structure, ownership disclosure statement, company facilities, functional organization description, and office location(s). Include a general list of company equipment that is available for this project. Experience and References - Provide description of previous similar projects. List at least three projects of similar size, nature, and complexity. Give current addresses and phone numbers for Owner references for each project. Project Understanding and Scope �- Provide a description of your project understanding and how you will approach the project. Include a detailed scope of services to be provided. Pricing - Submit a detailed cost proposal showing hourly unit rate(s) at which the maintenance personnel and service vehicles will be billed, and the total cost per week to provide the routine signal maintenance services based on a 24 hour, 3 day work week. All direct and indirect costs, including mileage and travel time to and from the City, shall be included in the unit hourly rates. Additionally, provide a current labor rate schedule for regular and overtime work, rate schedule for company equipment, and mark-up percentages for material and subcontractors costs.
