Recommendation:
By minute motion, award Contract No. 24880 to Republic Electric,
for On -Call Citywide Traffic Signal Support Services, in an amount
not to exceed $40,000.00, and authorize the City Manager to
extend the agreement for up to one year.
Discussion:
On December 20, 2005 staff requested proposals from traffic signal maintenance
firms to provide on -call maintenance support services for traffic signals
throughout the City of Palm Desert. This service is needed to supplement City
staff in completing routine and/or specialized tasks. One proposal was received,
from Republic Electric of Anaheim, California.
Staff evaluated the proposal based upon firm and personnel qualifications,
project understanding and scope of services, references, and proposed costs.
After careful review of the proposal, staff is confident in the value being received
and recommends Republic Electric of Anaheim, California, be awarded Contract
No. 24880 , in an amount up to but not to exceed $40,000.00. While various
services will be provided at the rates indicated in the proposal, it is anticipated

that the requested amount will provide for relamping of LED signals, repairing
illuminated street name signs, repairing detector loops, etc., through June 2006,
at an average of 24 hours per week.
While the term of this contract expires on June 30, 2006, it is the intention of staff
to negotiate a one-year extension for the fiscal year 2006-2007.
Funds are available for this work in Account No. 110-4250-433-3325.
Therefore, staff recommends that City Council, by minute motion, award Contract
No. 24880 to Republic Electric for on -call citywide traffic signal maintenance
support, in an amount not to exceed $40,000.00, and authorize the City Manager
to extend the agreement for up to one year.

AGREEMENT
THIS AGREEMENT is made and entered into the City of Palm Desert on this 9th
day of Februaryl 2006, by and between THE CITY OF PALM DESERT, a
municipal corporation, hereinafter referred to as "CITY", and Republic Electric,
referred to as "CONTRACTOR".
WITNESSETH:
WHEREAS, on February 9, 2006, the CITY approved Contract No. 2488o for
traffic signal maintenance services for City
WHEREAS, pursuant to said invitation, CONTRACTOR submitted a proposal,
which was accepted by C1TY for said services.
NOW, THEREFORE, in consideration of their mutual promises, obligations, and
covenants hereinafter contained, the parties hereto agree as follows:
(1) TERM. The term of this Agreement shall be from, March 1, 2006 through
June 30, 2006 or to such later date as may be agreed in writing between
parties.
(2) CITY'S OBLIGATIONS. For furnishing services, as specified in this
Agreement, CITY will pay and CONTRACTOR shall receive an amount
not to exceed the total sum Fortv Thousand Dollars and no/100
($40,000.00) as set forth in the Contract Documents and adopted by the
CITY. Method of payment shall be as agreed upon per the submitted
proposa{ as incorporated by this reference.
(3) CONTRACTOR'S OBLIGATIOI� For, and in consideration of the
payments and agreements hereinbefore mentioned to be made and
performed by CfTY, CONTRACTOR agrees with CITY to furnish the
services and to do everything rec�uired by this Agreement and the Specific
Terms and Conditions.
(4) HOLD HARMLESS AND INDEAMNIFICATION. CONTRACTOR agrees to
defend, indemnify, and hold harmless The City of Palm Desert, its officials,
officers, employees, representatives, and agents from and against all
claims lawsuits, liabilities or damages of whatsoever nature arising out of
our connection with, or relating in any manner to, any act or omission of
CONTRACTOR, his agents, employees, and subcontractors and
employees thereof in connec�ion with, the performance or non-
performance of this Agreement. The CONTRACTOR shall thoroughly
investigate any and all claims and indemnify the CITY and do whatever is
necessary to protect the City of Palm Desert, its official, officers,

employees, agents, and representatives as to any such claims, lawsuits,
liabilities or damages.
(5) AMENDMENTS. Any amendment, modification, or variation from the
terms of this Agreement shall be in writing, signed by the CONTRACTOR
and approved by the City Council of the CITY.
(6) TERMINATION. If, during the term of this Agreement, CITY determines
that CONTRACTOR is not faithfully abiding by any term or condition
contained herein, CITY may notify CONTRACTOR in writing of such
defect or failure to perform; which notice must give CONTRACTOR a
three-day notice of time thereafter in which to perform said work or cure
the deficiency. If CONTRACTOR fails to perform said work or cure the
deficiency within the three (3) days specified in the notice, such shall
constitute a breach of this Agreement and CITY may terminate this
Agreement immediately by written notice to CONTRACTOR to said effect.
Thereafter, except as otherwise set forth herein, neither party shall have
any further duties, obligations, responsibilities, or rights under this
Agreement except, however, ary and all obligation of CONTRACTOR'S
surety shall remain in full force and effect, and shall not be extinguished,
reduced, or in any manner waived by the termination hereof. In said event,
CONTRACTOR shall be entitled to the reasonable value of its services
performed from the beginning of the period in which the breach occurs up
to the day it received CITY'S Notice of Termination, minus any offset from
such payment representing the CITY'S damages from such breach. CITY
reserves the right to delay any such payment until completion of confirmed
abandonment of the project, as may be determined in the CITY'S sole
discretion, so as to permit a full and complete accounting of costs. In no
event, however, shall CONTRACTOR be entitled to receive in excess of
the compensation quoted in its bid.
The City Council may terminate the contract with 30 days written notice for
any reason.
(7) {NCORPORATED BY REFEREWCE. The Request for Proposal, dated
December 25, 2005 and the Response to Request for Proposals, Traffic
Signal Maintenance Support, dated January 20, 2006, prepared by
Republic Electric, is attached as Appendix A and is hereby incorporated in
and made a part of this Agreement.
(8) COMPLETE AGREEMENT. This written Agreement, including all writings
specifically incorporated herein by this reference, shall constitute the
complete agreement between the parties hereto. No oral agreement,
understanding, or representation not reduced to writing and specifically
incorporated herein shall be of any force or effect, nor shall any such oral

agreement, understanding, or r�presentation be binding upon the parties
hereto.
(9) ANTI-DiSCRiMiNATION. In t�e performance of the terms of this
Agreement, CONTRACTOR agrees that it will not engage in, nor permit
such subcontractors as it may employ, to engage in discrimination in
employment of any person because of the age, race, color, sex, national
origin or ancestry, or religion of such persons. Violation of this provision
may result in the imposition of penalties referred to in Labor Code Section
1735.
(10) AUDIT. CITY shall have the option of inspecting and/or auditing all
records and other written material used by CONTRACTOR in preparing its
statements to C1TY as a condition precedent to any payment to
CONTRACTOR.
(11) NOTICE. All written notices to the parties hereto shall be sent by United
States mail, postage prepaid by registered or certified mail, return receipt
requested, addressed as follows:

(12) LITIGATION COSTS. In the event an action is filed by either party to
enforce any rights or obligations under this Agreement, the prevailing
party shall be entitled to recover reasonable attorney's fees and court
costs, in addition to any other relief granted by the court.
(13) AUTHORITY TO EXECUTE AGREEMENT. Both CITY and
CONTRACTOR do warrant that each individual executing this Agreement
on behalf of each party is a person duly authorized.

DESCRIPTION
The City of Palm Desert (City) is requesting proposals from qualified contractors to
provide traffic signal maintenance services. In general, the services consist of providing
qualified technician(s), tools, equipment and service vehicles to perform preventive,
routine and responsive traffic signal maintenance as well as emergencey call-out
support.
The traffic signal maintenance support work can be categorized into three service
functions. The requirements and duties for each category is discussed below:
Routine Maintenance - Typical routine services may include: preventive maintenance
checks; re-lamping of burn-outs; repair or replace internally illuminated street name
signs and safety lights; testing and recertification of MMU conflict monitors; and other
signal maintenance related duties as directed by the City Engineer, Transportation
Engineer or Traffic Signal Specialist (City Traffic Staff). At a minimum, the traffic
signal technician assigned to these duties shall be certified as an IMSA Traffic Signal
Technician Level 1 and have a minimum of 1 year experience on NEMA type cabinets
and 1 year experience in trouble shooting field electrical problems. Signal technicians
having 2 years experience with Econolite ASC controller programming are highly
desirable. The signal technician shall be equipped with a bucket truck service vehicle
having a minimum vertical reach of 35 feet.
The traffic signal maintenance services are to be provided for a minimum of twenty-
four (24) hours each week, typically 3 days per week. Work assignments and weekly
schedules shall be coordinated with the City Traffic Signal Specialist. Replacement
signal hardware and equipment will be furnished by the City. The contractor will also
have access to the City's MMU testing eq.�ipment, if so desired.
Responsive Repairs - Responsive repair services include work tasks to
repair/replace defective or obsolete signal equipment and perform signal modification
work that is not directly covered by routine maintenance. Representative tasks
include: replacement of vehicle loop detectors, intersection rewiring, controller cabinet
replacement, and other similar work tasks. This work will only be performed at the
direct request of City Traffic Staff. The Contractor will provide fee and time estimates
for the work prior to commencing repairs. The fee and time estimates will be provided
in writing to the City Engineer within five (5) working days following the request for
responsive repair services. Signal hardware and equipment may or may not be
furnished by the City, depending on the type of repair work involved.

Emergency Response - Provide on-call services for emergency response to assist
the Traffic Signal Specialist. The Contra�tor shall respond to on-call emergencies oniy
when specifically directed by City Traffic Staff. The request may be made at any time
or day of the week. Payment for emergency response services will be made on a time
and materials basis.
The term of this contract shall be to June 30, 2006, with an option to extend for a period
of one additional year.
PROPOSAL FORMAT
Respondents are encouraged to keep their proposals brief and relevant to the specific
work required. To be considered for this contract, the information requested below is
required to be submitted in response to this Request for Proposals.
Staff Qualifications - Provide a list of employees and their qualifications. Attention
should be placed upon the staff that would most likely be involved in the routine
maintenance services to be provided. Also include the qualifications of any
subcontractors who may perform services not directly completed by the Contractor's
staff.
Firm Qualifications - Provide a company description including: structure, ownership
disclosure statement, company facilities, functional organization description, and office
location(s). Include a general list of company equipment that is available for this
project.
Experience and References - Provide description of previous similar projects. List
at least three projects of similar size, nature, and complexity. Give current addresses
and phone numbers for Owner references for each project.
Project Understanding and Scope �- Provide a description of your project
understanding and how you will approach the project. Include a detailed scope of
services to be provided.
Pricing - Submit a detailed cost proposal showing hourly unit rate(s) at which the
maintenance personnel and service vehicles will be billed, and the total cost per week
to provide the routine signal maintenance services based on a 24 hour, 3 day work
week. All direct and indirect costs, including mileage and travel time to and from the
City, shall be included in the unit hourly rates. Additionally, provide a current labor
rate schedule for regular and overtime work, rate schedule for company equipment,
and mark-up percentages for material and subcontractors costs.

Insurance - Statement of insurance coverage demonstrating minimum $2 million
policies each for general liability and automotive liability, plus statutory coverage for
workers' compensation.
Proposals will be evaluated on the following criteria:

2. Project Understanding and Scope of Services 20%
3. References 10%
4. Cost Proposal 30%

Traffic Signa�l Maintenance
Republic Electric's core business is traffic signal and streetlight maintenance and professional
traffic engineering services. Our fum currendy services over 4,000 traffic signalized
intersections and 125,000 streetlights under long-term maintenance agreements nationwide.
Traffic signai maintenance activities consist of preventative and responsive activities such as
monthly signal function checks, timing con•ections, controller/cabinet malfunciion repaus,
detection complaint resolution, and knockdown repairs. We aze dedicated to meeting and
exceeding the challenging public safety requirements associated with the traffic signal and
streetlight mainienance industry.
STAFF QUALIFICATIONS
PERSONNEL
Republic Electric currently employs a multitude of highly qualified personnel throughout
California. Our tr�ffic signal maintenance field technicians have International Municipal Signal
Association (IMSA) certifications up to and 'u�cluding Level III. We also have electricians who
have obtained the State of California National Electrical Contractors (NEC) certification
requirement and many more who are in the process of obtaining their NEC State certification.

Our staff has a balanced combinatian of skills and practical experience ideally suiied to the
particular requirements of the traffic signaI maintenance business. We have participated in a
wide range of relafed projecis with demonstrated abitify in maintenance, repair, traffic
engineering, traffic operaiions, computer technology, electronic hardware and the
implementation of computerized traffic surveillance and control system project�.
AII employees assigned to the City of Palm Desert w-ill be based out of Republic Electric's
Anaheim office. Jilt Petrie will be working wii:h the Cify as Republic Electric's Project Manager,
and Fred Bond will serve as the City's Lead Traffic Signal Technician. Fred brings twenty-eight
years (28) of extensive knowledge in all area<.; of the traffic signal industry. Fred's experience
includes working with NEMA type controllers, troubleshooting field electrical problenns, and he
also possesses knowledge of Econolite ASC controller programmuig. AIl employees working
with the City will be equipped with bucket trucks with a m�nun�m vertical reach of thirty-five

Anaheim, CA: Republic Electric's Southern California office is located at 1266 N. La Loma
CircIe, Anaheim, California. This #acility houses alI materials and equipinent necessary to
maintain traffic signaLs, streetlights and relateci projects for all of Southern California. All staff

Our Anaheim facility also houses our Southem California laboratory facility. The laboratory

Fremoni, CA: Republic Electric Fremont office is located at 42Q00 Osgood Road in Fremont.
The facility includes a sufficient stock of spare parts and signal equipment needed to make all

both office and yard space, the Fremont yard is storage to all possible materials required to

SAFETYAND TRAINING

PROJECT UNDERSTANDING AND SCOPE
In submitting this proposal Republic Electric is prepazed to complete a contract containing all of
the information submitted in the RFP. Republic Electric's highly qualified personnel will
provide ongoing and routine preventive maintenance and repair of traffic signal equipment.
The program is designed to eliminate or reduce system malfunctions, complaints, and extend
the useful life of the City's traffic signal and other associated equipment.
AIl work performed by Republic Electric �n�ill comply with Caltrans and the City of Palm
Desert's specifications, as well as the Project Understanding and Scope in the RFP. Ail
personnel and equipment provided by Republic Elechric for this contract will meet/exceed all
qualifications set by the City of Palm Desert.
Republic Electric will furnish aIl tools, equipment, apparatus, facilities, labor, services and
materials necessary to maintain and repair the City's traffic signals and streetlights.
ROUTINE MAINTENANCE
Typical routine maintenance services may include preventive maintenance checks, includ.ing re-
Iamping of burn-outs, repair or replace internally ilIuminated street name signs and safety
lights, testing and recertification of MMU conflict monitors, and other signal maintenance
related duties as directed by the City Engineer, Transportation Engineer or Traffic Signal
Specialist (City Traffi� Staf�.
Republic Electric will also perform the following tasks consistent with the needs of the City of
Palm Desert:
1VIONTHLY ROUTINE MAINTENANCE
� Visually inspect controller and cabinet for proper operation and current date and kime. If in
coordination, checic modem or communications devices. Check that timing is consistent with
timing sheet.
� Visually inspect all vehicular and pedestrian indications for proper operation and replace
outages found. Material and/or labor and equipment for all LED outag,es still covered under
manufacturer or Republic Flectric warranfy is included, when applicable; otherwise, labor,
material and equipment costs will be reimbursed by CITY OF PALM DESERT.

Repor#s of traffic signal problems can be initiated by calIing 1-800-229-6090 twenty-four (24)
hours a day, seven (7) days a week. Republic Electric's on-call field personnel drive their
vehicles home after business hours in order to provide immediate response to the City. After a
technician is dispatched, the call center notifies the reporting agency and reports an estimated
�ime of ar.�ival (ETA).
Communications are now further enhanced with the deployment of PLATO and WiRE

investment in providing the best possible service to our customers.
• WiRE is our field access to PLATO, allowing our service crews to access real-time

information is transmitted in real-time back to PLATO, allowing monitoring of service
status and inventory information.
PLATO
PLAT'� was developed to provide rapid access to service requests, maintenance scheduling,
and detailed work histories for intersections. fiased on Microsoft's web application framework,
PLATO is available to any workstation tiviEh ac�ess to Republic Electric's intranet. This provides
maximum flexibility in PIato's deployment, making it available to any internal computer with a
browser.
The information handled by PLATO includes:
• Service Request Management and Scheduling, including time stamping and dispatching.
• Scheduled Maintenance Management and Scheduling.
• Intersection Details, including uZventories of equipment, maps, CAD drawing, timing
sheets, etc.

WiRE allows our technicians in the fieId access to an array of useful data. Maintenance histories
for the intersection, inventory bar-coding & scanning, download.ing kiming sheets and
uploading them to a controller, digital photographic documentation: all contribute to a quicker,
more successful visit from a Republic Electric signal technician. In addition, our scheduled
maintenance acdvities and responses to servicQ requests are documented on-site utilizing our
hand-held devices, as well as documentation noting any other needed repair work. WiRE also
functions as a dispatching tool; once a service request is dispatched to a iechnician, relevant
information concerning the nature of the call and the intersection is immediately available.
The information avaiIable through WiRE includes:
