Recommendation:
By minute motion, approve the agreement with Engineering Resources
of Southern California to provide project management and engineering
support services in an amount not to exceed $100,000.00, and authorize
the Mayor to execute the agreement.
Discussion:
The recent resignation of key staff has the potential to negatively impact the ability of
the Public Works Department to manage and deliver the City's Capital Improvement
Program in a timely and accurate manner. The Engineering Manager currently has no
registered engineers on staff to serve as project manager on various projects including
but not limited to the following: Fred Waring Avenue Soundwall Construction and Street
Widening, Cook Street Widening, CVWD Sewer Construction Project, North Sphere
Drainage Study, Calle De Los Campesinos Paving, Monterey/Whitewater Bridge
Expansion Joint Repair, and Miscellaneous Citywide Drainage Improvements.
In order to minimize this impact and support our ability to be responsive during the
recruitment phase to fill this open position, we would like to retain Engineering
Resources of Southern California (ERSC) to provide project management and
engineering support services to the Public Works Department on a temporary basis.
Staff requested a proposal from other firms that could possibly provide this type of
service. However, ERSC was the only firm that was able to respond. ERSC has
previously provided support services to the City and has very qualified project
management and engineering staff to meet the City's needs.

We hereby request approval of the agreement with ERSC to provide project
management and engineering support services in an amount not to exceed
$100,000.00 for a term until June 30, 2007. Funds are available for this agreement in
the Professional Services account number 110-4300-413-3010.

AGREEMENT
THIS AGREEMENT, made and entered into this 23rd day of Februarv, 2006, by
and between THE CITY OF PALM DESERT, a municipal corporation, hereinafter
referred to as "CITY" and Enqineerinp Resources of Southern California. Inc..,
hereinafter referred to as "CONSULTANT".
WITNESSETH:
WHEREAS, CONSULTANT is a corporation, the principal members of which are
Professional CONSULTANTS duly registered under the laws of the State of California;
and
WHEREAS, CITY desires to engage CONSULTANT to render certain technical
and professional CONSULTANTING services as set forth in Exhibit "A"
(CONSULTANT'S Proposal of Services) for On-Call Proiect
Manaaement/Constructabilit� Review Services.
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage CONSULTANT to perform the
technical and/or professional services as hereinafter set forth.
(2) CONSULTANT shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A" attached
hereto and by reference incorporated herein and made a part hereof.

(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in
Exhibit "A" hereof shali be furnished to CONSULTANT without charge by CITY and
CITY shall cooperate in every way reasonable in the carrying out of the work without
delay.
(4} CONSULTANT represents that, it employs or wifl employ at its own
expense, all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by
CONSULTANT or under its direct supervision, and all personnel engaged in the work
shall be qualified and shall be authorized or permitted under state and local law to
perform such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Director of Public Works has not
authorized CONSULTANT to proceed.
(7) The CONSULTANT shall work closely with the CITY's Director of
Public Works, or his designated representative, who shall be the principal officer of the
CITY. The CONSULTANT shall review and receive the Director of Public Works
approval of the details of work as it progresses. The Registered Civil CONSULTANT
hereby designated by the CONSULTANT as its representative for supervision of the
work required by this Agreement is Robert Riqhetti.
(8) The CONSULTANT warrants that he has not employed or retained
any company or person, other than a bona fide employee working solely for the
consultant, to solicit or secure this Agreement, and that he has not paid or agreed to

pay any company or person, other than a bona fide employee working solely for the
consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, CITY shall have the right to annul this
Agreement without liability, or in its discretion to deduct from the contract price or
consideration, or otherwise recover, the full amount of such fee, commission,
percentage, brokerage fee, gift or contingent fee.
(9) The right is reserved by the CITY to terminate the Agreement at
any time upon seven (7) days written notice, in the event the project is to be abandoned
or indefinitely postponed, or in the event the CONSULTANT'S services, in the sole
judgment of CITY, are unsatisfactory or because of the CONSULTANT'S failure to
prosecute the work with diligence or within the time limits specified or because of his
disability or death. In any such case, the CONSULTANT shall be paid the reasonable
value of the services rendered, based upon CONSULTANT'S standard hourly rates, up
to the time of the termination. The CONSULTANT shall keep adequate records to
substantiate costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by CONSULTANT pursuant to this agreement shall be
used exclusively on this project and shall not be used for any other work without the
written consent of CONSULTANT. In the event CITY and CONSULTANT permit the re-

use or other use of the plans, specifications, reports or other design documents, CITY
shall require the party using them to indemnify and hold harmless CITY and
CONSULTANT regarding such re-use or other use, and CITY shall require the party
using them to eliminate any and all references to CONSULTANT from the pians,
specifications, reports and other design documents.
(11) The CONSULTANT shall comply with aff federal, state and local
laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the CONSULTANT shall be made except by supplemental authority in writing
between CITY and the CONSULTANT. The supplemental authority shall set forth the
changes of work, extension of time and adjustment of the fee to be paid by CITY to the
CONSULTANT, if any.
(13) In conn�ction with the execution of this Agreement, the
CONSULTANT shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin. The CONSULTANT
shall take affirmative actions to insure equal employment opportunity and that
employees are treated during their employment without regard to their race, religion,
color, sex or national origin. Such actions shall include, but not limited to, the following:
employment, upgrading, demotion or transfer; recruitment or recruitment advertising;
layoff or termination; rates of pay, or other forms of compensation and selection for
training, including apprenticeship. This clause shall be included in each related
subcontract, if any, awarded by the CONSULTANT.

(14) The CITY agrees to pay the CONSULTANT for the work required
by this Agreement on the following basis:
CONSULTANT shall submit invoices monthly for services performed in
the previous month not to exceed the total contract amount of: $100,000.00 (One
Hundred Thousand Dollars:00/100 ONLY). CITY agrees to pay all undisputed
invoices within thirty (30) days of receipt of invoice. CITY agrees to notify
CONSULTANT of disputed invoices within fifteen (15) days of receipt of said invoice.
(15) The CONSULTANT agrees to complete the work as described in
Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the CONSULTANT without written consent of
the CITY.
(18) The CONSULTANT shall be an independent contractor, not an
employee of the CITY.
(19) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds
thereof. The parties hereto covenant and agree that to their knowtedge no member of

the City Council, officer or employee of the CITY has any interest, whether contractual,
non-contractual, financial or otherwise, in this transaction, or in business of the
contracting party other than the CITY, and that if any such interest comes to the
knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The CONSULTANT hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The CONSULTANT further
covenants that in the performance of this work no person having any such interest shall
be employed by the CONSULTANT.
(20) The CONSULTANT shall indemnify and save harmless the CITY,
its officers and employees from and against any liability, loss, cost or expense resulting
from any injury or damage to persons or property caused by the negligent acts or
omission of the CONSULTANT, its agents or employees, while engaged in the
performance of this Agreement. The CONSULTANT shall submit to CITY, prior to the
Notice to Proceed is issued, certification of adequate coverage for "errors and omission"
insurance in amounts approved by the City Attorney. Any such insurance shall not be
canceled prior to written notice to and approval from the CITY.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:

Dear John:
Engineering Resources ofSouthern California, Inc., (ERSC) appreciates the opportunity to provide a proposal
to furnish consulting services far the City's Capital Improveinent Program Engineering Project Management and
Constructability Review duties.
We have already had the opportunity to work side by side with you on an ongoing plan check assignment for
both private develop�nent and capital project improvement plans, and we believe that the working relationship
between your staff and Robert Righetti is turning out quite well. With the loss of a number of key staff people at
the city, we recognize that your current need is to keep current and upcoming capital projects on track and
moving forward to construction and completion of the work. An effective capital project management teain
requires people who are very compatible with each other with a complimentary management, design and
construction project philosophy that mirrars that of city staff, and with a vested interest in the community. In
addition, the work requires people who are very experienced in municipal land development and capital project
engineering operations, processing and administration. As we represented before, our team members have had
extensive experience providing a full range of Project Management and Constructability Review Engineering
Services for various communities and our company has served as District Engineer for a number of agencies in
Southern California. With persistence and dedication to delivering the best service, we have cultivated a team
with a special expertise in serving as a public agency resource that will enable us to effectively serve the City of
Palm Desert during the interim until the city can fill its staffing needs or the projects are coinplete and our
services are no longer needed.
All wark to be performed for the City will be coordinated by our Senior Project Manager, Mn Robert Righetti,
an experienced professional with abundant experience in land development and public works engineering. As
you have probably discovered from your relationship with him so far, Mr. Righetti has a rich background
working in the field of municipal engineering services in the desert area, including Palm Desert. Throughout his
years of working within the engineering departments for various public agencies, Mr. Righetti has had hands-on
experience in every element of the work that an engineering department does. That being said, he will bring to
his working assignment with you and to the city a broad range of experience in the review and processing of
development projects and capital projects. Currently, he is providing Project Management and Constructability
Review services for the city of Indio, and they have been completely satisfied with his work.

Mr. Righetti will work under the direct supervision of myself, a registered professional engineer, and will
coordinate the activities of all personnel, as appropriate, from our Indian Wells office to make sure all project
assignments are performed efficiently and effectively. Assigned personnel performing the task of Project
Management, Constructability Review or both will have lived ar warked in Riverside County and will be familiar
with the City's ordinances and requirements in order to maintain consistency during each assignment. As we
have noted below, our team members can perform either Project Management or Constructability Review (or
both), and are fully competent in their respective disciplines. We have reviewed the list of projects that you
currently have or will have underway, and recommend the following candidates for each assignment:
1. Fred Waring Avenue Soundwall Construction between California and Washington (Robert Righetti
assisted by Joe Baldino)
2. Fred Waring Avenue Widening between California and Washington (Robert Righetti assisted by Joe
Baldino) Note: Robert has already done review work on these two projects.
3. Cook Street Widening between Frank Sinatra and Fred Waring (Brian Thomas assisted by Robert
Righetti)
4. North Sphere Drainage Study (Matt Brudin assisted by Moe Ahmadi)
5. CVWD Sewer Project (Robert Righetti) Robert already as a strong relationship with CVWD.
6. Calle De Los Campesinos (Joe Baldino assisted by Damien Boettcher)
7. Monterey/Whitewater Bridge Expansion Joint Repair (Brian Thomas assisted by Damien Boettcher)
Brian has special experience in structural engineering and Damien is going far his degree in structural.
8. Miscellaneous Citywide Drainage Improvements (Robert Righetti assisted by Matt Brudin and Moe
Ahmadi)
We believe that this combination team effort would allow you the flexibility and maneuverability necessary to
apply our team resources as needed, and only when needed so that you do not have excessive time on the projects
other than what is needed to get the assignments done. Robert will oversee the flow of work to make sure the
projects are moving smoothly and seeing to it that you are completely satisfied with the progress. Also, this will
allow us to still maintain our project commitments with other clients. When a project manager is assisted by
someone else who can also function like a project manager, it means that the work assignments can be delegated
in a manner that can keep things moving, whether the task at hand is scoping the project, preparing the RFP,
selecting and working with the design consultants, performing design review and constructability review, and
administering construction. Also, you will note that some of our staff from the list below are not matched to a
project, but they are available as needed to provide specific backup to each project manager in areas and at times
when there expertise or the additional manpower is needed. These people all fully understand what it takes to
prepare and administer capital proj ect contract bid packages. So they are efficient and cost effective in every part
of the process.
As evident by the enclosed presentation, ERSC has a full compliment of experienced staff, technical specialists
(planners, designers, engineers and land surveyors) and administrative support personnel available to back up
Mr. Righetti, and who will respond to the needs of the City in an efficient, competent and timely manner. The

W e understand that the work assignments will be on an hourly basis, especially since it is difficult to estimate the
amount of time it can take to administer and manage each assignment. We will make sure to provide the
necessary backup requested for any billing submitted showing an accurate accounting of our time expended on
each plan check assignment. We do not charge for travel time to pick up and deliver plans. Additionally, no time
will be charged for my supervision of Mr. Righetti.

PROJECT UNDERSTANDING
Based on our recent discussion with Mr. John Garcia, Engineering Manager of the City of Palm
Desert, it is our understanding that the City of Palm Desert may wish to retain in the near future the
_ services of a qualified consulting engineering firm to provide on-call capital project management
support, constructability review and engineering support services to take the lead in managing the
design and construction of various projects. The intent will be to enhance the City's breadth and
�. depth in responding quickly and efficiently to all capital project design assignments, provide
constructability review and construction administration and field review and inspection on an as-
needed basis. Additionally, the City will be able to add to their review staff as needed to meet peak
demand periods and temporary increases in work load for various capital project program
assignments. EngineeringResources ofSouthern California, Inc., (ERSC� is highly experienced
and well equipped with the technical expertise to meet the demands that are inherent with providing
- capital project engineering management, constructability review, peer review (inspection), and
resident engineering services. Accordingly, Engineering Resources of Southern Cal�fornia, Inc.,
(ERSC) will maintain the necessary staffing resources and flexibility to handle both minor project
--- submittals as well as those complex major submittals required for any type of project that you may
assign us.
To accomplish any work assigned by the City of Palm Desert (City), ERSC offers well-grounded
experienced people with the technical skills and management expertise ideally suited to the
challenges associated with municipal development and capital project engineering plan review
services. We believe our firm offers a natural blending of civil/resident engineers, land surveyors
and planning/design technicians, thus enhancing project continuity, task coordination and timely
response to the City's needs.
The following presentation outlines our proposed approach to the city's preliminary list of projects,
and briefly profiles our firm, highlighting ERSC's history, organizational structure, technical
capabilities, staff and in-house resources. These same procedures and skills are also applicable to
public works design projects, and ERSChas also developed Project Management manuals for public
agencies for use in administering and managing capital project programs.
COMPANY PROFILE
Engineering Resources of Southern California, Inc., is a Consulting Engineering Firm established
in August 1996, to provide a broad range of professional services to municipalities and special
districts throughout Southern California. The foundation of the company is based upon building a
team of people with public agency plan check, constructability review, inspection and construction

management backgrounds who can provide our clients with the highest quality professional services
in an efficient, expedient and cost-effective manner.
A private California corporation, ERSC is governed by a Board of Directors, charged with
establishing policies and procedures to assure quality-engineering services to our clientele. Each of
our three offices operates under the direction of a Managing Engineer, registered in the State of
California, who administers and implements the policies and procedures established by the Board of
Directors.
Staff Resources. The strength of ERSC is our multi-disciplined staf£ Various disciplines are
represented in our Municipal Services group, including civil, survey, sanitary, structural, hydraulic,
hydrologic, water quality, traffic/transportation and construction specialties. Technical support is
provided by a staff of engineering and survey technicians, designers, CAD operatars, construction
managers, inspectors and administrative personnel who augment the efforts of our professional staff.
Technical Services. Specializing in civil, land development, transportation, drainage, water
-- resources, sanitary and public works engineering, ERSC typically offers a myriad of services
encompassing planning, design, plan/map checking, right-of-way engineering, construction
management, inspection and assistance in securing funding for the construction of diverse public
-� works facilities. The following presents an overview of the services and professional capabilities of
ERSC in these specialized engineering disciplines that are specifically responsive to the City's
requirements.
Development/Capital Project Plan Review. Upon notification from the City that a complete plan
submittal package is ready to be picked up, the total scope and magnitude of the assignment is
determined by our Project Manager for distribution to the appropriate Project Team members for
processing in an expeditious, competent and timely manner in conformance with the City's
requirements. As presented in this Proposal, the professional experience and expertise of the key
personnel who are available to be assigned to each plan-check assignment exemplifies ERSC'.s
experienced understanding of land development planning and design engineering requirements and
�nethodologies.

program management and processing, and we possess in our offices most of the necessary

Under the direct supervision of our Principal Engineer and Company President, Matt Brudin, P.E.,
our Senior Project Manager, Mr. Robert Righetti will be the primary point of contact with City staff

and staff management. In this role, Mr. Righetti is responsible for contract administration, providing
adequate man power for our services, and has the authority to negotiate contract changes.
Background Over the past 33 years Mr. Righetti has worked as a full-time and part-time contract
staff member for various cities in the Inland Empire to manage and process complex planning,
design and construction projects, for both public and private clients, requiring a high level of
expertise in the areas of subdivision and capital improvement program engineering, civil site design,
transportation planning and design, water resources and flood control. Additionally, he currently
manages our contract plan-check services for various Cities in Southern California.
Mr. Righetti was also the author of the City of Palm Desert's Project Manager's Guide to Capital
Projects. This manual includes complete step by step instructions for Project Manager's to use in the
initiating and completing capital projects in the city.
During this time he has warked closely with city staff and other related agency personnel in local
- cities and districts to develop projects that meet the objectives and goals of city staff and the local
community.

ERSC understands the City's commitment to be diligent and service oriented in the capital project
progam administration process. As such, ERSC will maintain the necessary staffing levels and be
available as needed to meet the City's timelines and service goals without sacrificing quality of the
work.
Assisting our designated Project Manager in responding to the specific requirements of the work for
the City will be the Project Management/Constructability Review Engineers / Land Survevo�•s /
_ Engineering Review Support Staff referenced in Table I who have the expertise and experience in the
full range of preparing complete and effective capital improvement program construction bid
packages.
Each Resident Engineer/Project Administrator/Project Planner/Inspector/Plan Check Engineer/Land
Surveyor/Support Technician assigned to a specific plan review will possess the technical skills
— needed to successfully complete the work. All review comments will be clear, specific, organized
and written to be reviewed by the project manager prior to the return of the plans to the City. All
comments will be itemized on a list for use by the City for tracking and coordination purposes, and
^ by the developer and/or his engineer for responding with revisions or other information as necessary
to finalize the plans and contract documents for approval. Duplicate copies of the reviewed
submittals shall be maintained at our Indian Wells Office for backup and reference.
A Constructability Review will also be provided as part of the plan-check process to ensure the
proj ect will work as designed in order to fit with surrounding and future improvements. This review
! will include site visits to ensure that actual site conditions have been incorporated into the design and
that the intent for any future infrastructure improvements has been anticipated. A few items that may
_ impact any development are existing easements, traffic circulation patterns, drainage, water quality,
existing landscaped areas and slopes, non-conforming or damaged sidewalk, curb and gutter or other
hardscape surfaces, as well as deteriorated pavement sections. These important match-up elements
_ will be inspected for comparison with the information shown on the plans, and if conflicts are found,
it will be brought to the attention of City staff for direction and input on the best response to make
the new design work or function as intended and meet the intent and requirements of the conditions
-- of approval and master plan elements.
