By minute motion, award Contract No. C24680 for
Landscape Maintenance Area No. 9 to Vintage Landscape,
Inc. of Bermuda Dunes, California in the amount of
$65,580.00.
Discussion:
On December 20, 2005 the City Clerk advertised and called for bids for
Landscape Maintenance Area No. 9. Bids were opened and read aloud on
Wednesday, January 4, 2006 at 2:00 P.M. with the following results:
Vintage Landscape, Inc. (Bermuda Dunes, CA) $ 65,580.00
Sunflower Landscaping (Indio, CA) $ 70,800.00
Hort Tech, Inc. (Palm Desert, CA) $132,348.00
Vintage Landscape, Inc. is the current vendor for Landscape Maintenance Areas
3, 4, 5 and 6. Their work in these areas, to date, has met City standards. Staff
has reviewed the proposal and considered their ability to perform at the
standards set by the City. Staff has concluded that Vintage Landscape will be
able to provide the contract services expected.

Therefore, staff recommends that, by minute motion, Contract No. C:24680
for Landscape Maintenance Area No. 9 be awarded to Vintage

AGREEMENT
THIS AGREEMENT is made and entered into the City of Palm Desert on this 26 day of January, 2006,
by and between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to as "CITY",
and Vintage Landscape, Inc. referred to as "CONTRACTOR".
WITNESSETH:
WHEREAS, on December 20, 2005 the CITY invited bids for landscape maintenance services for City
maintained properties per specifications; and
WHEREAS, pursuant to said invitation, CONTRACTOR submitted a proposal, which was accepted by
CITY for said services.
NOW, THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafter
contained, the parties hereto agree as follows:
(1) TERM. The term of this Agreement shall be from February 1, 2006, through January 31, 2006, or
to such later date as may be agreed in writing between parties.
(2) CITY'S OBLIGATIONS. For furnishing services, as specified in this Agreement, CITY will pay and
CONTRACTOR shall receive in full compensation, therefore the total sum sixty five thousand five
hundred eighty dollars and no cents, $65,580.00 as set forth in the Contract Documents and
adopted by the CITY.
(3) CONTRACTOR'S OBLIGATION For, and in consideration of the payments and agreements
hereinbefore mentioned to be made and performed by CITY, CONTRACTOR agrees with CITY to
furnish the services and to do everything required by this Agreement and the Specific Terms and
Conditions.
(4) HOLD HARMLESS AND INDEMNIFICATION. CONTRACTOR agrees to defend, indemnify, and
hold harmless The City of Palm Desert, its officials, officers, employees, representatives, and
agents from and against all claims lawsuits, liabilities or damages of whatsoever nature arising
out of our connection with, or relating in any manner to, any act or omission of CONTRACTOR,
his agents, employees, subcontractors and employees thereof in connection with, the
performance or non- performance of this Agreement. The CONTRACTOR shall thoroughly
investigate any and all claims and indemnify the CITY and do whatever is necessary to protect
the City of Palm Desert, its o�cial, officers, employees, agents, and representatives as to any
such claims, lawsuits, liabilities or damages.
(5) AMENDMENTS. Any amendment, modification, or variation from the terms of this Agreement
�shall be in writing, signed by the CONTRACTOR and approved by the City Council of the CITY.
(6) TERMINATION. If, during the term of this Agreement, CITY determines that CONTRACTOR is
not faithfully abiding by any term or condition contained herein, CITY may notify CONTRACTOR
in writing of such defect or failure to perform; which notice must give CONTRACTOR a three (3)-
day notice of time thereafter in which to perform said work or cure the deficiency. If
CONTRACTOR fails to perform said work or cure the deficiency within the three (3) days
specified in the notice, such shall constitute a breach of this Agreement and CITY may terminate
this Agreement immediately by written notice to CONTRACTOR to said effect. Thereafter, except
as otherwise set forth herein, neither party shall have any further duties, obligations,
responsibilities, or rights under this Agreement except, however, any and all obligation of
CONTRACTOR's surety shall remain in full force and effect, and shall not be extinguished,
reduced, or in any manner waived by the termination hereof. In said event, CONTRACTOR shall
be entitled to the reasonable value of its services performed from the beginning of the period in
which the breach occurs up to the day it received CITY's Notice of Termination, minus any offset

TECHNICAL ABILITY AND EXPERIENCE
The bidder must verify acceptable experience of diversified landscape maintenance and
in the maintenance of native, desert and arid plant species in an urban setting.
Adequate information about this experience and training must be supplied with this bid
form to allow the City ta judge the responsibility, experience, ski{[, and business/financial
standing of the bidder.
Due to the lacatian and unique nature af the plant materia( associated with this
maintenance area, the City Council of the City of Palm Desert reserves the right to
reject bids from firms that do not reflect adequate training, experience and qualifications
to conduct the necessary warfc.
Additional numbered pages autlining information required for this portion of the proposal
shall be attached as necessary.
The bidder is required to state all work of a similar character(exc[uding any existing City
contract/s) to that included in the proposed contract that he has performed in the last

Due to the location, size/extent and maintenance requirements of the maintenance
area, bidder is required to state how he wifl provide the necessary maintenance and
services in the specifications. State the estimated manpower your campany will use
each week to fuffill the contract, including supervision, irrigation and general labor sub-
categories. Include the following infarmation to establish the company's ability to meet
the contract standards:
- The forrnal horticuftural training of the personnel that will be used to directly
oversee and/or perform the various tasks outlined in the specifications.
- Describe the experience and training of the personnel that will be used to
oversee and/ar perform the various tasks outlined in the specifications.
- Describe the company's training program/s in desert landscape maintenance
provided for new and field employees.

Vintage Landscape supervisors have over ten years with the company.
Training is completed in-house. We have horticulturists and certified arborists
on staff. Area 9 shall be completed with our team consisting of an off-site part
time supervisor, irrigator foreman, gardener and Treerite crew.

Horticultural Training and Experience
Vintage Landscape is dedicated to a philosophy of strong supervision, education
and innovation that results in high productivity and quality.
Education is a continuous process at Vintage Landscape. AI Hollinger, a
horticulturist and our Divisions Manager is personally involved with promoting
proper horticultural practices. AI is consistently involved with various educational
projects at College of the Desert, the Living Desert, municipalities, and various
trade and community organizations. These include formal teaching, speaking at
seminars and contributing articles to publications. Because of this, AI is
passionate about training our team members to perform work in a professional
manner.
Our supervisors attend Tuesday morning staff meetings that are used to address
administrative and management issues. We also use these meetings for
ongoing horticultural training. Quarterly we bring an outside management
consultant to present all day seminars in the Spanish language. We also bring in
outside consultants to present quarterly jobsite mini-seminars to all of our
employees on loss prevention and safety topics. Weekly safety meetings are
conducted by supervisors for all work crews.
Tree Rite superintendents and foreman attend periodic trade seminars and some
have attended the arboriculture class at C.O.D. We also have a formal training
program for gardeners that are followed up at the jobsite as part of the regular
work. We are consistently looking for new and better ways to continue to
educate ourselves, employees, clients and the general public
