Recommendation:
Ratify the City Manager's authorization to enter into an agreement with Traffex
Engineers, Inc. for traffic engineering services in the amount of $9,570.00, and
authorize the Mayor to execute the agreement.
Discussion:
The traffic signals within the City of Palm Desert require continuous and ongoing
maintenance to provide for synchronization and smoother traffic flow. Historically, this
service has been obtained by means of the CVAG Valleywide Traffic Signal
Synchronization project and other miscellaneous agreements. However, those
agreements and projects are no longer in effect.
The Public Works Department would like to retain Traffex Engineers, Inc. to provide
these services. Traffex is currently providing contract traffic engineering services to the
cities of La Quinta, Rancho Mirage and Indian Wells. They are familiar with many of the
issues affecting travel along the most heavily traveled corridors in the Coachella Valley
and have been working on behalf of these agencies to solve these problems. The
Public Works Department is confident that Traffex Engineers will make sure that the
timing pattems are suitable for the various traffic flows experienced at different times of
the day, week, and season. Traffex' proposal is to provide these needed services
through the end of June, 2007 (FY 06-07) for the amount of $9,570.00.

Traffex is on the approved list of consultants, allowing us to use their company for
agreements up to $25,000 without requesting competitive proposals.
In order to provide for these maintenance services in an uninterrupted fashion, staff
sought and obtained approval from the City Manager to requisition a purchase order.
Funds are available in the Traffic Signal Maintenance account number 110-4250-433-
3325. Therefore, staff recommends that City Council ratify the City Manager's
authorization to enter into an agreement with Traffex Engineers, Inc. in the amount of
$9,570.00, and authorize the Mayor to execute the same.

AGREEMENT
THIS AGREEMENT, made and entered into this 27th day of April, 2006, by and
between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to
as "CITY" and Traffex Engineers, Inc., hereinafter referred to as "CONSULTANT".
WITNESSETH:
WHEREAS, CONSULTANT is a corporation, the principal members of which are
Professional CONSULTANTS duly registered under the laws of the State of California;
and
WHEREAS, CITY desires to engage CONSULTANT to render certain technical
and/or professional CONSULTING services as set forth in Exhibit "A" (Consultant's
Proposal of Services) in connection with Traffic Engineering Services to Maintain Traffic
Signal Synchronization Timing for the Public Works Department;
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage CONSULTANT to perform the
technical and/or professional services as hereinafter set forth.
(2) CONSULTANT shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A" attached
hereto and by reference incorporated herein and made a part hereof.

(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in
Exhibit "A" hereof shall be furnished to CONSULTANT without charge by CITY and
CITY shall cooperate in every way reasonable in the carrying out of the work without
delay.
(4) CONSULTANT represents that, it employs or will employ at its own
expense, all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by
CONSULTANT or under its direct supervision, and all personnel engaged in the work
shall be qualified and shall be authorized or permitted under state and local law to
perform such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Director of Public Works has not
authorized CONSULTANT to proceed.
(7) The CONSULTANT shall work closely with the CITY's Director of
Public Works, or his designated representative, who shall be the principal officer of the
CITY. The CONSULTANT shall review and receive the Director of Public Works'
approval of the details of work as it progresses. The Registered Civil CONSULTANT
hereby designated by the CONSULTANT as its representative for supervision of the
work required by this Agreement is Nazir Lalani, P.E., California License #
01415/40433.
(8) The CONSULTANT warrants that he has not employed or retained
any company or person, other than a bona fide employee working solely for the

consultant, to solicit or secure this Agreement, and that he has not paid or agreed to
pay any company or person, other than a bona fide employee working solely for the
consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, CITY shall have the right to annul this
Agreement without liability, or in its discretion to deduct from the contract price or
consideration, or otherwise recover, the full amount of such fee, commission,
percentage, brokerage fee, gift or contingent fee.
(9) The right is reserved by the CITY to terminate the Agreement at
any time upon seven (7) days written notice, in the event the project is to be abandoned
or indefinitely postponed, or in the event the CONSULTANT's services, in the sole
judgment of CITY, are unsatisfactory or because of the CONSULTANT's failure to
prosecute the work with diligence or within the time limits specified or because of his
disability or death. In any such case, the CONSULTANT shall be paid the reasonable
value of the services rendered, based upon CONSULTANT's standard hourly rates, up
to the time of the termination. The CONSULTANT shall keep adequate records to
substantiate costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by CONSULTANT pursuant to this agreement shall be
used exclusively on this project and shall not be used for any other work without the

written consent of CONSULTANT. In the event CITY and CONSULTANT permit the re-
use or other use of the plans, specifications, reports or other design documents, CITY
shall require the party using them to indemnify and hold harmless CITY and
CONSULTANT regarding such re -use or other use, and CITY shall require the party
using them to eliminate any and all references to CONSULTANT from the plans,
specifications, reports and other design documents.
(11) The CONSULTANT shall comply with all federal, state and local
laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the CONSULTANT shall be made except by supplemental authority in writing
between CITY and the CONSULTANT. The supplemental authority shall set forth the
changes of work, extension of time and adjustment of the fee to be paid by CITY to the
CONSULTANT, if any.
(13) In connection with the execution of this Agreement, the
CONSULTANT shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin. The CONSULTANT
shall take affirmative actions to insure equal employment opportunity and that
employees are treated during their employment without regard to their race, religion,
color, sex or national origin. Such actions shall include, but not limited to, the following:
employment, upgrading, demotion or transfer; recruitment or recruitment advertising;
layoff or termination; rates of pay, or other forms of compensation and selection for
training, including apprenticeship. This clause shall be included in each related
subcontract, if any, awarded by the CONSULTANT.

(14) The CITY agrees to pay the CONSULTANT for the work required
by this Agreement on the following basis:
CONSULTANT shall submit invoices monthly for services performed in
the previous month. CITY agrees to pay all undisputed invoices within thirty (30) days
of receipt of invoice. CITY agrees to notify CONSULTANT of disputed invoices within
fifteen (15) days of receipt of said invoice.

(15) The CONSULTANT agrees to complete the work as displayed in
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the CONSULTANT without written consent of
the CITY.
(18) The CONSULTANT shall be an independent contractor, not an
employee of the CITY.
(19) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds
thereof. The parties hereto covenant and agree that to their knowledge no member of
the City Council, officer or employee of the CITY has any interest, whether contractual,

non -contractual, financial or otherwise, in this transaction, or in business of the
contracting party other than the CITY, and that if any such interest comes to the
knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The CONSULTANT hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The CONSULTANT further
covenants that in the performance of this work no person having any such interest shall
be employed by the CONSULTANT.
(20) The CONSULTANT shall indemnify and save harmless the CITY,
its officers and employees from and against any liability, loss, cost or expense resulting
from any injury or damage to persons or property caused by the negligent acts or
omission of the CONSULTANT, its agents or employees, while engaged in the
performance of this Agreement.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:

Dear Mr. Greenwood:
Per your request, Traffex Engineers, Inc. is pleased to have this opportunity to demonstrate our
qualifications and commitment to provide traffic engineering services to the City of Palm Desert.
The proposal identifies the scope of work to develop and maintain traffic signal synchronization
timing on Highway I I I and other corridors in the City of Palm Desert:

provide the kind of traffic engineering services we believe will be required.

responsible for providing consulting services for this project.

Traffex Engineers' hourly rate schedule has been provided in this section.
Traffex Engineers is currently providing contract traffic engineering services to the Cities of La
Quinta, Rancho Mirage and Indian Wells. We are familiar with many of the issues affecting travel
along the most heavily traveled corridors in the Coachella Valley and have been working on behalf
of these agencies to solve these problems.
We will make sure that the timing patterns are suitable for the various traffic flows experienced at
different times of the day, both during the week and on weekends as well as during the off season
months. The traffic signal timing will be monitored on a regular basis throughout 2006-2007 to make
sure that problems are quickly corrected as they arise.
We are hopeful that the information provided will demonstrate that Traffex Engineers, Inc. has the
experience and commitment to provide the traffic engineering services that all five cities seek to

Nazir Lalani, President of Traffex Engineers, will be assigned to provide traffic engineering
consulting services to each City. Nazir has over 25 years experience on some of the most ground-
breaking work in the transportation industry and is considered a national leader in this field. He is a
registered civil and traffic engineer and has worked for public agencies in the U.S.A and Europe.
Staff Time Commitment
Traffex Engineers Inc. is ready to meet the time cominitment to complete tasks described in this
proposal during 2006-2007. Nazir will be present in the Coachella Valley every alternate weekend,
with some minor exceptions, throughout 2006-2007.
Data Collection
If needed, Traffex Engineers will arrange to use firms specializing in data collection to obtain traffic
count or other data when requested to do so by the City. There are several reputable firms in the
Southern California area that Traffex Engineers has successfully used to obtain data. Nazir has been
successful in implementing procedures to make sure the data are of consistent quality and can be
used to make reliable decisions. The cost of any data collection is not included in this proposal.
Proiect Area
The scope of work identified in this proposal will involve providing timing and other services as
needed to maintain a well coordinated traffic signal system along the Hwy I I I corridor. This will
include synchronizing traffic signals on Hwy I I I with the following intersecting corridors where
Traffex Engineers has already established synchronized traffic signal timing:
Monterey Avenue from Hwy I I I to Country Club
Washington Street from Hwy I I I to Country Club
Traffex Engineers will also be available to work for the City during 2006-2007 to provide
synchronized signal timing on the following corridors:
Cook Street from Hwy I I I to Washington Street
Country Club Drive from Monterey Avenue to Washington Street
Fred Waring from Hwy I I I to Jefferson Street
Portola Avenue from Hwy I I I to Country Club Drive
Review of Existina Information
In order to maintain well coordinated signal timing plans to provide smooth traffic flow, Traffex
Engineers will use the following information for each intersection to be included in the coordination
timing:
1. Travel Time Studv Data: Existing data will be used, where available.
2. SiRnal Timiniz Sheets: Timings sheets are already on file at City Hall.
3. Traffic Count Data: There are some data on file. We may request additional data from the
City if needed.
4. Traffic Si2nal Desi2n Plans: Traffic signal design plans on file at Palm Desert City Hall.
Maintainin2 Si2nal Timin2 Plans
Nazir Lalani has timed several hundred traffic signals during his career for a variety of public
agencies including the City of Santa Rosa, Santa Barbara County, City of Ventura and the County of
Ventura. This includes timing signals for independent isolated operation as well as coordination
timing for signals in synchronized systems. Nazir has implemented surveillance systems such as
Quicnet to monitor the performance of individual signals as well as groups of signals that are in
coordination. Nazir has considerable experience in making sure that signal timing provides smooth
traffic flow on heavily traveled corridors that rely on both the Type 170 and NEMA controllers.
Traffex Engineers has identified an optimum approach which involves the following steps:
1. Work with City staff and adjacent local agencies to correct all hardware problems so that
equipment is working at all traffic signals.
2. Verify that the master controllers are communicating with all local intersections and that all
clocks are in sync. with the City's Central Computer System (Aries).
3. Determine the minimum cycle length which can be implemented on a specific corridor based
on pedestrian and vehicular timing requirements.
4. Coordinate the traffic signals on corridors crossing such as Washington Street or Monterey
Avenue so that smooth flow is provided on all corridors.
5. Make sure timing plans are available to cover following periods:
• Week Day AM Peak/PM Peak
• Week Day Off Peak
• Week Day Late Evening
• Weekend Peak
* Weekend Off Peak
6. Drive the various corridors during various times of the day to fine tune the traffic signal
coordination timing by adjusting the green times assigned to various phases of each signal,
the offsets and phase sequencing.
7. Make sure the system in Palm Desert remains in sync. with the adjacent systems in Rancho
Mirage and Indian Wells.
8. Monitor the Hwy I I I and other systems on a regular basis throughout the year to identify
problems and take corrective action in coordination with traffic signal technician staff.
9. Maintain a close working relationship with local agency staff and the staff of adjacent local
agencies to develop a team approach to solving any problems at any traffic signal along the
corridor or in the communication hardware.
10. Provide new timing for the time period from 11-6 p.m. on weekdays during the winter high
season months. As the City of Indian Wells moves forward with Phase I of the Hwy I I I
widening project, as traffic flow capacity is improved, there will be opportunities to reduced
the current 150 second cycle length down to 130 seconds.

The cost for the project has been provided the Table I and is based on the following:

The number of signals anticipated to be included in the project.
The Consultant's hourly rate of $145.00

As soon as a purchase order agreement has established to cover the cost of the project, work will
continue to fine tune signal timing to keep traffic flowing smoothly along the Hwy I 11. It is
anticipated that this will occur by early April, 2006 because seasonal traffic will be decreasing along
Hwy I I I and other corridors.
It is anticipated that a significant amount of fine tuning will be needed when the City takes over
Hwy I I I from Caltrans in June of 2006 and changes the controllers from Type 170s to Econolite
ASC2 or ASC3. The project is anticipated to continue through all of 2006-2007 and subsequent
years if authorized by the City.

traffic engineering services to the various agencies, a pager can be acquired so that agency

Traffex Engineers owns several high resolution digital cameras that can be used for taking
pictures during field investigations.

deemed necessary to complete assignments.

County of Ventura, California: Deputy Director in charge of the Traffic and Transportation
Division in the Transportation Department of the Ventura County Public Works Agency.
Responsible for managing the Traffic, Encroachment Permit and Transportation Planning
Sections. Duties include Development Review, Traffic Mitigation Fee Program, Regulation of
Filming Activities and Storm Damage Assessment. General Plan consistency issues and
defending the County against road related litigation are major areas of responsibility.
City of Ventura, California: City Transportation Engineer in charge of all transportation and traffic
related programs, funding of ISTEA and TEA-21 projects, Petroleum Violation Signal Coordination
Grant Program, update of the City's General Plan and Circulation Element. Project Manager of the
Capital Projects funded by the City's Traffic Mitigation Fee Program and Gas Tax Fund.
Responsible for making presentations at City Council, Planning Commission meeting as well As
communicating with the press and holding public workshops.
Responsible for the Traffic Operations section which implements low cost short-term traffic
improvement projects to improve traffic safety and capacity at critical intersections, responds to
citizens requests and collects count data. Provide technical assistance for the City's Neighborhood
Traffic Management Program aimed at calming traffic on residential street. Supervise the
Transportation Planning section, which reviews all new development applications and public
improvement construction, plans. Project manager in charge of coordinating all transit services in the
City provided through South Coast Area Transit. Responsible for implementing a traffic signal and
video surveillance system. In charge of citizen request and information program.
Santa Barbara County, California: Senior Planning and Development Engineer in charge of the
Development Review, Plan Check, Encroachment Permit and Traffic Engineering sections of the
Planning and Development Division. Prepared annual budget for each section; developed annual and
long-range program development; reviewed environmental documents and plans for private
development and other public agency projects; coordinated with other divisions, departments,
federal, state and local agencies, private engineers, contractors, property owners, utility companies,
elected officials and the public.
Supervised and reviewed preparation of environmental documents, plans, specifications and
estimates for road projects; prepared written and oral engineering reports; coordinated County -
supported Transit Systems. Developed, interpreted and presented Departmental policies; evaluated
existing or proposed legislation; consulted with County Counsel and appeared in court as an expert
witness when necessary. Coordinated with Area Planning Council and Resource Management
Department in the updating of the Circulation Element of the General Plan; member of the County's
Traffic Engineering Committee and responsible for handling all requests related to traffic
engineering.
City of Santa Rosa, California: Traffic Engineer in charge of the Traffic Engineering Division and
all aspects of traffic engineering responsibilities; reviewed all construction plans, signing and
striping plans as well as all work orders. Developed goals, objectives, and work plans for the Traffic
Engineering Division. Reviewed all Traffic Impact studies and prepared budgets for Traffic
Engineering Division, and made presentations to City Council, Traffic and Parking Committee and
Planning Commission. Prepared signal timing plans for all signalized intersections; project manager
on implementing a microcomputer based Traffic Signal Surveillance system. Conducted traffic
safety studies and developed computerized systems for identifying, analyzing and improving high
accident locations. Handled meetings to address citizen neighborhood traffic problems. Developed
microcomputer system to assist in Traffic Engineering analyses and systematic count data collection
program..
Citv of Lakewood, Colorado: Principal Traffic Engineer in charge of development review, traffic
safety and street lighting program in the Traffic Engineering Division and the administration of the
State Highway Access Code. Coordinated the review of plans and public improvement agreements
for private development; attended Planning Commission hearings; reviewed traffic impact and
parking analysis studies; managed traffic impact studies contracted by the city. Project Manager for
the preparation of the City's Functional Plan and various Capital Improvement Projects; developed
Design Standards for adoption into City ordinances. Reviewed geometric design plans for street
improvements and prepared preliminary functional design plans for City reconstruction projects by
laying out street alignments in developing areas. Assisted in the development of the City's accident
data storage system, conducting Traffic Safety studies and preparing construction plans for design
projects. Reviewed street lighting and construction signing plans. Determined signal timing, using
Passer 11-80 and the Multisonics VMS 220 signal coordination system.
Jefferson Countv, Colorado: Transportation Planning Engineer in charge of the Planning Section of
the Transportation Division. Coordinated the review of plans for private development proposals in
Jefferson County; attended Board of Supervisors hearings; prepared Traffic Impact reports for
proposed road network changes. Conducted transportation studies for specific areas within Jefferson
County and coordinated preparation of technical reports on sections of the existing road network in
most need of improvement.
Citv of Phoenix, Arizona: Section Supervisor in the Design, Planning, and Safety Division of the
Traffic Engineering Department. Prepared safety reports to reduce accidents at high hazard locations
and conducted before and after studies to evaluate safety improvements. Coordinated, streamlined,
and modernized the Traffic Accident Record Storage Data system using photogrammetry; prepared
presentations for public hearings on proposed median island, bottleneck and major street
improvement programs. Prepared reports on experimental traffic engineering projects and researched
current problems in traffic operations; advisor for the traffic safety and public education campaigns
of the Phoenix Traffic Safety Coordinating Committee.
Greater London Council, En2land: Assistant Engineer in the Road Safety conducting traffic safety
studies, developing neighborhood traffic management plans as well as installing roundabouts,
pedestrian light controlled (PELICAN) crossings and bus priority lanes, and evaluating the Oxford
Street Pedestrian and Transit Mall. Assignments also included researching various techniques for
reducing roadway collisions and publishing papers summarizing the results of a variety of research
projects.

CONDITIONS
I Rates do not include surcharges by referral services which will be added to the above hourly
rates.
2. Travel, subsistence, reproduction, telephone, supplies, and other non -wage costs directly
related to the project will be billed at cost. Travel time is measured from portal to portal.
3. Clients will be billed for the tirne and expenses required to perform the necessary tasks.
Trips requiring overnight stays will be billed for all associated travel costs.
4. Traffex Engineers, Inc. reserves the right to bill for time and expenses incurred in the event
of a short notice cancellation.
5. Payments for services rendered are not contingent upon the results of any legal action,
arbitration, settlement or collection. Unless special arrangements are made, fees and
expenses will be billed monthly for work in progress or upon completion of work.
6. Invoices are payable within 30 days of receipt. Any invoice unpaid after 60 days shall have
service charges added at a rate of 1.5 percent per month (18 percent per year) on the unpaid
balance.
7. Compensation for services performed will not be contingent upon the necessity Of Client to
receive payment from other parties. Traffex Engineers reserves the right to cease work on all
delinquent accounts.
8. Any cost estimates for services anticipated are budgeting purposes and are not binding.
9. Rates are subject to change on January I of each yearwithout othernotice. Work performed
in subsequent periods will be charged the adjusted rates.
10. Unless Trafflex Engineers is notified otherwise in writing, all agreements or contracts will be
considered completed, either two years from the last work performed on the assignment or
upon written notification by the client, at which time all materials will be discarded without
further notice.

Subject: Authorization of Purchase Order for Traffex Engineers, Inc.
The traffic signals within the City of Palm Desert require continuous and ongoing maintenance
to provide for synchronization and smoother traffic flow. Historically, this service has been
obtained by means of the CVAG Valleywide Traffic Signal Synchronization project and other
miscellaneous agreements. However, those agreements and projects are no longer in effect.
The Public Works Department would like to retain Traffex Engineers, Inc. to provide these
services. Traffex is currently providing contract traffic engineering services to the cities of La
Quinta, Rancho Mirage and Indian Wells. They are familiar with many of the issues affecting
travel along the most heavily traveled corridors in the Coachella Valley and have been working
on behalf of these agencies to solve these problems. The Public Works Department is
confident that Traffex Engineers will make sure that the timing patterns are suitable for the
various traffic flows experienced at different times of the day, week, and season. Traffex'
proposal is to provide these needed services through the end of June, 2007 (FY 06-07) for the
amount of $9,570.
Traffex is on the approved list of consultants, allowing us to use their company for agreements
up to $25,000 without requesting competitive proposals. We hereby request that you approve
the creation of a purchase order to Traffex Engineers, Inc. in the amount of $9,570.
Subsequent to your approval, the Public Works Department will take the matter to the City
Council for ratification.
