By Minute Motion, Authorize the Mayor to execute a Storm
Drainage and Retention Basin Maintenance Agreement with
Rilington Dolce, LLC.
Discussion:
Rilington Dolce, LLC is currently developing a 159 residential lot subdivision
within about 30 acres at the northeast corner of Gerald Ford Drive and Gateway
Drive. Rilington's approved improvement plans include a retention basin to be
constructed in Lot Y (northeast corner of Dolce Avenue and Cortesia Way) of
Rilington's map. The subdivision will need to drain into the retention basin if the
storm drain proposed to be constructed in Dolce Avenue as part of the Section
29 Assessment District (AD 2004-02) is not installed and accepted by the City
when Rilington is ready to pull a grading permit to construct those portions of
Rilington's private Cierra Street and/or Cortesia Way as shown in the attached
exhibits. Additionally, Rilington shall deposit, with the City, $50,000.00 as
security to maintain the retention basin. The City can use the deposit should
Rilington not maintain the basin satisfactorily. Any and all remaining funds from
the deposit will be returned when the storm drain line is installed, Rilington has
connected to it and the City has accepted all work.

Therefore, staff recommends that City Council by minute motion, authorize the
Mayor to execute the attached Storm Drainage and Retention Basin
Maintenance Agreement.

MAINTENANCE AGREEMENT
Tltis STORM DRAINAGE AND RETENTION BASIN MAINTENANCE
AGREEMENT ("Agreement") is made and entered into this day of
20_, by and between THE CITY OF PALM DESERT ("City") and RILINGTON DOLC�,
LLC, a California limited liability company ("Riline on") with reFerence to tlle facts set forth
below.
RECITALS
A. RilingYon is the owner of that certain real property located in the City of Palm
Desert, Riverside County, California, as more particularly described as:
Lot Y of Tract Map 31071, in the City Of Palm Desert, County of
Riverside, State of California, as Recorded in Book 396, Pages 75
througl� 81 of Maps in the Office of Yhe County Recorder of
Riverside County ("Map").
B. Rilington is currently developing that certain property located across the street
from Lot Y as a single family residential community ("Dolce Property"). The City is
concurrently in the process of installing or causing to be installed, a permanent storm draiu lii�e
("Storm Drain Line") in Lot M of Yhe Map ("Dolce Avenue"), which, when installed, will acce�t
the storm water drainage from the Dolce Property.
C. [InYil Yhe Storm Drain Line is installed, the Dolce Property is designed so that its
stonn water drains into Dolce Avenue. As a condition to the development of the Dolce Properry.
the City is requiring Rilington to maintain a retention basin ("Retention Basui") on Lot Y to hold
the stoim water runoff from Dolce Avenue from the date that is the earlier to occur of (i) tl�e
issuance of a grading permit for tlle construction of Cortesia Way as shown on the Map, tlle
approved street improvement plans and Exhibit "A" attached hereto and incorporated herein
("Cortesia Permit") and (ii) the issuance of a grading permit for the construction of Cierra Street
as shown on the Map, the approved street improvement plans and Exhibit "A" ("Cierra Pei•mit")
(the date of the earlier to occur of (i) and (ii) shall be referred Co herein as the "Road Permit
Date"), until such time as the Storm Drain Line is installed and accepted by the City, as set forth
herein.

NOW, THEREFORE, in consideration of the foregoing a�id other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the partiesl�ereby
agree as set forth below.
AGREEMENT
I. CorCesia Permit and Cierra Permit. Rilington acknowledges and agrees that the
City will not issue the Cortesia Permit or the Cierra Permit until the earlier to occur of tlle
following events: (i) the Storm Drain Line is installed and accepted by the Ciry, or (ii) Rilington
has posted the Security (as defined below).
2. Securitv. lf the Storm Drain Line is not installed and accepted by the City prior to
the date that Rilington cequires the Cortesia Permit and/or the Cierra Permit, Yhen iu order to
obtain the Cortesia Permit and/or the Cierra Permit, as applicable, Rilington shall deliver to the
City, in a form reasonably acceptable to the City, an instrumenC of credit in the amo�mt oF Fifty
Thousand Dollars ($50,000.00) ("Security"). If the City determines that Rilington is not
maintaining the Retention Basin as seY forth herein, the City shall so notify Rilington and
Rilington shall have ten (10) days to cure such default, or if such default cannot be cw•ed within
such ten (10) day period, to commence to cure such default and diligently pursue such cure to
completion. If Rilington fails to cure such default, or to commence and diligently pursue such
cure as set forth in the prior sentence, the City shall have the right to cure such default and to pay
for the costs thereof out of the Security. Upon the date that tl�e Storm Drain Line is installed and
accepted by the City, the City shall promptly return all remaining Security funds to Riliilgton.
3. Maintenance of Retention Basin. Commencing on the Road Permit Date, and
terminating on the date that the Storm Drain Line is installed and accepted by the City, Rilington
shall maintain the Retention Basin in a good condition in accordance with Yhe Storm Water
Poflution ProtecCion Plan and all Best Management Practices applicable to the Retention Basiu.
Rilington shall have the obligaYion to obYain all necessary permits from the City for the
maintenance of the Retention Basin. The maintenance of the Retention Basin shalt be performed
by Rilington and its agents and contractors in accordance with the terms of such permits.
4. Covenants Runnin� With the Land. Except as otherwise provided herein, all of
the provisions, agreements, covenants, conditions, restrictions and obligations contained in tliis
Agreement shall be perpetual and shall be binding upon and shall inure to the benefited parties
hereto, Yheir respective heirs, executors, administrators, successors, assigns, devisees,
representations, lessees and all other persons acquiring the respective properties subject to this
Agreement, or any portion thereof or any interest therein whether by operation of law or any
manner whatsoever. All of the provisions of this Agreement shall be covenants running with the
land pursuant to applieable law, including, but not limited to, Sectioil 1468 of the Civil Code of
the SCaCe of California. It is expressly agreed that each covenant contained herein (i) is for Yl�e
benefit of Dolce Property and is a burden upon Lot Y, (ii) runs with each party's property,
(iii) benefits and is binding upon eacl� successor owner during its ownership of each party's
pr�perty or any portion thereof, and (iv) benefits and is binding upon each owner having any
, interest therein derived in any manner through any owner of any party's property or any porCion
thereof.

5, Waiver. Waiver by any party of any breach by the other party of any term or
condition hereof shall not be deemed a waiver of any subsequent breach of the same or any other
term or condition hereof.
6, Bntire A�reement. This Agreement and the exhibits hereto constitutes the final
and complete agreement, and supersede all prior correspondence, memoranda or agreements
between the parties relating to the subject matter hereto. This Agreement cannot be changed or
modified other than by a written agreement executed by both parties.
7. Bindin�on Successors. The provisions of this Agreement shall extend to, bind
and inure to the benefit of the parties hereto and their respective personal representatives, lieirs,
successors, and assigns.
8. Attornevs' Fees. ln the event of any action between the parties hereto for breach
of or to enforce any provision or right hereunder, the non-prevailing party in such action shall
pay to the prevailing party all costs and expenses expressly including, but not limited to,
reasonable attorneys' fees incurred by the prevailing party in connection with such action.
9. Severabilitv. In the event any term, covenant, condition, provision, or agreement
conYained l�erein is held to be invalid, void, or otherwise unenforceable, by any coui�t of
competent jurisdiction, such holding shall in no way affect tl�e validity or enforceability of ai�y
other term, covenant, condition, provision, or a�reement eontained herein.
10. Governing Law. This Agreement shall be interpreted, construed, and enforced in
accordance with the laws of the State of California.
ll. Counterparts. This Agreement may be executed in multiple counterparts, each of
which shall be deemed to be an original agreement, and all of which shall constitute one
agreement.
I2. Termination or Modification. This Agreement may not be eYtinguished,
terminated or modified without the written recarded concurrence of the parties hereto or their
respective successors and assigns.
13. Notices. Any notices required or permitted to be given under this Agreement
shall be in writing and shall be given personally or deemed delivered four (4) days after tl�e
notice is mailed to the party with first class postage prepared by cerCified mail, return receipt
requested or upon the next business day after deposit with a nationally recognized overnight
courier to the addresses and contacts specified below. Written notice of any change of address
shall be given in accordance wiCh this Section.
