Recommendation:
By Minute Motion, that the City Council:
1. Approve Contract No. C 2626o with Nasland Engineering in the
amount of $45,282.00, plus $1,000.00 in reimbursables, to prepare a
parking structure feasibility study for Presidents' Plaza I (East/West).
Funds are available in Fund 400.
2. Authorize the Finance Director to set aside the amount of $4,528.20 as
a 10 percent contingency (use of contingency requires additional
action); and
3. Authorize the City Manager to execute said agreement.
Executive Summarv:
The Presidents' Plaza I Property and Business Improvement District consists of two
parking lots that service customers and businesses located on the south side of
Highway 111 and the north side of EI Paseo, between Larkspur Lane and Portola
Avenue. The District faces challenges to address the general building and parking lot
aesthetics, as well as the increasing parking demands. As the businesses in this area

remodel and revitalize their facades, the customer base also continues to steadily grow.
There is a subsequent shortage in parking within both parking lots during peak periods.
On February 22, 2007, the City Council directed staff to explore the feasibility of
constructing a parking structure. To assist in this effort, staff recommends entering into
an agreement with Nasland Engineering, of San Diego, California, in the amount of
$45,282.00, 10% contingency plus up to $1,000.00 in reimbursables. Nasland
Engineering will provide a complete analysis of the feasibility of constructing a parking
structure within Presidents' Plaza I. The scope of their work includes the following:
• Examination of pedestrian and vehicle traffic flow for each parking lot (east/west)
and identifying appropriate location(s) for a parking structure, if required.
• Researching and identifying the location of current underground utilities.
• Identification of possible construction constraints.
• Preparation of a schematic plan for a preferred site to build a parking structure.
• Cost estimates and estimated construction timeline.
• Conferring with City staff/City Council to discuss findings and identify preferred
site.
The results of this study will assist in determining the best utilization of existing land and
financial resources in addressing the current and futu�e parking needs at Presidents'
Plaza I and adjacent commercial properties near EI Paseo.
Discussion:
The Presidents' Plaza I Property and Business Improvement District was formed in the
mid-1990's to provide funding for common parking lot maintenance, waste removal,
street sweeping, and landscape maintenance benefiting all property owners within its
boundaries. The District is located on the south side of Highway 111 and north side of
EI Paseo, befinreen Portola Avenue and Larkspur Lane (see attached aerial maps). City
staff administers the District, which was re-established in 2003 for a five-year term.
Today, the District faces several challenges to provide a safe, clean, and welcoming
environment. These issues include the availability of the parking during peak periods,
the capacity and aesthetics of the existing trash/recycle bins, the safety of the existing
interior sidewalks, and the condition of the parking lot pavement.
To address the aesthetics issues, staff budgeted $1.7 million for Fiscal Year 2006/2007.
The improvements to the parking lot would assist the District in solving the challenges it
faces. A staff report was presented to the City Council requesting that a contract be
awarded to Nasland Engineering to provide preliminary design services for the parking
lot renovations within the District.

On February 22, 2007, the City Council continued this item and requested that staff look
at the feasibility of building a parking structure within the District. As the property
owners continue to remodel and update their facades, the businesses within are
becoming more successful. Success in this district has increased the parking demands.
There are currently 879 parking spaces within both Presidents' Plaza I parking lots and
65 spaces along the Highway 111 frontage road.
On March 31 and April 1, 2005, the Planning staff performed an analysis on the current
levels of vacant parking spaces at the west parking lot within Presidents' Plaza I, which
they believed accurately demonstrated the high season parking impact. The results are
as follows:

As this analysis indicates, the parking demand at the Plaza, although high, is not at
100%. However, as a guideline, parking is considered near capacity when the vehicle
occupancy rate is close to 90%, which is clearly demonstrated by this analysis. Staff
believes this analysis is representative of both east and west parking lots.
The Gardens on EI Paseo Parking Structure
The Gardens of EI Paseo multi-level parking structure was built in 1996. The Palm
Desert Redevelopment Agency funded a portion of the parking structure cost, and
established a public parking easement over the entire structure. The structure was built
with an extra 200 parking spaces above the required parking for the center. Over the
years, these extra parking spaces have been assigned to new or expanding businesses
located on EI Paseo and Presidents' Plaza I in an effort to promote economic
development and revitalization. Below is a summary of the projects that have received
approval to utilize the Gardens on EI Paseo parking structure for employee parking
and/or to accommodate their parking shortages.

As the City looks towards the future, the business within the Presidents' Plaza will need
to rehabilitate and remodel their buildings to keep up with other retail and restaurant
competition throughout the Coachella Valley. In order to facilitate business remodels
and expansions within Presidents' Plaza I and on EI Paseo, it will be important to
examine the most efficient way to provide on-site parking. One way to accomplish this
is to look at the feasibility to build a multi-level parking structure. In order to ascertain
the most logical location in addressing increased parking demands at Presidents' Plaza
I, staff recommends that the City enter into an agreement with Nasland Engineering, in
the amount of $45,282.00, plus $1,000.00 in reimbursables to conduct a parking
structure feasibility study. The scope of this study will include:
• Examination of pedestrian and vehicle traffic flow for each parking lot (east/west)
and identifying appropriate location(s) for a parking structure, if required.
• Researching and identifying the location of current underground utilities.
• Identification of possible construction constraints.
• Preparation of a schematic plan for a preferred site to build a parking structure.
• Cost estimates and estimated construction timeline.
• Conferring with City staff/City Council to discuss findings and identify preferred
site.
Upon completion of the feasibility study, the City will have a conceptual site layout on a
preferred site, and estimated construction cost at Presidents' Plaza I. The study will
also address the maximum amount of building square footage that can be
accommodated with a parking structure, based on the City's current parking ordinance
requirements.
Once this information and the cost estimate is presented to the City Council, staff will
also make a recommendation on possible funding methods for this project. It is
important to note that within Project Area 1 (core commercial area) there is
approximately $15 million available for core commercial improvements, including the
Westfield Shopping Mall expansion and other related redevelopment projects.
Therefore, a Parking Assessment District may be a likely financing mechanism for this
project; whereby, business owners will have an incentive to participate, as increased
parking capacity correlates into a greater customer pool and the ability to rehabilitate
and expand existing business with Presidents' Plaza.

Staff recommends approval of a contract with Nasland Engineering to prepare a parking
structure feasibility study. Once the study is completed, staff will return this item to the
City Council with the study's findings and further recommendations.

AGREEMENT
THIS AGREEMENT, made and entered into this 12th day of April, 2007, by and
between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to
as "CITY" and NASLAND ENGINEERING, hereinafter referred to as "ENGINEER".
WITNESSETH:
WHEREAS, ENGINEER is a corporation, the principal members of which are
Professional ENGINEERS duly registered under the laws of the State of California; and
WHEREAS, CITY desires to engage ENGINEER to render certain technical and
professional engineering services as set forth in Exhibit "A" (Engineer's Proposal of
Services) in connection with a parking structure feasibility study for PRESIDENTS'
PLAZA I (EAST/WEST), CONTRACT NO. C
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage ENGINEER to perform the technical
and/or professional services as hereinafter set forth.
(2) ENGINEER shall perform all work necessary within the schedules
provided herein to complete the services set forth in Exhibit "A" attached hereto and by
reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in
Exhibit "A" hereof shall be furnished to ENGINEER without charge by CITY and CITY
shall cooperate in every way reasonable in the carrying out of the work without delay.
(4) ENGINEER represents that, it employs or will employ at its own
expense, all personnel required in performing the services under this Agreement.

(5) All of the services required hereunder will be performed by
ENGINEER or under its direct supervision, and all personnel engaged in the work shall
be qualified and shall be authorized or permitted under state and local law to perform
such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Assistant City Manager for Development
Services has not authorized ENGINEER to proceed.
(7) The ENGINEER shall work closely with the CITY's Assistant City
Manager for Development Services, or his designated representative, who shall be the
principal officer of the CITY. The ENGINEER shall review and receive the Assistant
City Manager for Development Services approval of the details of work as it progresses.
The Registered Civil Engineer hereby designated by the ENGINEER as its'
representative for supervision of the work required by this Agreement is
R.C.E. No.
(8) The ENGINEER warrants that he has not employed or retained any
company or person, other than a bona fide employee working solely for the consultant,
to solicit or secure this Agreement, and that he has not paid or agreed to pay any
company or person, other than a bona fide employee working solely for the consultant,
any fee, commission, percentage, brokerage fee, gifts, or any other consideration,
contingent upon or resulting from the award or making of this Agreement. For breach or
violation of this warranty, CITY shall have the right to annul this Agreement without
liability, or in its discretion to deduct from the contract price or consideration, or

otherwise recover, the full amount of such fee, commission, percentage, brokerage fee,
gift or contingent fee.
(9) The right is reserved by the CITY to terminate the Agreement at
any time upon seven (7) days written notice, in the event the project is to be abandoned
or indefinitely postponed, or in the event the ENGINEER's services, in the sole
judgment of CITY, are unsatisfactory or because of the ENGINEER's failure to
prosecute the work with diligence or within the time limits specified or because of his
disability or death. In any such case, the ENGINEER shall be paid the reasonable
value of the services rendered, based upon ENGINEER's standard hourly rates, up to
the time of the termination. The ENGINEER shall keep adequate records to
substantiate costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by ENGINEER pursuant to this agreement shall be used
exclusively on this project and shall not be used for any other work without the written
consent of ENGINEER. In the event CITY and ENGINEER permit the re-use or other
use of the plans, specifications, reports or other design documents, CITY shall require
the party using them to indemnify and hold harmless CITY and ENGINEER regarding
such re-use or other use, and CITY shall require the party using them to eliminate any
and all references to ENGINEER from the plans, specifications, reports and other
design documents.

(11) The ENGINEER shall comply with all federal, state and local laws,
ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the ENGINEER shall be made except by supplemental authority in writing between
CITY and the ENGINEER. The supplemental authority shall set forth the changes of
work, extension of time and adjustment of the fee to be paid by CITY to the ENGINEER,
if any.
(13) In connection with the execution of this Agreement, the ENGINEER
shall not discriminate against any employee or applicant for employment because of
race, religion, color, sex or national origin. The ENGINEER shall take affirmative
actions to insure equal employment opportunity and that employees are treated during
their employment without regard to their race, religion, color, sex or national origin.
Such actions shall include, but not limited to, the following: employment, upgrading,
demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates
of pay, or other forms of compensation and selection for training, including
apprenticeship. This clause shall be included in each related subcontract, if any,
awarded by the ENGINEER.
(14) The CITY agrees to pay the ENGINEER for the work required by
this Agreement on the following basis:
ENGINEER shall submit invoices monthly for services performed in the
previous month not to exceed the total contract amount of: Fortv-Five Thousand Two-
Hundred and Eiqhtv-Two Dollars and 00/100 ($45,282.00). CITY agrees to pay all
undisputed invoices within thirty (30) days of receipt of invoice. CITY agrees to notify

ENGINEER of disputed invoices within fifteen (15) days of receipt of said invoice. CITY
will retain Five Percent (5%) of each
invoice amount, to be released upon satisfactory completion of the terms of the total
contract agreement.
(15) The ENGINEER agrees to complete the work and submit the parking
structure feasibility study as displayed in Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the ENGINEER without written consent of the
CITY.
(18) The ENGINEER shall be an independent contractor, not an
employee of the CITY.
(19) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds
thereof. The parties hereto covenant and agree that to their knowledge no member of
the City Council, officer or employee of the CITY has any interest, whether contractual,
non-contractual, financial or otherwise, in this transaction, or in business of the
contracting party other than the CITY, and that if any such interest comes to the

knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The ENGINEER hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The ENGINEER further
covenants that in the performance of this work no person having any such interest shall
be employed by the ENGINEER.
(20) The ENGINEER shall indemnify and save harmless the CITY, its
officers and employees from and against any liability, loss, cost or expense resulting
from any injury or damage to persons or property caused by the negligent acts or
omission of the ENGINEER, its agents or employees, while engaged in the performance
of this Agreement. The ENGINEER shall submit to CITY, prior to the Notice to Proceed
is issued, certification of adequate coverage for "errors and omission" insurance in the
amount of $1,000,000.00. Any such insurance shall not be canceled prior to written
notice to and approval from the CITY.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:
(a) This Agreement;
(b) Exhibit "A" (Engineer's Proposal of Services, and any written
modifications thereto).
IN WITNESS WHEREOF the parties hereto have executed or caused to
be executed by their duly authorized officials, this Agreement which shall be

PRESIDENTS' PLAZA I
PARKING STRUCTURE FEASIBILITY STUDY
SCOPE OF SERVICES
The Presidents' Plaza I Property and Business Improvement District is located on
the south side of Highway 111 and north side of EI Paseo, between Portola
Avenue and Larkspur Lane (see attached aerial maps). The District consists of
two parking lots that provide public parking for the surrounding businesses. The
District was formed in the mid 1990's to provide funding for common parking lot
maintenance, waste removal, street sweeping, and landscape maintenance
benefiting all property owners within its boundaries.
The Palm Desert City Council has directed staff to review the feasibility of
constructing a parking structure(s) within the Presidents' Plaza I Business
Improvement District to meet the current and future parking needs. The City
requests a cost proposal to accomplish the following tasks:
Data Collection and Feasibilitv Review
• Site Visits and observations of significant features
• Aerial Topography of the site at 1" = 20' scale.
• Plot record boundary and easements from City provide title report
• Research and identify existing utility locations and possible construction
constraints for each site.
• Study pedestrian and vehicle traffic flow for each parking lot (east/west)
and identify appropriate location(s) for a parking structure.
• Meet with City staff to discuss findings and identify preferred site.
Preferred Site Concept Desiqn
• Prepare conceptual site layout for preferred site based on the findings of
the research. Concept plan shall identify location(s) of pedestrian and
vehicle entrance/exits, number of levels, and total stall count.
• Provide a typical level plan with summary chart indicating stall count and
building area.
• Prepare an estimate of probable construction costs for preferred site.
Estimate will be schematic in nature based on typical square footage cost
and not the result of quantity takeoffs.
• Provide an estimated construction timeline.
• Prepare a summary report of all findings and conceptual site plan.
• Present findings to the City Council.
Understandinqs and Assumptions:
1. The scope of services does not include any work related to accessibility of
businesses from the existing sidewalks.
2. It is understood that the City will provide a title report covering the entire
project area. The plans will be based on existing mapping and easements
as described in the title report. The scope of services does not include
any boundary surveying or mapping, or the setting of any survey
monuments.
3. 3-D modeling is available as an additional service, but is not included in
this scope of services.
4. Cost estimates and opinions of probable cost provided by the consultant
team are estimates only, based on recent experience and will not be
considered as guarantees.
5. It is assumed that this is a public works project as defined in the state
labor code, subject to prevailing wage laws.
6. Travel expenses are included in each line item and will not be billed
separately.
7. Any required agency fees will be paid by the City.
8. Reimbursable expenses including the cost of obtaining documents and
reproduction will be billed at cost as incurred.
Exclusions:
The following items are specifically excluded from the Scope of Services:
• Any environmental studies or environmental impact reports.
• Environmental mitigation or monitoring.
• 3-D modeling.
• Soils testing for landscape design.
• Setting of any survey monuments.
• Any mapping.
• Services of a title company.
• Potholing of existing utilities.
• Final design and construction phase services.
• Geotechnical Engineering
• Agency fees.
Proposed Fee:
The proposed fee for the services described above is as follows:
