REQUEST: Consideration of consent of ownership transfer for Villa at Palm
Desert as required by Development Agreement.

Recommendation:
That the City Council, by minute motion, approve assignment of ownership
from Atria Senior Living Group, Inc., to Atria Palm Desert, LLC, and authorize
the Mayor to execute consent to assignment.
Discussion:
The Villa at Palm Desert project, a 77-unit assisted living senior complex located
at 44-300 San Pascual, is currently owned by Atria Senior Living Group, Inc.,
a Delaware corporation.
The property was constructed pursuant to a Development Agreement
implementing affordable housing provisions of a Senior Overlay, (a $ 100,000
payment to Palm Desert's Redevelopment Agency and five units dedicated for
SSI recipients). Conditions also require the City's consent for any transfer of
ownership. The property is in full compliance with the conditions of approval in
the original and amended Development Agreement.

Atria Senior Living Group is now the sole owner of the property and is the sole
member of Atria Palm Desert, LLC, and desires to transfer the property to the
latter.
Staff recommends approval of the transfer.
