Recommendation:
By Minute Motion:
1. Approve Contract No. c2626o in the amount of $62,447.00 for
professional design services, plus $3,000.00 for reimburseables to
Nasland Engineering of San Diego, California, for the design of
parking lot improvements to the Presidents' Plaza I Business
Improvement District. Funds are available in Fund 400 and City's
Recycling Account No. 236-4195-454-3090.
2. Authorize the Finance Director to set aside the amount of$6,244.70 for
a 10% contingency (use of contingency requires additional action); and
3. Authorize the City Manager to execute said agreement.
Executive Summary:
If this item is approved, the City Council will authorize the City Manager to award a
contract to Nasland Engineering of San Diego, California, for professional design
services to develop a preliminary plan and cost estimate for the
improvements to the Presidents' Plaza I (East/West) Business Improvement D st ict�. lot

The preliminary design plan will study and design the following improvements:
• New trash/recycling bin enclosures strategically located.
• Sidewalk repairs required to comply with the Americans with Disability Act (ADA)
• Improvements to parking lot circulation and parking space availability.
• Repaving the parking lot
During the preliminary design stage, Staff will meet with the property and business
owners to receive their input. Once a cost estimate has been developed for the
improvements, Staff will return to the City Council for authorization to proceed with
completion of the construction documents.
Discussion:
The Presidents' Plaza I Property and Business Improvement District is located on the
south side of Highway 111 and north side of EI Paseo, between Portola Avenue and
Larkspur Lane (see attached aerial map). The District consists of two parking lots that
provide public parking to the surrounding businesses. The District was formed in the
mid 1990's to provide funding for common parking lot maintenance, waste removal,
street sweeping, landscape maintenance and parking lot lighting benefiting all property
owners within the District. The District has a total of 42 property owners and each
owner is levied annually based on the following two formulas.

Today, the District faces three challenges to provide a safe, clean, and welcoming
environment. The three issues relate to the capacity and aesthetics of the existing
trash/recycle bins, the safety af the existing interior sidewalks, and the condition of the
parking lot pavement.
To address these three issues, Staff budgeted $1.7 million for Fiscal Year 2006/2007.
The improvements to the parking lot would assist the District in solving the challenges it
faces. Specifically, Staff proposes to develop a preliminary design plan and cost
estimate to construct the following improvements.
Renovation of Waste Collection/Recycling Bins:
The District has a total of 34 in-ground (partially exposed) waste bins and 6 recycle bins
distributed throughout both the east and west parking lots. The existing waste bins
have become unsightly due to over use, illegal dumping, and lack of maintenance.
To address this issue, as well as to address the lack of recycling opportunities within the
District, Staff proposes to design and construct new trash enclosures that would

consolidate both waste and recycle bins into single enclosures throughout the parking
lots. The enclosures would be strategically located within both parking lots to maximize
accessibility, accommodate the needs of the district and to minimize impacts to parking.
Through the consolidation and construction of the enclosures, the following goals can
be achieved:
1. Increased recycling participation and awareness (i.e. increasing commercial
waste diversion).
2. Reducing waste removal costs for the entire district.
3. Improving the aesthetics of the District (screening of waste bins).
4. Reducing illegal dumping.
If this project moves fon�vard, the Special Programs Department will initiate a business
recycling outreach program to promote the Free Commercial Recycling Program. The
program will consist of providing information and education to the local businesses
regarding the benefits of recycling as well as the revenue savings to the District.
Palm Tree Removal/Sidewalk Repairs:
The Presidents' Plaza I parking lots (east/west} are both lined with palm trees located
on the sidewalk area. There is no City record indicating when or who installed the palm
trees. City Staff recalls the palm trees were installed as part of previous improvements
to the District. The palm trees are all the same size and type, which indicates that they
were installed all at once.
Over the years the palm trees roots have caused damage to the sidewalks. Some
sidewalks have risen several inches creating pedestrian hazards (see photographs
attached). Although the sidewalks are privately owned, the City has periodically repaired
the sidewalks to avoid injuries. The matter of liability and responsibility for the repair of
the sidewalks was discussed with the City Attorney's office. His office indicated that it
would be in the City's best interest to repair the sidewalks back to their original
condition, since the City most likely installed the palm trees that caused the damage.
Parking Lot Circulation and Pavement Condition:
As part of the preliminary design, the engineer will look at alternate parking lot layouts
that will improve the existing circulation patterns and layouts that would maximize the
number of parking spaces.
Over the years the condition of the Presidents' Plaza I pavement has deteriorated due
to the utility company underground repairs, new development taping into existing
utilities, and general wear and tear. To address this issue, Staff proposes to re-pave the
parking lots to enhance and create a new surface that can be managed with periodic
slurry seals.

Request for Qualifications:
In December 2006, Staff received and reviewed qualifications from engineering firms for
design services. A total of 5 firms responded to the request for qualifications. A Staff
committee comprising of representatives from the Development Services, Engineering
and Community Services departments reviewed the firms' qualifications and
experience. Staff unanimously selected Nasland Engineering, San Diego, California, as
the most qualified firm to provide the professional design services. A contract and cost
proposal for the preliminary plan was developed and is attached to the report. Nasland
is a qualified engineering firm with extensive experience in designing parking lots and
parking lot renovations.
Project Budget:
A total budget of $1,743,000.00 has been allocated for Fiscal Year 2006/2007, in Fund
400 and City's Recycling Account No. 236-4195-454-3090. Once the preliminary plan is
completed, the engineer will provide a construction cost estimate. The engineer's
estimate will give Staff a better understanding of the total cost of the improvements and
if additional funding is needed. If additional funding is needed, the City Council may
request that the Business Improvement District participate with a portion of the
construction costs.

AGREEMENT
THIS AGREEMENT, made and entered into this day of February,
2007, by and between THE CITY OF PALM DESERT, a municipal corporation,
hereinafter referred to as "CITY" and NASLAND ENGINEERING, hereinafter referred to
as "ENGINEER".
WITNESSETH:
WHEREAS, ENGINEER is a corporation, the principal members of which are
Professional ENGINEERS duly registered under the laws of the State of California; and
WHEREAS, CITY desires to engage ENGINEER to render certain technical and
professional engineering services as set forth in Exhibit "A" (Engineer's Proposal of
Services) in connection with the design of Presidents' Plaza I (East/West) Parkinq Lot
Renovation, CONTRACT NO. c2626o
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage ENGINEER to perform the technical
and/or professional services as hereinafter set forth.
(2) ENGINEER shall perform all work necessary within the schedules
provided herein to complete the services set forth in Exhibit "A" attached hereto and by
reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in
Exhibit "A" hereof shall be furnished to ENGINEER without charge by CITY and CITY
shall cooperate in every way reasonable in the carrying out of the work without delay.

(4) ENGINEER represents that, it employs or will employ at its own
expense, all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by
ENGINEER or under its direct supervision, and all personnel engaged in the work shall
be qualified and shall be authorized or permitted under state and local law to perform
such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Assistant City Manager for Development
Services has not authorized ENGINEER to proceed.
(7) The ENGINEER shall work closely with the CITY's Assistant City
Manager for Development Services, or his designated representative, who shall be the
principal officer of the CITY. The ENGINEER shall review and receive the Assistant
City Manager for Development Services approval of the details of work as it progresses.
The Registered Civil Engineer hereby designated by the ENGINEER as its'
representative for supervision of the work required by this Agreement is
R.C.E. No.
(8) The ENGINEER warranfs that he has not employed or retained any
company or person, other than a bona fide employee working solely for the consultant,
to solicit or secure this Agreement, and that he has not paid or agreed to pay any
company or person, other than a bona fide employee working solely for the consultant,
any fee, commission, percentage, brokerage fee, gifts, or any other consideration,
contingent upon or resulting from the award or making of this Agreement. For breach or
violation of this warranty, CITY shall have the right to annul this Agreement without

liability, or in its discretion to deduct from the contract price or consideration, or
otherwise recover, the full amount of such fee, commission, percentage, brokerage fee,
gift or contingent fee.
(9) The right is reserved by the CITY to terminate the Agreement at
any time upon seven (7) days written notice, in the event the project is to be abandoned
or indefinitely postponed, or in the event the ENGINEER's services, in the sole
judgment of CITY, are unsatisfactory or because of the ENGINEER's failure to
prosecute the work with diligence or within the time limits specified or because of his
disability or death. In any such case, the ENGINEER shall be paid the reasonable
value of the services rendered, based upon ENGINEER's standard hourly rates, up to
the time of the termination. The ENGINEER shall keep adequate records to
substantiate costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by ENGINEER pursuant to this agreement shall be used
exclusively on this project and shall not be used for any other work without the written
consent of ENGINEER. In the event CITY and ENGINEER permit the re-use or other
use of the plans, specifications, reports or other design documents, CITY shall require
the party using them to indemnify and hold harmless CITY and ENGINEER regarding
such re-use or other use, and CITY shall require the party using them to eliminate any

and all references to ENGINEER from the plans, specifications, reports and other
design documents.
(11) The ENGINEER shall comply with all federaf, state and local laws,
ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the ENGINEER shall be made except by supplemental authority in writing between
CITY and the ENGINEER. The supplemental authority shall set forth the changes of
work, extension of time and adjustment of the fee to be paid by CITY to the ENGINEER,
if any.
(13) In connection with the execution of this Agreement, the ENGINEER
shall not discriminate against any employee or applicant for employment because of
race, religion, color, sex or national origin. The ENGINEER shall take affirmative
actions to insure equal employment opportunity and that employees are treated during
their employment without regard to their race, religion, color, sex or national origin.
Such actions shall include, but not limited to, the following: employment, upgrading,
demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates
of pay, or other forms of compensation and selection for training, including
apprenticeship. This clause shall be included in each related subcontract, if any,
awarded by the ENGINEER.
(14) The CITY agrees to pay the ENGINEER for the work required by
this Agreement on the following basis:
ENGINEER shall submit invoices monthly for services performed in the
previous month not to exceed the total contract amount of: �62,447.00 (Sixtv-Two

Thousand, Four Hundred and Fortv Seven Dollars: 00/100 ONLY1. CITY agrees to
pay all undisputed invoices within thirty (30) days of receipt of invoice. CITY agrees to
notify ENGINEER of disputed invoices within fifteen (15) days of receipt of said invoice.
CITY will retain Five Percent (5%) of each
invoice amount, to be released upon satisfactory completion of the terms of the total
contract agreement.
(15) The ENGINEER agrees to complete the work and submit the
Preliminary Design engineering phase as displayed in Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17} This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the ENGINEER without written consent of the
C1TY.
(18) The ENGINEER shall be an independent contractor, not an
employee of the CITY.
(19) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds
thereof. The parties hereto covenant and agree that to their knowfedge no member of
the City Council, officer or employee of the CITY has any interest, whether contractual,

non-contractual, financial or otherwise, in this transaction, or in business of the
contracting party other than the CITY, and that if any such interest comes to the
knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
wauld not be considered a conflict of interest under applicable laws.
The ENGINEER hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The ENGINEER further
covenants that in the performance of this work no person having any such interest shall
be employed by the ENGINEER.
(20) The ENGINEER shall indemnify and save harmless the CITY, its
officers and employees from and against any liability, loss, cost or expense resulting
from any injury or damage to persons or property caused by the negligent acts or
omission of the ENGINEER, its agents or employees, while engaged in the performance
of this Agreement. The ENGINEER shall submit to CITY, prior to the Notice to Proceed
is issued, certification of adequate coverage for "errors and omission" insurance in the
amount of $1,000,000.00. Any such insurance shall not be canceled prior to written
notice to and approval from the CITY.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:

modifications thereto).
IN WITNESS WHEREOF the parties hereto have executed or caused to
be executed by their duly authorized officials, this Agreement which shall be
deemed an original on the date first above written.

Proposal for Preliminary Planning and Engineering Services
Nasland Engineering
Nasland Engineering, together with our consultant team is pleased to present this
proposal for preliminary planning and engineering services to the City of Palm Desert.
"I'he basis of the proposal including understandings and assumptions are provided below.
The proposed fee for professional services is lump sum. An estimate is provided tor
reimbursable expenses based upon recent experience with similar projects.
Description of the Pr�iect:
'I'he project involves thc reconfiguration and rehabilitation of two existing parking lots
behind the businesses tronting on Palm Desert Drive South and FI Paseo between
Larkspur Lane and Portola Avenue. Thc proposed improvements are described in the
�vlarch 8,2006 White Paper prepared by llevelopment Services.
We understand that the surrounding businesses are located on 42 individual parcels and
that an easement exists for the common parking lot. In addition to the 42 commercial
parcels, there are four parcels dedicated to parking and access. "1'he parking lot is
maintained by the President's Ylaza I Property and Business Improvement District,
funded by an assessment of the property owners.
Except for specific curb and sidewalk repairs described in the White Paper, tlie limits of
the proposed improvements are from curb face to curb face. Included in the project area
are the parking lot that extends to Palm Desert Drive South across Assessor's Parcel 627-
221-10 and the parking lot that extends to El Pasco across Assessor's Parcel 627-222-53.
The City of Palm Desert has requested that the design specifically address the following:
• Design new centrally located trash enclosures to screen both solid waste and
recycling bins. Placement of enclosures should be consistent with the necds of'
thc complex.
• Design a reconfiguration of the parking lot layout to maximize availability of
parking and improve traffic circulation. Design landscaping improvements based
on new parking configuration and installation of trash enclosures.
• Identify the location and quantity of existing palm trees that require removal.
Identify the damaged curbs and sidewalks and design improvements/repairs
necessary to comply with the Americans with Disabilities Act.

REQUEST FOR QUALIFICATIONS (RFQ)
FOR DESIGN SERVICES FOR THE PRESIDENTS' PLAZA EASTNVEST PARKING
LOT RENOVATION
GENERAL
The Presidents' Plaza I Property and Business Improvement District is located on the
south side of Highway 111 and north side of EI Paseo, between Portola Avenue and
Larkspur Lane (see attached aerial maps). The District consists of two parking lots that
provide public parking for the surrounding businesses. The District was formed in the
mid 1990's to provide funding for common parking lot maintenance, waste removal,
street sweeping, and landscape maintenance benefiting all propErty owners within its
boundaries.
The district faces three challenges to provide a safe, clean and welcoming environment.
The three issues relate to the capacity and aesthetics of the existing trash/recycle bins,
the safety of the existing interior sidewa{ks, and the growing demand for parking and
adequate traffic circulation. The City of Palm Desert desires to renovate the parking lots
to specifically address the following components:
• Design new centrally located trash enclosures to screen both solid waste and
recycling bins. Placement of the enclosures should be consistent with the needs
of the complex.
• Design a reconfiguration of the parking lot layout to maximize availability of
parking and improve traffic circulation. Design landscaping improvements based
on new parking configuration and installation of trash enclosures.
• Identify the location and quantity of existing palm tress that require removal.
ldentify the damaged curbs and sidewalks and design the improvements/repairs
necessary to comply with the American with Disabilities Act.
• Provide a phasing plan for the construction of the improvements to minimize
impacts to the existing businesses.
Firms with relevant experience and qualifications are encouraged to apply. The City of
Palm Desert reserves the right to reject any or all Statements of Qualifications and to
waive the formalities in the evaluation of responses.
PURPOSE
The purpose of this RFQ is to obtain information regarding the qualifcations and
interests of firms under consideration for designing the Presidents' Plaza I parking lot
improvements. From the responses that are submitted to this RFQ, the best suited firm
will be selected and recommended to the Palm Desert City Council for a contract that
will include the programming, design,.bidding, and construction administration services
for this project. It is likely that a short list of qualified firms will be developed, and that
the short-listed candidates will also be asked to participate in an oral interview as part of
the selection process.

(�UALIFiCATION FORMAT
Five copies of the RFQ shall be submitted for consideration. Qualifications shall be no
more than fifteen pages in length and shall be 8 '/� x 11 inches in size without ornate
covers or binding. Pre-printed glossy colored marketing materials are neither required
nor desired. Photographs or renderings of similar constructed projects that were
designed by the respondent are appropriate as part of the Statement of Qualifications.
QUALIFICATIONS CONTENT
Responses to this RFQ shall be organized into five categories as follows:
1. Information on the Firm. The respondent should address the size of the firm,
the number of years in business, the resources available, and the history of
the firm with any sub-consultants who will be proposed to be used for this
project.
2. Kev Personnel. Provide a brief resume for each of the key persons proposed
to work on this project. Credentials of corporate executives or firm principals
are not necessary or desired unless these individuals will pfay an active role
in the proposed project. Any key sub-consultants proposed should be
identified, and information on the project engineer or architect from each firm
should be included.
3. Past Experience. The respondent should list no more than five previous
projects to be used as references. The projects listed should be as similar in
character and nature as is possible to the proposed parking lot improvements.
A contact name and phone number for the owner and for the contractor on
each project included should be provided.
4. Rates. The respondent should include a current hourly rate schedule for
each job classification of personnel that will be used on this project. Rates
shall be fully burdened and inclusive of overhead and profit.
5. Special Considerations. The respondents are requested to include any
information that they believe makes them particularly well suited for the
subject project. Of special interest to the City of Palm Desert are:
• Experience working for governmental agencies or a similar project;
• A demonstrated ability to work under the direction of one or more
committees;
• Creativity and innovation in design; and
• A desire to participate in this highly visible project.
EVALUATIQN OF THE QUALIFICATIONS
A committee of City and Palm Desert Redevelopment Agency staff members will
evaluate the quafifications received in response to this RFQ. Evaluations will be on the
basis of each of the following criteria:

2. Key personnel
3. Previous relevant experience
4. Rates
5. Special considerations
The committee will make a recommendation to the Palm Desert City Council. As part of
the evaluation process, the respondents may be asked to participate in an oral interview
with the committee. No presentation of formal design concepts will be required as part
of the selection process.
