RECOMMENDATION
By Minute Motion:
1. Nominate a Palm Desert City Councilmember to server as an Ex Officio
Director of the Palm Desert Sister Cities Foundation.
EXECUTIVE SUMMARY
The Palm Desert Sister Cities Committee was recently dissolved by City Council action on
November 16, 2006. This action was in response to the Committee officially re -organizing as a
separate 501(c)(3) tax-exempt, non-profit organization, known as the Palm Desert Sister Cities
Foundation.
The Foundation's Bylaws allows for the appointment of an Ex Officio Director to serve on the
Foundation Board. The Ex Officio Director is nominated by the City Council and ratified by the
Board. The Ex Officio Director shall be a current member of the City Council and is not eligible
to vote, but permitted to participate in Board meetings.
The Ex Officio Director serves at the City Council's pleasure and holds office until removed and
replaced by this body. In addition to the Ex officio director, the Assistant to the City Manager will
also serve as a City liaison to the Foundation. The City Council is respectfully requested to
submit their nominee for the position of Ex Officio Director to the Foundation.

(d) Ratification. The Board shall adopt a resolution to establish the procedures for the
ratification of appointed directors.
SECTION 3.9 EX OFFICIO DIRECTORS
The ex officio directors are those directors nominated by the Palm Desert City Council and
ratified by the Board. Ex officio directors shall be current members of the City Council. Ex
officio directors are not eligible to vote, but are permitted to participate in Board and
Committee meetings and electronic discussions. In accordance with a schedule for
nomination and ratification established by the Board, the City Council shall provide to the
Board, in writing, the name of its nominees. At the meeting for which ratification of Ex
officio directors has been scheduled, the President shall seek approval by the majority of
the Board of the nominee(s). If a majority of the Board fails to ratify the appointment of a
nominee(s), the nominee(s) shall not assume office and the City Council shall be entitled to
submit the names of altemative choices for consideration at a subsequent Board meeting.
Ex officio directors serve at the pleasure of the City Council and hold office until removed
and replaced by the City Council, consistent with the nomination and ratification
procedures outlined in this section. Ex officio directors shall not be included when
calculating the number of directors needed to establish a quorum.
SECTION 3.10 EMERITUS DIRECTORS
Emeritus directors are appointed by the Board in recognition of extraordinary service to the
Corporation, pursuant to procedures adopted by the Board for such purpose. Emeritus
directors are not eligible to vote and are not permitted to participate in Board and
Committee meetings or electronic discussions. The Board may have an unlimited number
of emeritus directors. The number of emeritus directors shall not be included when
calculating the number of directors needed to establish a quorum.
SECTION 3.11 VACANCIES ON THE BOARD
(a) Vacancies. A vacancy on the Board of Directors shall exist:
(1) Whenever a director dies, resigns or is removed from office;
(2) Whenever the number of authorized directors is increased;
(3) Whenever a director misses three (3) of the regular meetings of the Board
during the fiscal year, without just cause; and/or
(4) Whenever a majority of the Board declares vacant, the office of a director

Hi Stephen:
Section 3.9 of the PDSCF ByLaws addresses ex officio directors.
Specifically, those directors nominated by the Palm Desert City Council
and ratified by the PDSCF Board. Ex officio directors shall be current
members of the City Council.
In accordance with the By Laws, we now ask that the City Council provide
the PDSCF Board, in writing, the name of their nominee.
