HomeMy WebLinkAboutC26600 - Davey Resource Group Contract No. C26600 AGREEMENT THIS AGREEMENT, made and entered into this 14th day of June, 2007, by and between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to as "CITY" and Davey Resource Group, P.O. Box 347 Santa Marqarita, CA 93453, hereinafter referred to as "CONSULTANT". WITNESSETH: WHEREAS, CONSULTANT is a corporation, the principal members of which are Professional CONSULTANTS duly registered under the laws of the State of California; and WHEREAS, CITY desires to engage CONSULTANT to render certain technical and professional CONSULTtNG services as set forth in Exhibit "A" (CONSULTANT'S Proposal of Services) in connection with the design of Proiect: City Wide Tree Inventorv. NOW, THEREFORE, the parties hereto agree as follows: (1) CITY hereby agrees to engage CONSULTANT to perform the technical and/or professional services as hereinafter set forth. (2) CONSULTANT shall perform all work necessary within the schedules provided herein to complete the services set forth in Exhibit "A" attached hereto and by reference incorporated herein and made a part hereof. CONTRACT NO.c26600 (3) All information, data, reports and records and maps as are existing and available from the CITY and necessary for the carrying out of the work outlined in Exhibit "A" hereof shall be furnished to CONSULTANT without charge by CITY and CITY shall cooperate in every way reasonable in the carrying out of the work without delay. (4) CONSULTANT represents that, it employs or will employ at its own expense, all personnel required in performing the services under this Agreement. (5) All of the services required hereunder will be performed by CONSULTANT or under its direct supervision, and all personnel engaged in the work shall be qualified and shall be authorized or permitted under state and local law to perform such services. (6) The execution of this Agreement by the parties hereto does not constitute an authorization to proceed. CITY's Director of Public Works has not authorized CONSULTANT to proceed. (7) The CONSULTANT shall work closely with the CITY's Director of Public Works, or his designated representative, who shall be the principal officer of the CITY. The CONSULTANT shall review and receive the Director of Public Works approval of the details of work as it progresses. The Registered Civil CONSULTANT hereby designated by the CONSULTANT as its representative for supervision of the work required by this Agreement is Scot Sanders ISA No. WE-5898A. (8) The CONSULTANT warrants that he has not employed or retained any company or person, other than a bona fide employee working solely for the consultant, to solicit or secure this Agreement, and that he has not paid or agreed to 2 G:\PubWorks\PROJECTS\762-07 Citywide Tree Inventory\Slaff Reports106-14-07 Tree Inventory to Davey 762-07Wgreement City Wide Tree Inventory.doc CONTRACT NO. c2h600 pay any company or person, other than a bona fide employee working solely for the consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, CITY shall have the right to annul this Agreement without liability, or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. (9) The right is reserved by the CITY to terminate the Agreement at any time upon seven (7) days written notice, in the event the project is to be abandoned or indefinitely postponed, or in the event the CONSULTANT'S services, in the sole judgment of CITY, are unsatisfactory or because of the CONSULTANT'S failure to prosecute the work with diligence or within the time limits specified or because of his disability or death. In any such case, the CONSULTANT shall be paid the reasonable value of the services rendered, based upon CONSULTANT'S standard hourly rates, up to the time of the termination. The CONSULTANT shall keep adequate records to substantiate costs and provide copies of original timecards in the event of termination or suspension. (10) All documents including tracings, drawings, estimates, reports, investigations and computations shall be delivered to and become the property of the CITY. CITY acknowledges and agrees that all plans, specifications, reports and other design documents prepared by CONSULTANT pursuant to this agreement shall be used exclusively on this project and shall not be used for any other work without the written consent of CONSULTANT. (11) The CONSULTANT shall comply with all federal, state and local laws, ordinances and regulations applicable to work. (12) No change in the character or extent of the work to be performed by the CONSULTANT shall be made except by supplemental authority in writing between CITY and the CONSULTANT. The supplemental authority shall set forth the changes of work, extension of time and adjustment of the fee to be paid by CITY to the CONSULTANT, if any. (13) In connection with the execution of this Agreement, the CONSULTANT shall not discriminate against any employee or applicant for employment because of race, religion, color, sex or national origin. The CONSULTANT shall take affirmative actions to insure equal employment opportunity and that employees are treated during their employment without regard to their race, religion, color, sex or national origin. Such actions shall include, but not limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay, or other forms of compensation and selection for training, including apprenticeship. (14) The CITY agrees to pay the CONSULTANT for the work required by this Agreement on the following basis: CONSULTANT shall submit invoices monthly for services performed in the previous month not to exceed the total contract amount of: $33,440.00 Thirt - Three thousand Four Hundred Fortv Dollars: NO 00/100 ONLY). CITY agrees to pay all undisputed invoices within thirty (30) days of receipt of invoice. CITY agrees to notify CONSULTANT of disputed invoices within fifteen (15) days of receipt of said invoice. (15) The CONSULTANT agrees to complete the work and submit the Final Design CONSULTANTING phase as displayed in Exhibit "A". (16) In the event that any judgment is entered in any action upon this Agreement, the party hereto against whom such judgment is rendered agrees to pay the other party an amount equal to the reasonable value of the legal services performed in his or its behalf in such action and that such amount may be added to and made a part of such judgment. (17) This Agreement shall be binding on the successors and assigns of the parties, but it shall not be assigned by the CONSULTANT without written consent of the CITY. (18) The CONSULTANT shall be an independent contractor, not an employee of the CITY. The parties hereto covenant and agree that to their knowledge no member of the City Council, officer or employee of the CITY has any interest, whether contractual, non-contractual, financial or otherwise, in this transaction, or in business of the contracting party other than the CITY, and that if any such interest comes to the knowledge of either party at any time a full and complete disclosure of all such information will be made in writing to the other party or parties, even if such interest would not be considered a conflict of interest under applicable laws. The CONSULTANT hereby covenants that he has, at the time of this Agreement, no interest, and that he shall not acquire any interest in the future, direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed pursuant to this Agreement. The CONSULTANT further covenants that in the perFormance of this work no person having any such interest shall be employed by the CONSULTANT. (20) The CONSULTANT shall indemnify and save harmless the CITY, its officers and employees from and against any liability, loss, cost or expense resulting from any injury or damage to persons or property caused by the negligent acts or omission of the CONSULTANT, its agents or employees, while engaged in the performance of this Agreement. The CONSULTANT shall submit to CITY, prior to the Notice to Proceed is issued, certification of adequate coverage for "errors and omission" insurance in amounts approved by the City Attorney. Any such insurance shall not be canceled prior to written notice to and approval from the CITY. Prepared for the City of Palm Deserk, California 1 Prepared by Davey Resource Group I � Scope of Work Davey Resource Graup will provide the City of Palm Desert with a comprehensive.inventory of all city-maintained trees. Information collected will include individual tree numbers, GIS coordinates, nomenclature, DBH, height, canopy, tree condition, and site conditions. In addition, we will develop coz�aments as needed. DRG will use its custom-developed Work Planning Software (WPS} system wE�ich uses pen-based comput�rs to create a G�S layer that contains all tree site data needed for this project. The xnventory wili be submitted to you electronically on a MS Excel Spreadsheet. D�xring the field evaluatian phase, DRG will provide the supervision, technical training, and support ta staff on this project, and lend the full backing of its expertise. Vehicles and cellular phones will be provided for all sta��working on this project. In addition, all personnel warking on this praject will use Davey-issued personal protective equipment including hard hats, safety glasses, and safety vests. All Davey employees are trained to work safely and comply with Davey drug- and alcohol-free workplace policies. DRG will wark ta ensure the City of Palm Desert's satisfaction with the quality and productivity of staff working on this project. The project will be completed within Palm Desert's 120-day from notice to proceed time frame. . Data Coilection Technology and Equipment The City of Palm Desert will be well sezved by Da�ey Resource Group's data callection technology and logistical expertise. DRG currently has, and is experienced at, operating all the equipment necessary to provide the project results the City requires. This equipment includes: ■ Data Collection Equipment—Global Positioning System (GPS} coordinates can be , collected with a Trimble Pro XR unit, which provides sub-meter accuracy. Data ; collectian can also be prograi�uned into the Trimble data logger for speed and efficiency. DRG often uses pen tablet computers for GYS field data callection. The � computers are installed with Davey's Work Management Saftware, which will be customized according to your attribute requxz'ements as stat�d under section 3.1.2 of your Request for Proposal. ■ Work Management Software (WMS) —WMS is proprietary software created by DRG for inventory and GIS management projects. A highly flexible package, WMS can be utilized for many purposes. Assets are plotted aver basemaps (ESRI shapefiles, AutoCAD drawing files, or digitai ortho�hotos) provided by the client. ■ Personal Protective Equiprnent for Project Field Personnel—All DRG field personnel assigned to this project will be issued photo identzficatian, hardhats, safety vests, safety glasses, safety cones (to be used while parking}, emergency raadside flare kits, and first aid kits. ■ Office Equipment---DRG has all the computer and office equipment nec�ssary to complete the following: o set up and configure the data coilection equiprnent o program and process GIS data o prepare project data for formal presentation Prepared for th�City of Palm Desert, California 2 Prepared by Davey Resource Group i � Quality Assurance . The City of Palm Desert wiil be guaranteed the highest quality data, a standard Davey Resource Group always follows. DRG will provide extensive quality control of information with the � following processes to ensure tF�at the quality expectations are met and exceeded: � Training— Quaiity control is intended to assure quality data. The first step in DRG's . quality control is to provide proper training of qualified individuals to create quality data from the start ■ Data Collections Spe�ifieation—A clear understanding af the data and the methods for collection and categorization ensure high quality data. DRG will develop a detailed specification before actual data collection begins. ■ Field Quality Check—At the beginnzng af the pro�ect, 10 percent of an individual's information will be checked foe quality and completeness. All aspects of data collection wilI be reviewed. As the project progresses, the percentage of quality controlled information may decrease based on an individual's abilities. DRG's supervisors will provide quality control of collected informa�ion. ■ Where passible, q�ality assurance will be completed electronically so that quality checks are a permanent record af the data collected. This means there will be , additional fields in the date files for quality assurance. Where this is nat practical, quality assurance will be completed on paper forms, with a tally of all quality assurance activiti�s. ■ Quality assurance information will be tallied by week ending date and pzavided to Che client at least monthly, preferably by e-tnail. His priznary d�ties � include working with utility and municipal clients to develop and zxaanage tree and asset znanagement inventories using company-developed software. He also provides support and I extension services to utility clients. Mr. Sanders joined Davey Resource Group i� th� spring of ; 2000 as a consulting utility forester in California's Central Coas�region. In this role, he preplanned work for line clearance crews contracted to Pacific Gas and Electric Campany. Mr. ' Sanders' tnost recent tree inventor�projects include the City of Mountain View, CA, Brisbane, CA, and Eureka, CA. A baccalaureate graduate of Texas A&M University's Forest Management department, Mr. Sanders l�as performed a�ariety of forest manage�ent and extension activities. Prior to joining Davey Resource Group, he worked with the American Peace Corps ta assist the Government af Nepal in developing and implementing their comznunity forestry programs. Rob Goff, Consulting_Forester � Rob Goff is a Consulting Forester for Davey Resource Group. He has be�n vsrith DRG far aver five years. Mr. Goff holds a B.S. degree in Farestry and Natural Resaurces Management from Califarnia State Palytechnic Universzty at San Luis Obispo. He is a Certified Arborist and Certified Utility Specialist (WE- b645AU) and a member Western Chapter of the ISA, and the Utility Arborist Association. Mr. Goff has worked with a number of utility companies and amunicipalities. This includes work with Arizona Public Service as a Cantract Utility Planner and fire defense planning wark around high voltage poles. Mr. Goff has training and supervisory experience on a number of projects with DRG. He has worked for a large utility in California as a for�ster and a past auditor, supervising a number of employees. In addit�on, he has extensive tree inventory experience, including recent experience working in the City of Brisbane, a Iarge amusement park and resort in Southern Caiifornia, and a golf course inventory in Oregon. Mr. Gaff forr�erly warked for the Un�ted States Forest Service on a timber crew in the Los Padres National Forest. During his tenure with the USFS, he worked on fire suppression, invasive s�ecies eradication,brush thinning projects, creating fuel breaks and timber thinning. This review was designed ta fallow up on issues identified by a 1999 nnat�agement audit canducted far the entzre Community Services Department. That audit found that the Forestry Sectian lacked the available data on work productivity needed to make an zn-depth evaluation of the Forestry Section at that time. Using maps printed frorn the GIS system, the Ci�y was abie to easily identify low-density tree areas, including the area around City Hall. With complete data on the urban forest at their . fingertips, City staff began planning new planting projects for the coznmunity of Eureka. Amusement Park and Resort located in Southern California This client has rec�uested that we not use their name in our proposals. Management of this large amusement park and resort is committed to maintaining as perfect an experience for their visitors as possib�e, and iandscaping and tree care are no exception. By summer of 2�06, the Horticulture Department found themselves challenged by a lizx�ited database created by a former erz�ployee and little technical support. DRG was contacted to upgrade the tree database with the network ins�allation of TreeKeeper 7.6 software, including a mobile, non-networkec�version ' synchronized to a laptop. The historic databases for various areas of the resort were converted for use in TreeKeeper�, including the associated work histories.
