WHEREAS, Provider represents it has the necessary personnel, experience, competence and legal right to perform shredding service ("Services") in the state of Califomia. WHEREAS, Company desires to engage Provider to perform the Services and Provider desires to undertake such performance under the terms and conditions hereinafter set forth; NOW, THEREFORE, in consideration of the mutual promises and covenants herein, Company and Provider agree as follows: 1. Services: Provider agrees to provide on-site Services for the Company on an every�week basis. Locked containers will be provided to the Company at no charge. Provider agrees to provide a Certificate of Destruction each time Provider comes on-site to perform services. 2. Service Fee: As a "Service Fee," Company will pay the Provider each time the Provider comes on-site to perform Services as follows: 7_ CQ�(�� . Services will be billed at $�per minutes for any additional material not contained within the consoles. There will be a minimum charge of $�`�or each service. Company will pay the Service Fee within thirty (30) days of date on invoice for Services. 3. Terms of Agreement: This Agreement will remain in effect for a term of twenty four (24) months and shall be automatically renewed for additional one (1) year terms thereafter unless terminated by either party with sixty (60) days' written notice prior to the expiration thereof. (A minimum pick up fee of$25.00 will apply plus $5.00 per console up to a maximum of$60.00 for early termination.) 4. Adjustment of fees: The service fee shall remain fixed for two years of the initial term. In subsequent years, at its sole discretion, Shred-it reserves the right to modify the amount of service fee from time to time (either the minimum charge and/or per minute fee), provided that Shred-it will not increase the service fee by more than 5% per year. 5. Non-disclosure. ' info ati ' , , ��- Contract No. C26490 Provider acknowledges that the materials contained in the consoles and any additional material that is delivered to Provider by Company is confidential and protected by federal and state law ("Confidential Material"). Provider and its employees and agents shall not use or disclose any Confidential Material at any time or for any reason. Any breach by Provider of this Section 4 shall result in immediate termination of this Agreement by Company. This Section 4 shall survive termination of this Agreement. 6. Termination for cause: Either party may terminate this Agreement for breach of this agreement, which has not been cured by the breaching party within thirty (30) days of the receiving written notice of such breach. 7. Notices: All notices pursuant to this Agreement shall be in writing to the parties hereto, whose addresses are set forth in this section; or to all such addresses as may hereafter be specified by each party.
