Ratify the City Manager's approval to award a Master Planning Contract with
gkkworks for Master Planning Services for a Community and Aquatic Center
in an amount not to exceed $25,000.00.
Discussion:
During the City Council retreat held in January 2008, the City Council identified the
construction of a community center with aquatic components as a priority. Staff was
directed to enter into a contract with a design group capable of completing a master
plan that identifies the size of the community center along with interior components and
proposed locations of the new community center.
Staff requested proposals from design teams with experience in the design and
construction of similar facilities. The item was posted per City of Palm Desert financial
guidelines. Only one firm responded. Staff contacted and sent the proposal information
to two other firms. One firm indicated that they'd like to be kept updated on the status of
the project, but were too busy to propose this project. The other firm indicated a desire
to be kept updated as well, but do not provide this particular service at this "small
project" level. Staff interviewed and recommends selecting gkkworks. gkkworks has
extensive experience in the design and planning of recreational facilities throughout
Southern California, and has worked locally with the City of La Quinta on the expansion

of their City Hall. They have hired a local representative to provide a more immediate
presence at all times for projects they are seeking in the Coachella Valley.
They are able to provide all the services requested on the proposal. gkkworks is also
aware of the timeline set forth by the City Council, and will be able to have a report
prepared by October 2008.
The City Manager approved the agreement with gkkworks in an amount not to exceed
$25,000.00 on July 21, 2008. Staff recommends that the City Council ratify the attached
authorization memo and agreement with gkkworks for master planning services for a
community and aquatic center. Funds are available in Parks and Recreation Facilities
Fund 233-4602-454.40-01.

During the City Council retreat held in January 2008, the City Council identified the

NOW, THEREFORE, in consideration of performance by the Parties of the mutual
promises covenants, and conditions herein contained, the Parties hereto agree as follows:
1. Architect's Services
l.l Nature of Services: Architect shall provide professional and technical
services on a non-exclusive basis, as more particularly described in Section 3 below.
1.2 Personnel: Architect represents that it has, or will secure at its own
expense, all personnel required to perform the services under this Agreement. All of the
services required under this Agreement will be performed by Architect or under its direct
supervision, and all personnel engaged in the work shall be qualified, and shall be
authorized or permitted under state and local law to perform such services.
1.3 Standard of Performance: Architect shall perform all services under
this Agreement in accordance with the standard of care generally exercised by like
professionals under similar circumstances and in a manner reasonably satisfactory to
Agency.
1.4 Architect Representative: For the purpose of this Agree�'i�ent, the
registered architect, who will serve as the Architect Representative shall be

1.5 Time of Commencement: The execution of this Agreement by the
Parties does not constitute an authorization to proceed. A separate, written Notice to
Proceed shall be issued by the Agency Representative, and Architect shall not commence

1.6 Time of Performance/Time is of the Essence: Architect shall

�. Arc9�itect's Scope of�or�o Upon delivery by Agency to Architect of a written Notice
to Proceed, Engineer shall immediately commence work pursuant to this Agreement. Engineer's
scope of work shall consist of the services in E�iibit A appended to this Agreement.
3.1 IZe�ortin�and I�ecord Keepin�: To assist Agency in the performance of its
planning,reporting and financial administration obligations, Architect shall, throughout the term
of this Agreement,lceep Agency reasonably informed of progress on work required under this
Agreement, and of any problems or delays, anticipated or otherwise, associated with each aspect
of the work. Architect shall promptly respond to any request by Agency for information,
progress reports, or documentation. Architect shall maintain accurate records of all worlc
performed for each Assignment under this Agreement, including but not limited to originals or
copies, as applicable, of all deliverable documents described in Exhibit A. Upon the completion
of work, and if requested by the Agency, Architect shall deliver to Agency the originals of all
renderings, models, or documentation produced, and may retain copies of such documentation, at
Architect's election.
32 Compliance with Laws: Architect shall at all times possess any and all
licenses and permits necessary to provide the services herein, and shall comply with applicable
federal, state and local laws, ordinances, codes and regulations in the performance of this
Agreement, and with all applicable with any applicable City of Palm Desert policies and
guidelines.

4. Not Used
5. Compensation: Agency shall pay Architect for the Services provided under this
Agreement on the following basis:
5.1 Not to Exceed Fee: Agency shall pay to Architect a total amount not to exceed
$25,000.00 for the basic services described in Exhibit A. Payment shall be made in a manner set
forth in Architect's proposal. The not-to-exceed fee shall not be exceeded without written
agreement between the parties. �
5.2 Additional Services: Additional services beyond those described in E�iibit A
shall be reimbursed on a time-spent basis per written agreement between the parties. Agency

6.1 Invoices: Architect shall submit to Agency invoices each month for all
services, if any, completed during the preceding month. The invoices shall describe the services
rendered during the period and any milestone achievements. Agency shall review such invoices
and notify Architect in writing within fifteen(15) calendar days of any disputed amounts.
6.2 PaXment: Agency shall pay all undisputed portions of the invoice within
thirty (30) calendar days after receipt of the invoice up to the maximum amounts set forth in
Section 5.
6.3 Audit of Records: At any time during regular working hours, all records,
invoices, time cards, cost control sheets and other records maintained by Architect shall be
available for review and audit by the Agency.
7, Ownership of Work Product
7.1 Propertv of Ag;ency: All documents including but not limited to plans, bids,
proposals, correspondence, permits, certificates, contracts, change orders, invoices, receipts,
reports, analyses or other written material developed or obtained by Architect in the performance
of this Agreement, including any and all intellectual property rights arising therefrom ("Work
Product"), shall be and remain the property of Agency without restriction or limitation upon its
use or dissemination by Agency. Promptly upon the completion of each Assignme�t, or at any
other time upon reasonable notice to Architect by Agency, Architect shall deliver all Work
Product to Agency. .
7.2 Re-Use of Work Product: Agency and Architect agree that all documents,
other than invoices, prepared by Architect pursuant to this Agreement shall be used exclusively
for the subject project, and shall not be used for any other work without the mutual agreement of
the Parties. Such material shall not be the subject of a copyright application by Architect. In the
event Architect permits the re-use or other use of such Work Product, Agency shall required the
party using them to indemnify and hold hannless Agency and Architect regarding such re-use or
other use, and Agency shall require the party using them to eliminate any and all references to
Architect from such Work Product.

8.2 No Solicitation: Architect, on behalf of itself and its officers, employees,
agents and representatives, warrants that it has not ernployed or retained any company or person,
other than a bonafide employee worlcing solely for Architect to solicit or secure this Agreement,
and that it has not paid or agreed to pay any company or person, other than a bonafide employee
working solely for Architect any fee, commission,percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement. For -
breach or violation of this warranty, Agency shall have the right to terminate this Agreement
without notice or liability, or in its discretion to deduct from the contract price or consideration,
or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift or
contingent fee.
8.3 No Financial Interest—AgencY: No officer, member or employee of Agency
during his or her tenure or one year thereafter shall have any interest, direct or indirect, in this
Agreement or the proceeds thereof. The Parties hereto covenant and agree that to their
lcnowledge no member of the Agency Board, or officer or employee of Agency, has any interest,
whether contractual, financial or otherwise, in this Agreement or the subject matter thereof, nor
any business or financial relationship with Architect and that if such interest comes to the
lcnowledge of either Party at any time a full and complete disclosure of all such information will
be made in writing to the other Party or Parties, even if such interest would not be considered a
conflict of interest under applicable law.

8.4 No Financial Interest—Architect: Architect hereby covenants, on behalf o f
itself and its officers, employees, agents and representatives, that at the time of executing this
Agreement it has no interest and that it shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services required
to be perfonned pursuant to this Agreement, no person having any such interest shall be
employed by Architect. At no time during the term of this Agreement, and for one (1) year
thereafter, shall Architect or anyone acting on Architect's behalf, accept anything of value from
any contractor or subcontractor performing services in connection with the project.

In addition to the foregoing, Architect shall indemnify, ��ot�ect, defend and hold harmless
the Agei�cy and the City of Palm Desert, their officials, employee�, agents and repres�ntatives
from and against any and all losses, liabilities, damages, costs and expenses, including attor-�Zey's
fees and costs to the extent same are caused in whole or in part by any negligent or wrongful act,
error or omission of the Architect, its officers, agents, employees or sub Consultants (or any
entity or individual that the Architect shall bear the legal liability thereo� in performance of
professional services under this Agreement.
10. Insurance Architect will maintain insurance in conformance with the requirements �
set forth below. If Architect's existing coverage does not meet the requirements set forth here, it
will be amended to do so. Architect acknowledges that the insurance coverage and policy limits
set forth in this section constitute the ininimum amount of coverage required. Any insurance
proceeds available to Agency in excess of the limits and coverage required in this agreement and
which is applicable to a given loss, will be available to Agency.
10.1 Worker's Compensation and Employer's Liability: Architect shall provide
Worlcer's Compensation and Employer's Liability Insurance on an approved policy from
providing benefits as required by law with employer's liability limits no less than One Million
($1,000,000) per accident or disease.
10.2 Professional Liabilitv or Errors and Omissions: Professional Liability or
Errors and Omissions insurance as appropriate shall be written on a policy form coverage
specifically designed to protect against acts, errors or omissions of the Architect and"Covered

this Agreement, Architect shall not discriminate against any employee, subcontractor, or
applicant for employment because of race, color, creed, religion, sex, marital status, national
origin, ancesicry, age,physical or mental disability, medical condition or sexual orientation.
Architect will take affirmative action to ensure that subcontractors and applicants are employed,
and that employees are treated during employment, without regard to their race, color, creed,
religion, sex, marital status, national origin, ancestry, age, physical or mental disability, medical
condition or sexual orientation. This clause shall be included in any contract prepared or
approved by Architect in connection with performance of its services under this Agreement.
14. Cooperation In the event any claim or action is brought against Agency or City relating
to performance or services rendered under this Agreement, Architect shall render any reasonable
assistance and cooperation, which Agency or City might require.
15. Termination The right is reserved by the Agency to terminate the Agreement at any
time upon seven(7) days written notice in the event the project is to be abandoned or indefinitely
postponed, or in the event the services, in the sole judgment of Agency, are unsatisfactory or
because of the failure to prosecute the work with diligence or within the time limits specified or
because of his disability or death. In any such case, the Architect shall be paid the reasonable
value of the services rendered based upon Architect's standard hourly rate, up to the time of the
termination. The Architect shall keep adequate records to substantiate costs and provide copies
of original timecards in the event of termination or suspension.

16. Notices Any notices, bills, invoices, or reports required by this Agreement shall be
given by first class U.S. Mail or by personal service. Notices shall be deemed received on 9a)
the day of delivery if delivered by hand or overnight courier services during Architect's and
Agency's regular business hours or by facsimile before or during regulax business hours; or(b)
on the third business day following deposit in the United States mail postage prepaid to the
addresses heretofore set forth in the Agreement, or to such other addresses as the Parties may,
from time to time designate in writing pursuant to the provisions of this section. All notices shall
be delivered to the Parties at the following addresses:

17. 1�1o�-Waiver of'�erms, lZights anci lSemedies Waiver by either Party of any one or
more of the conditions of performance under this Agreement shall not be a waiver of any other
condition of performance under this Agreement. In no event sha11 the malcing by Agency of any
payment to Architect constitute or be construed as a waiver by Agency or any breach of
covenant, or any default which may then exist on the part of Architect, and the making of any
such payment by Agency shall in no way impair or prejudice any right or remedy available to
Agency with regaxd to such breach or default.
18. Attorney's Fees In the event that either Party to this Agreement shall commence
any legal action or proceeding for damages for breach, or to enforce or interpret the provisions of
this Agreement, the prevailing party in such action or proceeding shall be entitled to recover its
costs of suit, including reasonable attorneys' fees and experts' fees.
19. Exhibits; Precedence All documents referenced as e�iibits in this Agreement are
hereby incorporated in this Agreement. In the event of an material discrepancy between the
express provisions of this Agreement and the provisions of any document incorporated herein by
reference,the provisions of this Agreement shall prevail.
20. Entire Agreement This Agreement, and any other documents incorporatdcl herein by
specific reference, represents the entire and integrated agreement between Architect and Agency.
This Agreement supersedes all prior oral or written negotiations, representations or agreements.
No promise or representation, whether oral or written, express or implied,that is not set forth
herein, shall be binding or have any force or effect. This Agreement may not be amended, or
any provision waived, except in a writing signed by the Parties which expressly refers to this
Agreement.
Blo Partial Invalidity In case any provision of this Agreement should be deemed by a
court of competent jurisdiction to be invalid, illegal or unenforceable in any respect,the validity,
legality or enforceability of the remaining provision shall not be affected or impaired thereby.

Colin Powell Academy for Success Gymnasium; Long Beach USD (joint-use facility with) City of Long Beach, CA
DBIA award winning design-build project including this new gymnasium, with its unique sweeping barrel vaulted roof and its playful
geometric shapes, invokes the spirit of play. The main entry is clad in glass from Floor to ceiling and provides a visual queue to
welcome the public into the facility. Because it is a joint-use facility for the Long Beach Unified School District and community, special
attention was given to after hour access and special needs for formal events. The exposed wood and steel interior structure offers
visuai excitement to the voluminous space. The main floor houses regulation play courts for basketbali and voileyball with retractable
viewing stands for approximately 400 spectators. The facility also houses the lockers, showers, offices and a special dynamic room
for the school band.

This project included a new community center for the Newport Coast community in the city of Newport Beach. Approximately one
half of the building space is a gymnasium, which includes a unique stage at one end that opens up to the exterior, providing for

This project included the expansion of La Quinta City Hall's operations and administration offices. This project included the
renovation of the existing City Hall building and the construction of a new Emergency Operation Center(EOC). This aspect of the
project was engineered and constructed for twice the seismic load required for this type of buiiding because the basement portion
of the project is the Emergency Operation Center. The EOC will serve as an effective and efficient facility housing 22 pre-selected

This project consisted of a 29,000 sf building with a 10,100 SF gymnasium, weight rooms, computer lab/homework center, teen
activity rooms, office and administration areas, and a police substation on Beach Boulevard in West Anaheim, Califoria. The center,

Canyon Lake Community Center; Canyon Lakes, CA
This design-buitd project for the home owners association of the Canyon Lake community includes a kitchen, restaurant and bar,
banquet/conference rooms, theatre stage, community activity rooms and administrative offices. Design was delivered in five months
with construction completed in 11 months. The project site is unique and dramatic as it is built up on a peninsula thak is surrounded
by Canyon Lake on three sides. Design challenges included the maximization of lake views from throughout the facility while
shielding the building from intense southern sun exposure, which the facility faces year round.

Moorpark Civic Center Master Plan; City of Moorpark, CA
Our team provided programming, master planning and design services for a new city hall building and provides a general plan for
future expansion. One of the critical factors in the plan is tying the new civic center complex together with the Area Specific Plan for
the development of High Street, which is the historic main street of Moorpark. The new City Hali is a 34,000 SF facility designed to

This clubhouse is perched above Vellano's 18-hole golf course in this San Bernardino County city. The 49,000 sf clubhouse is a

For this project the client wanted the new building to symbolize its commitment to its close relationships between students, faculty
and administration. The design concept for this six time award-winning building, strives to create a comfortable environment for
first time students. Use of a transparent fasade facing the campus, conveys an open, friendly atmosphere and easy accessibility
of faculty, staff and support services. The building houses numerous functions, including registration, financial aid, counseling,

Compton USD Education Services Center- District Headquarters; Compton, CA
This new two-story District headquarters complex was planned in phases to include the establishment of temporary facilities
across the street from the new buiiding site. This allowed a new elementary school to be constructed on the site of the District's
current headquarters. The new facility is nearly 43,000 SF and includes office space for 220 District employees who provide both
management and support functions. In addition, the design includes meeting rooms that are accessible to the general public and a
large general assembly room for community and Board of Education meetings. The facility also houses a district-wide IT hub, print
shop and District police department.

gkkworks is performing programming and design services for the remodel, renovation and new construction of San Diego City
College's 21,400 SF Physical Education/Athletic Facility. The building includes a basketbail court/gymnasium, dance area, fitness

LAUSD Luther Burbank Middle School Building Additions; Burbank, CA
LAUSD's Luther Burbank Middle School has 1700 students in the town of Eagle Rack, California. This project includes the removal and
replacement of approximately 48,500 sf of building space, which currently lie in a seismic fault rupture zone. The new replacement
facilities consist of a two-story gymnasium/locker facility, a one-story multi-purpose (Tyler Hall) building, and a two-story classroom
building with 11 classrooms.The new structures have been relocated on the school site away from the seismic setback areas.
