�'he bidder mus# verify acceptable experience of diversif+ed landscape maintenance,
which will enable the Gity to judge the responsibility, experience, sl�iit, and
businesslfinancial standing af the bidder.
Due to the lacation and the unique nature of the plant material associated with this
maintenance area, the City Council� of the City of Palm Desert reserves the right to
reject bids from firms that dn not reflect adequate training, experience and,qualifications
to canduct the necessary work.

hereinafter referred to as "CITY", and Greenscap� �,and�cape, Inc., refer-r�d ta as
"CO fV�`f�AC�'�R".

WHEREAS, on April 19, 2007, the CI`fY invited bids for landscape mainfenance
services for City maintained properties per specifications; and
WHEREAS, pursuant to said invitation, CONTRACTOR submitted a proposal, which
was accepted by CITY for said services.
NOW, THEREFORE, in considerafiion of their mutual pramises, obligatior�s, and
covenants hereinafter contained, the parties hereto agree as fotlows:
(1) TERM. The term of this Agreement shall be from July 1, 2007 through June 30,
2008 or to such later date as may be agreed in writing between parties.
{2) CITY'S OBLIGATIUNS. �or furnishing services, as specified in this Agreement,
CITY wil[ pay and CONTRACTUR shall receive in full cornpensafion, therefore
the tatal sum of n'snety-one thousand ane hundred forty dollars ($91,140.00) as
s�t for�h in#he Contract Documents and adopted by the CITY.
(3) CONTRACT�R'S OBLIGATION Far, and in consideration of the payments and
agreements hereinbefore mentioned to be made and performed by CITY,
CONTRACTOR agrees with C(TY to fiurnish the services and to da everything
, r�quired by this Agreement and the Specific Terms and Conditions.
� {4) H�LD HARMLESS AND INDEMNIFICATION. C4NTRACTOR agrees to
� ' defend, indemnify, and hold harmless The City af Pafm Desert, its officials,
� officers, emplayees, representatives, and agents from and against all claims
lawsuits, liabiiities or damages of whatsoever nature arising out of our connection
with, or relating in any manner to, any act or omission of CONTRACT�R, his
agents, employees, subcontractors and employees thereof in cor�nection with,
the per�ormance or non- perforrnance of this Agreement. The CONTRACTOR
shalf thoroughly investigate any and all claims and indemnify fhe CITY and do
whafiever is necessary to protect the City of Palm Desert, its official, officers,
emp(oyees, agents, and representatives as to any such claims, lawsuits,
Eiabi(ities or damages.
(5) AMENDMEMTS. Any amendment, modification, ar variation fram th� terms of
th�s Agreerr�ent shall be in writEng, signed by the ��NT�A�70R and �ppraved
by fhe City�our�cil of�he CITY.

have any further duties, obligatians, respansibilifiies, or rights under this
Agr�ement except, however, any and aEl obligation of CoNTRACTOR's surety
shall remain in ful! farce and effecf, and shall nat be extinguished, reduced, or in
any manner waived by the termination hereof. In said event, CONTRACTOR
shall be entitled to the reasonable value of its services performed from fihe
beginning of the period in which the breach occurs up ta the day it received
CITY's Nofiic� of Terminatian, minus any offset from such payment representing
the CITY's damages from such breach. CITY reserves the right ta delay any such
payment unti[ completion of confirmed abandonment of the project, as may be
dete�rrtined in the CITY's sale discretion, so as to permit a full and camplete
accounting of costs. tn no �vent, hawever, shaU CONTRACTOR be entitled to
receive in excess of the compensation quoted in its bid.
The City Caunci� may terminate the contract with 30 days written notice for any
reasor�.
(7} INCORPORATED BY REFERENCE. The Notice Inviting Bids; Bid Terms and
Conditions; General Terms and Conditions; Specific Terms and Conditians; Bid
Submission Form(s), Addendum Nos. 1 ; Change 4rders; additional or
supplemenfial specifications, drawing, maps or diagrams; and C[TY issued form�
relating to this project, are hereby incorporated in and made a part of this
Agreement.
(8) COMPLETE AGREEMENT. This written Agreement, including all writings
speci�cally incorporated herein by this rsference, shall constifiute the complete
agreement between the parties hereto. No oral agreement, understanding, or
representation not reduced to writing and specifically incorporated herein shall be
of any force or effect, nor shal! any such orai agreement, understanding, or
representation be binding upon the parties hereto.
{9) ANTI-�ISCRIiVIINATION. !ri the perfarmance of the terms of this Agreemertt,
CONTRACTOR agrees that it will not engage in, nor permit such subcantractors
as it may employ, to engage in discriminafiion in ernploymer�t of any person
because o� �he age, race, color, sex, national origin or ancestry, or religion of
such persons. Violation of this�pravisi�n may resuit in the imposition of penalties
r�fierred ta ir� Labor CQ�e Sectian 1735.

(12) LITIGATION C4STS. In fihe event an actian is filed by eifiher party to enforce any
rights or obligatic�ns under this Agreement, the prevai[ing party shail be enfiitled to
recover reasonable attarney's fees and court casts, in addition to any ofher relie'F
granted by the court.
('t3) AUTHORITY TO EXECUTE AGREEMENT. Both C[TY and CONTRACTOR do
warrant that each individua[ executing this Agreement on behalf of each party is
a person duly authorized.
