By Minute Motion: 1.) Accept maintenance agreements between Desert El
Paseo, Harkham Family Enterprises, and the City of Palm Desert for sidewalk
and catchbasin/drywell maintenance for the Colonnade Project and 2.) Authorize
the City Manager to execute the agreements.
Discussion:

The Colonnade project is located at 73399 El Paseo and Lupine Lane. This project was
approved by City Council November 8, 2007. A precise grading plan for the project proposes a
sidewalk with decorative paving and a catchbasin/drywell to be constructed in the public right-of-
way. The City Engineer has requested these items be maintained by the owners, Desert El
Paseo and Harkham Family Enterprises. The owners have signed agreements taking
responsibility for the maintenance of both the sidewalk and catchbasin/drywell.
Therefore, staff recommends that City Council accept and authorize the City Manager tc1 / I
execute both agreements.

CUSTOM SIDEWAI,,K INDEMNIFICATION
and
HOLD HARMY�ESS AGREEMENT BETWEEN PROPERTY OWNER
and
THE CITY OF PALM DESFRT
This Agreement is entered into this 16th day of April, 2008 by and between the CITY
OF PALM DESERT (hereinafter referred to as "CITY") and DESERT EL PASEO, LP, a
California Limited Partnership and HARKHAM FAMILY ENTERPRISES, LP, a
CaGfornia Limited Partnership (hereinafter referred to as "OWNFR"), and is made with
respect to the following:
A. OWNER is the legal owner of the property located in the City of Palm Desert,
County of Riverside, Sta.te of Califomia, known as Lot(s) 2 and 3 in Block"H" of Palm
Desert,as shown in Map Book 21, Pages 50 through 54 in the Office of the County
Recorder for the County of I2iverside, California. Thc street address o�'the parcel i�s 73375
and 73399 El Paseo,Palm Desert, CA.
B. OW:�1ER has heretofore applied for a building permit and/or encroachment
permit, and seeks to build a custom sidewalk (defined as dif�erent in c:olor, composition or
different in any other w�ay from the smooth gray concrete sidewalk normally permitted by the
City).
C. Prior to the issuance of the building permit and eneroachment permit, or any other
_ authorizing document, the OWNER agrees with tl�e following:
1. To providc to CITY a statement from the manufacturer that the material of
certain tree grates,walls, handrails, steps, stamped and colored concrete,tile,brick, stone, or any
other non-standard sidewalk material proposed to be installed as the sidewalk in and on the
public right-of-way located at the premises described in Paragraph"A"above, is of a non-slip
nature;
2. The OWNER understands and acknowledges that by constructing a
custom sidewalk the OWNER a�ees to be responsible for regularly inspectin�and assessing the
condition of the custom sidewalk,properly maintaini.ng and repairing the same, and keeping it in
a safe condition as long as such custom sidewalk is in place;
3. "1'he OWNER also understands ttzat any claims azising from such unsafe
custom sidewalk conditions will be tendered to thc OWNER's insurance, and that the OWNER
must provide prcx�f of insurance coverage which will be provided with this Agreement prior to
the execution of the same and issuance of any permits by the CITY,naming the CIT'Y as an
additional insttred.
D. In consideration of the aforementioned recitals,this indemnification and hold
haimless agreement executed by the UWNER, the C:ITY proposes to issue the permits required

for the installalion of that custom sidewalk set forth above.
NOW, THFREFORE;,the CITY and OWNER agree as follows:
1. AGREEMENT. CITY,through its appropriate departments and agencies shall
issue to the OV�NER a building permit, encroachment permit or other appropriate document for
the installation of certain custom sidewalk,tree grates, walls, handrails, steps, stamped and
calored concrete in the sidewallc located ai the premises described in Paragraph"A"above, as
the same has been approved by the Design Review or appropriate committee or department of
the CITY.
2. HOLD HARMLESS. OWNER a�nees to indemnify and hold hatmless the CITY,
its officers, agents,employees and representatives, against any and all losses,actions,
proceedings, or claims inciuding attorneys' fees and all other costs of defense brought or made
agains-t CITY, its officers, agents,employees and representalives, in connection with or arising
from the installation, existence,or maintenance of the custom sidewalk or as a result of any
accident which my occur upon the said custom sidewalk,tree grates,walls,handrails, steps,
stamped and colored concrete in the sidew�alk.
OWNF,R's obligations under this Paragraph 2 are covenants running with this named
Parcel and shall be binding upon OWNER's successors-in-interest, heirs and assigns.
3. INSURANCF.. OWNER shall obtain and, at no cost to the CITY, maintain a
liability insurance policy in the amount of Qne Miilion Doll�rrs ($i,000,000.00},narrxing the
CITY as the additional insured. Such inswance shall be required for the purpose of insuring the
custom sidewalk constructed upon the public right-of-way by the OWNER. OWNER shall
provide CITY with a proof of such insurance before permits or notices can be issued.
4. INTER.PRETATION AND ENFORCEMENT. This Agreement shall be binding
upon and inure to the benefit of the heirs, executors, administrators, successors, assigns; officers,
agents, employees, attorneys and representatives of the respective parties hereto. In the cvent
that any provision of this Agreement shall bc hcld to be invalid, the same shall not affect in any
respect whatsoever the validity of the remainder of this Agreement. In the event of any
controversy, claim or dispute between the parties hereto, arising out of or relating to this
Agreement, the prevailing party shall be endtled to recovcr from the othcr party reasonable
expenses, attorneys' fees and costs. This Ap,reement is made in and shall be governed under the
Iaws of the State of Califomia.
5. Tl�is A�reement shall be notarized and the same recorded in the County of
R.iverside, State of California.
6. All recitals hereinabove set forth shall be and hereby incorporated as part of this
Agreement, and sha11 be adhered to by the O WNER.

CATCH BASIN AND DRYWELL MAINTENANCE AGREEMENT
T'his Catch Basin and Drywell Maintenancc 1�greement {the "Agreement") made and
entered this day of[month] , 2008, by and between the City of Palm Desert,
a municipal corporation, hereinafter referred to as "CITY" and Desert El Paseo, LP, a California
limited partnership, and Harkham Family Enterprises, LP, a California limited pattnership,
hereinafter refened to as "PROPERTY OWNER". CITY and PROPERTY OWI�'ER are
sometimes hereinafter individually refenred to as a "Party" and/or collectively referred to as the
"Parties".
RECITALS
� VVI-�REAS, PROPERTY OWNER is owner of that certain real properiy loc;ated at 73-
399 El Paseo, in the City af Palm Desert, County of Riverside, State of California, Assessor's
Parcel Number(s) b27-251-002 and 003. as described in Exhibit "A", hereinafter referred as the
"Property", and
WHEREAS, on November 8, 2007, the CITY Council of Palm llescrt adopted
Resolution No. 07-75, to allow the coastxuction of a two-story commercial retail restaurant
building, and
WHEREAS, water from irrigation and storm flows from a portion of the property drains
via an underground pipe to a cozmbination catch bAsin and drywell in the public right of way of
Lupine Larie, a.nd
VVHEKEAS, the CITY desires assurance that PROPERTY OWNER and successors will
maintain said catch basin and drywell for life in a good workmanlike manner, and
WHEREAS, PROPERTY OWNER is desirous of' maintaining said catch basin and
drywell for adequate and proper drainage of the subject proper�y,
NOW TI�EREFORE, in consideration of the acceptarace by the City, the Parties hereto
mutually covenant and a�ee as follows:
TERMS
1. PROP�RTY OWNER at its sole cost and expense will construct and maintain thc
catch basin•and drywell including, but not limited to piping and all other relatcd appurtenances
within the public right of way along the project frontage of Lupine Lane. PROPERTY OWNER
sha11 clean the catch basin, drywell, and pipe twice a year and keep all associated maintenance
records. Upon request from the City, PROP�RTY OWN�R srtall provide such recorcis.
2. It is the Cl'TY's and PROPERTY OWNER's intent that should any right, title or
interest in and to the Property, or a part thereof, be sold or otherwise conveyed, that the
obligations set forth in this Agreement shall automatically become the obligations of the new
title or interest holder. The obligations set forth in this Agreement shall bind PROPERTY
OWNER's heirs, successors and assigns of the Property and the covenants contained herein sha.11
run with the Property, and those covenants shall benefit each and every other parcel of property
located in the CITY. This Agreement shall be notarized and recorded with thc Kiverside County
Recorder's Office.
3. In the event that PROPERTY OV6'NER fails to comply with the terms of this
A,gz�eement, the CITY shall provide PROPERTY OWI�"ER, or PROPERTY OVVI�'ER's
successors in interest, with a thirty (30) day written notice of default, which notice shall specify
the nature of the default. In the event that YROPERTY OWNER or his successors in interest fail
to cure the default witluzx the said thirty {30) days, provided following receipt of said notice,
YROP�RTY OWNER has not commenced and is not diligently pursuing cure of said default, the
CI"I'Y may immediately take steps to cure ihe default by cuxing the default itself and imposing a
lien, pursuant to law, against the Property for the cost of such cure. The imposition of a lien for
failure to provide catch basin and drywell maintenance on a public right of way as requ.ired under
_ this Agreement, shall be applied to the Property.
4. If legal proceedings aze necessary to enforce or interpret the terms of this
Agreement, the prevailing Party, as deternuned by the court, shail be entitled to recover from the
othcr Party all costs and expenses of the proceedings, iucluding reasonable attorneys' fees and
related costs.
5. PROPERTY OWNER hereby agxees to indemnify, defend and hold the CITY arxd
its officials, officers, agents, servants and employees harmless from any and all liabilities,
clauns,demands,debts, suits, actions and causes of actions, ineluding but not limited to,property
damage, personal injury or wrongful death, atising out of or in arry manner connected with any
act or omission of PROPERTY OWNER, or its officers, agents, servants or employees, done or
performed pursuant to the terms and provisions of this Agreement.
6. PROPERTY OWNER, individuaEly as the current owner of the Property and on
behalf of PROPF.,RTY OWNF,R's heirs, successors and assigns of the Property, does hereby
grant to the CITY, as grantee, a lien on the Property, pursuant to law, which lien shall be
enforced in the amount of all fees and costs incurred by CITY in performing PROPERTY
OWNER's obligations hereunder upon PROPERTY OWI�ER's failure to perform pursuant to
par�graph 3.

7. Any and all notice, including, but not limited to a notice of default sent or
required to be scnt to the Parties to this Agreemcnt will be mailed to the following addresses:
