Home My WebLink AboutC28190 - CVWD s ♦ F AGREEMENT BETWEEN THE CITY OF PALM DESERT AND THE COACHELLA VALLEY WATER DISTRICT, FOR MAINTENANCE OF THE STORM DRAIN SIPHON IN HOVLEY LANE WEST AT CORTE PLACITAS THIS AGREEMENT ("Agreement") is entered into as of this �{� day of SJ�I�i�3fi�- , 2008, by and between the City of Palm Desert, a municipai corporation ("Palm Desert"), and the Coachella Valley Water District, a public agency of the State of California ("CVWD"). Palm Desert and CVWD are sometimes hereinafter individually referred to as a "Party" and/or collectively referred to as the "Parties." RECITALS WHEREAS, Centennial Circie drains surFace flows from storms and nuisance water into the storm drain ("Storm Drain") in Hovley Lane West ("Hovley"), and WHEREAS, CVWD installed a thirty-three inch (33") sewer line ("Sewer Line") in Hovley as part of the Improvement District No. 53 Trunk Sewer Project, and WHEREAS, the alignment of the Sewer Line was in conflict with the existing storm drain lateral, and WHEREAS, after the Sewer Line was installed, a siphon ("Siphon") was designed and constructed by or on behalf of CVWD to carry the storm and nuisance water from the lateral to the Storm Drain in Hovley, and WHEREAS, the Siphon requires periodic maintenance (as defined herein) to continue to function properly, and WHEREAS, CVWD has the capability to provide maintenance of the Siphon, and WHEREAS, CVWD has agreed to maintain the Siphon because the Storm Drain was in conflict with the Sewer Line and the Storm Drain had to be relocated during the installation of the Sewer Line, NOW, THEREFORE, the Parties mutually agree as follows: 1. General a. The foregoing Recitals are true and correct. b. All exhibits referred to hereinafter are hereby incorporated into and made a part of this Agreement. 2. Location The Siphon is located generally at the intersection of Hovley and Corte Piacitas, as shown on attached Exhibit "A" ("Intersection"). 1 3. Operation and Maintenance a. Term of Maintenance (i) Upon acceptance of the Siphon construction at the Intersection by Palm Desert, CVWD shall assume maintenance and expense thereof for the Siphon, in perpetuity. For purposes of this Agreement, the term "maintenance' shall mean the cleaning of debris from the Siphon, from time to time, in accordance with CVWD's standard operating procedure for the maintenance of siphons. Notwithstanding the foregoing, if Palm Desert reasonably believes that the Siphon needs to be maintained, it shall give District written notice thereof. CVWD shall, within a reasonable amount of time after receipt of the notice, maintain or cause the Siphon to be maintained in accordance with the terms hereof. (ii) Upon the acceptance of the Siphon by Palm Desert, CVWD shall assume all rights, obligations and liabilities of ownership of the Siphon, including but not limited to, the repair, operation and replacement thereof, at no cost to Palm Desert. b. Additionallnsured If CWVD causes the maintenance of the Siphon to be completed by a third parly ("Contractor'),CVWD will arrange with the Contractor to include Palm Desert as an additional insured for any commercial general liability insurance required of such Contractor. 4. Nothing in the provisions of this Agreement is intended to create duties or obligations to or rights in third parties to this Agreement. 2 b. Each Party hereto shall indemnify, defend and hold the other Party and its council members, directors, officers, agents, representatives, servants and employees and their respective successors and assigns (collectively, "Representatives") harmless from any and all liabilities, claims, demands, debts, suits, actions and causes of actions, including but not limited to, properly damage, personal injury or wrongful death, arising out of or in any manner connected with (i) any act or omission of such indemnifying Parly hereunder, or its Representatives, done or perFormed pursuant to the terms and provisions of this Agreement; and (ii) any breach by a Party of its obligations under this Agreement. 6. Termination This Agreement may be terminated by both Parties'written consent, effective thirty (30)days following execution of written notification of termination.
