AGREEMENT
THIS AGREEMENT, made and entered into this ___________ day of
2008, by and between THE CITY OF PALM DESERT, a municipal corporation,
hereinafter referred to as "CITY" and LSA ASSOCIATES, INC., hereinafter
referred to as "CONSULTANT".
WITNESSETH:
WHEREAS, CONSULTANT is a corporation, the principal members of
which are Professional CONSULTANTS duly registered under the laws of the
State of California; and
WHEREAS, CITY desires to engage CONSULTANT to render certain
technical and professional consultant services as set forth in Exhibit "A”,
CONSULTANT's Proposal and City’s Scope of Work contained in the Request for
Proposals (RFP) and, incorporated herein by reference, in connection with the
performance of Environmental Documentation Services for five (5) Congestion
Mitigation and Air Quality Grant Projects.
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage CONSULTANT to perform
the technical and/or professional services as hereinafter set forth.
(2) CONSULTANT shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A"
attached hereto and by reference incorporated herein and made a part hereof.

(3) All information, data, reports and records and maps as are
existing and available from the CITY and necessary for the carryings out of the
work outlined in Exhibit "A" hereof shall be furnished to CONSULTANT without
charge by CITY and CITY shall cooperate in every way reasonable in the
carrying out of the work without delay.
(4) CONSULTANT represents that, it employs or will employ at
its own expense, all personnel required in performing the services under this
Agreement.
(5) All of the services required hereunder will be performed by
CONSULTANT or under its direct supervision, and all personnel engaged in the
work shall be qualified and shall be authorized or permitted under state and local
law to perform such services.
(6) The execution of this Agreement by the parties hereto does
not constitute an authorization to proceed. CITY's Director of Public Works has
not authorized CONSULTANT to proceed.
(7) The CONSULTANT shall work closely with the CITY's
Director of Public Works, or his designated representative, who shall be the
principal officer of the CITY. The CONSULTANT shall review and receive the
Director of Public Works approval of the details of work as it progresses. The
CONSULTANT hereby designated by the CONSULTANT as its representative
for supervision of the work required by this Agreement is Lyndon T. Calerdine.
(8) The CONSULTANT warrants that he has not employed or
retained any company or person, other than a bona fide employee working solely

for the consultant, to solicit or secure this Agreement, and that he has not paid or
agreed to pay any company or person, other than a bona fide employee working
solely for the consultant, any fee, commission, percentage, brokerage fee, gifts,
or any other consideration, contingent upon or resulting from the award or
making of this Agreement. For breach or violation of this warranty, CITY shall
have the right to annul this Agreement without liability or in its discretion to
deduct from the contract price or consideration, or otherwise recover, the full
amount of such fee, commission, percentage, brokerage fee, gift or contingent
fee.
(9) The right is reserved by the CITY to terminate the
Agreement at any time upon seven (7) days written notice, in the event the
project is to be abandoned or indefinitely postponed, or in the event the
CONSULTANT's services, in the sole judgment of CITY, are unsatisfactory or
because of the CONSULTANT's failure to prosecute the work with diligence or
within the time limits specified or because of his disability or death. In any such
case, the CONSULTANT shall be paid the reasonable value of the services
rendered, based upon CONSULTANT's standard hourly rates, up to the time of
the termination. The CONSULTANT shall keep adequate records to substantiate
costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents and reports shall be delivered to and become
the property of the CITY. CITY acknowledges and agrees that all reports and
other documents prepared by CONSULTANT pursuant to this agreement shall

be used exclusively on this project and shall not be used for any other work
without the written consent of CONSULTANT. In the event CITY and
CONSULTANT permit the re-use or other use of the reports or other documents,
CITY shall require the party using them to indemnify and hold harmless CITY and
CONSULTANT regarding such re-use or other use, and CITY shall require the
party using them to eliminate any and all references to CONSULTANT from the
reports and other documents.
(11) The CONSULTANT shall comply with all federal, state and
local laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be
performed by the CONSULTANT shall be made except by supplemental
authority in writing between CITY and the CONSULTANT. The supplemental
authority shall set forth the changes of work, extension of time and adjustment of
the fee to be paid by CITY to the CONSULTANT, if any.
(13) In connection with the execution of this Agreement, the
CONSULTANT shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin. The
CONSULTANT shall take affirmative actions to insure equal employment
opportunity and that employees are treated during their employment without
regard to their race, religion, color, sex or national origin. Such actions shall
include, but not limited to, the following: employment, upgrading, demotion or
transfer; recruitment or recruitment advertising; layoff or termination; rates of pay,
or other forms of compensation and selection for training, including

apprenticeship. This clause shall be included in each related subcontract, if any,
awarded by the CONSULTANT.
(14) The CITY agrees to pay the CONSULTANT for the work
required by this Agreement on the following basis:
CONSULTANT shall submit invoices monthly for services
performed in the previous month not to exceed the total contract amount of
Seventy Thousand, One Hundred and Sixty Dollars ($70,160.00). CITY agrees to
pay all undisputed invoices within thirty (30) days of receipt of invoice. CITY
agrees to notify CONSULTANT of disputed invoices within fifteen (15) days of
receipt of said invoice.
(15) The CONSULTANT agrees to complete the work and submit
the report as described in Exhibit "A".
(16) In the event that any judgment is entered in any action upon
this Agreement, the party hereto against whom such judgment is rendered
agrees to pay the other party an amount equal to the reasonable value of the
legal services performed in his or its behalf in such action and that such amount
may be added to and made a part of such judgment.
(17) This Agreement shall be binding on the successors and
assigns of the parties, but the CONSULTANT without written consent of the
CITY shall not assign it.
(18) The CONSULTANT shall be an independent contractor, not
an employee of the CITY.
(19) Prohibited interests are as follows:

No officer, member or employee of the CITY during his tenure or
one year thereafter shall have any interest, direct or indirect, in this Agreement or
the proceeds thereof. The parties hereto covenant and agree that to their
knowledge no member of the City Council, officer or employee of the CITY has
any interest, whether contractual, non-contractual, financial or otherwise, in this
transaction, or in business of the contracting party other than the CITY, and that
if any such interest comes to the knowledge of either party at any time a full and
complete disclosure of all such information will be made in writing to the other
party or parties, even if such interest would not be considered a conflict of
interest under applicable laws.
The CONSULTANT hereby covenants that he has, at the time of
this Agreement, no interest, and that he shall not acquire any interest in the
future, direct or indirect, which would conflict in any manner or degree with the
performance of services required to be performed pursuant to this Agreement.
The CONSULTANT further covenants that in the performance of this work the
CONSULTANT shall employ no person having any such interest.
(20) The CONSULTANT shall indemnify and save harmless the
CITY, its officers and employees from and against any liability, loss, cost or
expense resulting from any injury or damage to persons or property caused by
the negligent acts or omission of the CONSULTANT, its agents or employees,
while engaged in the performance of this Agreement. The CONSULTANT shall
submit to CITY, prior to the Notice to Proceed is issued, certification of adequate
coverage for "errors and omission" insurance in amounts specified in the RFP or

approved by the City Attorney. Any such insurance shall not be canceled prior to
written notice to and approval from the CITY.
(21) In case of conflicts within the contract documents, the
document precedence shall be as follows:
(a) This Agreement;
(b) Exhibit “A”, City’s Scope of Work in the Request for Proposals
(c) CONSULTANT's Proposal of Services and any written modifications
thereto.

1.0 INTRODUCTION
This cost proposal addresses plans outlined by the City of PaLn Desert to implement five federally-
funded CMAQ grant projects as described in the following section.
1.1 PROJECT DESCRIPTIONS AND LOCATIONS
The five City of PaLn Desert projects for which LSA proposes to provide enviromnental services:
1. City Signal Interconnect Project: This project proposes to install interconnect conduit and
fiber optic cable to complete tl�e traffic signal communication system within the central
core of the City. The project area is pritnarily the area surrounded by Monterey Avenue,
Country Club Drive, Cook Street and Highway 11 1.
2. Traffic Signal Modification: This project will modify the existing pedestrian signal at
Fred Waring Drive and San Pascual Avenue to a six-phase, fully-ac[uated traffic signal
installation providing San Pascual traffic with protected left tum movements on, and full
access to, Fred Waring Drive.
3. Fred Waring Drive and Monterey Avenue lmprovement Project This project will design
and construct a free right turn lane at Monterey Avenue, dual left turn pockets on Fred
Waring at San Pablo Avenue, a dedicated right tum pocket at San Pablo Avenue, a right
turn pocket at t6e entrance to tl�e PaLn Desert Civic Center, and widening Monterey
Avetme between Fred Waring Drive and Magnesia Falls, including a right turn lane from
the College of the Desert (COD) exit. Tl�is project is located on Monterey Avenue fi�om
Fred Waring Drive to Magnesia Falls, and on Fred Waring Drive from San P�scual
Avenue to Monterey Avenue.
4. Highway 111 lmprovements: This project will construct various street improvements
inchiding street signing and striping, a traffic signal, sidewalks and ADA-compliant curbs
as well as a bus htrnout at the far side of San Pablo Avenue. It also proposes to extend the
left tum pocket at the intersection of northboun<1 Highway 1 ll and Plaza Way, and to
reconstruct the cross gutter at the soutli end of the intersection to eliminate an abrupt dip.
The project is located between the norih City lunits and Larkspur Lane.
5. PM10 Soil Stabilization: This project will apply enviromnentally friendly polymer soil
stabilizer to four separate areas on two sites of undeveloped property owned by the City
of Pahn Desert.

2.0 SCOPE OF WORK
This scope of work and budget share several assumptions:
1. The scope of the project area will be liinited to areas impacted by the preliininary alternatives
provided by the City. lf additional areas are affected by project facilities, then the scope will
need to be revised to address additional impacts.
2. LSA will prepare a PES for each project per Caltrans guidelines and the design alternative (s)
proposed by the engineer and the City.
3. All five projects will qualify for CEQA Categorical Exemptions/NEPA 6004 Categorical
Exclusions. However, it is expected that Air and Noise teclinical studies or �nemoranda
(TBD) for both CEQA and NEPA may be required for several of the projects so that there is
the likelihood of sever�l projects qualifying for CE/CEs with technical studies.
4. LSA will assess the cultural resources scoping study for completion and approval of tl�e PES
for eacli project and assumes no significant cultural studies will have to be conducted.
However, this determination is made by Caltrans afier the scoping study. lf it is determined
that further studies 1re necessary, LSA will submit a separate scope and cost proposal to
complete those s[udies. (see Cultural Scope below)
5. LSA will assess each project area for impacts to sensitive biological resources. Note that if
the initial research deterinines tliat there are impacts to existing flood channels or drainage,
then the scope of the analysis for the CE/CE for that particular project will need to be
expanded, scope and cost may need to be adjusted and permitting fees might be necessary.
6. [f the conclusions in any of the scoping technical studies for the PES result in the need for
higherlevel CEQA and NEPA environmental documents, (e.g., an lnitial
Study/Enviromnental Assessment [IS/EA]), LSA will modify the scope �nd budget
accordingly.
7. The budget proposed in this docuinent is based on the assumption tliat the work for all five
projects will be conducted concurrently.
TASK ]: Project Management, Coordination, and Administration
LSA will perfonn project management duties for the planning and enviromnental review component
of the projects to assure a cost efficient, timely, and quality process. These duties include
coordination and meetings with Caltrans, the City, and technical specialists as well as quality control
throughout the PES and environmental document phases of this project. Within this task, LSA will
take a proactive approach to ensure timely resotution of issues while performing the following tasks:
• Prepare and maintain the enviromnental quality control plan
• Prepare monthly project documentation and invoicing
• Prepare and maintain the project schedule for enviromnental approval activities
• Coordinate with City of Palm Desert: LSA will prepare for and attend monthly meetings with
the City of Palm Desert regarding processing of enviromnental documents, timely issue
resolution, strategy development, etc.

• Project Coordination and Project Team Meetings: LSA will prepare for and attend meetings
of the project teams.
TASK 2: Preparation and Approval of P'ive PESes
LSA will prepare the Caltrans-required PES form for each of the five proposed projects. The firm will
strive to keep this process as siinple and econoinical as possible while still meeting Agency
requirements.
LSA proposes to prepare the Caltrans approval-ready PESes by developing complete project
descriptions and project maps, reviewing relevant literature, maps and inventories, requesting
technical infonnation from resource and regulatory agencies, and verifying research findings in the
field as required by Caltrans guidance The PESes will specify any technical studies required for each
project. LSA will also minimize technical shidies where possible by relying on previously completed
work, includiug the Coachella Valley MSHCP and the City of Pahn Desert General Plan or other
enviromnental documents prepared by the City. This data will be incorporated into eadt PES as
appropriate. LSA will respond to any review coirunents as necessary to obtain approval from Caltrans
for the PESes.
TASK 3: Technical Scoping for PESes and Studies for Categorical Exclusions
Completion of the NEPA CEs for tlie fve projects listed above requires technical scoping studies
during the PES phlse for hazardous materials, cultural resources, noise, air quality, and biological
resources, and floodplain mapping. This includes site visits. Site visits for all projects will be
wmbined into one for each technical specialty.
It is expected tliat scoping for Water Quality Resources will be minimal. It is expected tl�at for sever�l
of the projects Air and Noise Studies will be necessary; LSA will prepare tl�em to the simplest level
necessary for approval.
Natural Environment
For each project, to the extent required by Caltrans, LSA will attempt to gather data in one technic�l
report f'or use in completing the PESes as well as the enviromnental documents.
ln order to assess potential project impacts on biological resources, LSA's qualified biologists will
review all current, relevant literature, including the California Natural Diversity Data Base, the
California Native Plant Society's Elecfronic Inventory, and the Approved Final Drafi Coachella
Valley Multiple Species Habitat Conservation Plan (CVMSHCP).
A general, on-site survey will be conducted by LSA biologists familiar with the habitats and sensitive
resources of the region. The survey will evaluate any consistent/inconsistent biological issues
identified above. The field survey wil] include the following services:
• Mapping and describing habitat types
• Evaluating suitability of habitat for resource issues identified in the Draft CVMSHCP
• Preliminary identification of any areas that may be consideredjurisdictional wetlands, waters
of the U.S. or streambeds as defined by the U.S. Army Corps of Engineers (Corps) and the
California Department of Fish and Game (CDFG)

• Noting other pedinent features or conditions of the site and adjacent lands
LSA will prepare a report summarizing the results of the literature review and site visit. This report
will include the following information:
• Description of vegetation and habitat conditions of the site
• Assessinent of the potential habitat value for sensitive species
• ldentificltion and description of any areas that may be considered jurisdictional wetlands,
waters of the U.S. or streambeds, as defined by the Corps and the CDFG
• Discussion of the biological resources in the context of cousistency witl� Drafi CVMSHCP
implementation structure and any implications for site development
• The report will identify any additional focused surveys that may be necessary (e.g., for
conclusive determinations regarding presence or absence of sensitive species or to determine
precisely the extent and character of jurisdictional wetlands or waters). This scope of services
does not include additional focused surveys.
Air Quality
For each project, to the extent required Uy Caltrans, LSA will attempt to gather data in one technical
report for use in completing the PESes as well as the environmental documents.
LSA will conduct ihe preliminary research necessary to complete the Air Quality sections of the
PESes. An Air Quality Assessment will be needed for the Pahn Deseri projects in accordance with the
Caltrans' Transportation Project Level Carbon Monoxide (CO) Protocol, the EPA's fugitive dust
conforinity rule, and the South Coast Air Quality Management District's (SCAQMD) CEQA
regulations for the Salton Se1 Air Basin (SSAB); these s[udies are included in this scope.
For the description of existing ambient air quality, LSA's report will use baseline and project-setting
meteorological and air quality data in the SSAB area developed through the California Air Resources
Board (ARB), along with clunatological and air quality profile data gathered by ihe SCAQMD. Air
quality data from the nearest air quality monitoring stations published for the past tluee years will be
included to help Uighlight existing air quality Iocal to the proposed project area. Other sources sucl� as
regulatory documents, professional publications, and LSA experience in the project area will
supplement background information. A summary of current air quality management eFfods A�at may
be related to the proposed projects will be provided.
Project construction is likely to result in air quality impacts from demotition, grading, and
construction sources. LSA will calculate these impacts based on the equipment used, length of time
required to complete each conshuction task, equipment power type (gasoline or diesel engine),
equipment emission factors approved by the EPA (AP-42 Handbooks), horsepower, load factor, and
percentage of time in use. Exhaust and dust emissions from worker commutes and equipment travel
will be calculated based on available infonnation regarding these activities. Fugitive dust emissions
would result from wind erosion of exposed soil and soil storage piles, grading operations, and
vehicles traveling on paved and unpaved roads. When specific data are available, emissions
associated with asphalt paving will be calculated. Emission factors included in the SCAQMD's
CEQA Air Quality Handbook or the ARB's URBEMIS 2007 model will be used for construction dust

emission estimates. These emissions will be calculated based on construction information available
and provided to LSA.
Traffic in the project are�(s) is expected to increase due to area growth witli population expansion.
Some traffic currenUy utilizing other routes may be attracted to the unproved roadways/intersections.
Carbon inonoxide hot-spot analyses will be conducted based on the peak haffic hour along this road,
and turn volwnes projected at key affected intersections in the project vicinity.
LSA will evaluate the proposed projects' impacts to laig-term particulate matter concentrations
(PM,,S and PM�o) and mobile source air toxics (MSAT) ttsing tl�e Transportation Confonnity
Guidance for Qualitative Hot-spol Ana/ysis in PMZ,S a�1d PM�o Nonattainmeilt ai7d Maintenance
Areas (EPA, March 2006) and the b�lerr�» Garidelines on Air Toxic Ana(ysis iia NEPA Docm�rents
(FHWA, February 2006).
Noise Analysis
For each project, to tlie extent required by Caltrans, LSA will attempt to gather data in one technical
report for use in completing the PESes as well as the environmental docwnents.
The projects are likely to require Noise Unpact Ana(ysis. LSA will conduct the preliminaiy research
necessary and prep�re a report that assesses each projecYs potential effects on existing and future
noise conditions. LSA will review applicable county noise and land use compatibility criteria for each
project area. The areas with potential future noise impacts will be identified using land use
infonnation, aeria] photographs, and field reconnaissance. A discussion of any existing sensitive uses
in the project vicinity will be included. Existing roadway traffic noise wil] be calculated as baseline
conditions, using traffic data provided by the City.
Noise impacts from construction sources will be analyzed based on the equipment expected to be
used, length of specific construction tasks, equipment power type (gasoline or diesel engine),
horsepower, load factor, and percent of time in use. EPA recommended noise emission levels will be
used for the construction equipment. The constnxction noise impact witl be evaluated in terms of
maximum levels (Lmax), and tlie frequency of occurrence at adjacent sensitive locations. Analysis
requirements will be based on the sensitivity of ihe area and flie Noise Ordinance specifications oF
the City.
The existing and future noise levels will be assessed using the U.S. Federal Highway Traffic Noise
Prediction Model (FHWA-RD-77-108, December 1978) or the current version of the Traftic Noise
Model (TNM). These models require input data conceining average daily traffic levels, day/niglit
percentages of autos, medium and heavy trucks, vehicle speeds, ground attenuation factors, and
roadway widths. Noise impacts will be evaluated in tenns of the Co�nmunity Noise Equivalent Level
(CNEL) or the one-hour equivalent sound level (LeQ). Mitigalion measures, such 1s sound barriers,
will be evaluated and recommended if necessary.
lnitial Site Assessment (ISA) Checklist
LSA will prepare a Hazardous Waste 1SA Checklist for each project in accordance with Caltrins
guidelines. The following tasks will be conducted as pad of this evaluation:

LSA will conduct an agency records dat�base searcli to identify hazardous waste sites located within
and in the vicinity of the study area and classified as hazardous waste under State law. The records
search will also identify business types located within and in the vicinity of the study area that store,
transfer, or utilize large quantities of hazardous materials. This infoimation will be obtained from
records maintained by federal, State and local agencies. LSA will utilize a database seivice to perform
this search.
LSA will conduct a visual survey of the study area viR public right-of-way to identify any obvious
area of hazardous waste contvnination. Findings of the records search and visttal survey and
recommendations will be incoiporated into the checklists.
Cultural Resource Studies (tasks required for completion of the PES forms only and does not
cover tasks for subsequent fonnal studies (HPSR/ASR/HRER) that may be required):
• Research. A cultural resource records search will be conducted at tl�e Eastein lnfonnation
Center (EIC), located at University of California, Riverside. The E1C is the state-designated
repository for records concerning cultural resources in Riverside County. The records search
will provide information on known cultural resources and on previous cultural resources
investigations within a one-mile radius of the project area. Data sources that will be consulted
at the E1C include archaeological site and artifact records, historic maps, reports from
previous sludies, and the state's Historic Resource lnventory (HRI) for Riverside County,
which contains listings for National Register of Historic Places (National Register),
California Register of Historical Resources (California Register), California Historical

requiring evaluation are identified, a Historical Resources Ev�luation Report (HRER) may

SCHEDULE OF STANDARD CONTRACT PROVISIONS
AND BILLING RATES
FEES FOR PROFESSIONAL SERVICES
Fixed-Fee Contracts
lf a fixed-fee proposal, the professional seivices described in the Scope of Services Section oFthe
attached proposal shall be provided for the fixed fee noted in the proposal. All other professional
services are considered extra services. Extra services shall be provided on a time and expenses basis
at the same rates specified for hourly contracts, unless other arrangements are made in advance.
Hourly Contracts
lf an hourly plus expenses propos�l, tlie professional services described in the Scope of Seivices
Section of the atiacl�ed proposal sliall be provided on a time and materials basis at current hourly
rates. These rates are as shown on a Rate Schedule that is attached, or can be made available. Hourly
rates are subject to review at least annually on or �bout August 1 of each year, and may be adjusted to
reflect changing labor costs, at our discretion, at that time. (A schedule can be made available upon
requestJ
Direct costs (including cost of subconsultlnts) shall be reimbursed at cost plus ten percent, unless
other arrangements are made in advance, and are not included in flie hourly fee for professional
services.
The total estimated amount of time and expenses noted in the proposal will serve as a control on the
services to be provided. The speciFied amount will not be exceeded without prior �pproval of the
client.
The total estimated amount of tiine and expenses noted in the proposal are dependent upon �ll five
projects being contracted 1t the same time.
INVOICiNG
Monthly invoices shall be submitted for progress payment based on work wmpleted to date. Clients
requesting changes to LSA's standard invoice may be billed for the time to develop the invoice and
monthly administration of the billing.
PAYMENT OF ACCOUNTS
Terms are net 30 days. LSA offers a one percent discount on invoices paid within 30 days of the
invoice date. A service charge of 1.5 percent of the invoice amount (18 percent annual rate) may be
applied to all accounts not paid within 30 days of invoice date. Any attorney's fees or other costs
incurred in collecting any delinquent lmount shall be paid by the client.

STANDARD OF CARE
Services provided by LSA under tliis Agreement will be perfonned in a manner consistent with the
degree of care and skill ordinarily exercised by members of the same profession currently practicing
under similar circumstances.
INDEMNIFICATION
Client and consultant each agree to indemnify and hotd the other hannless and their respective
officers, employees, agents, and representatives from and against liability for all claims, losses,
damages, and expenses, including reasonable attorneys' fees, to tlie extent such claims, losses,
damages, and expenses are caused by the indemnifying party's negligent acts, errors, or omissions.
ELECTRONIC TILE DATA CHANGES
Copies of documents that may Ue relied upon by client are limited to the printed copies (also known
as liard copies) that are signed or sealed by LSA. Files in elech�onic media format or text, data,
graphic, or other types that are furnished by LSA to client are only for convenience of clienL Any
conclusion or information obtained or derived from such electronic files will be at the user's sole risk.
When transFerring documents in electronic inedia format, LSA makes no representations as to long-
term compatibility, usability, or readability of documents resulting from the use of sofiware
application packages, operating systems, or computer hardware differing from those oF LSA at the
beginning of the assignment.
FORCE MAJEURE
Neither party shall be deemed in default of this Agreement to the extent that any delay in performance
of ils obligation results from any cause beyond its reasonable control and witliout its negligence.
LiT1GATION
ln the event that either party brings action under the proposal for the breach or enforcement thereof,
the prevailing party in such action sh111 be entitled to its reasonable attorneys' fees and costs whetUer
or not such action is prosecuted to judginent.
NOTICES
Any notice or demand desired or required to be given hereunder shall be in writing, and shall be
deeined given when personally delivered or deposited in the mail, postage prepaid, sent certified or
registered, and addressed to the parties as set fortl� in the proposal or to such other address as either
party shall have previously designated by such notice. Any notice so delivered personally shall be
deemed to be received on the date of delivety, and any notice mailed shall be deemed to be received
five (5) days after the date on which it was mailed.

TERMINATION OF CONTRACT
Client may terminate this agreement with seven days prior notice to LSA for convenience or cause.
Consultant may terminate this Agreement for convenience or cause with seven days prior written
notice to client. Failure of dient to make payments when due sliall be cause for suspension of
services, or ultim�tely termination of the contract, unless and until LSA has been paid in full all
amounts due for services, expenses, and other related charges.
REVOCATION
lf this Schedule of Standard Contract Provisions is attiched to a proposal, said proposal shall be
considered revoked if acceptance is not received within 90 days of the date thereof, uiiless otherwise
specified in the proposal.
