Recommendation:

2. Approve a 10% contingency in the amount of$27,000; and
3. Authorize the Mayor to execute the agreement.
Background:
The City has experienced significant growth and expansion, especially within the area
known as the "north sphere." The north sphere boundary is the area between the east
and west city limits and Country Club Drive on the south and Ramon Road on the north.
Along with exponential growth, the City implemented a general plan amendment that
changed the characteristic development traits of this northern area. Therefore, the North
Sphere Master Drainage Study was needed to provide a comprehensive long-range
plan for the development of drainage facilities within the northern city limits.
On September 22, 2005, the City Council approved staff to proceed with the
engineering to complete the North Sphere Master Drainage Study. The Drainage Study

identified six locations that need to be addressed to prevent future drainage issues. The
City has addressed one of the locations already with another project, Assessment
District 29, and is currently in design for two other locations: Frank Sinatra Drive and
Portola Avenue Intersection Improvements, and Cook Street Drainage at Country Club
Drive and Hovley Drive East.
This project will address drainage along Gerald Ford Drive from Portola Avenue to
approximately 2,500 feet east of Cook Street, along with drainage along Cook Street
from Berger Road to Gerald Ford Drive. "

There has been a history of drainage
problems in this location. In a major
storm event, the roadway at the location
of the proposed retention basin will flood
and force the City to close the roadway to
through traffic. This project will eliminate
this problem.
Discussion:
On December 12, 2008, staff received 18 proposals for consultant design services for
the project. A proposal review committee comprised of staff numerically ranked the
proposals in the areas of: qualifications of the firm and its personnel, management
approach, technical approach to this particular project, and overall completeness of the
proposal. The staff review committee selected the following three highest-ranked firms
for interviews:

Kimley-Horn and Associates, Inc., received higher scores on both the proposals and the
interview. The firm submitted an excellent proposal that demonstrated thorough
knowledge of the project. They had a very comprehensive analysis, and offered
solutions/alternatives of key project issues for road geometrics, traffic, utility relocation,
geotechnical, drainage, and right of way acquisition. The firm also had an excellent
presentation, and responded very well to questions during the interview. Kimley-Horn
has successfully completed similar projects for the City of Palm Desert along with the
cities of San Diego, Poway, and Otay Mesa. Their team includes sub-consultants for
landscaping, and geotechnical that have offices in Palm Desert.

Albert Webb and VA Consulting presented good proposals. However, these firms did
not address key project issues as well during their interviews. Their presentations did
not demonstrate as thorough knowledge, nor did they offer solutions to key project
issues. They did not respond as well to interview questions, and failed to answer
particular staff questions during their interview.
Subsequently, the cost proposal submitted by Kimley-Horn was reviewed and staff is
confident in the value being received.
Financial Impact:
Funds are available for this contract in account 232-4370-433-4001, North Sphere
Drainage.
The preliminary estimated construction cost of the project is $3,800,000. It is estimated
that the project will be able to begin construction in the spring of 2010, and be
completed in the fall of 2010. Staff's recommendation is to proceed with design at this
time, but construction will potentially wait for economic recovery.
Summary:
Staff recommends that City Council, by Minute Motion, award Contract No. C 2s5so ,
in the amount of $270,000 to Kimley-Horn and Associates, Inc., for Design Services for
North Sphere Drainage — Gerald Ford Drive Drainage Line 3B & 3C, approve a 10%
contingency in the amount of $27,000; and authorize the Mayor to execute the
agreement.

AGREEMENT
THIS AGREEMENT, made and entered into this 12th day of Februarv, 2009, by
and between THE CITY OF PALM DESERT, a municipal corporation, hereinafter
referred to as "CITY" and Kimlev-Horn and Associates, Inc, hereinafter referred to as
"ENGINEER".
WITNESSETH:
WHEREAS, ENGINEER is a corporation, the principal members of which are
Professional ENGINEERS duly registered under the laws of the State of California; and
WHEREAS, CITY desires to engage ENGINEER to render certain technical and
professional engineering services as set forth in Exhibit "A" (Engineer's Proposal of
Services) in connection with the design of Proiect: North Sphere Drainaqe — Gerald
Ford Drive Drainaqe Line 3B & 3C (Project No. 521-08)
NOW, THEREFORE, the parties hereto agree as follows:
(1) CITY hereby agrees to engage ENGINEER to perform the technical
and/or professional services as hereinafter set forth.
(2) ENGINEER shall perform all work necessary within the schedules
provided herein to complete the services set forth in Exhibit "A" attached hereto and by
reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing
and available from the CITY and necessary for the carryings out of the work outlined in

Exhibit "A" hereof shall be furnished to ENGINEER without charge by CITY and CITY
shall cooperate in every way reasonable in the carrying out of the work without delay.
(4) ENGINEER represents that, it employs or will employ at its own
expense, all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by
ENGINEER or under its direct supervision, and all personnel engaged in the work shall
be qualified and shall be authorized or permitted under state and local law to perform
such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. CITY's Director of Public Works has not
authorized ENGINEER to proceed.
(7) The ENGINEER shall work closely with the CITY's Director of
Public Works, or his designated representative, who shall be the principal officer of the
CITY. The ENGINEER shall review and receive the Director of Public Works approval
of the details of work as it progresses. The Registered Civil Engineer hereby
designated by the ENGINEER as its representative for supervision of the work required
by this Agreement is Scott Colvin R.C.E. No. 69464.
(8) The ENGINEER warrants that he has not employed or retained any
company or person, other than a bona fide employee working solely for the consultant,
to solicit or secure this Agreement, and that he has not paid or agreed to pay any
company or person, other than a bona fide employee working solely for the consultant,
any fee, commission, percentage, brokerage fee, gifts, or any other consideration,
contingent upon or resulting from the award or making of this Agreement. For breach or

violation of this warranty, CITY shall have the right to annul this Agreement without
liability, or in its discretion to deduct from the contract price or consideration, or
otherwise recover, the full amount of such fee, commission, percentage, brokerage fee,
gift or contingent fee.
(9) The right is reserved by the CITY to terminate the Agreement at
any time upon seven (7) days written notice, in the event the project is to be abandoned
or indefinitely postponed, or in the event the ENGINEER's services, in the sole
judgment of CITY, are unsatisfactory or because of the ENGINEER's failure to
prosecute the work with diligence or within the time limits specified or because of his
disability or death. In any such case, the ENGINEER shall be paid the reasonable
value of the services rendered, based upon ENGINEER's standard hourly rates, up to
the time of the termination. The ENGINEER shall keep adequate records to
substantiate costs and provide copies of original timecards in the event of termination or
suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
CITY. CITY acknowledges and agrees that all plans, specifications, reports and other
design documents prepared by ENGINEER pursuant to this agreement shall be used
exclusively on this project and shall not be used for any other work without the written
consent of ENGINEER. In the event CITY and ENGINEER permit the re-use or other
use of the plans, specifications, reports or other design documents, CITY shall require
the party using them to indemnify and hold harmless CITY and ENGINEER regarding
such re-use or other use, and CITY shall require the party using them to eliminate any

and all references to ENGINEER from the plans, specifications, reports and other
design documents.
(11) The ENGINEER shall comply with all federal, state and local laws,
ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the ENGINEER shall be made except by supplemental authority in writing between
CITY and the ENGINEER. The supplemental authority shall set forth the changes of
work, extension of time and adjustment of the fee to be paid by CITY to the ENGINEER,
if any.
(13) In connection with the execution of this Agreement, the ENGINEER
shall not discriminate against any employee or applicant for employment because of
race, religion, color, sex or national origin. The ENGINEER shall take affirmative
actions to insure equal employment opportunity and that employees are treated during
their employment without regard to their race, religion, color, sex or national origin.
Such actions shall include, but not fimited to, the following: employment, upgrading,
demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates
of pay, or other forms of compensation and selection for training, including
apprenticeship. This clause shall be included in each related subcontract, if any,
awarded by the ENGEINEER.
(14) The CITY agrees to pay the ENGINEER for the work required by
this Agreement on the following basis:
ENGINEER shall submit invoices monthly for services performed in the
previous month not to exceed the total contract amount of: two hundred seventy

thousand and no cents dollars ($270,000.00). CITY agrees to pay all undisputed
invoices within thirty (30) days of receipt of invoice. CITY agrees to notify ENGINEER
of disputed invoices within fifteen (15) days of receipt of said invoice. CITY will retain
Five Percent (5%) of each invoice amount, to be released upon satisfactory completion
of the terms of the total contract agreement.
(15) The ENGINEER agrees to complete the work and submit the Final
Design engineering phase as displayed in Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the ENGINEER without written consent of the
CITY.
(18) The ENGINEER shall be an independent contractor, not an
employee of the CITY.
(19) Prohibited interests are as follows:
No officer, member or employee of the CITY during his tenure or one year
thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds
thereof. The parties hereto covenant and agree that to their knowledge no member of
the City Council, officer or employee of the CITY has any interest, whether contractual,
non-contractual, financial or otherwise, in this transaction, or in business of the

contracting party other than the CITY, and that if any such interest comes to the
knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The ENGINEER hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The ENGINEER further
covenants that in the performance of this work no person having any such interest shall
be employed by the ENGINEER.
(20) The ENGEINEER shall indemnify and save harmless the CITY, its
officers and employees from and against any liability, loss, cost or expense resulting
from any injury or damage to persons or property arising out of, pertaining to, or relating
to the negligence, recklessness, or willful misconduct of the ENGEINEER, its agents or
employees, while engaged in the performance of this Agreement. The ENGEINEER
shall submit to CITY, prior to the Notice to Proceed is issued, certification of adequate
coverage for "errors and omission" insurance in amounts approved by the City Attorney.
Any such insurance shall not be canceled prior to written notice to and approval from
the CITY.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:

Dear Mr.Kulp:
Kimley-Horn and Associates,Inc. ("KHA"ar"the Consultant") is pleased to submit
this letter agreement (the "Agreement") to City of Palm Desert ("the C1ienY') for
providing Engineering Services. Our project understanding, scope of services,
schedule,and fee are below.
Prolect Understanding
The proposed project runs along Gerald Ford Drive from Portola Ave. through the
intersection of Cook Street and terminates east of Cook Street at a proposed
retention basin.
Scope of Services
Task 1.0 Kickoff Meeting
KHA will attend one project kick-off ineeting. The purpose of this meeting will be
to go over the scope of work,project schedule,potential issues,and cover
administrative activities.
Task 2.0,Data Collection and Review
KHA will collect record information for the proposed work areas, to the extent
readily available, from the City. It is assuined the as-built plans will be researched
and compiled by the City, and be inade available for KHA to pick up. KHA will
perform one site visit during this task.
The Consultant will also conduct detailed field reviews of the project location
identifying the locations of existing lane geometry and dimensions and other
significant roadside features that may impact the traffic control design. We will also
look at the traffic patterns to determine where the heaviest movements are. These
observations will take place for both the AM and PM peak times. This detailed field
review will be used to prepare the traffic control plans for the project.

Assumptions: The Consultant will visit the site after the basen7ap is prepared, to
field check the data for reasonableness.
Deliverables:
■ Site photos available upon request.
Task 2.1,Field Survey/Base Mapping
The Consultant will provide field survey and base mapping for the project location.
These services will include: cross sections, roadway profiles, driveway profiles,
cross-street profiles, existing surface utility locations, accessible utility invert
elevations, building outlines, utility poles, luininaries, channelization and
Yopographic features approximately 80' on either side of the existing centerline of
Gerald Ford Drive and Cook Street.
The base lnap will inc(ude features along Gerald Ford Drive from the intersection of
Portola Avenue to approxiinately three thousand feet (3,000') east of the
intersection of Cook Street. Also included are the limits along Cook Street from
approximately two thousand two hundred fifty (2,250') feet south of Gerald Ford
Drive (at the intersection of Berger Street) to the intersection of Gerald Ford Drive
and Cook Street, and at the approximate location of the proposed Basin 3. Base
maps will be developed at a scale of one inch equals forty feet roadway alignment
(1"=40'), and at a scale of one inch equals twenty feet(1"=20') around the location
of proposed retention basin. Existing groLmd line profiles will be plotted from the
field survey information. Base mapping will be tied to existing lnonumentation and
defined on the plans. We will research and recover existing monuments sufficient to
tie the record Right-of-Way to the engineering design surveys. KHA will also
develop the required easements for the proposed Basin 3 location.
The location of utilities map will be provided by the City; however KHA will
attempt to verify that all utility locations are per as-built plans. As-builts will be
requested from the utility purveyors by the City and shall be provided by the City.
Deliverables:
■ 1 copy of basemap on 24"x36" — Pdf; 1 electronic copy of basemap files in
AutoCAD format; 1 electronic copy of survey field notes; Title Report of
affected parcels.
Task 2.2 Preliminary Design Report
The initial task to be perFormed after gathering the existing record drawings will be
to verify the existing storm drain improvements that have been constructed along
Gerald Ford and Cook Street. Based on field observations it appears that several
new stonn drain systeins are already in service in Gerald Ford Drive. The existing
stonn drain system will be reviewed to deterinine catchment area, discharge
locations and potential conflicts with what is shown in the Master Plan.
A technical inemorandum will be prepared that will docuinent the findings and
provide a recommended approach for implementing the appropriate parts of the
Master Plan. The goal is to provide value engineering early in the project to provide

the most econoinical design for the City and minimize disturbance to newly paved
streets and adjacent businesses. It is anticipated that xhe conclusions in the pre-
design technical metnocandum will be the basis for design for the project.
Task 3.0,Environmental Documentation
The Consultant will prepare an environmental Initial Study (IS) as described in
Section 15365 of the California Environmental Quality Act(CEQA)Guidelines and
applicable case law. The IS will address the following resource areas:
■ Land Use and Plannin�— The Consultant will document existing land uses
surrounding the project site. A discussion of the compatibility of the project
with surrounding land uses and consistency with applicable planning
documents will be provided. The Consultant will analyze the project for
consistency with the City General Plan and County Master Plan of
Arterials.
■ Geologic Factors — The Consultant will sunnnarize geotechnical
information readily available through the General Plan, as well as other
readily available information.
■ Water — The Consultant will summarize site drainage and storm water
conveyance capacity information based on the findings of the Drainage
Analysis.
■ Air Qualitv - The environtnental document will estimate construction and
demolition emissions using South Coast Air Quality Management District
emission generation factors and the Localized Significance Threshold
(LST)Methodology.
■ Transportation/Circulation — The Consultant will assess traffic related
impacts,if any during construction.
■ Biolo�ical Resources — The Consultant will conduct a field reconnaissance
and habitat assessment to identify project impacts, if any, on sensitive
biological resources. The findings will be summarized in the IS.
■ Energy and Mineral Resources — The Consultant will prepare a qualitative
discussion of potential effects related to energy and mineral resources.
■ Hazards — The Consultant will conduct a search of regulatory agency
databases for potential known hazardous materials sites in the vicinity of
the project. The evaluation will be based on the results of this records
search.
■ Noise -Noise impacts are generally evaluated for both short-term and long-
term impacts. Given the limited amount of construction required and the
temporary nature of construction noise, no noise study is deemed necessary
to evaluate the short-term impacts associated with the proposed project.

Given the nature of the project, a noise study to evaluate long-term noise
levels is not assumed as part of this analysis.
■ Public Services and Utilities—The Consultant will assess potential impacts
to public services and utilities. Any impacts would be short term in nature
and associated with construction activities.
■ Aesthetics — The Consultant will assess potential visual changes resulting
from the implementation of the project.
■ Historic/Cultural Resources — The Consultant will conduct a search of
cultural resources databases and a reconnaissance survey of the site to
assess the presence of likely historical or archaeological resources in the
study area.
■ Recreation — The Consultant will assess potential direct and indirect
impacts to existing recreational facilities from the project.
Following review of the IS by the City, the Consultant will revise the IS. This scope
assumes one round of revisions in the interests of expediency. Additional reviews
and/or changes to the project description would require a budget adjustment. It is
assumed the review copy will be submitted electronically to the City. Upon receipt
of the comments,revisions will be incorporated and an approval draft document will
be submitted to the City at least one day prior to distribution. The Consultant will
provide up to 35 copies of the IS/MND for distribution to the public and the Palm
Desert City Council.
The Consultant will prepare a Notice of Availability/Notice of Intent to Adopt an
ND or MND for City review. Minor changes will be made and the notice will be
published by the City in the legal notice section of a local newspaper. The
newspaper publication would be sufficient notice pursuant to CEQA. Should the
City decide to send notices to property owners within 300 feet of the project limit, it
is assumed that the City would be able to provide mailing labels from the current tax
rolls.
Response to Comments
Once the 20-day public review period has ended, the Consultant will review the
comments received and will develop an approach to responding to any comments.
The draft responses to comments will be submitted to the City for review, and
revisions will be made accordingly. This scope of services assumes 12 technical
hours for the preparation of responses. If the nature and/or extent of comments
require a budget adjustment,the City will be notified.
Notice of Determination
Following adoption of the MND by the City of Palm Desert, the Consultant will
prepare the Notice of Determination(NOD) and Fee Exemption to be filed with the
County Clerk and the Governor's Office of Planning and Research.

Miti�ation Monitorin�
In compliance with public Resources Code 21081.6, the Consultant will prepare a
mitigation monitoring program for adoption with the MND. A draft copy will be
submitted to the City of Palm Desert. Revisions will be made accordingly.
Project Management and Meetin�s
The Consultant will coardinate with the City through project team meetings. Two
team meetings are included in our scope of services. We will also be available to
attend the Planning Comrnission and the City Council hearings, if requested by the
City of Palm Desert. It is assumed that two public hearings will be held on the
project.
Assumptions: It i5 assumed that the appropriate level of CEQA documentation for
the proposed project will be a Negative Declaration or Mitigated Ne�ative
Declaration.
Deliverables:
• 1 electronic copy each of the biolo�ical habitat assessment, air quality
calculations, cultural resources records search and field reconnaissance
surrunary,and hazardous inaterials database search results.

Task 4.0,Geotechnical Analysis
Sladden Engineering will perform: field explaration, laboratory testing, engineering
analysis and report preparation.
■ The field investigation will include the excavation of 5 or 6 exploratory
bores along the project alignment. The exploratory bores will be excavated
with a truck mounted drill rig and hollow-stem augers. Disturbed and
relatively undisturbed samples will be obtained within the bores for
laboratory testing.
■ Laboratory testing will be performed on soil samples to determine soil
characteristics and pertinent engineering properties that should be
considered in an engineering evaluation. Testing will include soil
classification determination,in-situ density and moisture content
determination,maximum density/optimum moisture determination, shear
strength determination,consolidation testing and soluble sulfate content
determination and percolation testing.

■ A formal report will be prepared summarizing our findings. The report will
include,descriptions of our field and laboratory procedures and results,
discussions regarding our engineering evaluation methods and results,and
recommendations. Recommendations will include; general site preparation
criteria,pipe bedding recommendations and allowable percolation rates for
the retention basin.

Task 5.0 Drainage Analysis
A draina�e analysis will be prepared for the watershed tributary to the recommended
improvements fro�n the pre-design report. The analysis will include hydrologic
calculations based on Riverside County Flood Control and Water Conservation
District inethodology for the tributary watershed to determine the 10 year and 100
year flow rates. The purpose of the analysis will be to verify flow rates and pipe
sizes for final design. The watershed will be delineated based on City provided
topographic data for the area and field observations.
A hydraulic model of the proposed stonn drain wi(1 be prepared using StonnCAD to
model the system. The model will be used to identify junction losses and help
identify areas requiring special design in order to optimize the hydraulic
functionality of the system. It is anticipated that some of the existing storm drain
inlets along the corridor will be connected to the new systein. A retention basin is
anticipated for the outfall of the storm drain system at the downstream portion of
the project. A hydraulic analysis of this basin will be prepared based on geotechnial
data (percolation rates). The basin will have an access ramp and an emergency
spillway back to the street. It is anticipated that this retention basin will serve as a
water qLiality basin and therefore accoinplish the goals of water quality treatment
through in�ltration.
Assumptions: Initial pipe sizing is based on the Master Plan and will be updated
based on the hydraulic analysis.

Task 6.0,Prepare 30% Project Submittal
Task 6.1,Prepare 30% Plans
KHA will prepare civil engineering drawings at the draft design level for City
review and co�nment, based on City specifications and details, Caltrans, MUTCD,
and AASHTO. Our draft design will consist of the following design items:

Assumptions: Based on value engineering, KHA will provide a 30%design concept
that will be consistent with the Fre-Desi�n report. Our goal is to provide an
innovative design that provides the greatest ultimate value for the City and its
residents.A working meeting with the City is anticipated after this submittal.
It is also assumed the the laterals for the proposed iinproveinents will require
portions of the existing raised inedians to be replaced. This will be handled on the
detail sheets and/or landscape plans as mentioned above and will include replacing
the irrigation as tivell as the median and landscape material.

■ 4 hard copies of preliminary plans (24"x 36")
Task 6.2,Identify Utility Conflicts and Relocation Needs
Using the preliininary storm drain profile, utility conflicts will be identified for
relocation.
Assumptions: Assume record drawings are available for utilities and will be
provided by City.
Task 6.3,Prepare 30% Construction Cost Opinion
KHA will prepare a 30°�o complete level opinion of probable construction cost for
the proposed work.
The Consultant has no control over the cost of labor, materials, equipment, or over
the Contractar's methods of determining prices or over competitive bidding or
market conditions. Opinions of probable costs are based on the information known
to Consultant at the time opinion is rendered and represent only the Consultant's
judgment as a design professional familiar with the construction industry. The
Consultant cannot and does not guarantee that proposals, bids, or actual
construction costs will not vary from its opinions of probable costs.
Assumptions: Detailed notes and calculations will be provided to the City, upon
request, for the Construction Cost Opinions.

provided by the Client. The Client shall provide all information requested by KHA

■ GIS Data
■ An electronic copy (in MS Word format) of the contract boilerplate and
general/standard provisions currently used by the City.
■ The City will send out utility notification letters to each known utility service
provider within the project area and provide this information to the Consultant.
Schedule
We will provide our services as expeditiously as practicable to meet the mutually
agreed upon schedule. Upon notice to proceed, the Consultant will complete the
work described in this scope of wark (excluding additional services) within 8
months.
