AUTHORIZE the Mayor to execute a lease agreement between the City of Indian Wells and the City of Palm Desert to house a paramedic unit at Indian Wells Fire Station No. 55. 2. APPROVE the purchase and installation of an exhaust drop down at Indian Wells Fire Station No. 55. The cost for this item is estimated not to exceed $3,579 and funds are available in Fire Fund 230. Discussion The ambulance medic unit at Indian Wells' Fire Station No. 55, located at 44-900 Eldorado Drive, responds a majority of the time (approximately 70%-80%) to medic transport calls within the City of Palm Desert. To alleviate this condition staff proposed within the FY 09-10 the introduction of an additional Palm Desert medic unit to be housed at Station No. 55. Indian Wells officials have indicated their willingness to house an additional medic unit at Fire Station No. 55, if the City of Palm Desert were to proceed with approving this expenditure. A three year lease agreement between the City of Indian Wells and Palm Desert is recommended for approval, allowing one Palm Desert medic unit and its crew to be housed at Station No. 55. The lease is effective July 2009, but the time necessary to hire a new medic crew will likely push the move-in date to August 2009. Station No. 55 Lease Agreement June 25, 2009 Page 2 of 2 Fiscal Impact There will be no annual rental fee charged to the City of Palm Desert associated with this lease. The City will be responsible for providing all the paramedic equipment, medical supplies and vehicle costs associated with the new medic unit. Palm Desert will also be responsible for the cost of installing one exhaust drop down, as part of a ventilation system, which should not exceed $3,579. The City of Indian Wells will continue to pay for all utilities. Descri tp ion• The premises leased hereby include a building located at 44- 900 Eldorado Drive in the City of Indian Wells. Subject to the written consent of the County of Riverside, Indian Wells hereby leases said premises to Palm Desert on a non- exclusive basis subject to the terms and conditions set forth herein. Palm Desert shall have use of one paramedic bay and shall generally share the building facilities on a non- exclusive basis. Palm Desert understands and agrees that Indian Wells currently has leased the premises to the County of Riverside as set forth in Exhibit A, and said Lease with County may remain in effect in the sole discretion of Indian Wells. 2. Use. In particular, all of the premises Leased to Palm Desert hereunder are leased for the primary use as a fire/paramedic facility, but may be used for other official business of municipal government when first approved by the Indian Wells City Manager or his designee. 3. Title. Title to the site, buildings and structures shall remain in Indian Wells, subject to the terms and conditions of this Lease. 4. Term. The term of this Lease shall be for a period of three (3) years commencing on July 1, 2009 and continuing for three (3) consecutive years unless terminated pursuant to the provisions of this Lease. 5. Renewal. This Lease may be renewed for one or more years, up to (3) three years, upon mutual agreement of the parties prior to the third anniversary date of its commencement. 6. Consideration. The premises are leased to Palm Desert in consideration of Palm Desert operating and staffing a two person paramedic unit thereon. Palm Desert will be responsible for providing paramedic equipment, all medical supplies and vehicle costs for their medics and vehicle. Palm Desert will also be responsible for the cost of installing one exhaust drop down. Palm Desert may perform such operations and staffing through its contractor, the Riverside County Fire Department. 7. Utilities. Indian Wells shall install and pay for all utilities, including but not limited to sewer, water, power, gas, telephone, and other utility services. 8. Insurance. Indian Wells shall insure the building for fire and extended coverage. 1-3 9. Hold Harmless. (a) Palm Desert shall defend, indemnify and hold harmless Indian Wells and its officials, officers, employees and agents from and against any and all damages to the premises, as well as lawsuits or demands of third parties, arising out of and to the extent of alleged negligent acts or omissions of Palm Desert and its officials, officers, employees and agents, provided that Indian Wells shall give Palm Desert prompt notice of such damages, suits or demands. (b) Indian Wells shall defend, indemnify and hold harmless Palm Desert and its officials, officers, employees and agents from and against any and all damages to the premises, as well as lawsuits or demands of third parties, arising out of and to the extent of alleged negligent acts or omissions of Indian Wells and its officials, officers, employees and agents, provided that Palm Desert shall give Indian Wells prompt notice of such damages, suits or demands. 10. Option to Terminate. Indian Wells and Palm Desert shall have the right to terminate this Lease at any time by giving sixty(60) days written notice to the other party prior to the effective date of termination. 11. Notices. Currently a : lease agreement between the two agencies does not exist and the county desires to formalize the occupancy of the Indian Wells Fire Station. CITY warrants that the leased premises are in good 6 working condition and repair, and are suitable for the purposes contemplated herein. COUNTY shall maintain the interior and 7 exterior of the premises, and every part thereof, in good repair and working order, up to one percent (1%) annually of the original 8 facility construction cost of $538, 665 .00, plus equipment listed in Exhibit "A•' , throughout the life of this lease. CITY shall be 9 responsible for costs ezceeding this amount: CITY shall repair and maintain the structural integrity of the building. 10 B. COUNTY shall provide normal maintenance to parking 11 lots. � 12 C. CITY shall provide all landscape maintenance and irregation water furnished to maintain all landscaped grounds. 13 D. Any alterations, improvements, or installations of fistures to be undertaken by COUNTY shall have the prior written 21 consent of CITY after COUNTY has submitted such proposed alterations, improvements, or fixtures, in writing, to CITY. 22 B. Al1 alterations made, improvements made, and all 23 fiatures installed by COUNTY shall remain COUNTY property and may be removed by COUNTY at, or pri.or to, expiration, without renewal, 24 of this lease; provided, however, COUNTY shall bear all expenses to restore premises to letable condition where injury or damages are 25 caused by such removal. � 26 C.
