Pictures of Project Area Recommendation: By Minute Motion, approve the Amended Lease for the Palm Desert Country Club Neighborhood (Joe Mann) Park, Contract No. C16151. Discussion: Staff received a request from the Palm Desert Country Club Homeowners Association (HOA) to amend the lease between the City and the HOA for Joe Mann Park. More specifically, the HOA would like to amend the lease so that the area containing the wireless cellular tower can be expanded to accommodate additional communication equipment. The proposed expansion would be an additional 31' x 12' area that would include the removal of a portion of the existing block wall and landscaping. The HOA has had an agreement with Royal Street Communications to lease a portion of the land within the park for an existing wireless cellular tower. Royal Communication's submitted plans to the Architectural Review Commission (ARC) for review and approval of the proposed project that included the co-location of six panel antennas to the existing monopalm (wireless cell tower), requiring the demolition of a portion of the block wall and landscaping (in front of that portion of the wall only). The ARC approved the proposed project at its meeting of April 29, 2009; however, the applicant did not move forward with the project until now. As a result, the HOA is now requesting that the Lease Agreement be amended to reflect this change. CITY COUNCIL STAFF REPORT OCTOBER 8, 2009 PAGE 2 The Planning Department, the Landscaping Manager, and ARC have all reviewed the proposed plans and have determined that the proposed project will not have a significant impact on the park or amenities within the park. Therefore, the remaining item for consideration is the approval of the Amended Lease, which addresses the expansion of the area containing the existing monopalm. The amendment section is addressed in the new Exhibit C, which is referred to within the text of the Lease Agreement. Public Works, Landscape, and Parks & Recreation have worked with Royal Communications and Metro PCS to address issues pertaining to access to the area where work is to be performed as well as the actual work to be undertaken within the Park and the area of the monopalm outlined in Exhibit C. The City, ARC, and HOA have reviewed and approved the project plans submitted by Royal Communictation/ Metro PCS. Staff recommends that City Council approve the Amended Lease between the City and Palm Desert Country Club Homeowners Association. C16151 AMENDED LEASE AGREEMENT THIS AMENDED LEASE AGREEMENT, is made and entered into this 24th day of September, 2009, at Palm Desert, California, by and between the PALM CITY ASSOCIATION, hereinafter referred to as "Lessor" and THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to as "Lessee". WITNESSETH The Lessor hereby leases to Lessee and Lessee hereby leases from the Lessor the hereinafter described real property on the following terms and conditions: 1. Property. The property subject of this Lease (hereinafter "Property") is that certain unimproved real property located in the County of Riverside, State of California, consisting of 4.20 acres in Lot 27, Tract 2137, more commonly known as 77280 California Drive, Palm Desert, and more particularly described on Exhibit "A" and Exhibit "B". Exhibit "C" outlines the Amendment which addresses the land area that contains the communication equipment of Royal Street Communication as approved by the Palm Desert City Council. All Exhibits attached hereto and incorporated herein by this reference. The provisions of this lease do not extend to, and specifically exclude, any and all buildings on the Property existing at the time of the commencement of this lease. The provisions of this lease do not extend to, and specifically exclude, the area identified on Exhibit "B" as "cell site". 1 CONTRACT NO. C16151 2. Term. The term of this lease shall be for a period of thirty (30) years commencing on the 10t" day of June, 1999, and continuing to the 10t" day of June, 2029. 3. Option to Renew. Provided Lessee in not then in default hereunder, Lessee shall have the option to extend the original term hereof for an additional terms of years, on these same terms and conditions, commencing on the expiration date of the original lease term, which option shall be exercisable by Lessee sending notice of the exercise of said option to Lessor not later than sixty (60) days prior to the expiration date of the original lease term. In the event Lessee exercises its right to extend the initial term hereof for an additional 10-year period and upon the expiration of said extension, so long as Lessee is not then in default of any of the terms and conditions hereunder, Lessee may extend this lease on a year to year basis, which options shall be exercisable by Lessee sending written notice to Lessor not later than sixty (60) days prior to the expiration date of the then existing lease term. 4. Rent. Lessee shall pay to the Lessor as and for rent on said Property the sum of One Dollar ($1.00) annually, commencing on or before the 10t" day of June, 1999. 5. Utilities. Lessee shall pay before delinquency all charges for telephone, water, power, gas and other utilities used on the Property during the term of this lease. Utility meters shall be installed to provide service to the property at the Lessee's expense as required. 2 CONTRACT NO. C16151 6. Improvements. Lessee agrees that it will not construct buildings, sheds, and/or other improvements on the Property, without the written consent of Lessor first had and obtained. Any and all alterations, additions or improvements shall become the property of Lessor, with the exception of the playground equipment. Lessee shall make a determination as to whether or not to abandon or otherwise remove the playground equipment at its own expense. Lessee is expressly permitted to remove or abandon the playground equipment on the Property at Lessee's discretion upon termination or completion of this Lease. The area identified as "rose garden" shall remain as a quiet area. No active equipment (i.e., playground equipment, basketball court, etc.) shall be located in this area. The rose garden shall remain "as-is" unless alterations, additions or improvements are approved as above or Lessee makes the determination that changes are necessary for safety purposes. 7. U�keep and maintenance. Lessee shall at its own expense keep the Property in first class condition, normal wear and tear excepted. Lessee shall not commit or suffer to be committed any waste, injury, or damage to or on the Property. 8. Property Taxes. To the extent there are any property taxes on the Property during the term of this Lease, Lessee shall pay such taxes. 9. Use and occupancv. It is understood and agreed that Lessee will use the Property for the sole purpose of a neighborhood park and rose garden. 10. Termination. Lessee may, upon a determination by the Palm Desert City Council, that it is no longer desirable or feasible for Lessee to maintain the Property as a neighborhood park and rose garden, terminate this Lease upon six (6) months written notice of same to Lessor. 3 CONTRACT NO. C16151 Lessor may terminate this Lease upon a finro-thirds (2/3) majority vote of its members to so terminate this Lease. 11. Liability Insurance. Lessee shall maintain, for the term of this Lease, liability insurance coverage under Lessee's existing policy with its insurance carrier under the Joint Powers Insurance Authority. 12. Assiqnment and Subletting. Lessee agrees and promises that it will not assign this Lease in whole or in part without the written consent of Lessor first had and obtained. 13. Hold Harmless. Lessee shall hold Lessor and all of its employees or agents harmless from any and all claims, demands, or liability arising from alleged acts or omissions by the Lessee or its employees or agents, or the negligent maintenance, construction, or dangerous condition of Lessee's improvements in connection with the Property. Lessor shall hold Lessee and any of its employees or agents free and harmless from any and all claims, demands, or liabilities arising from any operations, acts, or omissions, by the Lessor in connection with the Property. 14. Attornev's Fees. Should any litigation be commenced between the parties hereto or their assigns concerning any provision of this Agreement or the rights and duties of any party in relation thereto, the party or parties prevailing in such litigation shall be entitled to such relief that may be granted to a reasonable sum as determined by the Court as and for attorney's fees and costs. 4 CONTRACT NO. C16151 15. Heirs and Assigns. This Lease agreement shall inure to the benefit and be binding upon the parties hereto, their heirs, legatees, legal representatives, assigns and successors in interest.
