By Minute Motion:
1. Authorize staff to negotiate and finalize a Funding Agreement between the City
of Palm Desert and the Children's Discovery Museum of the Desert;
2. Approve Contract No.C3o150 substantially as to form; and
3. Authorize the City Manager to approve and execute the Funding Agreement in
the amount of $500,000 for the purpose of expanding and renovating the
existing facility.
Funds are available in Special Programs, Account No. 400-4800-454-3902.
Executive Summary
Approval of staff's recommendation authorizes staff to negotiate a Funding Agreement
("AgreemenY') with the Children's Discovery Museum of the Desert in the amount of $500,000
for the expansion and renovation of their current facility. The new project has been separated
into three phases. Each phase is separate, distinct, and does not rely on the progress of
another phase for completion. The City's contribution will be allocated to fund Phase One.
Phase One includes: expanding the campus by 2.5 acres (including vegetable and sensory
gardens, children's maze, functional playground equipment), construction of a 2,554 square foot
multipurpose building to be used for programming space, expansion of the parking area, the
renovation of existing exhibit space, and the purchase of exhibits. Release of the City funds is
contingent on the Museum securing the remaining costs, all plan check approvals, and all
necessary building permits that have been issued for the improvements as part of Phase One.
Approval of staff's recommendation will allow the City Manager to execute the final agreement.

Backpround
The Children's Discovery Museum of the Desert submitted a letter request to the City of Palm
Desert in February 2007, requesting a $500,000 contribution to the Museum for the purpose of
expanding and renovating their facilities. As part of the 2008 City of Palm Dese�t budget
process, the funding was included in the budget and approved. At that time the Museum
represented that they would come back to the City for the funding once they had finalized both
their master plan and site plan. The museum is now ready to commence Phase One, and
intends to move forward with a request to proceed going to their Board in September 2010.
Funding provided by the City of Palm Desert will be allocated to Phase One. The expansion has
been divided into three phases. Each phase is separate, distinct, and does not rely on the
progress of another phase for completion. Phase One includes: expanding the campus by 2.5
acres (including vegetable and sensory gardens, children's maze, functional playground
equipment), construction of a 2,554 square foot multipurpose building to be used for
programming space, the renovation of existing exhibit space, expansion of the parking area,
and the purchase of exhibits. Phase Two includes: relocation of the Museum gift store to the
lobby and enlarging the lobby to accommodate its new function. Phase Three includes: addition
of early childhood program space, meeting rooms, exhibit gallery, and relocation of the
administration offices.
The Museum facility provides a quality hands-on learning experience to elementary school-age
children and families of the Coachella Valley. In the Museum's twelve years of operation, they
have served over 700,000 visitors, provided for over 86,000 school field trips, more than 10,000
children have attended their day camps, and Palm Desert residents have visited the Museum
over 60,000 times. Staff recommends allowing the City Manager to negotiate and execute the
final agreement for dispersing the City's $500,000 contribution.
Fiscal Analvsis .
In 2008, the City of Palm Desert allocated the $500,000 contribution to the Children's Museum
of the Desert as part of the 2008 budget process. The $500,000 has been carried over for the
last two years in anticipation of the current request.

FUNDING AGREEMENT
This Funding Agreement ("Agreement") is entered into this day of
2010, by and between the City of Paim Desert ("City") and the Chiidren's Discovery
Museum of the Desert ("Museum"). The City and the Museum are sometimes
collectively referred to in this Agreement as the "Parties" and individually referred to as
"Party." The Agreement is made in light of the following Recitats:
RECITALS
A. The Museum intends to renovate and expand the current campus of the
Chitdren's Discovery Museum of the Desert, in Rancho Mirage, California, in order to
meet the growing educational needs of the Coachella Valley. The expansion has been
divided into three phases. Each phase is separate, distinct, and does not rely on the
progress of another phase for completion. Phase One includes: expanding the campus
by 2.5 acres (including vegetable and sensory gardens, children's maze, functional
playground equipment), construction of a 2,554 square foot multipurpose building to be
used for programming space, the renovation of existing exhibit space, expansion of the
parking area including site improvements, and the purchase of exhibits. Phase Two
includes: relocation of the Museum gift store to the lobby and enlarging the lobby to
accommodate its new function. Phase Three: addition of early childhood program
space, meeting rooms, exhibit gallery, and relocation of the administration offices.
Funding provided by the City of Palm Desert will be allocated to Phase One.
B. The Museum has determined to move forward with Phase One "Project" of
the expansion/renovation, which will cost approximately $2.8 million to complete.
Phase One would include expanding the campus by 2.5 acres, construction of a 2,554
square foot multipurpase building to be used as program space, the renovation of
existing exhibit space, and purchase of new exhibits.
C. The City agrees to fund up to $500,000 for the expansion and renovation
of the Children's Discovery Museum af the Desert contingent on the Museum securing
the remaining costs, all plan check approvals, and all necessary building permits that
have been issued for the improvements as part of Phase One A.
D. The Parties desire to enter into this Agreement in order to outline their
roles and responsibilities regarding the Museum's expansion and renovation
NOW, THEREFORE, in consideration of the mutual promises set forth herein,
and in light of the above Recitals, which are hereby made a part of this Agreement, the
Parties hereby agree as follows:
AGREEMENT
1. Term. The term of this Agreement shall commence upon execution of this
Agreement and continue until final build out of Phase One A.

2. Responsibilities of the Parties
2.1 Responsibilities of City. The City agrees to contribute up to
$500,000 for the expansion and renovation of the Children's
Discovery Museum of the Desert contingent on the Museum's
contribution of the remaining cost for the Children's Discovery
Museum of Desert's expansion and renovation. During the course
of construction of the improvements, the City shall make a one time
payment of $500,000 at such time when the Museum has secured
the remaining cost for Phase One, and the Project has
received/completed all necessary plan checks and building permits.
At such time as this amount has been r�ached, the City shall have
no further obligation whatsoever to provide any further funding for
the Children's Discovery Museum of the Desert. The balance of the
amount due under the construction contract shall be paid by the
Chifdren's Discovery Museum of the Desert.
2.2 Responsibilities of the Museum. The Museum agrees to contribute
all funds needed beyond those provided by the City to ensure the
Children's Discovery Museum of the Desert's expansion and
renovation. The Museum has one year from the date of execution
of this Agreement to secure its full contribution. All funds received
from the City pursuant to this Agreement shall be solely used to
support costs of construction and improvements for the expansion
and renovation of the Children's Discovery Museum of the Desert's
campus. The Museum may promote the City's contribution as
matching funds to the Museum's contribution. The Museum will be
responsible for operation and maintenance of the Children's
Discovery Museum of the Desert.
3. Remedies and Termination
3.1 Remedies. The Parties agree to provide each other with written
notice of nonperFormance, unsatisfactory performance, or any other
dispute arising from the terms of this Agreement within thirty (30)
days of the deficiency or dispute being identified. The Parties shall
have ninety (90) days from receipt of said written notice to correct
any perFormance deficiencies. The Parties may mutually agree to
extend the ninety (90) day cure period. The Parties agree to
cooperate in good faith to resolve any performance issue or dispute
arising from this Agreement. Either Party in its sole and absolute
discretion may waive a default that cannot be cured.
3.2 Termination. In the event any dispute cannot be resolved under
these procedures, each Party retains such legal and equitable
remedies as it may have under law to enforce this Agreement. If
either Party defaults under this Agreement and does not timely cure

such default, the non-defaulting Party may terminate this
Agreement upon providing written notice of termination of this
Agreement to the defaulting Party, in which case this Agreement
shall terminate.
4. Indemnification. Museum agrees to indemnify, defend and hold harmless
the City, its officials, officers, employees, agents and consultants on account of any and
all claims for damages because of (i) personal in u sickness or death of an
� ry� y person,
injury, damage or destruction to property, (ii) any breach by the Museum of any
representation, warranty or covenant of this Agreement, (iii) any violation by the
Museum of any applicable local or state laws, ordinances, rules, regulations or lawful
orders bearing on the performance of any obligations under this Agreement, or(iv) other
cost, charges or damages arising out of in any way the operation of the Children's
Discovery Museum of the Desert. This indemnification is intended to be as broad as
possible and as broad as allowed by law. Only in the instance of damage caused solely
and exclusively by the negligence and/or malfeasance of the City or its employees or
agents will the indemnification not apply. This indemnification includes but is not limited
to indemnifying for attorneys' fees, costs and other related expenses, including expert
witness fees incurred by the City directly, through its carriers or for its agents
and/employees.
5. Notices. Whenever it shall be necessary for either Party to serve notice
on the other regarding this Agreement, such notice shall be served either in person, by
certified mail, return receipt requested to the addresses below.

Such notice shall be deemed made when personally delivered or when mailed,
forty-eight (48) hours after deposit in the U.S. Mail, first class postage prepaid and
addressed to the Party at its applicable address. Actual notice shall be deemed
adequate notice on the date actual notice occurred, regardless of the method of service.
6. Legal Costs. In the event of any legal action between the City and the
Museum arising out of the obligations of the Parties pursuant to this Agreement, the
prevailing Party will be entitled to payment of its costs and expenses, including its
attorneys' fees.

7. Bindina Effect• Successors. The Museum shall not assign or transfer,
either directly or by operation of law, this Agreement or any interest herein without the
prior written consent of the City, which may be given in the City's sole and absolute
discretion. Any attempt to do so shall be nul� and void, and any assignees or transferees
shall acquire no right or interest by reason of such attempted assignment or transfer.
This Agreement shall bind and inure to the benefit of the Parties and their respective
heirs, legal representatives, successors and assigns and all of the Parties thereto shall
be jointly and severally liable hereunder.
8. Counterparts. This Agreement may be executed in counterparts each of
which shall be deemed an original and all of which together shall constitute one and the
same instrument which shall be binding upon the Parties notwithstanding that the
Parties may not be signatories to the same counterpart or counterparts. The Parties
may integrate their respective counterparts by attaching the signature pages of each
separate counterpart to a single counterpart.
9. Further Assurances. Whenever requested to do so by the other Party,
each Party shall execute, acknowledge, and deliver any further conveyances,
assignments, confirmations, satisfactions, release, powers of attorney, instruments of
further assurance, approvals, consents, and any further instruments or documents that
are necessary, expedient, or proper to complete anything contemplated by this
Agreement. In addition, each Party shall do any other acts and execute, acknowledge,
and deliver any requested documents in order to carry out the intent and purpose of this
Agreement.
10. Modifications. All modifications to this Agreement must be in writing and
signed by the Parties.
11. Third-Party Riqhts. Nothing in this Agreement, express or implied, is
intended to confer upon any person, other than the Parties and their respective
successors and assigns, any rights or remedies.
12. Governinq Law• Choice of Venue. This Agreement shall be governed and
construed in accordance with California law. Venue shall be Riverside County.
13. Severabilitv. If any provision of this Agreement becomes or is declared by
a court to be illegal, unenforceable or void, that clause will be omitted and the remainder
of the Agreement will continue in full force and effect. Such holding shall in no way
affect the validity or enforceability of this Agreement.
14. Entire Aqreement. This Agreement is the entire agreement between the
Parties and supersedes any prior or contemporaneous representations, understandings
or agreements, whether written or oral.

Children's Discovery Museum of the Desert
Dear Mayor Kelly,
The Children's Discovery Museum of the Desert respectfully submits this request to be placed
upon the City Council Agenda in order to share with the City the Museum's plans for future
expansion and to request assistance from the City of Palm Desert. The City of Rancho Mirage
has approved the physical plant expansion plans and the Museum is moving forward with a
Capital Campaign to raise the funds necessary to complete the expansion. The estimated cost of
the completed project is 13.1 million dollars. The Museum has determined that in order to
generate sufficient funding to complete this project we will need to complete the project in
phases. Details of the initial phase are being finalized, but we anticipate it will include the
following:
• Expansion of the parking area
• Expansion of the main lobby area to include a new store
• Conversion of the existing store to administrative space
• Conversion of the Dinah Shore building to Gallery/Exhibit space
• Construction of an additiona12,000 square foot building which will be used for
programming space (ultimately the plans would designate this space for storage)
• Purchase of additional award-winning cutting-edge exhibits
• Portable buildings for on campus storage space
The initial phase is primarily focused on"revenue" generating space to allow us the ability to
expand the Museum use through expansion of gallery, exhibit and program space together with
the amenities of parking to handle additional visitors. Future phases will include the construction
of the new gallery, conversion of the existing administration space to program space,
construction of a second floor administration area and further expansion of the campus for
storage.
The Museum is hoping to meet the funding goals for the first phase with the assistance of the
City of Palm Desert. The first phase is being designed to cost from $3,000,000 to $4,000,000
including new exhibits. The Museum has received preliminary commitments of approximately
$1,150,000 from private parties for the expansion program. The City of Rancho Mirage
approved a$250,000 contribution to the overall expansion program in December 2006 with a
matching concept for funds from other cities. As we complete our revisions to the project to
address the phasing program, we will contact the City of Rancho Mirage to determine if they
have any modifications to their contribution.
It is requested that the City consider investing $500,000 in this Museum expansion project. We
will be seeking similar support from the City of Indian Wells.
Historically, the City of Palm Desert along with Rancho Mirage and Indian Wells, collectively as
the Cove Commission, provided 1.6 million dollars of seed money for the development of our
current facility. In addition, the City has continued to assist the Museum with developing Special
Programs through its Outside Agency Grant Funding Program. Those supportive dollars were
used to begin or expand relevant programming in the Community and not for unrestricted
operational support. The Museum operates on a balanced budget and anticipates grants for
Special Programs. However, those same budgets do not provide for special projects like this
capital expansion or the recently completed mural project.
The Museum facility located at 71-701 Gerald Ford Drive in Rancho Mirage provides a quality
"hands-on" learning experience to elementary school-age children and families of the Coachella
Valley. In our eight years of operation at this location, the Museum has served over 500,000
visitors including many children visiting grandparents and families who live in Indian Wells and
the surrounding communities. School field trips bring over 8,000 students, annually, to our doors
and our day camps alone serve almost 60 children and their families every day throughout the
summer, on school holidays, and during school vacations. In addition, we offer ballet and fine
art classes, science project workshops, Early Childhood classes, and special performance events.
Outreach programs in the schools and at special community events bring Museum programs and
services to thousands more. We have developed significant relationships with various hotels
including those in Palm Desert as a source of activities for children staying at the hotels. In
addition, Palm Desert residents represent over 20% of Valley resident visitations to the Museum.
That is the largest percentage of visitation by any Valley city.
Since 1998, the Museum has increased the number of visitors by over 52%. In addition to this
phenomenal success, the Museum embarked upon a strategic plan in 2003 to focus its continued
growth to better meet community needs. The positive results have driven the need for the
Museum's current expansion plans. The Museum has outgrown its current facility. Although the
Museum added a number of new exhibits in 2006; we believe that in order to maintain our
ranking as one of the premier children museums in California and the nation we need to continue
to provide a challenging and innovative experience for the children who visit.
Specifically, the Museum expansion will allow us:
• New and additional Exhibitry with broader age-range appeal
• Dedicated space for Toddler programs
• Additional Program and Meeting space
• Additional Storage
• Additional Parking

assistance. Your interest and participation can help your Museum continue to play a vital role for
the citizens of Palm Desert and the surrounding communities into the far-reaching future.
