remainder of the excess property, all to accommodate Precise Plan
No. 07-07, a proposed professionai office building at 44-450 Monterey
Avenue.
Executive Summary
The strip of city-owned land between Monterey Avenue and land owned by Mr. Paul
Delio is excess property that can best be utilized by Mr. Delio to accommodate his
proposed office building project. The office building project has previously been
approved by the Architectural Review and Planning Commissions. Portions of the
proposed building have architectural pop-outs and planter walls that extend onto a
smaller area of the excess city property. Staff recommends conveying this smaller area
(1,711 square feet out of a total of 5,179 square feet) to Mr. Delio and conveying an
easement over the remainder of the excess land for landscaping, sidewalk, and
driveway purposes. The City Attorney has drafted the agreements pertaining to both
the fee title conveyance and the easement.
Backqround
In 1982, the City acquired the first north-south row of lots along the east side of
Monterey Avenue between Fred Waring Drive and Atria at Hacienda (previously
Hacienda de Monterey) to accommodate the realignment of Monterey Avenue. Two of
the acquired lots (Lots 312 and 313 as shown on the attached record map of Palma
Village Unit No. 12) adjoin the west property line of the Defio Professional Office
Building project, Precise Plan No. 07-07. The gap between the easterly right-of-way
line of Monterey Avenue and the west property line of the Delio Professional Office
Building project over City lots 312 and 313 can be considered as excess property
(shaded area of attached Exhibit C) as Monterey Avenue is at its ultimate width.
The Architectural Review Commission (ARC) granted approval of Case No. PP 07-07 at
its meeting of October 9, 2007. The Planning Commission approved the case at its
meeting of December 4, 2007, by Resolution No. 2459. The project consists of the
construction of a professional office building and parking lot on the east side of
Monterey Avenue at Guadalupe Avenue. Council approved Resolution No. 09-15 on
March 12, 2009, to vacate a portion of Guadalupe Avenue to accommodate the design
of the approved precise plan, and the resolution was subsequently recorded.
Also on March 12, 2009, by Minute Motion, Council authorized the Mayor to execute an
easement agreement with Delio for Delio to place landscaping, a sidewalk, driveway
and the potential encroachment of a structure on the City Lots 312 and 313 within the
aforementioned gaplexcess property area (see exhibit B-1 in the Easement Agreement
attached). The agreement, however, has been slightly modified from the first version
seen by Council by excluding any portion of the building structure and related planter
walls out of the easement that would otherwise be encroaching into the gaplexcess
property area. Instead, staff recommends that the lot lines between the City and the
Delio project be adjusted to eliminate the future encroachment of the proposed building

within the gap area by the City deeding over only the portions of excess City Lots 312
and 313 that would be encroached upon (1,711 sq. ft. within the gap area) as shown in
the attached Grand Deed Exhibits A and B. As a token of good faith, Mr. Delio will
submit a bond in the amount of$40,000 prior to execution and recording the grant deed,
to insure the City that the land deeded from the City will be used in accordance with
project approvals.
The aforementioned March 12 staff report also mentions a Parcel Map Waiver to be
processed to adjust the lot lines, which would require new deeds to be recorded to
transfer the title from the City to Delio and perfect the intent of the adjustment.
However, the owner (Delio) plans to file a tentative and parcel map to merge all lots
within the project area, including the 1,711-square foot area from the City. The map
would be done in lieu of the Parcel Map Waiver/lot line adjustment process.
Therefore, staff recommends that City Council, by Minute Motion, declare as excess
property at Guadalupe Avenue along Monterey Avenue per attached Exhibit C,
authorize the Mayor to execute a Grant Deed and a property use agreement to convey
1,711 square feet of the excess property to Paul Delio as described and depicted on
attached Exhibits A and B respectively, and to authorize the Mayor to execute an
Easement Agreement for the remainder of the excess property, all to accommodate
Precise Plan No. 07-07, a proposed professional office building at 44-450 Monterey
Avenue.
Fiscal Analysis
The City seeks no compensation for the transfer of title of this property to Paul Delio;
however, the City wi{I realize ongoing revenue via the property taxes generated from
this site, while no longer expending funds for its maintenance. Additionally, the land
within the aforementioned gap can only be utilized by the adjoining landowner, Mr. Delio
in this case, for the specific use associated with the approved project. The proposed
new building will be an improvement to the area.

PROPERTY USE AGREEMENT
(with its Exhibit A)

PROPFRTY USE AGREEMENT
PROJECT: P.P. 07-07 Delio Office Building
(Portions of Lots 312 and 313 and portion of Guadalupe Avenue)
WHEREAS, this Property Use Agreement ("Agreement") is made and entered into this day
of , between the City of Palm Desert ("City"), a municipal corporation of
the State of California, and Paul G. Delio and Karina Delio, as Trustees of the Paul G. Delio and
Karina Delio Living Trust, ("Owner"). City and Owner are sometimes individual referred to as
"Party" and collectively referred to as "Parties."
WHEREAS, the City and Owner may enter into an Easement Agreement whereby the City
granted to Owner non-exclusive rights to enter on and use portions of City-owned lots 312 and
313 and a portion of Guadalupe Avenue ("the Property") to construct landscaping, a sidewalk, a
portion of a parking lot and driveway; and
WHEREAS, City and Owner have agreed that City will deed to Owner a portion of said City
owned property for project to be constructed on such property;
WHEREAS, Owner plans to build a Professional Office Building at 44-450 Monterey Avenue,
Pa1m Desert California, which is located adjacent to and upon the deeded property;
WHEREAS, the City conveyance of the Property to Owner is conditional upon the Owner using
the Property in accordance with project approvals.
NOW THEREFORE the Parties agree as follows:
The City shall enter into said Easement Agreement and shall execute deeds to such other portion
of the property reflected by the development subject to the terms of this Agreement. Such other
property is described as follows as set forth in Exhibit A.
Owner shall convey the Property back to the City if Owner vacates the project or sells any part of
the project except the whole thereof or if Owner's plans no longer include structure
encroachment onto the Property.
ln the event Owner's entitlement to this project shall end, and if Owner pursues re-entitlement
within three (3) months of such expiration, this Agreement will remain in effect and Owner shall
not be required to reconvey said Property. In the event Owner does not pursue re-entitlement
within such period of time, he shall thereafter reconvey such Property back to the City.
Owner may sell the entire project so long as such sale includes all of the terms of this Agreement
without exception and such conditions are accepted in writing by the new owner.

In the event the Owner has completed all entitlements for the structure and has completed the
structure as planned, any required reconveyance of property shall no longer be required and shall
terminate.
Owner shall post a Faithful Performance Bond in the amount of forty thousand dollars
($40,000.000) to secure its obligation to use the Property in accordance with project approvals
and with the terms of this Agreement.

EASEMENT AGREEMENT

EASEMENT AGREEMENT
This Easement Ageement entered into this day of 2010 by
and between the City of Palm Desert, a municipal corporation (city) and Paul G. Delio and
Karina Delio, as Trustees of the Paul G. Delio and Karina Delio Living Trust(Owner) of parcels
commonly known as the Delio Office Building.
WHEREAS, The City is the owner of land located adjoining owner's property which is
utilizing a portion of City's land for landscaping, construction of sidewalks, parking lot and
driveway on the east side of Monterey Avenue located in the City of Palm Desert, State of
California.
WHEREAS, Owner is the ]egal owner of prc�perty described and set forth in Exllibit
`'B-2" attached hereto and made a part hereo£ A portion of the City-owned property is on the
owner's side of the sidewalk that is parallel with Monterey Avenue, and the City is desirous of
allowing owner to utilize that portion of the City-owned property located adjacent to owner's
property as long as owner shall construct planting, landscaping, and other items including a
driveway adjacent to the Owner's building. Said City portion is described in Exhibit A and
depicted in Exhibit B attached hereto and made a part hereof.
NOW THEREFORE, it is agreed as follows:
For and in consideration of these recitals as well as the terms set forth herein, the City
hereby grants to Owner,the non-exclusive right to enter on and use that portion of the City's
land located on the owner's side of the sidewalk that is parallel with and on the east side of

Monterey in order to construct landscaping, sidewalk, a portion of a parking lot and driveway on
a small part of the same as reflected in Exhibit"B-1" attached hereto and made a part hereof.
2. Term. This easement shall be in effect from and after the date hereof and shall
terminate at such future date as it is determined by the City that there exists a need for the
property covered by this easement for public purposes. Notification of such need shall be given
at least six months in advance of the utilization. Normally such notification will only be given in
the event owner fails to comply with all conditions of use of said property.
3. Conditions of Use. Easement holder is authorized to use the property subject to the
easement utilizing the same for landscaping and yard and open space area with minimal
encroachment by construction thereon other than landscaping and other amenities dealing with
landscaping that are acceptable to the city. The location and desi�l of any and all improvements
shall be submitted to the City for review and approval prior to construction. Such approval will
not be unreasonably withheld and is in addition to any and all other approvals required for
construction on said property.
4. Maintenance and Repair. Said property shall be maintained at owner's sole expense
in accordance with the standards of the City of Palm Desert for landscaped areas. Owner agrees
that it will not permit or allow public or private nuisance to exist on their property and on the
easement property and shall surrender same if notice is given pursuant to paragraph 2 hereof.
5. Indemnity. The Owner agrees to hold the City free and harmless from any and all
claims, demands, suits or any kind of expenses including the paytnent of all expenses of
investigation of any such action including reasonable attorney's fees and costs and actions of any

type arising out of or incurring as a result of the use of said property by the owner, their
successors, assigns, agents, employees, guests and invitees.
