(Contract No. C31370) Funds are available in Account No. 242-4549-454-3090, Aquatic Center Professional Services. niRt-mminn Following the opening of the Aquatic Center, the need for overnight security became apparent. Aquatic Center staff consistently found debris left behind by trespassers who entered and used the facility during the overnight hours. Nighttime surveillance was initially handled with the help of the Sheriff's Department, but it became apparent that additional security measures were needed. Staff initially recommended using a security guard from 9:00 p.m. to 5:30 a.m. during the summer months only. Bids were received from several local security companies, and the City Manager approved a service agreement with Colt Security with an expiration date of September 2011. Colt Security is willing to continue service at the current price of $19 per hour with seven identified holidays charged at time and one-half. There are approximately 242 service days with five included holidays during the span of this service agreement at a total cost of $37,164. If it is determined during the term of this agreement that security services are no longer necessary, Colt Security has agreed to allow a two -week notice to discontinue the service. Staff Report Aquatic Center Security Services December 8, 2011 Page 2 of 2 Staff was hopeful that the trespassing issues would decrease when school went back into session and nighttime temperatures dropped; however, this has not been the case. Aquatic Center staff is now using the pool covers, which present an even greater danger. Staff is recommending that we continue using Colt Security at the Aquatic Center during the nighttime hours for the remainder the fiscal year. Staff will incorporate security costs into future Aquatic Center budgets. Fiscal Analysis Thus far, the Aquatic Center has been able to absorb the unexpected security costs through greater than projected revenues. BILLING SCHEDULE: Client will be billed monthly, at the end of the month of service unless otherwise agreed to by the written consent of each of the parties hereto. HOLIDAYS: Should any major Holiday fall on days Colt Security, Inc., ("Colt") is engaged in service, the hourly rate will increase to time and a half (1 %) for that day, to compensate Security personnel for that Holiday ($28.50) New Years Day, Easter Sunday, Memorial Day, Fourth of July, Labor Day, Thanksgiving and Christmas Day. TERMS OF PAYMENT: Invoices presented to the CLIENT for services performed shall be due for payment on receipt of the invoice, which is provided to CLIENT and incorporated herein. Should it become necessary to employ an attorney to collect any such payments, Colt may charge the CLIENT reasonable attorney or collection agency fees and costs. Under provisions of this agreement and in keeping with lawful and accepted practice, accounts not paid within ten (10) days of receipt will incur a late charge of 1.5% monthly. Non-payment of the accounts due may result in cancellation of services by Colt. Late calls (on 48 hours or less notice) for additional service not included within the normal days of service or for time extended beyond the hours listed, are charged time and a half (1%) for that day or for those additional hours outside this contract. CANCELLATIONS: This contract may be terminated only by written notice received by either Colt or Client two weeks prior to the date of cancellation. OBLIGATION: Colt is an independent contractor to CLIENT and assumes full responsibility for Workers Compensation Insurance, State Unemployment Tax, Social Security Tax, and Training Programs. However, should any Colt employee, representative, officer or agent ("Colt staff') become injured while providing services to CLIENT or as a result of a third party's acts, whether intentional or otherwise, Colt staff still maintains all rights and remedies afforded by law against CLIENT or any third party. Additional contract amenities that Colt will provide at no cost include: 24/7 Dispatch Monitoring Provide Colt Marked Vehicle as needed • Random Field Supervisor Visits and Patrols of the Property INDEMNIFICATION: CLIENT agrees to defend, indemnify, and hold Colt harmless from any and all damages, costs, and expenses (including, but not limited to attorney's fees) incurred or sustained by Colt and / or Colt staff as a consequence of any damages or injuries stemming from its work for or with CLIENT. City of Palm Desert Contract No. C31370 RIGHT OF REFUSAL: CLIENT agrees that Colt is entitled to the first right of refusal and the opportunity to re -bid and outmatch other proposals if the circumstance presents itself.
