By Minute Motion:
1. Reject the bid from the apparent low responsive bidder, Tecta
America So. Cal. Inc., due to mathematical errors;
2. Award Contract No. C29890 for the Civic Center Reroofing Project to
Progressive Roofing of Manteca, California, in the amount of
$903,250;
3. Approve a ten percent contingency of $90,325; and
4. Authorize the Mayor to execute the subject agreement.
Funds are available for this project in the Building Maintenance/Repair and
Maintenance City Hall, Account No. 450-4161-415-4001.
Background
The oldest sections of the roof at the Civic Center are the north and east wings. They
were built in 1983 using a flood and gravel design and are riddled with leaks, which are
difficult to locate and repair. The remaining roofs are polyurethane foam with a white
acrylic coating. These roof systems are now 10 years old and are beginning to require
constant repair, and as with the older sections of the roof, leaks are difficult to locate and
repair.

The proposed new roof is a modified built-up cool roof system, which has been the
preferred, longest lasting roof system used in the United States for over fifty years. The
built-up roof system chosen for this bid is warranted by the manufacturer for 30 years.
In accordance with the City's bidding procedures, the project was advertised in the local
newspaper to encourage local contractors to bid. On December 14, 2010, sealed bids
were opened and read aloud. The following is a summary of the bids received:

Upon review of the bids, it was discovered that there was an error in the calculation of
the apparent low bid. The apparent low bidder, Tecta America So. Cal, Inc., had not
properly added the cost of all the bid items, and when the bid was recalculated in
accordance with the specifications, their bid became $904,958. Due to the error in
Tecta America So. Cal.'s bid, Progressive Roofing is the lowest responsive bidder.
Staff reviewed the bid proposal for the lowest bidder, Progressive Roofing, and
determined that all bid requirements have been met.
Fiscal Analysis
This is a maintenance activity with no fiscal impact beyond the contract amount.

The UNDERSIGNED, "CONTRACTOR", having carefully examined the site and the
Contract Documents for the construction of, CIVIC CENER REROOFING PROJECT,
CONTRACT NO. Chereby proposes to construct the work in accordance with
the Contract Documents, including Addenda No(s). for the amount
stated in this Proposal.
By submitting this Proposal, CONTRACTOR agrees with CITY:
1. That unless withdrawn in person by CONTRACTOR or some person authorized
in writing by CONTRACTOR — not by telephone or telegram — before the time
specked in the Notice Inviting Bids for the public opening of bids, this Proposal
constitutes an irrevocable offer for 60 calendar days after that date.
2. The CITY has the right to reject any or all Proposals and to waive any
irregularities or informalities contained in a Proposal.
3. That the contract shall be awarded only by the governing body of CITY. Said
contract shall only be deemed awarded after the CONTRACTOR'S complete
submission of all contract documents, bonds, insurance documentation, and the
CITY shall obtain all necessary signatures of the governing body, at which time
the contract shall be deemed awarded.
4. To submit to CITY such information as CITY may require to determine the
Bidder's financial standing experience and to perform the work.
That the accompanying certified or cashier's check or Bid Bond constitutes a guarantee
that if awarded the contract, CONTRACTOR will execute the Agreement and deliver the
required bonds and certificates of insurance within 10 days after notice of award. If
CONTRACTOR fails to execute and deliver said documents, the check or bond is to be
charged with the costs of the resultant damages to CITY, including but not limited to
publication costs, the difference in money between the amount bid and the amount in
excess of the bid which costs CITY to do or cause to be done the work involved, lease
and rental costs, additional salaries and overhead, increased interest and costs of
funding the project, attorney expense, additional engineering and architectural expense
and cost of maintaining or construction alternate facilities occasioned by the failure to
execute and deliver said documents.

It is understood the price quantities and work shown heron is the complete installed cost
for the equipment or work specified.
It is understood that the quantities shown hereon, except for those quantities marked
"Lump Sum", are estimates and the final payment will be based upon the actual work
performed, subject to such adjustment and alterations as elsewhere provided herein.

The Garland Company, Inc. (hereinafter referred to as "Garlww"), a Corporation of the State of Ohio, warrants to the above
named owner that, when the above specified roofing system is installed in accordance with current Garland approved
specifications, Garland will pay all authorized costs of repairs to the roofing system necessary to stop any leaks which occur
during a period of thirty (30) years, from the completion date, subject to the terms of this warranty. Leaks which occur only as a
result of any of the following will be repaired:
A. Deterioration of the roofing system or flashing system resulting from ordinary wear and tear by the elements.
B. Workmanship on the part of the approved roofing contractor in the application of the roofing system.
C. Splits or breaks in the roofing system not caused by structural movement or failure or movement of any material underlying
the roofing system or base flashing.
D. Blisters, wrinkles, ridges, fishmouths or open laps in the roofing system.
E. Slippage of the roofing system or flashing system.
Garland's obligation for repair, removal or replacement remedies under this warranty shall in no event exceed the cost of the
original materials of this project. The original cost does not include the cost of removing any preexisting roofing. The costs of
removal or replacement of all roofing system components except the above mentioned roofing system shall be bore by owner.

This warranty is valid only when applied by a Garland approved roofing contractor for approved roofing system specifications.
All repairs, changes, alterations, modifications and additions to the roofing system must be authorized in advance in writing by
Garland. This warranty is not assignable, directly or indirectly as a result of the sale of the premises or otherwise. This warranty
shall not be applicable if, in the solejudgment of Garland, any of the following shall occur:
A. The roofing system is damaged by natural disasters including, but not limited to, fire, floods, lightning, hail, earthquakes,
wind damage, etc..
B. The roofing system is damaged by structural movement or failure or movement of any material underlying the roofing
system or base flashing.
C. The roofing system is damaged by acts of negligence, misuse or accidents including, but not limited to, use of roof for other
than waterproofing the building, vandalism, civil disobedience or acts of war.
D. Discoloration, cosmetic deterioration or change in the visual appearance of the roofing system or Garland's top coating.
E. Damage to the roofing system resulting from:
I. Infiltration or condensation of moisture in, through, or around walls, copings, building structure or underlying or
surrounding areas.
2. Lack of positive drainage.
3. Movement or deterioration of metal adjacent or built into the roofing system or base fleshing.
4. Chemical contaminate attacks on the roofing system which have not been approved or accepted by Garland.
5. Building design or construction.
6. Traffic or storage of materials on roof.
7. Defects in, failure or improper application of the underlying material used as a base which the roof is applied.
& Acts of parties other than manufacturer or authorized roofing contractor.
F. Failure of owner to properly notify Garland in writing and receive written approval of
1. Changes in the usage of the building.
2. Modifications or additions to the roofing system.
G. Failure of owner to properly maintain the roof.
H. Failure of owner to comply with each and every term or condition stated herein.

Garland assumes no responsibility for damage that occurs to the structure or interior of the structure, including the contents
therein, from any type of leaks or any other consequential damages. GarWs sole responsibility is the costs of repairs of the
above mentioned roofing system.

In the event of a leak, owner will notify Garland immediately in writing after discovery of the leak. Garland will inspect the
roofing system. If it is determined that the roof leaks were the direct result of warrantable items as delineated within the terns of
this warranty, Garland will perlbrm the repairs required to correct the roof leaks at no cost to owner.
Owner will notify Garland in writing within thirty (30) days of any proposed modification, repair or addition, on or through the
roofing system or base flashing for each situation occurring after the completion date of this warranty prior to the
commencement of same. Owner will also notify Gland in writing within thirty (30) days of changes in the original usage of
the building. Drawings or plans showing the location of the proposed changes in the original usage of the building must be
provided and approved by Gland.
ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR
PARTICULAR PURPOSE ARE EXCLUDED FROM THE SALE OF PRODUCTS COVERED BY THIS WARRANTY.
Garland recommends owner participation in the Garland Roof Maintenance and Inspection Program.
This warranty becomes effective only upon full payment of all bills for supplies and installation of the Garland roofing system.
This warranty shall be construed under and in accordance with the laws of the State of Ohio. This warranty constitutes the sole
and only warranty of the parties hereto and supersedes any prior understandings or written or oral warranties between the panties
respecting the subject matter within.
In the event that any one or more of the provisions contained in this warranty shall for any reason be held to be invalid, illegal or
unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision thereof, and this
warranty shall be construed as if the invalid, illegal or unenforceable provision had never been contained therein.
INSPECTION EOUiREEmnTs
Owner must request in writing an inspection of the roof at any time between the sixth and tenth months of each fifth -year (5, 10,
15, 20, 25) of this warranty's duration. Upon receipt of such request, Garland will provide an inspection of the roofing system by
a Garland representativeto determine whether any repairs are required to make the system eligible for the continuation of this
warranty, submitting a detailed inspection report to owner outlining the nature and extent of such required repairs such as repairs
to physical damage, debris removal, drainage clearance, pitch box, coping metal edge and reglet seals and flashing reflectivity.
After the owner has caused any required repairs to be made (at its sole expense and by a contractor approved by Garland) and
notifies Garland in writing of it desire for warranty continuation no later than sixty (60) days prior to the date of the inspection
requirement. Garland will then provide a reinspection of the roofing system. When Garland has determined the roofing system's
acceptability for a continuation, it will notify owner of whatever standard warranty fee is then in effect. The cost of inspection
will be paid by the owner at the rate of S200.00 per day plus travel expenses. Upon payment by owner of the warranty fee, this
warranty will be continued until the next inspection requiremem.

PART 1— GENERAL
1.1 RELATED DOCUMENTS
A. Drawings and general provisions of the Contract, including the Conditions of the
Contract and Division 01 Specification Sections apply to this Section.
1.2 SUMMARY
A. Section includes modified bituminous roofing system.
Provide all labor, equipment and materials to install the roof system over
the properly prepared substrate.
2. All drains must be tested before reroofing begins. If any drains are
clogged, please notify the City immediately. Do not proceed until drains
are fixed. Roofing contractor will be responsible for all drains to be in
working condition once roof is complete.
3. Roofing contractor will be responsible for all air conditioning units,
making sure they are all in working condition once roof is complete.
4. Tear off existing roof system and dispose of properly. Roof removal will
only take place on the weekends. Before reroofing begins City will inspect
decking. Provide City with square foot cost of deck replacement along with
bid package.
5. Install "No V.O.C. Cool Roof' roofing system as per manufactures
Specification.
6. Insure that the minimum slope is '/a" per 12", increase cricket size as
needed.
7. Contractor is solely responsible to insure that positive drainage is
accomplished throughout the entire roofing area. Ponding water will be
cause for rejection
8. Loose lay red rosin paper and mechanically fasten SBS modified base
sheet to properly prepared substrate.
9. Install one layer of SBS modified inner ply in 2 gallons per square of zero
V.O.C. membrane adhesive.
10. An extra layer of SBS and SIS modified smooth membrane will also be
installed in all flashings, base plies, penetrations plies, and all transitions.
11. Install a high strength SBS and SIS modified cap sheet utilizing recycled
content in 2 gallons per square of zero V.O.C. membrane adhesive.
12. Follow all procedures in the back of this specification for counter
flashings, copings, drains, and all other related roof top equipment.
13. Paint entire roof with 1 gallon per square of a Title 24 elastomeric coating
at the end of the project to ensure that the roof is completely white, two
coats required.
14. Absolutely no asbestos will be allowed in any products or form on this
job.
15. Install new redwood blocking and clamps. Blocking should be nailed to a
5/8" thick walk pad. Install walk pads around all units and roof hatch
openings.
16. Pitch pans are not allowed on this roofing project. Locations with multiple
cables penetrating the decking fabricate and install a metal goose neck.
17. Install surface mounted counter flashing around all large HVAC units that
do not have counter flashings.
18. Replace all damaged or missing surface mounted counter flashing around
all parapet walls. All parapet walls are required to have surface mounted
counter flashing.
19. Contractor to submit along with bid proposal: ANSI/SPRI and ES-1
calculations for new metal copping caps and all edge metal.
20. Contractor must submit along with bid proposal; ASCE 7-5 and ES 1
calculations to comply with IBC effective 1 January 2008. (Section 1.14,
Uniform wind uplifts)
21. Contractor must submit Approved Applicator Letter along with bid
proposal.
22. Roofing contractor must have a minimum Five (5) years of Commercial /
Industrial re -roofing experience of comparable size. (References upon

surfaced, UV resistant, rubber modified roofing mem-
brane designed for use as the waterproofing and

polyester eenuasists the movement created by today's
modern buildings. This translates to long term

Security In Multi -Ply ConstruiWon - StressPly Plus
FR Mineral is the top component of a multi -ply roof
system. It combines the inherent advantages and
proven performance of multi -ply protection with the
strength, flexibility and elongation of elastomedc
systems. This unique combination minimizes
dependence on perfect workmanship, contact adhesive
seaming, etc.
Factory Formulation Reduces Labor Expense -
StressPly Plus FR Mineral is coated with reflective
mineral granules. Consequently, there's no need to
food cost and gravel or aluminize the membranes
surface. Roof projects can be completed on a more
timely basis. The end result is substantial savings in
labor expense.
Superior Firs Resistan" - StressPly Plus FR Mineral
contains a fire retardant that is added to the compound
during the manufacturing process. As a result, it will
maintain its fire rating for the life of the membrane.
StressPly Phis FR Mineral has a Class A fire rating over
a combustible roof deck.
StressPly Plus FR Mineral can be used in conjunction
with other HPR products, as well as with conventional
glass base sheets or fiberglass felt undeflayment.

312, Type III or IV asphalt, Garland's HPR All -Temp

then solidly adhered to these base layers with mopping
asphalt.
StressPly Plus FR Mineral can also be applied in

crons) of overall thickness, StressPly Max FR Mineral's highly

branes provide unmatched durability. The SIBS rubber provides
superior low temperat,re flexibility and long-term weathering
characterstics. The SIS rubber dramatically increases the
overall life expectancy of the modified membrane. When SBS

under roof temperatures. As a result, the workload on the
building airconditioning system is reduced and proper interior
temperatures can be maintained at a lower cost. The Star -
burst minerals are more than twice as reflective as standard
roofing minerals.

VersiPly 40 is a high strength, puncture
and fatigue resistant Styrene-Butadiene-Sty-
rene (SBS) rubber modified roofing mem-
brane. It is designed for use as the water-
proofing and reinforcement layer of a modi-
fied built-up roofing system. The 40 mil
sheet consists of two laminated layers of
fiberglass reinforcement sandwiched by SBS
rubber in a high penetration index asphalt
mixture.
PRODUCT ADVANTAGES
Multi -Ply Security - VersiPly 40 is the
top component of a multi -ply roof system. It
combines the inherent advantages and
proven performance of multi -ply protection
with the strength, flexibility and elongation of
elastomeric systems.
SuperlorStrength-The VersiPly40mem-
brane is reinforced with two layers of fiber-
glass. The superior strength provided by the
dual fiberglass scrim resists the movement
created by today's modem buildings. In addi-
tion, the dual fiberglass scrim in VersiPly 40
provides tensile strength in excess of 200
pounds per inch in the machine and cross
machine direction. This translates to long term
resistance to splits and tears in the completed
VersiPly 40 roof system.
Advanced Rubber Technology - The
modifier utilized in VersiPly 40 is SBS. When
the SBS rubber is properly dispersed through-
out the high penetration asphalt, the rubber
provides increased thermal shock resistance,
UV protection, heat resistance, elongation, and
low temperature flexibility. To ensure proper
dispersion, a special high shear mixer is used
in manufacturing.
USES
VersiPly 40 can be used in conjunction
with other HPR products, as well as with con-
ventional glass base sheets or fiberglass felt
underlayment. Specifications for hot applied
roofing systems are available. In addition,
VersiPly 40 can be used as one or both plies in
a two ply flashing system. It can also be used
to repair splits, cracks or other deteriorated
areas of existing asphalt based roofing sys-
tems.

PRODUCT DESCRIPTION
Pyramic is a white, non -toxic, fire retardant roof coating
formulated from water -based, pure acrylic, self -curing latex
polymers. Pyramic also contains unique "bleed -blocking"
Polymers that make it very suitable for use over asphaltic
surfaces. It is designed for application by brush, roller or
spray. Once cured, Pyramic preserves asphaltic or metal roof
surfaces and reduces under roof temperatures to create a
more pleasant Interior work environment that is less costly
to maintain. Pyramic is an approved product under CRRC,
ENERGY STAR* and Title 24 standards
PRODUCT ADVANTAGES
ENERGY STAR' Approved - ENERGY STAR products are
known to protect the environment through superior energy
efficiency. ENERGY STAR approved Pyramic contains sub-
stantial levels of UV -blocking pigments that keep solar heat
out of the building envelope. A cool Pyramic surface reflects
the sun's ultraviolet rays, slows down roof aging and extends
the useful life of a roofing system.
Retards Fire - Pyrarric contains a unique blend of ingredients
that produce a superior, flame-retardant surface.
Reduces Roof Degradation - Solar heat accelerates roof
system degradation. in addition, roofing materials contract
and expand daily as they heat up during the day and cool at
night. A roof coated with Pyramic does not experience such
large temperature fluctuations; therefore, the roofing system
undergoes less fatigue. Pyramic's white, flexible finish reflects
the sun's drying ultraviolet rays and reduces their damaging
effects.
Energy Savings - Typical dark colored Built -Up Roofs can
absorb over 70%ofthe solar energy that reaches them, creat-
ing temperatures over 180OF (82.2°C). Studies confirm that
PYramic can reduce roof temperatures by 500 to 80°F (10°
to 26.7°C) and save significant amounts of cooling energy
during the summer months.

ityand toxicity hazards associated with solvent based coatings.
There are no irritating or unpleasant odors with Pyramic.
Reduces Roof Life Cycle Costs - Over time, UV fight de-
grades the chemical structure of a roofing membrane, wfych
then causes chalking, cracking, shrinking, loss of flexibility
and surface erosion. Pyramic's high-performance acrylic
polymers give added impact strength, flexibility, adhesion
and color -retention to aged roofing systems.

APPLICATION
The existing roof surface must be sound and free of defects
such as blisters, splits, fishmouths, etc., must be repaired
with a suitable patching material. All fresh applications of
mastics, coatings or asphalt adhesives require a minimum
of 30 days to cure prior to application of Pyramic. Loose
materials, standing water, debris, oil and other contaminants
may prevent ftll adhesion ofthe coating and must be removed.
Pyramic is designed for application by brush, roller or spray.

spray application guide for details.The coating is ready for
immediate use; however, it should be stirred, not thinned,
prior to application.
Pyramic should be spray, brush or roller applied at a rate of 1-1
1 /2 gallons per 100 ft2 (0.41-.615 Vrr) per coat depending on
the substrate. For best results, apply a two -coat application
in a crosshatch manner.
PRECAUTIONS
• Do not apply when the ambient temperature is below
WF (10°C) or above 95•F (350C).
• Do not use on roof areas subject to ponding water.
• Do not apply Pyramic when rain expected
within 12 hours.
• Do not allow product to freeze, or if temperatures are
expected to drop below 45OF (7.2°C) within 48 hours.
• Store material in dry protected areas and on clean
raised platforms.
• Shelf life is one year in an unopened container.

AGREEMENT
THIS AGREEMENT is made and entered into this 13th day of January, 2011, by
and between City of Palm Desert, California, hereafter called "CITY" and Progressive
Roofing hereinafter called "CONTRACTOR".
WITNESSETH
RECITALS:
CONTRACTOR has submitted to CITY its Contractor's Proposal for the construction of
CITY Project,
1. CIVIC CENTER REROOFING PROJECT, CONTRACT NO. C29890, in strict
accordance with the Contract Documents identified below, CITY has accepted
said Proposal.
2. CONTRACTOR states that it has re-examined its CONTRACTOR'S Proposal
and found it to be correct, has ascertained that its Subcontractors are properly
licensed and possess the requisite skill and forces, has examined the site and
Contract in accordance with the Contract Documents for the money set forth in
its Proposal to be paid as provided in the Contract Documents. The Contractor
shall perform all Work within the time stipulated the Contract and shall provide all
labor, materials, equipment, tools, utility services, and transportation to complete
all of the Work required in strict compliance with the Contract Documents as
specified in Article 1 below. The Contractor and its surety shall be liable to City
for any damages arising as a result of the Contractor's failure to comply with this
obligation.
AGREEMENT:
IT IS AGREED BY THE PARTIES AS FOLLOWS:
1. Contract Documents: The entire contract consists of the following: (a) The
Agreement; (b) The Notice Inviting Bids; (c) The Instruction to Bidders; (d) The
Contractor's Proposal; (e) The Bidder's Bond; (f) The Performance Bond; (g)
The Payment Bond; (h) The General Specifications; (i) The Special Provisions;
0) The Standard Specifications as modified in other portions of the Contract
Documents; (k) The Plans; (1) Addenda Nos. 1, 2, and 3,; (m) Any Change
Orders issued; (n) Any additional or supplemental specifications, notices,
instructions and drawings issued in accordance with the provisions of the
Contract Documents. All of said Documents presently in existence are by this
reference incorporated herein as if here set forth in full and upon the proper
issuance of their documents they shall likewise be deemed incorporated. All of
the Contract Documents are intended to be complementary. Work required by
one of the Contract Documents and not by others shall be done as if required by
all. This Contract shall supersede any prior agreement of the parties.

2. Contractor shall commence the work within ten calendar days after the date of
the Notice to Proceed and will do all things necessary to construct the work
generally described in Recital No. 1 in accordance with the Contract Documents
and will complete said work within 60 Calendar days from the Notice to Proceed
date to the satisfaction of the Engineer.
3. Contractor agrees to indemnify, defend and save CITY and its officers, agents
and employees, and the Engineer harmless from:
a. Any and all liability, claims, damages, losses or injuries to any person or
other entity, including injury to Contractor's employees, and all claims
which arise from or are connected with the negligent performance of or
failure to perform the work or other obligations of this Agreement, or which
are caused or which are claimed to be caused by the negligent or
intentional acts or omissions of Contractor, its subcontractors, its agents
or employees, and, all expenses of investigating and defending against
same,
b. Any and all liability, claims, damages, losses or injuries to any and all
contractors, subcontractors, material -men, laborers, or any other person,
firm or corporation furnishing or supplying work, services, materials or
supplies in connection with the performance of the Agreement.
C. Attention is directed to the General Specifications - Claims, Liability, and
Indemnity Agreement/Hold Harmless sections, which specifications are
made part of this Agreement as set forth in Agreement paragraph 1,
above.
4. In accordance with Government Code section 53069.85, it is agreed that the
Contractor will pay CITY the sum of $1,000.00 for each and every calendar day
of delay beyond the time prescribed in the Contract Documents for finishing the
Work, as Liquidated Damages and not as a penalty or forfeiture. In the event this
is not paid, the Contractor agrees CITY may deduct that amount from any money
due or that may become due the Contractor under the Contract. This Article
does not exclude recovery of other damages specified in the Contract
Documents.
5. Each and every provision of law required to be included in these Contract
Documents shall be deemed to be included in these Contract Documents.
6. This Agreement shall be binding upon all parties hereto and their respective
heirs, executors, administrators, successors, and assigns.
7. Contractor shall be paid in the manner set forth in the Contract Documents the
amount of its Proposal as accepted by CITY, subject to such additions and
deductions as may be made pursuant to the Contact Documents and applicable
law.

Satisfactory Performance: The prime Contractor agrees to pay each
Subcontractor under this prime contract for satisfactory performance of its
contract no later than 10 days from the receipt of each payment the prime
Contractor receives from City of Palm Desert. Any delay or postponement of
payment from the above referenced time frame may occur only for good cause
following written approval of the City of Palm Desert.
Release of Retention: The prime Contractor agrees further to release retention
payments to each Subcontractor within 30 days after the Subcontractor's work is
satisfactorily completed. Any delay or postponement of payment from the above
referenced time frame may occur only for good cause following written approval
of the City of Palm Desert.
8. Execution of the Agreement by the parties constitutes their agreement to abide

PERFORMANCE BOND
KNOW ALL MEN BY THESE PRESENTS: That whereas the City of Palm Desert has
awarded to Progressive Roofing hereinafter designated as the
"Contractor", a contract for:

WHEREAS, the work to be performed by the Contractor is more particularly set forth in
the Contract Documents for the Project dated January 13, 2011, (hereinafter referred to
as "Contract Documents"), the terms and conditions of which are expressly incorporated
herein by reference; and
WHEREAS, the Contractor is required by said Contract Documents to perform
the terms thereof and to furnish a bond for the faithful performance of said Contract
Documents.
NOW, THEREFORE, we, Progressive Roofing the undersigned
Contractor and as Surety, a
corporation organized and duly authorized to transact business under the laws of the
State of California, are held and firmly bound unto City in the sum of Nine Hundred
three thousand two hundred fifty and no cents DOLLARS, ($903,250), said
sum being not less than one hundred percent (100%) of the total amount of the
Contract, for which amount well and truly to be made, we bind ourselves, our heirs,
executors and administrators, successors and assigns, jointly and severally, firmly by
these presents.
THE CONDITION OF THIS OBLIGATION IS SUCH, that, if the Contractor, his or
its heirs, executors, administrators, successors or assigns, shall in all things stand to
and abide by, and well and truly keep and perform the covenants, conditions and
agreements in the Contract Documents and any alteration thereof made as therein
provided, on its part, to be kept and performed at the time and in the manner therein
specified, and in all respects according to their intent and meaning; and shall faithfully
fulfill all obligations including the one-year guarantee of all materials and workmanship;
and shall indemnify and save harmless City, its officers and agents, as stipulated in said
Contract Documents, then this obligation shall become null and void; otherwise it shall
be and remain in full force and effect.
As a part of the obligation secured hereby and in addition to the face amount
specified therefore, there shall be included costs and reasonable expenses and fees
including reasonable attorney's fees, incurred by City in enforcing such obligation.
As a condition precedent to the satisfactory completion of the Contract
Documents, unless otherwise provided for in the Contract Documents, the above
obligation shall hold good for a period of one (1) year after the acceptance of the work

by City, during which time if Contractor shall fail to make full, complete, and satisfactory
repair and replacements and totally protect City from loss or damage resulting from or
caused by defective materials or faulty workmanship, the above obligation in penal sum
thereof shall remain in full force and effect. The obligations of Surety hereunder shall
continue so long as any obligation of Contractor remains. Nothing herein shall limit
City's rights or the Contractor or Surety's obligations under the Contract, law or equity,
including, but not limited to, California Code of Civil Procedure section 337.15.
Whenever Contractor shall be, and is declared by City to be, in default under the
Contract Documents, the Surety shall remedy the default pursuant to the Contract
Documents, or shall promptly, at City's option:
(1) Take over and complete the Project in accordance with all terms and
conditions in the Contract Documents; or
(2) Obtain a bid or bids for completing the Project in accordance with all terms
and conditions in the Contract Documents and upon determination by
Surety of the lowest responsive and responsible bidder, arrange for a
Contract between such bidder, the Surety and City, and make available as
work progresses sufficient funds to pay the cost of completion of the
Project, less the balance of the contract price, including other costs and
damages for which Surety may be liable. The term "balance of the
contract price" as used in this paragraph shall mean the total amount
payable to Contractor by City under the Contract and any modification
thereto, less any amount previously paid by City to the Contractor and any
other set offs pursuant to the Contract Documents.
(3) Permit City to complete the Project in any manner consistent with
California law and make available as work progresses sufficient funds to
pay the cost of completion of the Project, less the balance of the contract
price, including other costs and damages for which Surety may be liable.
The term "balance of the contract price" as used in this paragraph shall
mean the total amount payable to Contractor by City under the Contract
and any modification thereto, less any amount previously paid by City to
the Contractor and any other set offs pursuant to the Contract Documents.
Surety expressly agrees that City may reject any contractor or subcontractor
which may be proposed by Surety in fulfillment of its obligations in the event of default
by the Contractor.
Surety shall not utilize Contractor in completing the Project nor shall Surety
accept a bid from Contractor for completion of the Project if City, when declaring the
Contractor in default, notifies Surety of City's objection to Contractor's further
participation in the completion of the Project.
The Surety, for value received, hereby stipulates and agrees that no change,
extension of time, alteration or addition to the terms of the Contract Documents or to the
Contract No. C29890
Project to be performed thereunder shall in any way affect its obligations on this bond,
and it does hereby waive notice of any such change, extension of time, alteration or
addition to the terms of the Contract Documents or to the Project.

Contract, and pursuant to Section 3247 of the California Civil Code;

used in, upon, for or about the performance of the Public Work contracted to be done,
or to pay any person for any work or labor of any kind, or for bestowing skills or other
necessary services thereon, or for amounts due under the Unemployment Insurance
Code with respect to such work or labor, or for any amounts required to be deducted,
withheld, and paid over to the Employment Development Department from the wages of
employees of said CONTRACTOR and his or its Subcontractors pursuant to Section
13020 of the Unemployment Insurance Code with respect to such work and labor as
required by the provisions of Section 3247 through 3252 of the Civil Code, or for any
amounts required to be deducted, withheld, and paid over to the Franchise Tax Board
or Internal Revenue Service from the wages of employees of the CONTRACTOR or his
or its Subcontractors, the Surety or Sureties hereon will pay for the same in an amount
not exceeding the sum specified in this bond, otherwise the above obligation shall be
void. In addition to the provisions herein above, it is agreed that this bond will inure to
the benefit of any and all persons, companies and corporations entitled to serve stop
notices under Section 3181 of the Civil Code, so as to give a right of action to them or
their assigns in any suit brought upon this bond.

The UNDERSIGNED, "CONTRACTOR", having carefully examined the site and the
Contract Documents for the construction of, CIVIC CENER REROOFING PROJECT,
CONTRACT NO. C,2Q2K hereby proposes to construct the work in accordance with
the Contract Documents, including Addenda No(s)....� for the amount
stated in this Proposal.
By submitting this Proposal, CONTRACTOR agrees with CITY:
That unless withdrawn in person by CONTRACTOR or some person authorized
in writing by CONTRACTOR — not by telephone or telegram — before the time
specified in the Notice Inviting Bids for the public opening of bids, this Proposal
constitutes an irrevocable offer for 60 calendar days after that date.
2. The CITY has the right to reject any or all Proposals and to waive any
irregularities or informalities contained in a Proposal.
3. That the contract shall be awarded only by the governing body of CITY. Said
contract shall only be deemed awarded after the CONTRACTOR'S complete
submission of all contract documents, bonds, insurance documentation, and the
CITY shall obtain all necessary signatures of the governing body, at which time
the contract shall be deemed awarded.
4. To submit to CITY such information as CITY may require to determine the
Bidder's financial standing experience and to perform the work.
That the accompanying certified or cashier's check or Bid Bond constitutes a guarantee
that if awarded the contract, CONTRACTOR will execute the Agreement and deliver the
required bonds and certificates of insurance within 10 days after notice of award. If
CONTRACTOR fails to execute and deliver said documents, the check or bond is to be
charged with the costs of the resultant damages to CITY, including but not limited to
publication costs, the difference in money between the amount bid and the amount in
excess of the bid which costs CITY to do or cause to be done the work involved, lease
and rental costs, additional salaries and overhead, increased interest and costs of
funding the project, attorney expense, additional engineering and architectural expense
and cost of maintaining or construction alternate facilities occasioned by the failure to
execute and deliver said documents.
