By Minute Motion, approve the purchase of a fuel management system
from Western Pump, Inc., in an amount not to exceed $36,650.
Funds are available in Account No. 530-4195-415-4030, Fleet Equipment Replacement.
Backqround
The 1995 the Maintenance Facility was equipped with a fuel pump and a fuel tracking
system. However, that fuel tracking system was never activated and it is now outdated
and cannot be activated. The fuel tracking method currently being used requires that
each person manually write down the amount of fuel as he/she fills their tanks. This is
an inefficient and awkward method to track fuel usage. Based on our fleet size and
increasing cost of fuel, it is essential to have a reliable fuel tracking system in place. A
new fuel tracking system will provide detailed information on individual vehicle fuel
consumption.
Staff has received a price from Western Pump, Inc., to furnish and install a fuel
management system on the above-ground gasoline storage tanks located at the Corp
Yard. Western Pump is the vendor who works on our existing pumps and was selected
because they are the sole source in this area to service these pumps. The price
includes installing equipment on 45 vehicles that will allow data collection on the fuel
usage on each individual vehicle. The cost to remove and dispose of the non-working
fuel tracking system, provide and install the new system, pay the first year's software
support agreement, and employee training is $36,650. Staff was also provided with an
alternate to install two new fuel pumps on the existing tanks at an additional cost of
$9,740. However, because our existing pumps are in good working condition, staff does

not recommend proceeding with the alternate and recommends approval to purchase
and install the new system at a total cost of$36,650.
Fiscal Analysis
There is no fiscal impact beyond the cost of the system itself. However, having the
ability to track fuel consumption on an individual basis will result in more efficient
tracking of the fuel supply. There will be an on-going annual cost of $510 for software
support beginning in Fiscal Year 2014-15.

• Pull electrical wire from fue]management system to fuel pumps using existing electrical conduits.
• Provide and Install two(2)new pulse output boards in existing fuel pumps.
• Make necessary connections on two(2)existing mechanical pumps.
• Provide and Install one(1)Wireless Ethernet Bridge and mounting pole at fuel-island.
• Provide and Install one(1)mounting pole on building roof-top and drop Ethernet cable to local
switch inside building.
• Provide,Install and Program forty-five(45)Vehicle tank rings and OBD datapass on existing
vehicles.
• Start-up equipment and test for proper operation using existing communication and elech-ica] wire.

12. Above price is based on utilizing existing electrical wires and conduit runs.If additional work is
required do to blockage,Western Pump will be compensated at a rate of$80.00 per man hour plus
materials.
13. Western Pump,Inc.shall be compensated for labor at$80.00 per man-hour plus materials at cost
plus 18%for additional work performed or delays caused by others.

WESTERN PUMP,INC. SUPPLEMENTAL CONDITIONS
1. Estimate of Costs. Any estimates or opinions made by Contractor of costs in proposals are made on the
basis of the Contractor's judgment as an experienced and qualified contractor. Customer hereby
acknowledges,however,that the Contractor cannot and does not guarantee that the total costs will not vary
from opinions of probable cost prepared by contractor. Subject to the exceptions stated herein,if during the
course of performing services outlined in an approved proposal, Contactor reasonably determines that
either the scope of services, the cost of services, or the cost of goods and component parts have increased
beyond what is commercially reasonable under the circumstances, or have changed due to unknown or
undisdosed conditions,Contractor shall notify Customer accordingly and provide the Customer with a new
proposal for approvaL Until the Customer is so notified and approves of said proposal, Contractor shall
have the right to suspend the performance of the Services at issue and continue to perform any and all other
Services not affected by the proposed changes. If the Customer does not approve the new proposal, either
party shall have the right to terminate this Agreement upon five(5) days advance written notice, at which
time all invoices far services provided to Customer shall become due and payable.
2. Oualifications of Work. The following are not covered by the Contract Documents unless specifically
stated in the original bid:
a. Construction Services:
(i) Labor, materials and outside services for electrical, blacktop, water and sewer
work;
(ii) Anchors,foundations and cathodic protection;
(iii) If concrete slab is placed and finished under this Contract, Contractor is not
responsible for the slab if not protected from traffic by Owner for ten (10) days
after completion of concrete work.
b. Environmental Services—Soil Remediation: In the evEnt contamination is found,Contractor will
contact Owner to discuss the extent of the condition and to decide upon a desirable course of
action. Any expenses incurred as a result of contamination will be at the Owner's expense.
Contractor shall not be responsible or]iable for pre-existing pollution or contamination nor shall
Contractor be liable for any pollution or contamination occurring through no fault of Contractor.
The clean-up,removal, and disposal of such pollution/contamination shall be considered an extra
and all associated costs,delays,fines,penalties,etc. shall increase the Contract Price.
c. Liquid/Sludge Removal. Prior to tank removal, Owner shall have all product removed from the
tank. In the event there is any liquid/sludge in a tank at the time of removal, Contractor may
arrange for liquid/sludge removal on a time-and-material basis at Owner's expense.
3. Pavment Term. Unless otherwise specified in the Contract, all payments shall be paid in full by Owner
net 10 days upon receipt of invoice by Owner. Major equipment shall be paid in full upon receipt of
equipment at contractor's warehouse or the job site, whichever shall occur first. For those projects
requiring multiple construction draws, Owner hereby agrees that it shall have paid Contractor an amount
not less than ninety(90%)of the total contract sum,including change orders,prior to Contractor providing
the final certificate of occupancy and/or the start-up of major equipment. The retainage, if any, shall be
paid to Conh-actor within 30 days of completion of all punchlist items.
4. Protection of Work,Propertv,Person.
a. Contractor shall have no liability for damage, injury or loss to property or persons attributable to
the fault of Drawings or Specifications, unless prepared by Contractor, or the negligent act or
omission of Owner or Owner's agents,employees or subcontractors.
b. Owner shall provide Contractor, prior to commencement of the work, Material Safety Data Sheets
on all chemical products used by Owner in connection with the job site.

5. DelaVs• Due to the increasing cost of labor and materials, any delay of progress not under Contractor's
direct control and not due to causes within the control of the parties shall result in an additional charge to
Owner. In the event of a suspension of services by Owner, the Contractor shall have no liability to Owner
for delay or damage resulting from such suspension of services. Vb'hen the project is resumed, the
Contractor's bid shall be equitably adjusted to provide for expenses incurred in the interruption and
resumption of services. If Owner fails to make such payment, upon seven (7) days' written notice to
Owner,Contractor may suspend services until such payment is received.
6. Contractor's Right to Terminate the Contract.
a. Contractor may,without prejudice to any other right or remedy,terminate the/contract if:
(i) Owner is adjudged bankrupt or a receiver or trustee is appointed for Owner, or
Owner so insolvent or makes a general assignment far the benefit of creditors;
(ii) Owner fails to pay any amount when due;
(iii) Owner materially breaches any of the provisions of the Contract Documents and
does not remedy such breach upon notice by Contractor;or
b. Upon termination of the Contract by Contractor, Contractor shall have the right to remove
equipment,tools and machinery owned by it from the job site, and shall be paid for all work done
under the contract, for all materials and supplies obtained by Contractor to date of termination,
plus an additional amount equal to 15%of the amount payable to Contractor under the Contract as
a measure of Contractor's damage as a result of such termination.
7. Excavatin�. Excavation quotations are based on normal soil conditions. In the event any underground
structures, cables, conduit, debris, rock, water,running sand, frost, concrete foundations, poles, manholes,
or similar non-visible obstructions are encountered, destroyed or damaged during the performance of the
Contract, Contractor shall not be held responsible. Should any non-visible obstructions or unforeseen
underground conditions be encountered,removed or destroyed, or if additional wark is necessary to either
preserve or destroy these unforeseen obstacles and to complete the excavation, such extra work shall be at
Owner's expense. Such extra work shall be performed by Contractor on a time-and material basis. If
contaminated soil is encountered,Owner shall pay the additional cost(per cubic yard)for removal,disposal
and replacement. Owner shall also pay any fees incurred for a geologist, testing of the soi] or other costs,
penalties and fees related to the testing and cleanup of such contaminated soiL Mechanical compaction of
backfill is not included in the Contract unless specified. Finished grades are to be established and verified
by Owner. This expense shall in no case exceed the existing rate scale for labor and materials had the
quotation been based on labor and materials. Cost of removal of tank(s) contents or of lined tank(s) and
tank anchoring will be an additional charge to Owner. If it becomes necessary for Contractor to abandon
the site of excavation, any expense incurred for work performed and additional work necessary to complete
the Contract shall be borne by Owner.
In the event of cave-ins,and the necessity to shore or slope hole,all associated cost with the removal of the
excess soil and replacement with either sand or pea gravel , will be considered an extra and all such cost
shall be bome by Owner.
8. Floatine Tanks. Unless otherwise specified in the Contract Documents, Owner will be responsible for
providing the water/product to fill all underground storage tanks for ballast immediately upon setting tanks
in excavations or uncovering existing tanks. Contractor shall notify Owner when water/product will be
needed. In the event tank is not filled as requested, Owner accepts responsibility and shall pay for any and
all damage that may occur from tank floating, including equipment, labor and materia] to reinstall tank.
Removal of the tank ballast shall be at Owner's expense.
Contractor shall not be responsible for the contamination or loss of product used far ballast. In the event
any tanks should float,Contractor shall be held harmless and shall not be responsible for the contamination
ar loss of the product used for ballast. All expenses incurred to reinstall tanks or to clean up contamination
or pollution shall be paid by owner.

9. Utilities. Owner shall be responsible for disconnecting electrical lines and staking utilities, both private
and public,if necessary and assume all responsibility for damage during and after execution of Contractor's
services. In no event shall Contractor be responsible for additional cost resulting from unknown property
conditions.
Owner or its agent wil] identify to contractor the location of all boundary lines concerned far the
completion of this Agreement. If Owner or his agent is incorrect in identifying said boundary lines causing
additional expenses to be incurred by Contractor for relocating or duplicating completed work because its
relation to the boundary]ine,the additional expenses will be borne by Owner.
It shall be the responsibility of Owner or its duly authorized representative to disclose the presence and
accurate location of all hidden or obscure man-made objects relative to field test or installations. If
Contractor is cautioned, advised or given data in writing that reveal the presence or potential presence of
underground or overground obsh-ictions, Contractor will give special instructions to its field personnel and
subcontractors, however, all additiona] costs caused by the existence of the obstruction(s) shall be paid by
Owner on a time and material basis. The Owner agrees to indemnify and save harmless Contractor and its
subcontractors from all claims, suits, losses, personal injuries, death and property liability, resulting from
unusual subsurface conditions or damages to subsurface structures whose presence and exact locations
were not revealed to Contractor in writing, and to reimburse Contractor for expenses in connection with
any such claims or suits,including reasonable attorneys' fees.
10. Disposal of Contaminated/Hazardous Wastes. Any hazardous or toxic wastes, pollutants,contaminants
or other waste materials encountered by or associated with services provided by contractor on this project
shall at no time be or become the property of Contractor. Arrangements for the treatment, storage,
transport or disposal of any waste materials,which may be made by Conri-actor,shall be construed as being
made solely by and exclusively on Owner's behalf on a time and material basis, and Owner shall
indemnify,defend, and hold Contractor harmless from and against any and all liability which arises out of
the treatment, starage, transfer or disposal of any waste materials. It is agreed and understood that any
manifests or other forms required for the disposal of hazardous waste will be properly completed and
signed by the Owner or a duly authorized representative. Owner hereby agrees to execute Contractor's
Standard Release Form for the transfer of soils off-site which are not subject to State disposal regulations.
11. Connections to Used Equipment or Pipin�. Should the Work require connection to existing equipment
or piping, or repairs of equipment, the Contract Price shall be increased for all additional costs that may
arise in the event said equipment or piping is not fit for the intended application. In the event such items
cannot be used, Contractor shall notify Owner upon discovery, and provide estimate of additional costs
required to complete the installation or service.
12. Recovery of Costs. If either party to this Agreement institutes litigation or arbitration with the other party
arising out of the terms and conditions of this Agreement, or performance under this Agreement, the
prevailing party shall be entitled to recovery ftom the other party, all associated costs, including but not
limited to, costs of investigation, court costs and all reasonable attorneys' fees incurred in good faith.
Unless judgment goes by default, the attorneys' fees incurred by the prevailing party shall be presumed
reasonable and shall be awarded. It is the intention of the parties to fully compensate the prevailing party
for all attorneys' fees paid or incurred in good faith.
13. Warrantv. No warranty, express or implied, and no representations, promises, or statements, have been
made by Contractor unless endorsed hereon in writing, except that if the equipment is new equipment,
Contractor adopts the warranty against defective materials or workmanship as set forth in the
manufacturer°s current warranty applying to such new eyuipment. Contractor herein warrants its
workmanship for a period of one (1) year from the date of installation. Contractor warrants that service
work rendered hereunder shall be performed in a workmanlike manner, with such service warranty
extending for a period of 30 days from the date the service was perfo�ned.There is no implied warranty of
merchantability or of fitness for a particu]ar purpose far the equipment and/or service work.
