REQUEST: ADOPT RESOLUTION NO. 2013-03 AMENDING RESOLUTION
NOS. 03-49 AND 2011-75 ADDING A PROVISION ALLOWING
FOR THE APPOINTMENT OF ALTERNATIVE MEMBERS TO THE
PALM DESERT MARKETING COMMITTEE

Recommendation
By Minute Motion: Adopt Resolution No. 2o�3-03 amending Resolution
Nos. 03-49 and 2011-75 adding a provision allowing for the appointment
of alternative members to the Palm Desert Marketing Committee.
Backqround
In April 2003, the City Council approved Resolution No. 03-49 establishing the Palm
Desert Marketing Committee and its related bylaws. Most recently (August 2011)
revisions to the composition of the Marketing Committee were adopted.
Marketing Committee bylaws currently allow for the appointment of inembers based on
the organizations they represent. Bylaws also require regular attendance, with any third
absence constituting automatic resignation from the Committee. Due to the fact that
Marketing Committee members are typically in positions that require travel and priority
assignments we have experienced some issues with the attendance requirement.
It has been proposed that the Committee bylaws should allow for the appointment of
alternate members in cases where it makes sense. The value of having regular and
consistent involvement from pertinent organizations is mandatory to the successful
balancing of this Committee.
Staff is proposing a provision within the existing bylaws that allows for the City Council
to appoint an alternate member where necessary. Each committee member

representing an organization would be asked to identify someone within their staff that
could serve in their place, as a voting member, when necessary. Those alternates
would be asked to complete the City application and would continue to require a formal
appointment by the City Council.
At its meeting of January 15, 2013, the Palm Desert Marketing Committee reviewed the
proposed change and endorsed its adoption by City Council.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PALM
DESERT, CALIFORNIA, AMENDING RESOLUTION NOS. 03-49
AND 2011-75 ESTABLISHING A PALM DESERT MARKETING
COMMITTEE AND ITS MEMBERSHIP REQUIREMENTS
WHEREAS, in an effort to provide regular and consistent representation from the
business community, it is deemed necessary to add a bylaws provision allowing the
appointment of alternative members to the Palm Desert Marketing Committee.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Palm
Desert, California, that the bylaws related to Resolution Nos. 03-49 and 2011-75 are
hereby amended to read as follows:
"Membership: Committee members should represent one of these categories:
large hotel, small hotel, large retailer, small retailer, shopping center, restaurant, cultural
—visual and/or performing arts, real estate, local attraction or a professional within the
marketing community. City Council may appoint an alternate member from a ,
participating organization to serve as a voting member during the absence of the first
appointee".

A PALM DESERT MARKETfNG COMMITTEE
WHEREAS,the Pa1m Desert City Cauncil amended the bylaws and established new
direction for the Promotion Committee on September 11, 1997, to advise the City of Palm
Desert regarding the best method o#planning and implementing an advertisir�g, aetivities,
and promotion program; and
WHEREAS,the responsibilities of the Promotion Committee, as it was established
in 1997, were to review monthly billing, to evaluate the effectiveness of programs, and
direct an outside marketing agency; and
WHEREAS, in July, 20U0, the City created the position of Marketing Manager to
bring a mare dedicated effort and focus to the marketing of the City, at a significantly
reduced rate. The responsibitities of this position have replaced those assigned to the
c Promobon Committee as i#was established; and
WHEREAS, the City Council formed a subcommittee of staff and twv Council
""" liaisons for the purpose of reviewing the goals, objectives, and bylaws. The City Council
has found it appropriate to review all of its committees and commissions,particularly those
long established, #or the purpose uf determining the role of the committee today in Palm
Desert, its organization, its structure, and effectiveness; and
WHEREAS, this review has been completed with a finding that the existing
Promotion Committee in its current structure is not meeting the City's needs as they e�cist
today.
NOW, THEREFORE, BE�IT RESOLVED by the City Counci! vf the City of Palm
Desert,Ca{ifomia,that Resolution No.97-77,establishing the organization,obje�tives,and
responsibilities of the Palm Desert Promotion Committee is hereby rescinded.
NOW,THEREFORE, BE IT FURTHER RESOLVED by the City Council of the City
of Palm Desert, Califomia, that a Marketing Committee shall be established with the
following organization, objectives, and responsibilities:
1. The objective of the Marketing Committee wiN be to review, monitor, and evaluate
the marketing, advertising, and public relations efforts.

2. The purpose of the Marketing Committee is to evaluate the annua!mariceting and
media plans, to participate in the creation of an annual marketing budget, and to
review the expendituces of the annual marketing budget.
3. The Committee shail review print and electronic media advertising,review collateral
materials, and make recommendations for special events requesting financial
support from the Cit�r.
4. At least once every five years or as othervvise recommended by the Committee,the
Committee shall conduc# a formal oompetition to select a consultant/advertising
agency to provide contractual professional services required by the City.
6. This Committee shal! be comprised of seven members representing a large hotel,
a smalt hotel/motet,a large retaiter,a smal{retailer, a shopping center,a restaurant,
and a tourism advocate.
6. Members of this Committee shall be appointed by and serve at the pleasure of#he ,.,�
City Council forfour-yearterms commenang upon appointment and based upon the
calendar year. However, initial appointments wil! be made in a manner so as to
stagger the terms to provide continuity of inembership. '"'�
7. Regula�ly scheduled meetings will be held bi-monthly and wiil be scheduled at a
time and date approved by appointed members.
8. A chair and vice-chair shall be selected by the membership to serve a one-year
term. Such annual review and appointment is to promote equal opportunity ot the
membership to serve in a leadership role.
9. Written rer:�rds of actions taken or recommendations made shall be kept by an
official recording secretary.
10. Members will be permitted two unexcused absences per calendar year. The third
unexcused absence will constitute an automatic resignation. Excused absences
inciude a death in the family, hospital+zation,jury duty, or military service.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PALM DESERT, CALIFORNIA RESCINDING RES�LUTION NO.
08-09 AND AMENDING RESOLUTION NO. 03-49 INCREASING
THE MEMBERSHIP AND COMPOSITION OF THE PALM
DESERT MARKETiNG COMMITTEE
WHEREAS, in an effort to represent all aspects of the City's business
community, it is deemed necessary to increase the number of inembers appointed to
the Pa1m Desert Marketing Committee.
NOW, THEREFORE, BE (T RESOLVED by the City Counci! of the City of Palm
Desert, California, that Resofution No. 08-09 is hereby rescinded and that the following
portion of Resolution Na.03-49 is hereby amended #o read as follows:
"5. This Committee shall be comprised of no more than eleven (11) members
representing a large hotel, a small hoteUmotel, a large retailer, a smalt �etaile�, a
shopping center, a restaurant, culture/arts, real estate, a local attraction and two tourism
adv�cates."
