REQUEST: RATIFICATION OF A LEASE AGREEMENT EXTENSION (CONTRACT
NO. C29100) BETWEEN THE GTY OF INDIAN WELLS AND THE

Recommendation
By Minute Motion: Recommend that the Palm Desert City Council ratify approval
of a lease agreement extension (Contract No. C29100) between the City of
Indian Wells and the City of Palm Desert for Indian Wells Fire Station No. 55.
Backqround
As part of the FY 09-10 budget process, the City Council approved the inclusion of an
additional medic unit at Indian Wells Fire Station No. 55, to respond to increased medical
related service calls from the City's eastern boundaries. The City entered into a lease
agreement with Indian Wells effective July 1, 2009, to operate this medic unit at Indian
Wells' Fire Station No. 55.
The premises are leased to Palm Desert for the operation and staffing of a two person
paramedic unit. The lease agreement permits the City use of one paramedic bay and
sharing the building facilities on a non-exclusive basis. Palm Desert is responsible for
providing the paramedic equipment, all medical supplies, and vehicle costs, which are
already included with the annual Fire Department budget. The City also originally paid for
installing one exhaust drop down unit, which vents the vehicle's exhaust away from the
apparatus bay upon start-up. The City of Indian Wells continues to be responsible for all
utility costs and insuring the building.
The original lease agreement was for a three year term expiring on July 1, 2012. Upon
concurrence by both parties, the lease can be e�ended for an additional three years. The
City of Indian Wells requested a letter from the City indicating they wish to continue with the
lease extension through July 1, 2015. Staff recommended continuing with such a proposal
and a notice to extend was provided to Indian Wells. This agreement can be terminated by
either party at any time by providing sixty (60) days written notice. Staff respectfully requests
that the City Council ratify the approval of the lease extension.

Fiscal Analvsis
Beyond the costs of providing paramedic services, which is included in the annual Fire
Department budget, there is no cost to utilize this facility as a base of operations for Palm
Desert Medic Unit 255. Leasing this space is also a cost effective measure, as the other
options would be to either lease or construct another facility.

Dear Mr. Wood:
I wish to thank the City of lndian Wells for their continued cooperation in housing a Palm
Desert medic unit at Indian Wells Fire Station No. 55. In 2009, statistics showed that Indian
Wells' ambufance was responding to our city a rr�ajority of the time (approximately 70%-
80%).
To alleviate this condition, Palm Desert budgeted for an additional medic unit and through
a subsequent lease agreement this unit was housed at Station No. 55. The originai term of
this agreement commenced on July 1, 2009, through July 1, 2012. The City of Palm Desert
desires to cantinue the term of this lease for an additional three years through July 1,
2015.
The lease permits such a renewal upon mutual agreemer�t of both parties and I look

FOR FIRE STATION 55
The CITY OF INDIAN WELL,S, herein called "INDIAN WELLS", leases to the CTTY
OF PALM DESERT, herein called "PALM DESERT", the property described below
upon the following terms and conditions:
1. Descri tion. The premises leased hereby include a building located at 44-
900 Eldorado Drive in the City of Indian Wells. Subject to the written cortsent of the
County of Riverside, Indian Welta hereby leases said premises to Patm Desert on a non-
exclusive basis subject to the terms aad conditions set forth herein, palm Desert 8ha11
have use of one paramedic bay and shall generaily share the building�acilities on a non-
exclusive basis. Palm Desert uuderstands and agrees that Indian Wells owrently has
leased the premises to the County of Riverside as set forth in Eachibit A, and said Lease
with County may remain in effect in the sole discretion of Indian Wells.
2. T�se. In particular, all of the premises Leased to Palm Desert hereunder are
leased for the primaiy use a,y a fire/p��,�ic facility, but may be used for other oi�cial
business of municipat govennment when first approved by the Indian Wells City Msnager
or his designee.

3.Tide.Title to the site,buildin�s and structures shall remain in Indian Wells,
subject to the terms and conditions of this Lease.
4. Term. The term of this I.ease shatl be for a period of three (3) yeazs
commencing on July 1, 2009 and continuing for three (3) consecutive years unless �
terminated pursuant to the pmvisions of this Lease,

6. Cansideration. The premises are leased to palm Desert i�c�id�ration of

9.Hold Harmless. (a) Palm Desert shall defend, indemnify and hold harmless
Indian Wells and its officials,of�icers,employees and agents fiom snd against any and all �
damages to the premises, as we11 as lawsuits or demands of third parties, arising out of .
and to the e�ctent of allegod n�gligent acts or omissions of Palm Desert and its officials,
officers,employees and agents,pmvided that Indian Welis shall give Palm Desert prompt
notice of such damages,suits or demands.
(b)Indian Wells shall defend,indemnify and hold harmless
Palm Dessrt and its officiais,officers,employees and agents from and against any and all
damages to the premises, as v►►ell as lawsuits or demands of thind parties, arising out of
and to tl�e ext�nt of alleged negligent acts ar omissions of Indian Wells and its officials,
officers,employees and agents,provided that palm pesert she11 give Indian Wells prompt
notice of such damagos,suits ar demands.
10. Qption to Terminate. Indisn Wells ar� Pa1m Desert shall have the right to
tdminate dus Lease at any time by giving sixty(64)days written notica to tha other pariy
prior to tho effective+date of tarmination.
11. Notices• Any wrilten notices required or desired to be servecl by either party
upon the ather shall be addressod to the respective parties as set forth bolow and shall bo
deemed delivered when deposited in the U.S.mail or overnight delivery service, or hand
